Machalagh Carr is a trusted and discreet counselor with decades of private sector and government experience. She has nimbly navigated the intersection of congressional investigations and oversight, law, geopolitics, international anticorruption measures, and policy, and served as the top staffer in Article I as Chief of Staff to Speaker of the House Kevin McCarthy.  She is the Founder & CEO of Quell strategies, a boutique consulting firm where she helps client navigate Washington and translates the intricacies of public policy to the business world.  Prior to her role as Chief of Staff, she served as General Counsel for the Speaker and Office of the Republican Leader at the U.S. House of Representatives. Previously, she served as General Counsel & Parliamentarian for the Committee on Ways and Means, where she handled all legal and procedural issues for the Committee. Before that, she was the Oversight Staff Director at the Committee where she led the investigations and oversight of all issues within the Committee's jurisdiction, served as the Director of Oversight and Investigations for the Committee on Oversight and Government Reform and as Senior Oversight Counsel at the Committee on Natural Resources. Prior to her public service, Machalagh served in the Office of Global Compliance of an international energy company where she conducted internal anti-corruption investigations, audits, and compliance reviews for the company, including expertise in FCPA, and UK Bribery Act.  She also practiced in the Litigation, White Collar, and Government Investigations Group at Sonnenschein Nath and Rosenthal LLP (now Dentons).   She currently serves as the Head of Global Policy for Palantir Technologies.  Directly after law school, Machalagh clerked for the Chief Judge of the U.S. Court of Appeals for the Armed Forces. She taught Trial Practice at Catholic University of America, Columbus School of Law, is a Politics and Public Service Fellow at Georgetown University McCourt School, and lives in Virginia with her husband and three sons.

By Adam Turteltaub An ethical audit is one that evaluates compliance with laws and regulations but also assess a vendor against ethical standards, explains Bruno Drummond, Senior Director, Global Compliance at DHL Supply Chain. These standards could come from an industry or other external organization or your company's own code of conduct.  They likely would cover issues such as human rights, child labor, forced labor, discrimination, unfair and inhumane employment, working condition and even your supply chain's own supply chain. Why should you conduct one? Because these days regulators, enforcement and the public require it. For a company such as DHL, with is heavily committed to ESG, ethical audits are at the top of their list. It's a part of the company's commitment to clean operations, being a good place to work and highly trusted. DHL was first exposed to ethical audits when a customer conducted one of them. Seeing the value in it they adopted it themselves. The audits are conducted both remotely and at customer locations. The DHL code of conduct is the benchmark against which the audit is conducted. Included in the process are roundtables with employees, interviews with managers and an office walk through. Because of the cost, Bruno recommends taking a risk-based approach and looking at a cross-section of your supply chain when conducting these audits. To find out we spoke with Tech Data's Jannica Houben (LinkedIn), Vice President Global Legal Transformation and Katarzyna Golonka (LinkedIn), Vice President Global Compliance. The two of them will be leading the virtual session “Advanced Investigations in Multi-National Companies” at the 2021 SCCE Compliance & Ethics institute, which takes place September 19-22, 2021. A good investigation, they explain, needs to be properly scoped and be staffed with qualified personnel. In thinking who those people would be for your organization, they advise remembering to consider both the obvious and the subtle issues such as the languages you need on the team. And, of course, be sure your interviewers are well trained, not just eager. Other things to think about right at the start: The legal expertise needed to understand reporting obligations, privacy and labor laws How enforcement authorities operate Whether there will be a need for IT and forensic resources Sector-specific knowledge Other expertise required such as in finance, sales, operations even SAP One of the biggest decisions to make early is whether this is an investigation that is best handled using an internal or external team. Each has its own plusses and minuses. As they note in the podcast, an external team can bring in skillsets that you don't have, including the often expensive and complex forensic resources. But, since an external team likely doesn't know your culture as well as you do, they may miss the small things that an inside team wouldn't. They also discuss here the report that will come at the conclusion of an investigation. Documenting the steps you have taken is key, so much so that they believe if it isn't documented it's as if it never happened. It's a part of demonstrating that the company took the issue serious and investigated thoroughly. Make sure the report language is as concise and to the point as possible. The findings need to be reported objectively and accurately and, of course, state whether they allegations were substantiated or not. Sam expresses that companies need to disclose more about their compliance programs operations. Transparency into the data analytics itself is a good way to conduct audits, he adds. Data protection and the way data is collected, processed, and transferred is getting more challenging. As such, Sam stresses that the fraud detection process is in need of an upgrade.  Corruption is a human rights issue. It is important for clients within the compliance field to have an effective human rights compliance program. As things progress, Sam states that human rights due diligence laws are soon to be passed. When these laws are eventually introduced, companies will be expected to conduct human rights due diligence on the impact of their business activities. Anastasia is a globetrotter - she was born in Ukraine, moved to Moscow, and received education and started her compliance career in France, before moving to Luxembourg earlier this year. Anastasia's global perspective, particularly working in France, is one that is valuable for any of us that are trying to build a compliance community in a global organization. Diva Tech Talk interviewed Liz Armbruester, SVP, Global Compliance, at Avalara, which helps businesses get tax compliance right. Avalara partners with ERP providers, accounting, e-commerce and financial systems companies, to deliver cloud-based tax compliance solutions, for all transactions. Headquartered in Seattle, WA, Avalara was founded in 2004; went public in 2018; and has offices across the world  From her early years, Liz was a multitasker. “I thrive on doing more than one thing at a time.” Her early aptitudes were in science, and math.  From Villanova University, she transferred to the  University of Arizona. Originally planning to be a doctor, Liz graduated with a major in molecular/cellular biology. It was during this formative college period that she learned “how impactful my instinct was and to listen and trust it.”  This was a life-long lesson Liz applied many times, even with her own son, who made a similar decision in 2019 to transfer universities in pursuit of his dreams. Liz decided against medical school but “easily got jobs in the medical field.” Working with physicians,  she “kept finding my way to the front office. Application software was coming to the fore.” Liz grasped an “opportunity to do something different.” She migrated to semiconductor provider, Zilog where she spent  eight years. Then Liz moved to Vubiquity, a content distribution tech company, owned by tech media giant Amdocs.  Vubiquity connects content owners to video providers, so that entertainment can be delivered to consumers on any screen.  At both Zilog and Vubiquity, Liz wore multiple hats; worked on innovative projects; and often operated in between highly technical development teams and customers “as a translator” of requirements. Liz left Vubiquity, six years later, as Vice President of Operations, and Procurement, because she found herself “not showing up for dinner...which was not ok.”  Moving from Vubiquity to Avalara, Liz made it clear that balance was key. Yet she committed to “operate, and scale like hell” to empower Avalara’s aggressive evolution.  Liz accepted the challenge, to again “be the translator” between the vision, the partners who build/deliver solutions, and “an infinite number of customers.” Avalara teams, “are just brilliant and bring together all of the pieces; and cohesively work together” as the company’s client base has expanded. “Our finish line changes all the time,” Liz explained, because taxing authorities’ rules are ever-changing.  Liz believes that transition to collaborative teamwork leadership is particularly hard for talented STEM experts.  Often, she noted “one day, I am a ‘fixer’ and the next day, I have to be a ‘facilitator,’ and that transformation can be kind of tough. You can’t do it, all.  You have to let go; let others.” Key to that is teaching, mentoring and inspiring colleagues and teammates. Avalara is also highly committed to a positive “intentional culture” including diversity in its ranks.  Liz praised Amelia Ransom, the company’s Senior Director of Engagement and Diversity, “who has really raised the bar for us.” Working on  D/I initiatives has been eye-opening and allowed Liz to empower diversity transition, including all of Avalara leadership “locking arms. It isn’t a project; it doesn’t have a beginning and an end and has shifted our perspective. I have seen hiring practices change,” said Liz.  “I have seen the transparency with which we talk about bias radically change.” Liz would encourage anyone, at any career stage, to continuously “take a step back and look at the bigger picture” as it relates to “what you do, what you like to do, and what you're passionate about” in a disciplined fashion. “What are the things about what you do that make you successful?” Knowing your intrinsic aptitudes and how they apply to any challenge, is vital to personal progress.  “Don’t just think about the tactical things you are doing. She discusses one of the team's first major initiatives - a global third-party due diligence project, and the support she received from Pearson leadership and the Board.  This project spanned the entire globe, and is a model for a due diligence initiative. Danette is based in Atlanta, Georgia, and leads a team where many team members are in different locations or remote (and none in Atlanta).  She discusses her approach to leading this type of team, and how she helps the team to evolve and grow in a time of change within the company and global compliance challenges.

What is it like to run a compliance program that encompasses over 190 countries? Today we have Gwen Hassan, Managing Counsel and Trade Compliance Counsel for Global Compliance for CNH Industrial. She runs their compliance program globally, and today we’re talking about international trade, working with multiple cultures, and practical ways to step up in your career. Trade Compliance Trade compliance can be divided into three categories: (1) import, or bringing products into the country, (2) export, or moving products out and across borders, and (3) trade as a political tool, which includes things like boycotts and sanctions and denied parties. If you’re starting out with trade compliance, start with trade sanctions. These apply universally regardless of which side of the exchange you’re on, and it’s very easy to find the law. Best practice trade compliance programs A solid program will cover the three areas mentioned above: A program that addresses import risk and compliance, involving team members who are customs brokers, people who are licensed to conduct transactions through the import into the United States. The export side of your program, where you must be aware of all the different regulations that apply. Have a handle on your sanctions. Do you have a system for screening to make sure you’re not violating sanctions or restrictions of any kind? Going global A global role isn’t just “shifting” from a regional role — it’s akin to biting the whole apple at one time. Gwen’s advice? Get as much experience as you can on global projects, work on projects that span multiple regions or involve regions you’re not currently working on. Be the first to volunteer for these. And then make sure you have cultural or language skills, because they are a big deal. It’s easy to underestimate the impact of culture on a global team, so one of Gwen’s biggest challenges has been to learn not only to accept the cultural differences but find a way to work within them and get to the place you need to go. This requires some creativity and strategy, but it’s a challenge she enjoys a lot. Building international relationships There’s no replacing good old fashioned frequent flyer miles. Being face to face with people is so vitally important, especially in a number of cultures. Gwen recommends breaking bread with someone, sitting down for a meal, and getting to know each other on a personal level. Until you can establish that kind of trusting relationship with a person, it will be difficult to have a work relationship with them. Also, when you’re developing relationships with people, it’s easy to assume that your mindset and frame of reference is “the right one”. But people are coming into this relationship with their own frame of reference which they believe to be correct as well. Identify and acknowledge these so you can find a way to work well together.  Confidence Men apply for jobs they aren’t fully qualified for all the time. Women, not so much. How can we boost our confidence? Talk about the skills and knowledge you do have, be transparent about the gap, and then highlight your ability to learn. Talk about times when you’ve had to learn things quickly, how you went about it, and how you got it to a level that benefited the company. How can you assert yourself and rise to the top? Marianne Ibrahim is the Director of Global Compliance for Baker Hughes, a GE company, and on this episode, she talks about building your executive presence, traveling internationally as a woman, and her advice for the next generation of female compliance professionals. Why compliance For Marianne, building a career where one can drive a culture of ethics and integrity is a dream. Compliance has an impact on human rights, and when senior leaders of major corporations truly believe in it, it affects the communities we operate in. A strong executive presence To improve your executive presence and command the room with gravitas, communicate with purpose. Believe in what you do and what you’re saying, look your senior management in the eye, and project your voice. Mind your body language, and don’t be hesitant. A lot of it has to do with how you come across in meetings or day-to-day conversations. Tips for traveling When traveling to a country for the first time, read about the culture. Learn not just the business etiquette, but the etiquette and expectations of different genders. Then when you show up, mean business. Own your space, know your subject matter, and be confident so that you’re taken seriously regardless of your gender. If you’re going to the Middle East, don’t pack a button-down shirt! Be true to your own personal style, but be conservative. Inspiring the next generation of female compliance officers Invest in your younger talent. Reach out to them because they're not going to automatically come to you for advice.  Take them out to lunch, ask them how they’re doing, and talk about where they want to go. Many times, they’ll need your advice or direction. Take that initiative, and then constantly check in so it’s not a one-time thing. Not only is it rewarding, but you’re also investing in the future. Combat the stereotype Are you assertive… or do they call you bossy instead? To combat this stereotype, Marianne makes sure she’s approachable in everything that she does, and lets her team know she has an open door. They’re all in this together, and improving their culture and their compliance environment is a collective goal. The team spirit really counts. What she wishes she’d known earlier as an investigator Be yourself. When she was younger, she thought she had to be aggressive and assertive. But it works out much better for her to operate her own way: taking her time to get to know the individual, ask how they’re doing, and witness how they truly open up. Resources Marianne Ibrahim

This week’s episode is a story of career agility, embracing change, and living with intention. Lisa Shalett is a former Goldman Sachs partner, now board director and startup investor/advisor. At Goldman, Lisa held numerous leadership roles, including Japanese Equities, Global Compliance and Brand Marketing/Digital Strategy. She shares with us her approach to these transitions or “reinventions:” the danger of viewing your skills in narrow contexts (such as your current job); controlling your narrative as you change roles; or simply, asking your boss “What’s keeping you up at night?” We then discuss post-retirement life, driven in part by family considerations. Yet retirement isn’t as worry free as we perceive it to be, especially when identity and career are so intertwined. One must navigate FOMO, the (perceived) loss of relevance, maintaining one’s “edge,” and yes — even for retired Goldman partners — the emotional irrationality of negative cash flow burn arising from entrepreneurship. And her advice to those currently in the grind, make sure you carve out the space to call “time out” — so that a minimum you can reflect on the trifecta of life, family, and career.
