Tu and Lei begin the podcast talking about the US IPO announcements for Pony AI and WeRide, two Chinese autonomous vehicle (robotaxi) startups. This leads to a broader discussion about autonomous vehicles and regulation in the US and China. Tu then moves on asking Lei what he knows about Windrose, the Chinese electric semi-truck manufacturer that plans to build semis in the US. Tu posits that this could be push that opens the door for more Chinese players to mannufacture in the US. Tu then speculates that should Kamala Harris win the election she may want to develop her own set of policies toward Chinese EVs, specifically on the manufacturing in the US side. Tu brings up a post in his newsletter about battery pricing below $100 in China where OEMs can build EVs profitably. Tu closes out the show with his brief experience riding in a Lucid Air Sapphire and it's absolutely ridiculous acceleration. All Business. No Boundaries. Criteo, a French adtech company, listed on Nasdaq in 2013. Edouard Lassalle joined in 2012 to prepare the company for the IPO, and later served as head of Investor Relations for the company until 2022. One of the topics that comes up at an early stage during IPO preparation is the choice of listing location. In earlier episodes, we have heard from tech executives at Wise, DeliveryHero, OVHCloud and Exclusive Networks why they decided to list in Europe. Today, we look back at the 2013 US IPO of Criteo. Criteo was founded in 2005 and backed by leading VC investors such as Elaia, Index Ventures and Bessemer, with a global customer base. In 2013, the company was listed on Nasdaq, raising $280mn to fund its growth. Edouard Lassalle joined the company in 2012 to prepare the company for the IPO, and later served as head of Investor Relations for the company until 2022. Edouard shares with us his list of pros and cons of a US vs European listing for a European tech company, as well as considerations around the different characteristics of US and European markets, and the impact is has on the company. In this discussion, Fandy Cendrajaya, Founding Partner of Kopital Ventures, and Jeremy Au talked about three main themes: 1. Indonesia Bear vs. Bull Market: Fandy talked about Indonesia's evolving market sentiment from the bullish 2020-2021 to the more cautious investor sentiment in from 2022 to 2024. He shared the importance of being realistic in comparing Indonesia vs. benchmark startups in larger markets like India, China, and the US. He also explained the nuances of the local tech ecosystem across commodity-based growth, consumer-driven trends, and localization requirements. 2. Founding Kopital Ventures: Fandy described building Kopital Ventures with his cofounder who shared the same vision and complementary skill sets. He explained their LP fundraising approach by emphasizing their seed-only investments without follow-on funding, allowing them to collaborate with other VCs. 3. Tough Startup Exits & Strategy: Fandy emphasized the scarcity of significant exit opportunities for startups in Southeast Asia, which affects how VCs should both invest and counsel their portfolio companies. He talked about the IPO and stock performance of startups GoTo, Grab, and Bukalapak on the Indonesia Stock Exchange (IDX), and how this local listing approach contrasts with the US IPO strategy. He underscored why founders should therefore be more thoughtful and agile in their exit strategies, thus setting benchmarks for valuations and investor expectations better. Jeremy and Fandy also discussed the importance of looking at company valuation comparables, the nuances of angel investing, and the significance of empathy in working with founders. 0:00 Intro.1:37 Start of interview.3:03 Francine's "origin story". She grew up in Chicago and graduated from Purdue in accounting but "she hated it." She began in internal audit at Chicago's Continental Illinois National Bank and Trust. She later worked with KPMG/BearingPoint in the early 1990s. She also worked at JP Morgan where she focused on Y2K risk. Post Sarbanes Oxley she worked at PricewaterhouseCoopers LLP until 2006. She then pivoted as an investigative reporter and feature writer. At MarketWatch, and for The Wall Street Journal and Barron's, McKenna reported on public company accounting, fraud and financial investigations, and the potentially dubious financial reporting practices of pre-IPO companies. She also started teaching at different universities. She has now joined full-time as a Lecturer at University of Pennsylvania Wharton Business School.17:53 On Ernst & Young's $100 million penalty by the SEC for employees cheating on CPA ethics exams and misleading investigation. To put this case into context, it's important to understand KPMG's case from 2019 ($50 million penalty by the SEC). Note this teaching case study on the KPMG/PCAOB scandal.24:50 Criminal convictions in KPMG case.26:01 EY's role in misleading the investigation of the SEC.31:38 On KPMG receiving its largest UK fine (£14.4M) for providing false information about its audits of Carillion and Regenersis. On why the "Big 4 Audit Firms" are "Too Big to Fail."33:16 What's really going on with the Big 4 audit firms? Audit services vs consulting services. "When there is tension between professionalism and commercialism, [the latter] will always win out." "You cannot restrain the heartless except via enforcement."37:50 On lessons for directors in frauds of private companies. "I use Theranos as a warning case for students in accounting: it's the canary in the coalmine in case the audit profession doesn't evolve." There were three audit firms involved in the Theranos case: EY at the beginning but then walked away, then KPMG until they had a dispute about stock option valuations (staying only to do consulting), and PwC did forensic work winding down the company. None of them audited the firm, they only provided services. "They [the audit firms] made more money, with less liability, by providing other services [actively choosing not to provide auditing services.]" "Private companies avoiding going public [the deeper scrutiny] is the shape of things to come." How the JOBS Act stripped away some of the scrutiny over emerging growth companies [EGCs]. Some, like SEC Commissioner Hester Peirce, are in favor of this lighter regulatory approach.47:22 On whether unicorns require a stricter regulatory framework. "We are seeing this [laissez-faire] attitude to the max in the crypto industry."50:00 On whether Sarbanes Oxley had a negative effect on the US IPO market. "We should not have marginal/shady companies in the public markets." On the negative effect of relaxing the rules in the JOBS Act. "We should be talking about the quality of companies, not the quantity of listings."55:26 On the difference between valuations (in private companies) and marketcap (in public companies). "I'm a big believer in the power of short sellers and activist investors to highlight [price inefficiencies and fraud] because they put their money where their mouth is." "The SEC has been very disappointing in both Republican and Democratic administrations in terms of actually calling accounting fraud by its name." On the role of whistleblowers.01:04:02 On the rise (and increasing political polarization) of ESG. "I'm cynical towards it, firms are looking to get a piece of clients' wallets." "The trend first emerged in Europe with firms providing side audits like carbon emissions." "My head is tainted with the idea that it's all a big marketing ploy." The audit mandate in the proposed SEC's climate change disclosure rules. On the proxy proposals (like Exxon's) and greenwashing.01:10:28 - Three books that have greatly influenced her life: Siddartha, by Hermann Hesse (1922)The Road Less Traveled, by M. Bloomberg:〈Rising Inflation Will Force the Fed's Hand〉(通貨膨脹率上升,將迫使聯準會採取行動) 聯準會創造了歷史上最大的金融泡沫,但油價的上漲,將必需從根本上重新思考貨幣政策。 ●倫敦金融時報:〈No, inflation isn't back ,At least not yet.〉(不,通貨膨脹沒有回來,起碼還沒有) ●CNBC:〈This metric suggests there's an economic boom ahead — and possibly inflation〉(該指標表明,未來會有經濟繁榮—但也可能夾帶通貨膨脹) 分析解讀 2020年即將離去,疫情尚未遠離,通貨膨脹陰影卻已隱隱成型。 國際媒體相關報導 ●倫敦金融時報:〈Global tech, emerging markets and pandemic uncertainties: opportunities and risks in 2021. Investment bosses at some of the world's biggest asset managers look ahead〉(全球科技、新興市場和疫情的不確定:2021年的機遇與風險。 ●CNBC:〈A new global arms race in digital finance is heating up〉(一個新的全球數位金融軍備競賽正在升溫) 超過80%的中央銀行都在探索自己的加密貨幣。 比較明顯的就是微軟(MSFT.US)、谷歌(GOOG.US)、蘋果(AAPL.US)、臉書(FB.US)等,每年回購幾千億美元的股票,併購數十家企業。 Powered by Firstory Hosting
