Introduction December 27th brings sudden urgency—just four days remain to implement critical year-end financial strategies that could save thousands in taxes, reduce portfolio risk, and position retirement accounts for 2025 success. Most people spend more time planning vacations than reviewing their largest asset: their retirement portfolio. But the market’s strong multi-year run has created hidden dangers in 401(k) accounts, particularly for those approaching retirement who haven’t rebalanced in years. In this episode of The Tom Dupree Show, Tom Dupree and Mike Johnson provide an essential year-end checklist covering portfolio drift, account consolidation, tax-smart charitable giving, target date fund dangers, and fraud protection as scam season intensifies. Portfolio Drift: The Silent Risk Multiplier What Five Years Did to Your 401(k) If you established a 60/40 portfolio (60% stocks, 40% bonds) five years ago and never rebalanced, you’re sitting on dramatically more risk than intended. “If you had a 60-40 split in 2020, today you’re at about 76% stocks if you’ve made no changes,” Mike Johnson explained. “And your account’s worth 20 or 30% more, so there’s more dollars at stake, at risk.” The drift problem: Stocks outperformed bonds over five years Your stock allocation grew from market gains Total account value increased substantially Risk exposure multiplied Example: $500,000 in 2020 (60% stocks = $300,000) is now $650,000 with 76% stocks = $494,000 in equities. Your stock exposure grew 65%. S&P 500 Concentration Risk “About 40% of the S&P 500 is allocated to tech and high multiple stocks,” Mike noted. “If it’s been on autopilot, now is as good a time as any to look at it critically.” Market Corrections Are Inevitable “On average, every year you have a 10% drop in the market. That’s just the cost of admission,” Mike explained. “We had one back in April—it was closer to 20%. You were looking at 40, 50% drops in some things.” “A lot of people have forgotten how—and even that they should—play defense, especially when you’re getting close to retirement,” Mike cautioned. Year-end action: Check your actual allocation today. If stocks exceed your risk tolerance, rebalance before December 31st. Account Consolidation: Simplify Now The Multiple Account Problem “People’s thinking is, if I have this account over here and this account over here, I’ve got more money,” Tom observed. “When they consolidate those accounts, every one of those five pieces put together as one is gonna get managed better.” Hidden Costs of Scattered Accounts “It’s really hard to track performance if you have multiple accounts,” Mike explained. “It’s much simpler, much more accountable when it’s all consolidated together.” Problems with scattered accounts: Impossible to track overall performance Multiple RMD calculations Complex tax reporting Higher fees (missing breakpoint discounts) Poor overall portfolio coordination Mike’s consolidation benefits: “Proper investment to reach your goals, performance tracking, tax reporting, tax planning, and possible discounts on fees.” Year-end action: List all retirement accounts—schedule consolidation to simplify 2025 RMDs and reduce fees. Tax-Smart Year-End Strategies Strategy 1: Gift Appreciated Stock “Let’s say you give $10,000 a year to charity. You can gift those appreciated shares of stock to the organization,” Mike explained. “You can put that money right back into your brokerage account and reinvest it. You could even repurchase the same stock.” The double benefit: Charitable deduction for full market value Avoid capital gains tax on appreciation Example: Stock purchased for $4,000, now worth $10,000. Gift it, avoid $6,000 capital gain, use the $10,000 cash to buy it back. Strategy 2: Qualified Charitable Distribution “If you’re of the age where you have required minimum distributions, you can do a qualified charitable distribution,” Mike explained. “If you gift the RMD straight to the charity, it never flows through as taxable income to you.” QCD advantages: Counts toward RMD requirement Reduces adjusted gross income Lowers Medicare premiums Reduces taxes on Social Security Works even if you don’t itemize Year-end deadline: Execute stock gifts or QCDs before December 31st to count for 2024 taxes. The In-Service Rollover: Plan Three Years Ahead Act at Age 59½—Even While Working “At 59 and a half, you can do what’s called an in-service rollover,” Mike explained. “Even if you’re still employed and working, you can move over the balance of your 401(k) to an IRA and invest it more specifically for your situation.” The Three-Year Retirement Transition “Let’s say you’re 59 and a half and planning on retiring at 62. You can do that rollover, get the funds invested into an income-producing portfolio,” Mike detailed. “While you’re working, that income just reinvests back in. But when you hit 62, that portfolio’s already in place, it’s already working, and literally it’s linked to your checking account.” Tom emphasized the benefit: “It makes the retirement process more comfortable because you’re not leaving work and at the same time coming in brand new, getting comfortable with our investment approach. You’ve planned for it.” The seamless transition: Portfolio established 2-3 years before retirement Dividends reinvest while still working At retirement, switch to income payout mode No adjustment period or uncertainty Year-end action: If age 59½+, investigate in-service rollover options. Target Date Funds: Hidden Dangers The Collective Investment Trust Problem “52% of the assets in target date funds—over $2 trillion—are now in collective investment trusts,” Mike reported. What makes CITs dangerous: “A collective investment trust—they’re not required to register with the SEC,” Mike explained. “They don’t have to report, as transparently, all the internal fees. And they’re allowed to hold more illiquid investments inside of them.” The Blue Rock Disaster “There was a private real estate fund—the Blue Rock Total Income Fund,” Mike detailed. “The net asset value when it was private was about $24 a share. They decided to go public. The fund closed the day it went public at $14.70.” Investor loss: 39% immediately when real market pricing was revealed. “The NAV was bogus. It was totally bogus,” Mike concluded. The Vanguard-TIAA Annuity Trap “Vanguard announced they’re partnering with TIAA, and the target date fund automatically enrolls the investor in an annuity,” Mike reported. “What they’re hoping is that these people that have been on autopilot for 40 years—they’re not gonna change from being on autopilot at year 41,” Mike explained. “It’s just gonna automatically roll into these annuities. This is a money grab to keep the assets locked in.” Why Dupree Financial Group Avoids Them “We don’t use target date funds. We don’t like what the target date fund does to the client’s return,” Tom stated. “It’s about having all your money in one spot the day you retire. That money doesn’t need to be in one spot. It needs to be growing and throwing off dividends.” Mike: “The target date’s all based on historical averages. It doesn’t take into account what’s going on in the market or your situation.” Year-end action: If in a target date fund, research what’s actually inside it before the “glide path” continues. Year-End Fraud Alert: Peak Scam Season The January-February Surge “This time last year, at the first of the year, was one of the biggest fraud pushes that we’ve seen,” Mike warned. “As we get close to the end of the year, be diligent and protect yourself.” Sophisticated Team Operations “These fraudsters are very convincing. They sound like us. They sound like an advisor,” Mike explained. “They’ll bring somebody onto the line. They’ll keep people on the line for three hours. They’ve gotten used to handling objections.” Real Client Losses “We heard two in a row from our clients—older women, same amount: $10,000 each,” Tom recounted. “One woman could afford it. The other one really couldn’t.” The Defense Strategy “The first line of defense is you, the client,” Mike stated. “If you have something that pops up on your screen—don’t click there. If somebody calls—call somebody. Call a trusted person. If you’re a client of ours, call us. But do not take action on any of these things.” Critical warning: “Do not verify within their ecosystem. They say, ‘We’ll let you verify,’ and then they transfer you. Par notikušo Austrālijā uzklausām Olgu Nemirovsku, kura jau 30 gadus dzīvo Bondai pludmales tuvumā. Asinsdzīres pludmalē Sidnejas Bondai pludmale ir viena no iecienītākajām Austrālijas atpūtas vietām un arī tūristu apmeklēts objekts. Apkārtējos rajonos dzīvo daudzi Sidnejas ebreju kopienas locekļi, un Bondai pludmale ir vieta, kur ik gadus decembrī astoņas dienas norit Hanukas, tradicionālo ebreju svētku, svinēšana. Šogad svētku sākums iekrita 14. decembra pievakarē, un tobrīd Bondai pludmalē bija pulcējušies apmēram tūkstotis cilvēku. Ar automašīnu, kuru rotāja t.s. Islāma kalifāta karogs, pie pludmales ieradās tēvs un dēls Akrami – piecdesmit gadus vecais Sādžids, ieceļojis no Indijas 1998. gadā, un viņa Austrālijā dzimušais atvase Navīds, 24 gadus vecs. Abi bija bruņoti līdz zobiem – viņiem līdzi bija pavisam seši šaujamieroči, visi Akrama vecākā legāli iegādāti. Automašīnā vēlāk tika atrasti arī vairāki pašdarināti spridzekļi. Izkāpjot no mašīnas, abus pamanīja gados vecāks ebreju pāris – Sofija un Boriss Gurmani. Mēģinot aizturēt bruņotos vīrus, laulātie draugi tika nošauti. Viņi kļuva par pirmajiem 14. decembra terorakta upuriem. Tad, izvietojušies uz viena no gājēju tiltiņiem pie promenādes, tēvs un dēls sāka šaut uz Hanukas svētku dalībniekiem. Pēc brīža Sādžids Akrams devās tuvāk pludmalei, un te viņam ar kailām rokām uzbruka augļu tirgotavas īpašnieks Ahmeds al Ahmeds, starp citu, 2006. gadā Austrālijā ieceļojis islāmticīgs sīrietis. Viņam izdevās atņemt šāvējam ieroci, taču Akrams vecākais atgriezās uz tiltiņa, kur paķēra nākamo šaujamo un līdz ar dēlu turpināja savu asisnsdarbu. Ahmeds al Ahmeds tika sašauts rokā, savukārt Reuvens Morisons, kurš mēģināja kavēt teroristus, metot uz viņiem akmeņus, – nošauts. Līdz brīdim, kad notikuma vietā ieradās policija un neitralizēja šāvējus, tēvu Sādžidu nogalinot uz vietas un dēlu Navīdu smagi ievainojot, abiem izdevās nogalināt pavisam 50 cilvēkus, tai skaitā 10 gadus vecu meitenīti un 87 gadus veco holokaustā izdzīvojušo Ukrainas ebreju Aleksandru Kleitmanu, un vēl 39 ievainot. Nozieguma motīvi ir nepārprotami – antisemītisms un islāma radikālisms, kuru, iespējams, uzkurinājusi pašreizējā Izraēlas un Gazas konflikta rezultātā pieaugusī spriedze Austrālijas ebreju un musulmaņu kopienu starpā. Kā tagad atklājies, 2019. gadā Navīds Akrams nonācis Austrālijas izlūkdienesta uzmanības lokā, taču toreiz secināts, ka viņš nav sabiedrībai bīstams. Sādžids Akrams līdz šim nav radījis nekādas aizdomas nedz varasiestādēm, nedz apkārtējiem līdzpilsoņiem. Gandrīz visu novembri tēvs un dēls pavadījuši Mindanao salā, kas ir Filipīnu musulmaņu kopienas mājvieta un kur ar t.s. Islāma kalifātu saistīti kaujinieki 2017. gadā vairākus mēnešus pretojās valdības karaspēkam. Dancis pa trim Berlīnē Pagājušajā svētdienā un pirmdienā (14. un 15. decembrī) Vācijas galvaspilsētā risinājās kārtējais sarunu raunds, kur galda vienā pusē bija jau ierastie prezidenta Trampa īpašie pārstāvji Stīvs Vitkofs un Džareds Kušners, bet otrā – Ukrainas prezidents Volodimirs Zelenskis, Ukrainas galvenais sarunvedējs Rustems Umerovs un arī Vācijas kanclers Frīdrihs Mercs. Sarunu otrajā kārtā minētajiem pievienojās visai reprezentatīvs Eiropas politisko līderu loks, tā uzskatāmi demonstrējot Eiropas apņēmību arī turpmāk stingri balstīt Ukrainu tās pretstāvē impēriskajam agresoram austrumos. Noslēguma paziņojumu pirmdien Berlīnē parakstīja Vācijas, Dānijas, Francijas, Itālijas, Nīderlandes, Norvēģijas, Polijas, Zviedrijas un Lielbritānijas valdību vadītāji, kā arī Eiropas Komisijas prezidente un Eiropadomes prezidents. Dokuments ir atvērts arī citu valstu apstiprināšanai. Publiskotā informācija liecina, ka Berlīnē panākts vienots redzējums starp amerikāņiem un eiropiešiem par drošības garantiju modeli Ukrainai. Tas paredz, ka miera laikā Ukrainas bruņoto spēku lielums ir 800 000 militārpersonu, un Eiropa turpina sniegt Kijivai visa veida militāro, drošības, kā arī diplomātisko atbalstu. Pie tam paredzēts, ka starptautiski militārie spēki, kuru kodolu veidotu t.s. „Gribas koalīcijas” valstis, kā drošības garants tiktu izvietoti Ukrainas teritorijā. Savienoto Valstu primārā funkcija būtu uguns pārtraukšanas kontrole un, kā tas definēts, „miera atjaunošana” karadarbības atsākšanās gadījumā. Gluži lieki piebilst, ka šāds modelis diezin vai gūs atsaucību Maskavā, kas līdz šim kategoriski iebildusi pret jebkādu NATO valstu militāro klātbūtni Ukrainā. Un, protams, joprojām neizkustināts ir agresorvalsts sarunu procesā ieripinātais klupšanas akmens – prasība bez cīņas atdot tai daļu Ukrainas teritorijas. Pirmdienas Eiropas līderu paziņojumā pausts, ka vienīgais subjekts, kas var lemt Ukrainas teritorijas likteni, ir Ukrainas tauta brīdī, kad ir iedarbinātas reālas drošības garantijas, kā arī, ka starptautiski atzītas robežas nav maināmas ar spēku. Ne mazāk komplicēts ir jautājums par turpmāko finanšu atbalstu Ukrainai. Berlīne stingri aizstāv ideju, ka Kijivai piešķirams vairāk nekā 200 miljardu eiro aizdevums, izmantojot garantijai Eiropā iesaldētos Krievijas Centrālās bankas līdzekļus. Uz tiem, kā zināms, metis acis arī Donalds Tramps, vēloties vismaz daļu no tiem ieguldīt īpašā Ukrainas atjaunošanas fondā, kura darbībā izšķiroša loma būtu Vašingtonai. Kanclers Mercs jau kritiski izteicies par šādu iespēju, bet Baltais nams, kā izdevumam „Politico” paudis kāds vārdā nenosaukts augsta ranga Eiropas amatvīrs, liekot lietā pamatīgu spiedienu uz vairākām Eiropas valdībām. Līdz ar Beļģiju, kura kā iesaldēto līdzekļu galvenā glabātāja līdz šim iebildusi vispamanāmāk, kā arī Kremļa ierastajiem „sapratējiem” Ungāriju un Slovākiju, iebildes šobrīd paudušas arī Itālija, Bulgārija un Malta. Savukārt jaunais Čehijas premjerministrs Babišs paziņojis, ka viņa valsts neuzņemsies nekādas saistības šai sakarā. Izšķirošā Eiropadomes sēda Briselē paredzēta rīt, 18. decembrī. Pretmetu cīņas iznākums Čīlē Svētdien, 14. decembrī, notikušo Čīles prezidenta vēlēšanu otro kārtu var nodēvēt par pretmetu cīņu. Vēlētājiem tika piedāvāta izvēle starp ultrakonservatīvu katoli un neoliberālas ekonomikas piekritēju Hozē Antonio Kastu un Čīles Komunistiskās partijas pārstāvi Žanetu Haru. Tūdaļ gan jāsaka, ka Žaneta Hara pārstāv plašu kreisi centrisku koalīciju „Vienotība Čīlei”, kurā bez komunistiem ietilpst vesela virkne citu politisko spēku, sākot ar kreisi centriskajiem sociālistiem un liberāļiem, beidzot ar izteikti centriskajiem kristīgajiem demokrātiem. Arī viņas platformā nebija nekā radikāli kreisa, orientējoties uz sociālo garantiju, valsts veselības apdrošināšanas sistēmas un nodarbinātības veicināšanas attīstību. Tomēr, kā izrādījās, vairākumam čīliešu uzrunājoša bija labējā kandidāta Kasta programma ar akcentu uz nelegālās imigrācijas un noziedzības apkarošanu. „Čīlei vajag kārtību!” bija viens no jaunievēlētā valsts galvas pamatlozungiem. Jaunajā Čīles līderī nav grūti saskatīt vēl vienu „mazo Trampu”, līdz pat tādām detaļām kā aizsargbarjeras būvniecība pie ziemeļu robežām. Vēl viens Žanetas Haras zaudējuma iemesls ir tas, ka viņa asociējas ar iepriekšējo – diezgan nepopulāro prezidenta Gabriela Boriča kreiso valdību, kurā viņa ieņēma darba ministres posteni. Lai arī Boriča sociālā programma tika daļēji īstenota, viņa politiskās ambīcijas cieta vairākas nozīmīgas neveiksmes, vēlētājiem referendumā neatbalstot jauno konstitūcijas projektu un valdībai nespējot politiski atrisināt konfliktu ar iedzimto mapuču cilšu kopienām valsts dienvidos, galu galā ķeroties pie militāra spēka. Jaunievēlētais prezidents Kasts, savukārt, ir pazīstams kā liels pagājušajā gadsimtā valdījušā Čīles militārā diktatora Augusto Pinočeta piekritējs; kura valdībā Kasta vecākais brālis bija ministrs. Jaunais valsts galva gan nosodījis Pinočeta laikā notikušos cilvēktiesību pārkāpumus, taču slavējis tā laika ekonomisko politiku. Var piebilst, ka monolīta atbalsta likumdevējā Hozē Antonio Kasta valdībai gan nebūs, jo parlamenta apakšpalātā viņa labējo frakcijai „Pārmaiņas Čīlei” ir tikai otra lielākā frakcija aiz pieminētā kreiso bloka, un nāksies meklēt citu spēku – mērenāk centriskā bloka „Dižā un vienotā Čīle” un populistiskās Tautas partijas atbalstu. Klimata prognozes, kas nav piepildījušās un ir devušas iemeslu skeptiķiem kritizēt klimatologu darbu. Informācija liecina, ka skepsei tiešām ir pamats. Skaidrs, ka prognozes var būt precīzākas un mazāk precīzas, var būt pavisam kļūdainas, bet svarīgs arī veids, kā ziņas nodot sabiedrībai. Nav jābrīnās, ka daļa sabiedrības kļūst skeptiska, ja pat 20 un 30 gadu senās publikācijās var lasīt tieši tādas pašas draudīgas prognozes, kā tagad. Tikai toreiz tās tika attiecinātas uz daudz tuvāku nākotni. Nākotne pienāca, draudīgās no prognozes nepiepildījās, tā vietā parādās arvien draudīgākas prognozes. Lai arī vispārīgi raugoties, saturisku kļūdu daudzos ziņojumos nav, mulsinoša ir vārdu izvēle un tonis. Tāpēc nav brīnums, ka sabiedrība ir nogurusi. Šoreiz vairāk par starptautisku organizāciju ziņojumiem, kas ar kādu noteiktu domu izplatīti pasaulē, tomēr izrādījušies greizi. Diemžēl arī daļa atbildīgu institūciju ziņojumi ir tādi, ko var saukt par biedēšanu. No vienas puses – ja prognozes vēsta nelāgas lietas, par tām ir jāstāsta, bet paskatoties, kāda ir izvēlēta vēstījuma forma, ir skaidrs, ka šādā veidā noturēt sabiedrības uzmanību nevar bezgalīgi. Piemēram pirms gandrīz 25 gadiem, 2001. gada 21. maijā, Apvienoto Nāciju organizācijas tā laika ģenerālsekretārs Kofi Annans sacīja šādi: "Globālā sasilšana uzskatāma nevis par attālām potenciālām briesmām, bet gan par vistuvākajā laikā iespējamu katastrofu." Šāda frāze, protams, ir interpretējama un uztverama dažādi, bet cilvēkam, kurš savās ikdienas gaitās daudz nesaskaras ar vides jautājumiem, 25 gadi varētu būt par ilgu, lai teiktu, ka globālā sasilšana ir "vistuvākajā laikā iespējama katastrofa". 2001. gadā publicētajā ziņā britu raidsabiedrība BBC vēl piemin, ka Kofi Annans jau iepriekš kā "neveiksmīgu" raksturojis ASV lēmumu noraidīt globālo līgumu par siltumnīcas efektu radošu gāzu izplūdi atmosfērā un paudis cerību, ka Vašingtona grozīs savu viedokli. ASV prezidenta Džordža Buša administrācija uzskata, ka Kioto vienošanās par cīņu pret globālo sasilšanu esot netaisnīga, jo uzveļot nepieņemami smagu nastu ASV ekonomikai, neiesaistot tajā jaunattīstības valstis. ASV lēmums izraisījis asu Eiropas, Japānas, Krievijas, Ķīnas un citu valstu kritiku. Tiesa, jau pēc diviem mēnešiem Krievija pati sāka atteikties no Kioto vienošanās. Tātad jau pirms 25 gadiem aina bija ļoti līdzīga pašreizējai, un arī tagad ANO turpina celt trauksmi par klimata pārmaiņu drīzu katastrofālu ietekmi uz cilvēci. Mēs redzam klimata pārmaiņas, bet vai to var saukt par katastrofu? Var jau būt, ka daļai sabiedrības tā šķiet, bet vai daļai, kas klimata pārmaiņas sevišķi neizjūt savā ikdienā, varētu šķist pārspīlēti gadu desmitiem brīdināt par drīzu katastrofu, kura tā arī nav ieradusies. Ir arī prognozes, kas nav piepildījušās. Tā paša 2001. gada jūlijā Apvienoto Nāciju Organizācijas pētnieku grupa, ko tagad mēs pazīstam ar nosaukumu ANO Klimata pārmaiņu starpvaldību padome jeb IPCC ziņoja, ka jaunākie aprēķini paredz globālās temperatūras pieaugumu līdz šī gadsimta beigām par 5,8 grādiem. No tik ekstrēma scenārija pētnieki arī ir atteikušies. Pašreizējie scenāriji paredz, ka sliktākajā gadījumā globālā gaisa temperatūra līdz šī gadsimta beigām būs 4 grādus virs pirms industriālā perioda vidējās temperatūras, bet ticamākā versija ir, ka tā būs aptuveni 2,5 grādus virs pirms industriālā perioda temperatūras.

As banks retreated from 2008, Private Credit filled in the gap. What started as a niche within private equity now operates like a global lending system. And it extends beyond corporate balance sheets, asset-based finance, the ability to lend against real, cash-generating assets is growing fast and offers countless opportunities. The real unlock isn't just capital — it's the data and technology allowing to manage these assets at scale.Granular, asset-level data enables better underwriting, continuous monitoring, and access to previously illiquid markets. In my conversation with Cesar Estrada, we explored:* How private credit replaced traditional bank lending* Why asset-backed finance is now being unleashed* How to understand the fall of Tricolor and First Brands* And how data and technology could be defining the winners in this marketA few highlights from our conversationAsset-based finance - an ever-expanding universe Asset-based finance means that instead of lending against the future cash flows of a company, you're lending against an asset and the contractual cash flows associated with that asset. That's a very broad definition, and it can include anything within, the consumer, finance world, buy now, pay later, credit cards, auto loans, student loans, any personal term loans, residential mortgages, home, equity lines of credit, the list, keeps on going on as you move outside of a consumer world into, other types of things.Any type of account receivable, supply chain financing, litigation finance, and then more esoteric stuff like, synthetic risk transfers and other things. And it's becoming very specialized by verticals: aviation finance, medical equipment finance…It has possibly a larger addressable market than direct lending. It offers a lot of runway for growth for private equity, private credit firms, hedge funds, and insurance companies participating directly in this space.The need for data feeds From a risk management perspective, given the rate of change of a consumer world, loans are being paid, new loans are being issued, loans are being not paid. You want to be monitoring this much much more real time than you do in a corporate book, where you're getting monthly reporting from the borrower and you are comparing their latest actual financials against the original underwriting thesis against prior periods. And you do that activity once a month.This is not a once-a-month thing. This is a daily thing. You want to see how it's changing because it's changing very dynamically.I was surprised that this frequency of data was even a possibility, and Cesar also added that it goes beyond risk management; it also feeds into the creation of funds for private investors with daily NAV and daily liquidity. The frequency of reporting increases, the liquidity choices increase, and the volumes and rate of change in the investment strategies increase. That all compounds to necessitate a very robust, modern technology to process all of that data.The First Brands & Tricolor questionCesar mentioned he didn't have any specifics on the situation, and when I asked about the data issue, his response from a data management provider was to be expected.It is certainly possible that better data with more accuracy and more frequency could have helped offer a view that those assets were being used as collateral with multiple lenders. […]But I wanted to dig a bit further, and at first, the response confirmed that when a crisis happens, all assets that are linked to it fall at the same time, even if in the long term, there's dispersion (like banks during the Global Financial crisis)In terms of how it happened so quickly, so abruptly. Again, pure speculation, I think that those things might have been bubbling without the public knowing for a while. But as soon as a big source of financing decides that you're no longer creditworthy, all of the other sources of financing follow suit, and it's very abrupt. You can face a liquidity challenge and go bankrupt.It reminded me that Apollo Global Management shorted First Brands' credit risk before the company's fall, showing the information asymmetry that still exists in private credit. This requires a few caveats: First Brands was more direct lending; Tricolor was more linked to asset-based finance; nothing says that Apollo had better data. I've been hoping to discuss special situations and distressed debt, one of the least hyped but most interesting areas of finance and credit for a while.Distressed debt investing requires a triple threat skillset: understanding legal frameworks, financial health, and industry landscapes.It offers unique diversification benefits, standing apart from traditional equity and bond markets, and offers relatively defined investment horizons.For all these reasons, the potential for alpha generation is significant, but it demands patience and precision.So when I got the chance to interview Dan Bird's team who's been holding senior roles in that space for over two decades, I jumped on this rare opportunity. We explore the complexity of these markets and the skillsets needed to navigate them.HIGHLIGHTSVersatility You have to look at the company, and what it's doing and determine a value. And sometimes that's specific assets and sometimes that's a stream of cash flows. Sometimes that's intellectual property.And then you need to be a management consultant. Is this business capable of turning itself around? Are industry forces too far against this company that it'll never recover? So you need a, you need a lot of different skill sets in order to be successful in this type of industry.Patience and Timing in InvestmentsWhen something in the industry changes. People are reluctant to acknowledge it. People don't like change. Everyone thinks things revert to the mean. A lot of people involved in the situation tend to have bias just because they've been involved in the situation. They tend to overvalue the ability of companies to recover.At this stage, I was thinking: “yeah, that's when you, distressed investor, must intervene.” But then Dan added:That's the most dangerous time to invest when we don't really know.Part of doing this job the right way is finding the right entry point, the right timing. It's very infrequently early.Patience does matter in terms of getting into these things. A lot of time,s that doesn't happen until very long after things start to change.On Private CreditWe also discussed the rapid rise of private credit:There's worry about some of the assets that were originated in that period. We'll have a little bit more stress. It's possible. It'll take a little while to figure that out. From my perspective, that just creates different opportunities.And I always find it insightful, or surprising, when I hear an insider's perspective on private markets:Look, some investors like private assets because they don't have to mark them to market.To a public market mindset, this is counterintuitive. It goes against the “illiquidity premium”. One famous critic, Cliff Assness, calls it “volatility laundering”. And I used to agree wholeheartedly, but my perspective has evolved. Of course, marking your own NAV creates Fundzi (fund + ponzi) opportunities. Tříminutové video Andreje Babiše, ve kterém oznámil svoje řešení střetu zájmů, ve čtvrtek večer doslova zbořilo internet. „Nevratné řešení“, kdy Babiš zaparkuje Agrofert do trustu až do své smrti, komentovali doslova všichni.„Babiš zvolil takovou formu oznámení, kterou jsme od něj mohli čekat. Žádná tisková konference, kde by musel čelit otázkám, ale pečlivě zrežírované video,“ popisuje v podcastu Lucie Stuchlíková.Podle Václava Dolejšího Babišův tým vsadil na emoce: „Babiš sugestivně popisoval, jak dlouho firmu budoval. Zakomponoval do toho rodinu, svoji smrt. A podle reakce spousty komentátorů se trefil.“O tom, jak přesně bude řešení vypadat, toho zatím víme poměrně málo. „Nepodezírám Andreje Babiše, že by svoje oznámení nedodržel. Ale důležité bude to faktické provedení - jak moc budou správci a protektoři skutečně nezávislí, jak bude ošetřeno, aby se mu už akcie opravdu nevrátily,“ myslí si Stuchlíková.Andrej Babiš tentokrát zvolil mnohem přísnější řešení, než když naposledy Agrofert převáděl do svěřenského fondu. Přesto ale střet zájmů nemůže úplně vyřešit. „Přece jen to mají zdědit děti, takže logicky bude mít Babiš zájem na tom, aby se firmám dařilo. Navíc to zřejmě nebude úplně slepý fond a Babiš ví, jaké firmy v něm jsou. A taky se najednou nesmažou všechny jeho vazby na manažery,“ dodává Dolejší.Už fakt, že Andrej Babiš takové řešení vymyslel, je vlastně výkon - a to především prezidenta Petra Pavla. „Prezident dosáhl maxima možného. Andrej Babiš nic takového dobrovolně udělat nechtěl. A to na to byl Pavel sám a v ruce měl jen zákon o střetu zájmů, děravý jako cedník,“ dodává Stuchlíková.Pavlovi pomohla ještě jedna věc: starší nález Ústavního soudu, který říká, že prezident musí střet zájmů řešit. „To byl zlom v celé věci. As Agro notes, "Every dollar we put out the door right now is costing us roughly 0.2 times underlying NAV," incentivising value maximisation before accessing additional capital.The current valuation incorporates only 2.5 million of the company's 6 million ounce resource base, excluding value attribution for 3.5 million ounces not yet in engineering studies plus underground expansion potential and district-scale exploration upside.
