Corporate Law: Inception of the CorporationWhy Choose a Corporation? The corporate form offers several advantages over other business structures. Limited liability protects shareholders' personal assets from business debts and liabilities, attracting investment and encouraging risk-taking. Perpetual existence ensures continuity even as shareholders change. Centralized management delegates decision-making to a board of directors, streamlining operations.Forming a CorporationCorporations are typically formed by filing articles of incorporation (or a certificate of incorporation) with the relevant state authority. This document includes essential information like the corporation's name, purpose, authorized shares, and registered agent. Delaware is a popular choice due to its established corporate law and court system.Limited Liability and the Corporate VeilLimited liability is a cornerstone of corporate law. Shareholders are generally only liable for the amount they invested. However, courts can pierce the corporate veil and hold shareholders personally liable in cases of fraud, commingling of funds, or disregard for corporate formalities.Corporate Governance: BylawsBylaws outline the corporation's internal governance procedures, such as director elections, board meetings, officer roles, and shareholder meetings. Bylaws are typically adopted at the initial organizational meeting and can be amended by shareholder or board vote.Capital Structure at InceptionA corporation's capital structure consists of authorized shares, which can be common stock or multiple classes with different rights. Shares may have a par value, a nominal value that is often minimal in modern practice. Shareholders become owners of the corporation by purchasing stock.Key Concepts and Exam TipsAuthorized vs. issued shares: A corporation can issue fewer shares than authorized, retaining the ability to issue more later.Preemptive rights: Shareholders may have the right to purchase a proportionate share of new stock issuances to maintain their ownership percentage.Promoter liability: Individuals acting on behalf of a corporation before it is formed may be personally liable for contracts unless the corporation adopts them.Ultra vires acts: Acts beyond the scope of the corporation's stated purpose may be challenged, although this is less common today.SummaryCorporations offer limited liability, perpetual existence, and centralized management. They are formed by filing articles of incorporation and governed by bylaws. Understanding capital structure, shareholder rights, and potential liabilities is crucial for navigating corporate law.

Send us a textCreating spaces where everyone feels safe, valued, and seen is a critical task in today's world, but inclusion has become a political battleground. Policies are being written to erase identities, restrict access, and make belonging conditional. Instead of celebrating diversity, some lawmakers and leaders seem afraid of it. The very idea of making space for all people—especially LGBTQ+ individuals—has been weaponized, leaving many wondering: How do we push forward when inclusion itself is under attack? Darrell Castle talks about the preemptive pardons of many of the Biden Family and Dr. Anthony Fauci along with the pardons by President Trump of many of their victims. Transcription / Notes PREEMPTIVE PROTECTION FROM TRUMP Hello, this is Darrell Castle with today's Castle Report. This is Friday, the 24th day of January in the year of our Lord 2025. I will be talking about pardons including the preemptive pardon of many members of the Biden family along with the pardon of many of their victims. The list of those preemptively pardoned by former President Biden included I am the science also known as Dr. Anthony Fauci. Yes, with his final act as President, Joe Biden preemptively pardoned many members of his own family none of whom had been charged with a crime. Those pardoned included brother James B. Biden, sister-in-law, Sara Jones Biden; sister, Valerie Biden Owens; brother-in-law, John T. Owens; and brother, Francis W. Biden. These family members joined first son Hunter who was pardoned in December after he was convicted of felonies and pled guilty to others. President Biden's statement included the words, “pardons should not be mistaken as an acknowledgment that they engaged in any wrongdoing.” I'm sure Joe Biden knows that acceptance of a pardon is an admission of guilt. The Supreme Court has ruled that an offer of pardon doesn't have to be accepted but if it is that is an implied admission of guilt. If it is not accepted then it is of no effect. All Biden family members accepted their pardons therefore all have admitted guilt of something. President Biden continued the lie by using the excuse that he was protecting his family from Trump but I guess on second thought that might be true by accident. Trump and his Department of Justice were definitely going to investigate the influence peddling, extortion, and bribery accusations against Hunter and the family members who received the money from Hunter and that includes the “big guy.” Using that logic then I suppose he was protecting them from Trump. In essence, he believed that Trump would do the same thing to his family that he and his family did to Trump. Quoting the former President; “My family has been subjected to unrelenting attacks and threats, motivated solely by a desire to hurt me—the worst kind of partisan politics. Unfortunately, I have no reason to believe these attacks will end.” What he describes with that quote is exactly what he did to Trump and those who supported him for several years. Yes, Biden and his government officials weaponized law in unjust ways to prosecute Trump solely because Trump had the audacity to become Biden's political opponent. Should Trump be magnanimous to the criminals in the Biden administration as I'm certain many in the Republican Party advise him to do, or should he take his office and his responsibility seriously and hold government officials accountable for their gross violations of the law leveled against innocent people. My belief is that this episode is not over by a long shot because there are steps that can still be taken and they should be taken. For example, an accepted pardon takes away the 5th amendment right against self-incrimination and therefore each pardoned individual could be questioned under oath and guilt, if any, could be at least obvious which would make many officials somewhat uncomfortable in their future lives. That is probably not true of the Biden family because they can enjoy the millions that Hunter stole for them for the rest of their lives but what about those criminals he left unpardoned. Merrick Garland, the former Attorney General of the United States, was not pardoned along with the entire group of criminals who worked at the Department of Justice along with the very corrupt group of criminals at the FBI. Paul Craig Roberts, in his commentary entitled, “Biden Pardons His Crime Family and Trump Pardons Its Victims” said that Biden pardoned convicted murderers on...

Today's show opens with a demonstration on how Democrats have no core values and will only espouse whatever is politically expedient in the moment. Today's illustration comes from comparing the comments of four years ago to where we are today. By the way, the last time I checked, the Constitution hasn't changed in the last four years. It seems the Democrats went out of their way for weeks on end, telling us that preemptive pardons are a gross misuse of the Presidential pardon power and granting them means the recipients are guilty of committing crimes. But, magically, four years later, it doesn't mean that at all and is totally within the bounds of the president to offer. Yet, there are many players on the Left who were left out of Biden's circle of protection. It will be interesting to see what happens to them and the in-fighting that may result. Donald Trump was busy on his first day, signing around 200 Executive Orders, most of which reversed the bad policies of the Biden era. While doing so, he also spoke freely to the press, bouncing around the room and jumping from topic to topic with ease. Some of his other accomplishments include removing us from the WHO, establishing there are only two recognized sexes within the federal government, put a pause on all foreign aid and ICE is busy executing their deportation mission. Moreover, Trump has opened up his war on the Deep State by the revocation of clearances to the 51 spies who lied. He wasn't kidding when he said he was ready to hit the ground running on day one. Finally, as we discuss “Day One,” Fox's Peter Doocy asked Trump if he was really a dictator for only one day? With a contemplative look, he said, “No.” He said he has too much respect for the election and the people who voted. It's a definite change in tone from when he was Trump 45 to where he is now as Trump 47. Please take a moment to rate and review the show and then share the episode on social media. Individuals who risk prosecution under the incoming Trump administration could receive preemptive pardons. President Joe Biden said he was considering issuing pardons like this in order to shield key figures from prosecution. Biden demonstrated a novel use of pardons like this when he granted his son, Hunter Biden, a pardon for any potential crimes committed between January 2014 and December 2024. The president has been pressed to give similar pardons to others, although he has not fully committed to doing so.

On Tuesday's Mark Levin Show, we bring you the Best of Mark Levin. We are on the precipice of a grave Constitutional crisis. Preemptive pardons by President Biden could be the most egregious assault on our constitutional system yet. A preemptive pardon corrupts the language as it corrupts the law. If Biden does this there would be no choice but to impeach him. The purpose wouldn't be to remove him from office - it's the process that should be triggered to make it clear that what he's doing is a high crime. Also, Syria collapsed in record time. Why? President Biden said it was thanks to him. Biden is as dishonest as they come. Iran is in a much weaker state right now thanks to Benjamin Netanyahu and Israel, not Biden. Afterward, there is a big misunderstanding of the 14th Amendment and birthright citizenship. The 14th Amendment doesn't say that all persons born in the U.S. are citizens. There's nothing in the Constitution that enshrines birthright citizenship. Finally, there were guns, ammo, and terrorist flags found inside the home of 2 Students for Justice in Palestine leaders and there's no news about it. For the media and some in the culture - death to the Jews has been accepted.   Learn more about your ad choices. Visit podcastchoices.com/adchoices

This week on Ring of Fire! As he prepares to leave the Senate, and possibly American politics as a whole, Republican Senator Mitt Romney offered a warning to America: You don't get to complain if Trump does what he said he will do. There is a lot of apprehension around the country right now as people reel from the thought of Trump's economic policies, but Romney reminded us that Trump was very clear about what he was going to do, so we have no rooms to complain. Vermont Senator Bernie Sanders urged President Biden to seriously consider issuing some preemptive pardons to the people that Donald Trump is threatening to go after once he returns to office. Sanders made the comments during an appearance on CNN this past Sunday, while adding that Trump's rhetoric is making him sound like a “tinpot dictator.” Preemptive pardons could be risky, but it may be a risk worth taking. Judge Juan Merchan this week made the decision that Presidential immunity does NOT cover the crimes for which Donald Trump was convicted in New York. The day after the decision, Trump got on Truth Social and had the meltdown of all meltdowns, ranting that the judge was “psychotic” and throwing a massive tantrum. But Merchan made the right call on this matter. Marjorie Taylor Greene managed to unite both the Right and the Left this week when they joined forces to ridicule her relentlessly after she went full anti-vaxxer on Twitter. Greene proclaimed that she fully believes that vaccines cause autism in spite of the mountain of evidence that has not once found a single link between the two. She even earned a massive fact check from Twitter (X) itself on top of the ridicule that she experienced. All that, and much more, on this week's Ring of Fire Podcast!

The purpose wouldn't be to remove him from office - it's the process that should be triggered to make it clear that what he's doing is a high crime. Also, people say that this election was about the middle class – no it wasn't. This election was about we the people vs them. When you steal our bill of rights your income doesn't matter. Later, Sen Joni Ernst is leading the campaign against Pete Hegseth. So much of what's being said about Hegseth are lies. He'd be a great Secretary of Defense and that's why they want to stop him. We cannot allow a handful of Republican Senators to sabotage Hegseth's nomination. Finally, Daniel Penny has been treated unfairly, especially after the fact that he saved people on a subway train. New York City is not safe, and it's so bad that there are many people getting hurt, killed, robbed, and attacked. The state of the city is in ruin because of the crack-pot leadership which is the Democrat party.  Learn more about your ad choices. Visit podcastchoices.com/adchoices
