Introduction Recently, during a trip to San Francisco, I witnessed a family, awestruck, stepping out of a driverless car—a vivid reminder of the city's dual realities. On one hand, San Francisco remains a global tech hub, a gleaming symbol of neoliberal capitalism's promise of innovation. On the other, the glaring failures of this same system are evident in the staggering number of unhoused people lining the streets. Walking into a McDonald's, I was struck by the ubiquity of automated kiosks and mobile apps, making the labor force practically invisible. While many on the left celebrate labor victories at Starbucks, the struggles of fast food workers remain underemphasized. The "Fight for 15" campaign—a demand that would still leave workers in poverty in cities like San Francisco—highlights the grim reality. Although California's minimum wage is higher, 20 states still cling to the federal minimum wage of $7.25. The specter of automation is wielded as a fear mongering tactic, used to suppress labor demands, but this is a decades-old strategy to prevent worker solidarity. As Alex Park argues in his article for *Jacobin*, **"Raise Wages? No Need—McDonald's Is Hiring Inmates Instead"**, the fear of robots replacing workers is a distraction from neoliberal capitalism's deeper exploitations. Park writes: > "In Toronto, the salad and smoothie chain Freshii came under fire two years ago for outsourcing order-taking to workers in Nicaragua, beamed to customers through a video conferencing system." This practice, while momentarily halted, continues in other forms, with companies like Happy Cashier exploiting virtual labor from the Global South. Park also raises the specter of child labor, a grim reminder of how low-wage industries exploit the most vulnerable. According to the Economic Policy Institute, cases of child labor violations in fast food have more than tripled from 2015 to 2022. Meanwhile, states like Alabama are passing laws to weaken child labor protections, legalizing what is already happening under the radar. The reality is that automation, child labor, and even prison labor aren't inevitable byproducts of technological progress. They are deliberate strategies under neoliberal capitalism to drive down wages and weaken worker solidarity, ensuring the continuous extraction of profit from marginalized labor. This week we saw two major acquisitions to close out the year, Freshii was acquired by franchisor Foodtastic and Rusty Taco was acquired by Gala Capital, sold off from Inspire Brands' portfolio.After closing dozens of restaurants over the past couple of years, struggling Canadian fast-casual chain Freshii is being acquired by restaurant franchisor Foodtastic for $2.30 per share or $74.4 million. The all-cash acquisition of the struggling healthy food concept is expected to help grow and improve the profitability of Freshii.On the other hand, Dunkn' and Sonic Drive-In parent company Inspire Brands announced Monday the sale of fast-casual brand Rusty Taco to Californian private investment firm Gala Capital Partners. The terms and price of the brand's acquisition were not disclosed, though the Rusty Taco management team, including president Brendan Mauri, invested in the acquisition and will also stay onboard as part of the team.Inspire Brands initially acquired a controlling interest in Rusty Taco in 2018 as part of its purchase of Buffalo Wild Wings and grew the brand 50% over the past four years.Now let's hear more from senior editor Joanna Fantozzi.

We start this week's episode of Work Stoppage with some tough news, as the organizing drive at the LDJ5 facility by the ALU was defeated 62%-38% in their election. The same week, OSHA refused to do anything to Amazon after they murdered six of their workers in last year's tornado, while at the same time Amazon has now dropped any covid protections for their workers. Meanwhile, Delta is feeling the heat from the ongoing organizing efforts among their flight attendants, announcing new benefits to try and head off the surging union support. We also discuss the continuing fight for independent unions in Mexico, where another auto parts plant has voted to throw out the old company union and replace it with a worker led one. Canadian chain Freshii's has been testing a pilot program where they replace their cashiers with remote workers in the Global South in order to evade Canadian labor law and profit from superexploitation. A general strike paralyzed Sri Lanka last week as workers demand the resignation of the current government, which has responded to their economic crisis by slashing state services. Workers at a store in Atlanta have filed for the first NLRB election by Apple workers, with several more stores across the country hot on their heels. Finally, the Starbucks victories don't stop rolling in and it's getting hard to keep track when there have been over 20 elections since our last episode. Guest: Jacob Lorinc, business reporter Want a smoothie with a side of outsourcing? That's what customers are seeing at several Freshii locations in Ontario. Instead of a regular cashier, a virtual customer service agent takes your order before actual staff in the restaurant prepare it. Called Percy, a virtual cashier is based in other countries, like Nicaragua or Pakistan, where they earn much less than Ontario's minimum wage. On June 28, 2018, the Pender Value Fund turned five. In the last of this three part series, David Barr and Felix Narhi, co-managers of the Fund, look back on the investment strategies and how they translated into some of the better ideas in the Fund. They discuss various holdings, their original investment theses, how they played out and ultimately, what they learned that they can use to drive future investments in the Fund. Freshii, a Canadian-based ‘health casual’ restaurant chain, was founded in 2005 with the simple mission of making it convenient for people to eat healthy food. Today, they’re bringing that mission to life across the globe, with over 300 locations in over 20 countries. We had a chance to speak with Melissa Gallagher, their VP of Marketing, about how they have built a consistent brand and guest experience while going through explosive growth. How quickly have they grown? To put it in perspective, Freshii opened their first 200 restaurants faster than global brands like McDonald’s, Subway, and Domino’s – and they plan on continuing that momentum.
It's a funny thing to think you're doing something totally clever and unique, and then run into someone who has been doing the exact same thing for almost 20 years except much, much better. You'd think that you'd feel threatened or maybe get this sense that you're not doing enough, that you're totally behind... but that's not what happened to me when I met Brad Nathan. Instead, I found an example of someone I really want to be like when I grow up.Brad is the founder and CEO of Lynx Equity. They acquire established small businesses from retiring owners who make an EBITDA in the range of $750,000 - $2,000,000, using a vendor take back model. They started in the Toronto area with three small deals on the back of a capital raise, and have since grown it to a family of operations with over 40 entities earning $25 million EBITDA annually on consolidated revenue in excess of $325 million, funded by $125 million in capital sourced everywhere from high net worth families, institutional investors and pension funds. Oh yeah, there was that little bump in the road along way where Brad was so broke he couldn't even afford to pay his hot water bill. But the numbers aren't everything, they're a result. He got here by focusing on PEOPLE. Listen in as we discuss details on what it really means to humanize the business of mergers and acquisitions, the qualities one needs to possess to have a long run in this industry, what to look for in a seller, how to be patient, to follow your heart and make yourself invisible to the competition. Oh and I think there was a story about a Mexican Fisherman in there somewhere too. In this episode, Tracey is joined by Eric Dutram, Zacks ETF strategist and editor of the Surprise Trader and ETF Investor portfolios, to discuss one of Tracey’s favorite topics: the restaurant chains. Tracey is always getting asked on Twitter: “Who’s the next Chipotle?” Chipotle (CMG) went public in January 2006. If you bought it at the IPO, you’ve seen a 888% return. Not too shabby. Starbucks has had an even more amazing run, though. Since its 1992 IPO, shares have jumped 17,290%. Restaurant stocks can be a lucrative investment, if you guess right. Who’s on Tracey’s and Eric’s radar as possible contenders for Chipotle’s throne? There are plenty of good restaurant chains that aren’t yet public. Some of their favorites include Panda Express, Blaze Pizza, and the “good for you” chains like Protein Bar, Toronto-based Freshii, Lyfe Kitchen out of Memphis and Sweetgreen, which has 40 restaurants nationwide and the backing of some of the big names in the restaurant industry including Shake Shack’s founder. These are companies you should keep an eye on for possible IPOs so you can get in on the ground floor if they do go public. With companies that are already public, there are a lot of smaller restaurant chains that could be the “next” Chipotle. Tracey likes Fiesta Restaurant Group (FRGI), but only for one of its brands, and El Pollo Loco (LOCO), the Mexican fire-grilled chain out of California. Eric chats about some surprising names including Fogo de Chao (FOGO), the Restaurant ETF (BITE) and a chain that has only 2,000 restaurants but which has room to expand much, much more. “A master in the art of living draws no sharp distinction between his work and his play; his labor and his leisure; his mind and his body; his education and his recreation. He hardly knows which is which. He simply pursues his vision of excellence through whatever he is doing, and leaves others to determine whether is he working or playing. To himself, he appears to be doing both.” - Francois Rene August, Vicomte de Chateaubriand This is the quote Nick Seddon wrapped up the podcast with and is an embodiment of how Nick lives his life. Nick comes from a successful soccer pedigree; he played professional soccer for two seasons with the Vancouver White Caps. Nick knew that soccer was not going to be an end point for him and so he attended dental school at University of British Columbia. Today he is a cosmetic dentist with two practices, one in North Vancouver the other in downtown Vancouver. I met Nick this summer after he finished the Whistler Grand Fondo, which is a grueling 122km bike ride stretching from Vancouver to Whistler through the Rocky Mountains. That wasn’t enough for Nick though. Upon completing the Grand Fondo, Nick joined a group of us to go bungee jumping because biking 122km wasn't enough for him. I brought Nick onto the show because he’s an example of someone who has been able to achieve his vision by taking decisive and purposeful action in the direction he wants to live his life. Though he is a dentist, he considers himself more of an entrepreneur. Nick has discovered that building businesses is something he enjoys. He recently opened his first Freshii location in Kitsilano, diversifying his business ventures away from dentistry. There are a couple of things that I think are important to take away from this podcast. When Nick finished dental school at UBC he knew it wasn’t going to be easy starting his own practice. There is a lot of competition in the field of cosmetic dentistry. He knew it was going to be a challenge if he wanted to succeed and excel in the industry. So what did he do? He knew he had to find a way to rise above everyone else. He started by gaining as much information as he could to get a competitive edge. He created a list of books. He created a list of mentors. He created a list of business coaches. And then he started absorbing as much information as possible from all these sources. He didn’t stop there. He traveled to Dubai and Brazil to learn from some of the best cosmetic dentists in the world. He surrounded himself with the best to learn from the best, so he could be the best… this is very familiar to what my previous guest Wayne Benson did as well. There is a timeless adage; the five people you surround yourself with are a direct representation of yourself. Nick took this to heart and you can see the impact it had on his life. During the interview, I asked Nick when he first knew he wanted to be entrepreneur and his answer surprised me a little; he said he didn’t know. All he knew was that he liked management, leadership, and coordinating things and that’s what an entrepreneur is to him. So he gravitated towards that. Sometimes we don’t have all the answers in front of us. Sometimes we only have little bits and clues. It’s our job to use those bits and clues to come up with a solution based on all the information we have at hand… and that’s all we can do. We make the best possible decision at that time with the information we have. In the podcast we really dive into the mentoring and coaching Nick has received. Nick gave some interesting advice on knowing when your mentoring or coaching time is complete. “You can only gain so much from one person along your journey. When the learning is done you need to move forward.” He went on to say that as soon as he is no longer inspired or challenged by the work he’s doing with his coaches or mentors, he takes this as a clear indication that it is time to move forward. One of the parts that I found most interesting about our conversation was when Nick and I started talking about what keeps him going. Nick had a pretty simple answer, “fill your schedule with things that excite you." As soon as they don’t, it’s time to find something else. He lets his emotional energy guide him. He lets the things that bring him joy and happiness lead the way to where he wants to go. From the business ventures he undertakes, to the day to day activities that fill his calendar, he uses excitement as his guiding principle. It’s like we talked about in the last post about finding your passion. Nick has found his passion and lives it every single day. Nick’s embodiment of this strategy reminds me of a blog post by Derek Shivers called “Hell Yeah or No.” When Derek is asked to do something, he asks himself whether it’s a “Hell Yeah.” If he’s not “Hell Yeah” excited to do it, his decision is made. It’s a no. You can imagine how many “no’s” this leads to. In the post, Derek talks about how the “Hell Yeah” concept has helped to free up a lot of time in his life and cleared him of all the things he felt “he had to do." His newly found time allowed him to focus on all the things he had wanted to do but never felt like he had the time to do. Nick’s decision making is governed by similar motives. He uses his excitement to govern his day to day. That’s the philosophy that governs his life. It’s a leading principle. If something doesn’t bring him excitement, he doesn’t do it. It’s that simple. How does he keep up with 14-15 hour days? It’s because he loves what he does. It excites him. It’s that blurry line between what we consider work and what we consider play. For a master in the art, living has no distinction between these two. You can see why I choose to start this post with the Francois Rene August quote and why Nick chose to end off the podcast with it. The sentiment it conveys and the lesson it teaches is timeless.
