George Ogilvie, President and CEO of Arizona Sonoran Copper (TSX:ASCU – OTCQX:ASCUF), joins me to outline the updated Standalone Preliminary Economic Assessment (PEA) on the Cactus Project in Arizona, that now incorporates MainSpring, Parks-Salyer, and Cactus West & East into a larger comprehensive project. The overall Cactus Project now contains over 11 billion pounds (“lbs”)  of copper in all categories – 7.3 billion lbs of copper in measured and indicated, and 3.8 billion lbs in the inferred category.   The Cactus PEA envisages an average 86k short ton (172 million pound) per annum open pit copper heap leaching operation over a 31-year mine life (“LOM”). In total, 5.3 billion lbs or 2.7 million short tons of LME Grade A Copper Cathodes is detailed for production directly onsite via solvent extraction and electrowinning hydrometallurgical processing. The PEA supersedes the previously released Pre-Feasibility Study (PFS) in all respects, as it has now shifted from an underground mining method to an open-pit mine design.    Highlights from the PEA:   Key Performance Indicators at $3.90/lb Copper $2,032 million Net Present Value (“NPV”) (8% discount, after-tax) 24% Internal rate of return (“IRR”, after-tax) 4.9 years Payback Period $668 million development capital including contingency Life of Mine (“LOM”) Gross Revenue of $20.8 billion LOM Free Cash Flow (“FCF”) of $7,295 million (unlevered) Cash costs (C1) of $1.82 and All in Sustaining Costs (“AISC”) of $2.00 per pound of copper Financial and operational executability now through transition to Open Pit operation 94% material from open pit mining (Cactus West and Parks/Salyer), 6% from the Stockpile and Cactus East underground 232 million pounds (“lbs”) (116,052 short tons (“st”)) average annual copper cathode production over the first 20 years of operation and a total of 5,339 million lbs (2,669,342 st) of copper cathode produced over the 31-year operating mine life   George outlines how the inclusion of the recently acquired and drilled out to inferred resource of the MainSpring Property, which had previously not been included in economic studies, not only brough in an additional 1.9 billion lbs of copper but was also amenable to open pit mining. This also allowed for Parks-Salyer to be transitioned into an open-pit scenario as well, bringing in an additional 1.5 billion lbs of copper into the resources, and allowed it all to be developed as an enlarged pit.  This confirms Parks/Salyer and MainSpring are now grouped together as one deposit, renamed to “Parks/Salyer.” This transition to open pit mining increases the efficiencies, improves costs, reduces capex, and takes away the need to put in the twin declines initially proposed.   There is a great deal of drilling at Mainspring being completed to move the resources from inferred to indicated, as well as more metallurgical work to prepare for incorporating all of that into a Pre-Feasibility Study (PFS), projected to come out in the summer of 2025.   We also discuss some recent drill results returned from the sulphides as Cactus West, that show the resources are continuing to grow and will either add longevity to the existing planned 31-year mine life, or provide a potential larger producer with the option of increasing the throughput in a mining scenario. Arizona Sonoran Copper – Cactus Project Economics And Development Work, MainSpring Exploration And Upcoming PEA, And Potential Synergies With The Nuton Leaching Process

George Ogilvie, President and CEO of Arizona Sonoran Copper (TSX:ASCU – OTCQX:ASCUF), joins me to recap the economic studies and development work completed to date and the work plan to come in 2024 and early 2025 at the Cactus Project in Arizona.   The Company put out a Pre-Feasibility Study (PFS) at the Cactus Project in February, that demonstrated an initial Life of Mine of 21 years, recovering 1,153 k tons or 2.31 billion pounds of Copper LME Grade A cathode onsite via heap leach facility and SXEW.  That gave the economics on the project a post-tax Net Present Value (“NPV”) of $509 million (CA$687 million) using an 8% discount rate and an internal rate of return (“IRR”) of 15.3% and using a $3.90/lb flat long-term copper price.  There would be total revenues of $9.0 billion over 21 years, and post-tax unlevered Free Cash Flow of $2.4 billion, with All-In Sustaining Cost (“AISC”) of $2.34/lb.   George mentioned that with sensitivities close to today's copper prices, if we assumed $4.50/lb. copper prices it jumps up to an NPB of $970 million and an IRR of 22%.   However, it should be noted that all the drilling the company has done at the MainSpring Property, has not been included in this study yet, and there will be a Preliminary Economic Assessment coming out in Q3 of this year.   That study will also review the optionality to improve the process with the investment by Nuton LLC (a wholly-owned subsidiary of Rio Tinto) and subsequent option to Joint Venture (“JV”) the Cactus Project to Nuton LLC using their proprietary leaching recovery methods.   After that PEA, then all of the ongoing infill drilling at MainSpring and also deeper at Cactus West looking for more sulphide resources will all factor into a larger combined PFS for the whole Cactus Project, Parks Salyer, and Mainspring, both as a stand-alone project, and in concert with the Nuton leaching technology.   We also discussed some optionality around developing MainSpring as an open pit providing operational flexibility and gaining lower cost access to the Parks/Salyer deposit, so that bringing MainSpring into the mine plan potentially improves operational and financial synergies within the Cactus Project.  This idea will be explored further in these upcoming economic studies, and as more definition and infill drilling is completed in the gap zone between the projects. Big news out of Kenorland Minerals ("Kenorland" or the "Company") (TSX.V:KLD - OTCQX:KLDCF - FSE:3WQ0) on January 16th. The Company announced its converted a 20% Joint Venture ("JV") interest in the Fortet Project to a 4% net smelter return ("NSR") royalty. The agreement is made with Sumitomo Metal Mining Canada ("Sumitomo"), who now consolidates 100% ownership in the Frotet Project. The Project was staked by Kenorland back in 2017 and the JV was formed in 2018.   Zach Flood, President and CEO of Kenorland joins me to discuss this major stepping stone for the Company. After providing a bit of history on the Project we discuss how the Company will manage the royalty. The Company also retains data rights and will be the operator at the Project for at least 1 year to "facilitate a successful transition of operatorship to Sumotomo". Yesterday, January 3rd, District Metals ("District" or the "Company") (TSX.V:DMX - OTCQB:DMXCF - FRA:DFPP) announced the Company has consolidated 100% of the Viken energy metals Deposit in Sweden by acquiring the remaining four mineral licenses.   Garrett Ainsworth, President and CEO of District joins me to discuss the process of consolidating the Viken Deposit over the past couple years. I also have Garrett explain the size of the deposit, which is "the largest undeveloped Alum Shale uranium-vanadium-potash-molybdenum-nickel-copper-zinc deposit in Sweden" and the initial work plans fr this year.    Now the Company holds a total of 5 uranium projects in Sweden. This brings up the question of the moratorium on uranium mining and exploration in Sweden that was imposed in 2018. Over the past year the Swedish government has discussed lifting the moratorium.   To close out the interview I have Garrett provide an update on the Joint-Venture ("JV") with Boliden Mineral AB at the Tomtebo and Stollberg Projects. Arizona Sonoran Copper (TSX:ASCU - OTCQX:ASCUF) ("Arizona Sonoran" or the "Company") had a busy 2023 at the Cactus Project in Arizona. Bernard Olivier, CEO of Lexington Gold #LEX says the proposed acquisition of White Rivers Exploration in South Africa, which has potential resources of over 37 million ounces of gold, presents a tremendous opportunity for the company. HIGHLIGHTS ·    WRE is a major tenement holder in the Witwatersrand gold fields of South Africa, with tenement interests covering approximately 89,499 hectares. ·    WRE's current tenement interests have been estimated by WRE's management to contain potential resources of over 37 million ounces of gold (non-JORC/non-SAMREC nor other international standard compliant estimate). WRE has focussed its exploration efforts in particular on shallow (200 to 1,200m depth) deposits close to well established infrastructure (refer to Table 1 below for further details). ·    WRE's tenement interests comprise 10 prospecting rights (six granted licences and four renewal applications) which are grouped into five projects. ·    WRE has an incorporated Joint Venture ("JV") arrangement with Avgold Limited a subsidiary of Harmony Gold Mining Company Limited (JSE:HMY) ("Harmony Gold"), the largest gold producer by volume in South Africa. Such JV project, referred to as the Jelani Resources JV, has a non-code compliant independently estimated resource of 6.02 million ounces of gold at an average grade of 6.47 g/t. ·    The Witwatersrand gold fields area was historically the largest single gold producing district in the world.  Total historical gold production over a century of mining activity was 2 billion ounces. It is estimated that a further 1.2 billion ounces of gold resource still remains in the Witwatersrand. ·    WRE's Kroonstad project, has an independently estimated non-code compliant gold exploration resource target of between 6.06 million ounces and 62.41 million ounces with a gold grade of between 4.96 g/t and 11.54 g/t  and potentially constitutes a new Witwatersrand goldfield. ·    WRE is believed to own the world's largest Witwatersrand drillhole data base compiled over a ten-year period and consisting of some 2,500 mother holes with their associated assays. ·    WRE was established by well-known Australian explorer, Mark Creasy, in 2002, with whom the Company has on 12 May 2023 entered into a one-year unsecured loan agreement for a principal amount of £0.3m (the "Mark Creasy Loan Agreement"). Zach Flood, President and CEO of Kenorland Minerals (TSX.V:KLD - OTCQX:NWRCF) joins me to recap a recent sale of a property and the work programs underway. or starting up shortly, at a range of Joint Venture (JV) projects in Quebec and Alaska. The Company's JV and option partners include Newmont, Sumitomo Metal Mining and Antofagasta Minerals.    We start by discussing the sale of the Wheatcroff Project to Jayden Resources. Next is the newly formed JV with Sumitomo at the Chicobi Property. This JV was formed after Sumitomo completed its earn-in for 51%. We then look ahead to future news flow that includes results from the Tanacross Project, which Antofagasta Minerals just signed an earn in agreement in July. Also coming up for news is the drill results from 18,000 meter drill program at the Frotet Project. This is a JV with Sumitomo which has already announced a larger drill program for next year.   There's a lot to go through and Zach leads us through all the major developments. Click here for more information on Left Brain Investment Research Click here for more information on Left Brain Wealth Management  History/Background of Left Brain Left Brain opened the wealth management business in 2014, hedge fund in 2016, and investment research platform in 2019. A differentiating characteristic of Left Brain's investing platform is an emphasis on selecting individual securities, particularly individual bonds in the high yield space. Brian genuinely enjoys and gets excited to share his investment philosophy with both individual investors and advisors.  The company has slowly built up their investment staff in order to cover a large universe of high yield bonds (about 900) and about 200 stocks.  What they've come to realize is that many advisors lack the resources to replicate this type of research apparatus, so they decided to create a product to provide this research to advisors so that they can select stocks and especially high yield bonds that will help clients achieve income goals in a compressed interest rate environment. Data-Driven Bottom-Up Approach Left Brain has a data-driven, bottom-up approach that incorporates technology to rank securities on the basis of a number of quantitative and qualitative factors, including revenue growth, gross margins, competitive dynamics, and accelerating results. The company portfolios are concentrated, as they view this as an allocation model with the best chance to deliver superior results and excess returns; usually no more than 20-25 stocks at any given time, particularly in the hedge fund. Characteristics Left Brain Looks For In Analyzing Securities Management Company management is paramount in both equities and credit.  Left Brain wants to see a history of success for the CEO, a strong capital allocation strategy, and an alignment of interests with investors (“skin in the game”); also for equities and bonds, they want to see strong fundamentals in the underlying business, no matter what the valuation or possible yield compensation Equities The company looks for strong (and accelerating) revenue growth, high (and expanding) gross margins, favorable competitive dynamics Distressed Bonds For distressed bonds: Left Brain looks for deleveraging (either through improved EBITDA or retiring debt through asset sales), improving trends in operating metrics (revenue, EBITDA, total debt), high yield compensation per unit of leverage (Debt/EBITDA), and most importantly, a strong Free Cash Flow (FCF) profile   Equities Discussed On The Intelligent Investing Podcast   Splunk (SPLK) One of the strongest companies in Silicon Valley working in the data analytics space could be considered Splunk. Splunk's platform allows non-technical workers to query company data using natural language (“Google for your data”) to gain insights both about customers and operations. Left Brain is attracted to Splunk's 30% annual revenue growth and 53% growth in recurring revenue, which are both quite high for a company trading at 9x forward revenue; as an $18 billion market cap company, still plenty of room for Splunk to grow before maturing as a business. Changing Business Model Splunk is changing business models to discontinue all perpetual licensing: recurring revenue model leads to higher gross margins. Splunk has gained penetration in the enterprise, winning several 8-figure deals in the last quarter, including a major partnership with Domino's Talend (TLND) Talend is a small French cloud computing company (mkt cap ~$1B) that does data integrations that help companies gain valuable insights using data. The company trades in the US as an ADR. Despite a small size, Talend has over 3500 customers including HP, Citigroup, GE, Astra Zeneca, and Lenovo. Financials & Valuation Talend has Annual Recurring Revenue is up 27% YoY. However, what Left Brain really likes is that cloud revenue has grown more than 100% annually for the last 13 straight quarters. Talend, despite the strong growth, trades at a very low multiple relative to peers at less than 4x forward revenues. Roku (ROKU) This is Left Brain's Stock of the Year for 2020. Left Brain has rotated some of thier long-held Netflix (NFLX) positioning for ROKU, who they think has less business risk as ROKU is not a content creator. Streaming is one of the market's strongest trends: ROKU offers an operating system that integrates all streaming platforms (built into 1/3 of TVs shipping today). ROKU offers a non-intrusive advertising platform that we think the company can monetize as advertisers seek any platform to advertise that is not Facebook or Google. In addition, Revenue growth is strong at 52%. Today, the stock trades at a 12x forward revenue multiple. Brian is confident that ROKU can keep growing at a pace that justifies the multiple.   Bonds Discussed On The Intelligent Investing Podcast YPF 8.5% 2025 bonds The YPF 8.5% 2025 bonds currently yield in excess of 12%. YPF is an Argentina-based integrated oil play that has been in existence since 1922, surviving through many difficult economic times in Argentina's history. The company has a strong credit profile relative to Argentina sovereign bonds. The downgrade in Argentina sovereigns dragged down YPF bonds, making them attractive for Left Brain. In addition, the company has no currency exposure to the Argentine Peso, as debt and revenue are both denominated in dollars (oil market revenue always remits in USD). The company has flattish revenue growth; cutting CapEx aggressively by pursuing Joint Venture (JV) partners to save on CapEx. The company's leverage of under 3x (Debt/EBITDA) is very low relative to other energy exploration companies. Transocean (RIG) 7.5% 2031 bonds Transocean 7.5% 2031 bonds currently yield 12.6%. Transocean is a best of breed company. In addition, the company has by far the best rig fleet of any oil service provider (31 of the 100 best offshore rigs worldwide). RIG management says offshore drilling activity is picking up as oil prices begin to stabilize.  RIG's high-spec rig fleet positions the company well to take advantage of any improvement in the oil market. RIG Leverage is currently high, but should drop dramatically if rig utilization improves and raises EBITDA (increased earnings is RIG's best path to deleveraging). In addition, RIG has five straight years of positive Free Cash Flow, despite a difficult oil industry environment. Furthermore, RIG has $12 billion in backlog business, $2.5 billion in cash on the balance sheet, and $4 billion in total liquidity. L Brands (LB) 6.95% 2033 bonds L Brands 6.95% 2033 bonds have a current yield near 9.5%. 10% revenue growth at Bath and Body Works (40% of the business) and flattish growth at Victoria's Secret (the other 60%). Victoria's Secret recently hired a new CEO from successful women's brand Tory Burch, giving us hope that LB can turn around the VS business. Company leverage is under 3x, making the 9.5% yield very generous for a company that appears to be quite safe according to Brian. LB has 23 consecutive years of positive Free Cash Flow, making their ability to service their debt very robust. Their store closure strategy has helped bring down leverage slightly over the past few quarters.

First of all - Yes you probably should do a JV because it is a great way to leverage other people's money and skills. Secondly - get a JV wrong and it can be PAINFUL and COSTLY! So getting it right is super important. This is our list based on our experience and knowledge. See the 10 points below. These are our personal thoughts and not to be considered legal advice in any nature. Points Have a professional experienced solicitor draw up the agreement Consider having a SPV- Special purpose vehicle ( separate company) Have a clear plan as well as a back up plan. ie. Flip and back up strategy is property is rented whilst trying to be sold…ie it is cash flowing Control – Who owns the property. We prefer our JV partner to own the property themselves. This way they are protected fully and we place a charge (or in England RX1) on the property in order that the property is not sold out underneath us even with a proper JV agreement Complete understanding of responsibilities of each party. You also need to spell out if both partners will be part of the decision-making process of reducing the house or property price. It is really helpful to include all contingencies and worse case scenarios. Obligations of each party. Financial: what equity each partner is responsible for Operations: who is running the day-to-day operations of the refurb and responsible for bookkeeping and record keeping Marketing/sales: who is responsible for marketing and selling the finished product Profit allocations- clear and simple ie I have seen many joint ventures be 50/50, but sometimes they are 40/60 or 30/70. It completely depends on the value the partners are bringing to the table
