When we think about the joys of Thanksgiving Day, it's striking how many of those things are connected to energy. The energy to warm our homes, to cook our food, to help our families fly and drive to see us, to power everything from the TV to the refrigerator, etc. The list goes on and on. What's always struck us is that not only is energy needed for this great holiday, but so many of the people who make our energy possible are actually working on Thanksgiving Day. We love highlighting the hardworking men and women in energy who make this all possible. We reached out to the team at Transocean and their team helped make today's episode possible. Joining us for COBT from Transocean's Deepwater Atlas drillship are Tyler Riley, Captain, Jeff Bruno (“Bruno”), Drilling Superintendent, Dennis Walton, Senior Subsea Supervisor, and David Galatenau, Driller in Training. They literally joined us from five thousand feet of water in the Gulf of Mexico. Captain Riley first provides fascinating background on the 130+ hardworking men and women on the ship, highlighting their work schedule, lifestyle, and team dynamics, and also provides background on the drillship. As you'll hear, the Deepwater Atlas is one of only two 8th generation drillships in the world and has 20,000 psi well control capabilities and a 3.4 million pound hoisting capacity. Bruno and Dennis each share thoughts about their roles and their respective teams, discuss the support and camaraderie they share, and even tell us some good fishing stories. David is a recent graduate from Texas Tech and is a participant in Transocean's accelerated program to become a fully trained driller. He also shares his perspective as a young, talented person interested and passionate about an energy career. Mike Bradley kicked us off today by highlighting that broader equity market indices continue to rally and are up over 10% from late October lows as they continue taking their trading cue from lower bond yields. He noted that broader equity markets are technically overbought and possess some near-term trading risk. He flagged the surprising Argentinian Presidency election win last weekend by Javier Milei, which initially rallied the Argentinian MERVAL Index by 8% (total of 20% since Friday), and shares of YPF by over 40%. He discussed that crude oil markets are laser focused on the OPEC meeting this weekend and that crude oil prices have caught a bit of a bid this week due to growing optimism that OPEC will not only extend 1mmbpd of production cuts through Q1'24 but also increase the level of production cuts. In today's episode, Ally Cedeno speaks with Janine Nagle. She was born and raised a Hawai'i girl from the island of O'ahu. She had humble beginnings growing up in the small town of Kāne'ohe. Janine spent the majority of her life in food, hospitality, and customer service. She shares her career story of how she worked in the service industry for 14 years and how she made her way to working offshore as a roustabout with Transocean. A couple of years into her career offshore, she began a development program, which has helped her to grow tremendously. She is now an assistant driller offshore, soon to graduate from the development program. Worst investment everLance's worst investment was in a company called Transocean. On January 30th, 2006, Lance's fund management company bought the shares at $80.35 each. They ultimately exited the position on October 7th, 2020. The last sale took place at less than $1 a share. At the time Lance was investing, Transocean had about a billion dollars of net debt, which was pretty modest relative to its market cap, which was below the $20 billion range. It wasn't a highly leveraged company, nor was it trading at a high multiple. The utilization rates for the various assets in the industry were also very high. Further, Transocean was the number one company in terms of dividends paid to investors. The company looked like it would be an excellent investment with all these factors. Unfortunately, several things went wrong, leading to a steep share price fall. The first problem was the global financial crisis. The second problem was the 2010 deepwater explosion in the Gulf of Mexico. This crisis weighed on transactions and significantly impacted the stock price. The third problem occurred in March 2020 when the Saudi Arabia and Russia oil price war kicked in as the two countries were duking it out in the global commodity markets. This war tanked the oil price for some time. The fourth problem was the global pandemic. There was complete and sudden demand destruction that ultimately led to the price of oil dropping into negative territory for a brief period. Lessons learnedRegardless of how smart you are and how much homework you do, things can and will go wrong when investing. Don't let one lousy investment weigh on your psyche. Just continue to plug away. Over time, you'll be rewarded if you invest wisely. Invest in value, and you'll get positive returns on investment. Investments can turn sour despite attempts to understand a company and an industry entirely. So you just got to anticipate that there are going to be unforeseen events during your investment journey. Occasionally, resort to timely sales as a way of de-risking your positions and bringing back some return on your investment. Mike Munro has worked with global companies such as Dell Chemical, Baker Hughes, and Transocean, for more than 30 years. His last position before founding Global Compliance Management and Response (GCMR) was as Chief Compliance Officer at Odebrecht Engineering and Construction in Brazil. He joins Tom Fox on this week's episode of the ESG Report to discuss GCMR, as well as moving from compliance to ESG. ESG Is More Than Anti-Corruption Mike believes that compliance is about more than just anti-corruption issues. “It was clear that the elements and the focus of compliance programs and efforts are really applicable to a much broader area,” he tells Tom. After his work at Odebrecht ended, he decided to establish his own company to “bring what all of us have learned over the years regarding compliance programs and their value and the things that they're focused on, and make sure that they can also bring value to other areas. And so that brought me into ESG because clearly, that is an area that does need a lot of help, a lot of work.” From Compliance to ESG Tom asks Mike, “What are some of the skills you see that a compliance professional has, which really lends itself to either leading or being a part of the leadership team for a corporate ESG effort?” Mike responds that one such skill is the ability to work cross-functionally. “A company really has to bring in many different stakeholders within the company, make sure that all those stakeholders understand what the issues are, understand what they need to do, understand their role in compliance. And that is exactly what is needed in ESG,” he tells listeners. ESG covers many dimensions and requires people across the company to work together, so the compliance officer - who already has expertise in leading cross-functional teams - is well suited to take the lead. He and Tom discuss how compliance and ESG overlap and that ESG will evolve in the same way the compliance function did. “All of those things that happened with compliance programs early on,” Mike remarks, “where you started with a very basic program, and then you moved to training and then you moved to tracking and then you moved to running investigations. Those similar things need to happen with ESG.” The Culture of Safety Many companies are already doing good things - particularly in safety and environmental compliance - but they don't have a formalized ESG program, so they do not track or communicate what they're doing, which means that they don't get credit for their efforts. An ESG program ‘allows for more of the positive story to be told,” Mike comments. Tom remarks on the culture of safety in energy companies. Everyone knows why the safety rules are important, and they follow them religiously. He and Mike agree that this is the same direction compliance and ESG need to take. GCMR and the Future of ESG GCMR has brought together a global team of experts who can address ESG issues with the local context. “We are just absolutely focused on making sure when we provide services to a client that we are first and foremost, stressing that local issues have to be understood,” Mike points out. Tom asks whether Mike believes regulators or stakeholders will drive the evolution of ESG. It will be the financiers, Mike responds. He comments on the push in the EU for sustainability elements to have the same financial standards and the implications for companies' financial reporting. ESG in Acquisitions GCMR has compiled a simple list of key ESG items. This is how they help companies quickly assess potential acquisitions. “Part of the value of ESG reporting is being able to tell the whole story, but I truly believe that sometimes people make this more complicated than it has to be,” Mike comments. Click here for more information on Left Brain Investment Research Click here for more information on Left Brain Wealth Management History/Background of Left Brain Left Brain opened the wealth management business in 2014, hedge fund in 2016, and investment research platform in 2019. A differentiating characteristic of Left Brain's investing platform is an emphasis on selecting individual securities, particularly individual bonds in the high yield space. Brian genuinely enjoys and gets excited to share his investment philosophy with both individual investors and advisors. The company has slowly built up their investment staff in order to cover a large universe of high yield bonds (about 900) and about 200 stocks. What they've come to realize is that many advisors lack the resources to replicate this type of research apparatus, so they decided to create a product to provide this research to advisors so that they can select stocks and especially high yield bonds that will help clients achieve income goals in a compressed interest rate environment. Data-Driven Bottom-Up Approach Left Brain has a data-driven, bottom-up approach that incorporates technology to rank securities on the basis of a number of quantitative and qualitative factors, including revenue growth, gross margins, competitive dynamics, and accelerating results. The company portfolios are concentrated, as they view this as an allocation model with the best chance to deliver superior results and excess returns; usually no more than 20-25 stocks at any given time, particularly in the hedge fund. Characteristics Left Brain Looks For In Analyzing Securities Management Company management is paramount in both equities and credit. Left Brain wants to see a history of success for the CEO, a strong capital allocation strategy, and an alignment of interests with investors (“skin in the game”); also for equities and bonds, they want to see strong fundamentals in the underlying business, no matter what the valuation or possible yield compensation Equities The company looks for strong (and accelerating) revenue growth, high (and expanding) gross margins, favorable competitive dynamics Distressed Bonds For distressed bonds: Left Brain looks for deleveraging (either through improved EBITDA or retiring debt through asset sales), improving trends in operating metrics (revenue, EBITDA, total debt), high yield compensation per unit of leverage (Debt/EBITDA), and most importantly, a strong Free Cash Flow (FCF) profile Equities Discussed On The Intelligent Investing Podcast Splunk (SPLK) One of the strongest companies in Silicon Valley working in the data analytics space could be considered Splunk. Splunk's platform allows non-technical workers to query company data using natural language (“Google for your data”) to gain insights both about customers and operations. Left Brain is attracted to Splunk's 30% annual revenue growth and 53% growth in recurring revenue, which are both quite high for a company trading at 9x forward revenue; as an $18 billion market cap company, still plenty of room for Splunk to grow before maturing as a business. Changing Business Model Splunk is changing business models to discontinue all perpetual licensing: recurring revenue model leads to higher gross margins. Splunk has gained penetration in the enterprise, winning several 8-figure deals in the last quarter, including a major partnership with Domino's Talend (TLND) Talend is a small French cloud computing company (mkt cap ~$1B) that does data integrations that help companies gain valuable insights using data. The company trades in the US as an ADR. Despite a small size, Talend has over 3500 customers including HP, Citigroup, GE, Astra Zeneca, and Lenovo. Financials & Valuation Talend has Annual Recurring Revenue is up 27% YoY. However, what Left Brain really likes is that cloud revenue has grown more than 100% annually for the last 13 straight quarters. Talend, despite the strong growth, trades at a very low multiple relative to peers at less than 4x forward revenues. Roku (ROKU) This is Left Brain's Stock of the Year for 2020. Left Brain has rotated some of thier long-held Netflix (NFLX) positioning for ROKU, who they think has less business risk as ROKU is not a content creator. Streaming is one of the market's strongest trends: ROKU offers an operating system that integrates all streaming platforms (built into 1/3 of TVs shipping today). ROKU offers a non-intrusive advertising platform that we think the company can monetize as advertisers seek any platform to advertise that is not Facebook or Google. In addition, Revenue growth is strong at 52%. Today, the stock trades at a 12x forward revenue multiple. Brian is confident that ROKU can keep growing at a pace that justifies the multiple. Bonds Discussed On The Intelligent Investing Podcast YPF 8.5% 2025 bonds The YPF 8.5% 2025 bonds currently yield in excess of 12%. YPF is an Argentina-based integrated oil play that has been in existence since 1922, surviving through many difficult economic times in Argentina's history. The company has a strong credit profile relative to Argentina sovereign bonds. The downgrade in Argentina sovereigns dragged down YPF bonds, making them attractive for Left Brain. In addition, the company has no currency exposure to the Argentine Peso, as debt and revenue are both denominated in dollars (oil market revenue always remits in USD). The company has flattish revenue growth; cutting CapEx aggressively by pursuing Joint Venture (JV) partners to save on CapEx. The company's leverage of under 3x (Debt/EBITDA) is very low relative to other energy exploration companies. Transocean (RIG) 7.5% 2031 bonds Transocean 7.5% 2031 bonds currently yield 12.6%. Transocean is a best of breed company. In addition, the company has by far the best rig fleet of any oil service provider (31 of the 100 best offshore rigs worldwide). RIG management says offshore drilling activity is picking up as oil prices begin to stabilize. RIG's high-spec rig fleet positions the company well to take advantage of any improvement in the oil market. RIG Leverage is currently high, but should drop dramatically if rig utilization improves and raises EBITDA (increased earnings is RIG's best path to deleveraging). In addition, RIG has five straight years of positive Free Cash Flow, despite a difficult oil industry environment. Furthermore, RIG has $12 billion in backlog business, $2.5 billion in cash on the balance sheet, and $4 billion in total liquidity. L Brands (LB) 6.95% 2033 bonds L Brands 6.95% 2033 bonds have a current yield near 9.5%. 10% revenue growth at Bath and Body Works (40% of the business) and flattish growth at Victoria's Secret (the other 60%). Victoria's Secret recently hired a new CEO from successful women's brand Tory Burch, giving us hope that LB can turn around the VS business. Company leverage is under 3x, making the 9.5% yield very generous for a company that appears to be quite safe according to Brian. LB has 23 consecutive years of positive Free Cash Flow, making their ability to service their debt very robust. Their store closure strategy has helped bring down leverage slightly over the past few quarters.

On this episode of the world famous Sofa King Podcast, we talk about the largest maritime oil spill in human history, the tragedy and incompetence of the Deepwater Horizon. The Deepwater Horizon was a deep-sea oil rig in the Gulf of Mexico, about forty miles from the coast of Louisiana. On April 20, 2010, an explosion rocked the platform, killing 11 and forcing an evacuation. Two days later, the rig sank. This was a bad enough tragedy, but the real horror started when nobody was able to seal the oil well, and every failsafe failed. It was the perfect storm. The normal procedures to shear off the pipe in case of dangerous pressure failed. The robots they sent down to seal it manually failed. The 250 ton concrete dome failed. Back filling it with heavy mud failed. Wishful thinking and corporate lies failed. All that was left was a well that spewed thousands of barrels of oil into the gulf every day. BP claimed it was a 1000 barrels, but some government estimates are between 60,000 to over 100,000. This spill destroyed wildlife by the thousands, grounded dolphins and whales, shut down beaches in several states, and almost killed already endangered species. What was perhaps worse than the oil itself were the chemicals they spread on the oil to make it sink to the bottom of the sea. Did this help the environment? Not at all. Did it help the companies pay less because they were able to hide the true amount of spilled oil? Absolutely! So, who was to blame? That is where it gets tricky. The rig was divided up to different companies which all did different jobs on this particular well. Transocean, British Petroleum (BP), Anadarko, Halliburton, and M-I SWACO all had their hands in the pot. They also all lied about the amount of oil being spilled and pointed fingers at each other. But in spite of all of that, who was really at fault? BP, really. Their smug CEO got fired, they lost a quarter of their earnings for the year, and they got spanked by different government agencies. But at the end of the day, they still killed people, animals, and ecosystems and lied about it with only a slap on the wrist.
