He has authored two books, Panic-Proof Investing and the self-published The Frustrated Investor. In 1998, he was elected to the board of the National Futures Association. Basso graduated from Clarkson University in Potsdam, New York in 1974, where he majored in chemical engineering. Prior to his career in trading, Basso worked as an engineer for Monsanto Company. He became a registered investment advisor in 1980 and a registered commodities advisor in 1984. Basso established Trendstat Capital in 1984 and served as its CEO until his retirement. Doctor David Carpenter, founder and director of the University ay Albany's Institute for Health and the Environment, has been put on "administrative leave" for the last 9 months as the school investigates fees he had received for participation as an expert witness in cases alleging toxic pollution, particularly PCBs. Dr, Carpenter however has either donated his fees to the university or his graduate students. The request came from lawyers for the Monsanto Company, which manufactures PCBs, a substance declared carcinogenic and banned by the U.S. Environmental Protection Agency in 1977. On Monday, the University said it wanted to halt Dr. Carpenter from testifying as an expert witness.

Today's Guest: Damion Jones is the Global Head of Diversity and Inclusion for Bayer Company.  In his current role, Damion is responsible for outlining the inclusion strategy & partnering with business unit leaders in regions across the company's global footprint.  This includes partnering to outline the global strategic framework, implementing cultural infrastructure and recommending action s in support of the functional & regional oversight of our company culture and operations.  In recent years, he has led strategic enterprise wide initiatives for Monsanto, prior to acquisition, regarding the diversity dashboard design, mentoring and Unconscious Bias training all of which have reached thousands of our leaders world-wide.  Currently he is working to integrate Business Resource Networks (ERGs) strategy which exist across 6 geographies. Prior to his current role, Damion was matrixed between Monsanto Company's Organizational Development/Talent Management & Talent Acquisition divisions and was additionally responsible for project managing the Executive Team talent review & succession planning process.  At that time, Damion was intimately involved in our corporate governance aiding updates to the Board of Directors concerning CEO/ET succession as well as global diversity. About Justice Thomas Clarence Thomas, Associate Justice, was born in the Pinpoint community near Savannah, Georgia on June 23, 1948. He attended Conception Seminary from 1967-1968 and received an A.B., cum laude, from College of the Holy Cross in 1971 and a J.D. from Yale Law School in 1974. He was admitted to law practice in Missouri in 1974, and served as an Assistant Attorney General of Missouri, 1974-1977; an attorney with the Monsanto Company, 1977-1979; and Legislative Assistant to Senator John Danforth, 1979-1981. From 1981-1982 he served as Assistant Secretary for Civil Rights, U.S. Department of Education, and as Chairman of the U.S. Equal Employment Opportunity Commission, 1982-1990. From 1990-1991, he served as a Judge on the United States Court of Appeals for the District of Columbia Circuit. President Bush nominated him as an Associate Justice of the Supreme Court and he took his seat October 23, 1991. He married Virginia Lamp on May 30, 1987 and has one child, Jamal Adeen by a previous marriage.

The Monsanto Company officially ceased to exist when it was acquired by Bayer in 2018, but its legacy lives on in courtrooms, factory towns and farms across the globe. Today the company's name is most associated with the herbicide Roundup and genetically modified seeds, but Monsanto also served as a leading producer of Agent Orange during the Vietnam War, an essential supplier of caffeine and saccharin to Coca-Cola in Coke's early years, and the sole US producer of Polychlorinated Biphenyls (PCBs). In short, Monsanto's history is one that will continue to shape the US well into the future. In this episode, Bart Elmore joins Bob and Ben to talk about his new book Seed Money: Monsanto's Past and Our Future (W.W. Norton, 2021), and how a small midwestern company founded in 1901 became an agricultural powerhouse by selling solutions to the problems it helped to create. Dr. Bartow Elmore is Associate Professor of History at The Ohio State University where he specializes in Global Environmental History and the History of Capitalism. Shelton retired as Lead Litigation Counsel for Monsanto Company where he handled antitrust and intellectual property litigation.  On August 3, 2019, he was sworn in as Grand Polemarch (International President) of Kappa Alpha Psi Fraternity Incorporated.Before Monsanto, he was Special Chief Counsel in the Office for the Missouri Attorney General where he Co-led the lawsuit against the tobacco industry.  That lawsuit resulted in a 6.7 billion dollar settlement for Missouri, which is still the largest in the state's history.  Shelton has served in many civic and professional organizations.  He is Past President of the Bar Association of Metropolitan St. Louis, and the St. Louis Bar Foundation and is the first African American ever elected to those positions.  He is Past President of the Missouri Bar Association, the second African American to hold that position and the first, and only one, from St. Louis.  Shelton served on the governing boards of the Urban League of Metropolitan St. Louis, the NAACP, the Missouri Lottery Commission, St. Louis Children's Hospital Development Board, the St. Louis University Board of Regents, the University City School Board and was President of the Lincoln University Board of Curators.  He is Past-President of the Legal Services of Eastern Missouri Board of Directors and served as a member of the Board of Directors of the Fathers and Families Support Center in St. Louis.  He currently serves as a member on the Missouri Bar Association Board of Trustees and is Vice President of the Missouri Development Finance Board, a body that funds major development projects across the State of Missouri. After years of spraying, Dewayne Johnson, a groundskeeper, believes the herbicide Roundup, which contains glyphosate, caused him to develop Non-Hodgkin's lymphoma, a rare and very painful form of skin cancer. So, he filed a case against Monsanto, the manufacturer of Roundup. Four years later, a jury awarded Mr. Johnson $289 million dollars in damages (recently reduced to $78 million). Many, many farmers use Roundup, and the question of how dangerous it is has been studied. The EPA found it to be safe, yet the World Health Organization's International Agency for Research on Cancer found it to be "probably carcinogenic in humans," so mixed results. Monsanto, for its part, maintains that Roundup is safe but faces over 9,000 similar cases across the country. This week an Oakland, California judge said that another case will go forward next March. This week, Lindsey speaks with one of Mr. Johnson's lawyers, Mark Burton. Mark tells us about the case and how they managed to win it. The Monsanto Papers Dewayne Johnson v.     Mike Robach is vice president, corporate food safety, quality, & regulatory for Cargill based in Minneapolis, MN. Mike joined Cargill in January 2004 to lead the company’s corporate food safety and regulatory affairs programs. Since then, Mike has increased the department’s scope to include animal health and quality assurance. He continues to refocus the department toward global efforts in line with Cargill’s vision of being the global leader in nourishing people. Mike began his career with Monsanto Company. Prior to joining Cargill, he headed up technical services for Conti Group’s meat and poultry businesses. Mike is the past president of Safe Supply of Affordable Food Everywhere, chairman of the Board of Directors of the Global Food Safety Initiative (GFSI), a member of the Scientific and Regulatory Affairs Council Executive Committee for the Grocery Manufacturers Association, and a member of the U.S. Poultry and Egg Association’s Research Advisory Committee. Mike has worked with the World Organization of Animal Health and the Food and Agriculture Organization on harmonized animal health and food safety standards. He has worked closely with the U.S. Department of Agriculture and the U.S. Food and Drug Administration regarding food safety policy, Hazard Analysis and Critical Control Points, and regulatory reforms based on science. From 1995 through 2000, Mike was a member of the National Advisory Committee for Microbiological Criteria in Foods. Mike is a graduate of Michigan State University and Virginia Tech. It was recently announced that Mike will be retiring from Cargill on August 1, 2018, but will be continuing his term as chairman of the GFSI board. Mike Taylor is a senior fellow at the Meridian Institute and an advisor to the Food and Society Program at the Aspen Institute. His primary interests are food safety globally and food security in Africa and other developing regions. Until June 1, 2016, Mr. Taylor was Deputy Commissioner for Foods and Veterinary Medicine at the U.S. Food and Drug Administration (FDA). He led the comprehensive overhaul of FDA’s food safety program Congress mandated in the Food Safety Modernization Act of 2011 and oversaw all of FDA’s food-related activities, including its nutrition, labeling, food additive, dietary supplement and animal drug programs. Mr. Taylor served previously at FDA as a staff attorney and as Deputy Commissioner for Policy (1991–1994) and at the U.S. Department of Agriculture as Administrator of the Food Safety and Inspection Service and Acting Under Secretary for Food Safety (1994–1996). Prior to joining FDA in July 2009, he spent nearly a decade in academia conducting food safety, food security and public health policy research, most recently at George Washington University’s School of Public Health. He also served during that time as a Senior Fellow at the Partnership to Cut Hunger and Poverty in Africa, where he conducted research on U.S. policies affecting agricultural development and food security in Africa. In the private sector, Mr. Taylor founded the food and drug practice and was a partner in the law firm of King & Spalding. He also was vice president for public policy at Monsanto Company and served on the boards of the Alliance to End Hunger and RESOLVE, Inc. He is currently a board member of STOP Foodborne Illness and Clear Labs, Inc. He is a graduate of Davidson College and the University of Virginia School of Law. Today, I want to consider another way to operationalize compliance through the Compliance Oversight Committee. The Compliance Oversight Committee sits between the CCO and the Board’s compliance committee. The role of this Compliance Oversight Committee is to provide oversight and review of high risk issues such as third party approvals and renewals, requests for payments from third parties and significant gift, travel and entertainment requests from employees. This committee’s oversight demonstrates not only a shared committee to compliance as required under the Justice Department’s Evaluation of Corporate Compliance Programs but also fulfills the requirement for engaged senior management oversight as a part of a company’s management of risk. As far back as January 2005, in the Deferred Prosecution Agreement (DPA) entered into between the Department of Justice (DOJ) and the Monsanto Company, it provided for “the establishment and maintenance of a committee to supervise the review of (I) the retention of any agent, consultant, or other representative for purposes of business development or lobbying in a foreign jurisdiction”, or a Compliance Oversight Committee. The scope of this Compliance Oversight Committee was not fleshed out in the DPA. While many have focused on the Compliance Oversight Committee to monitor agents and other third party business representatives, the role of the Compliance Oversight Committee should be broader than simply the issues of third party agents and representatives. A major purpose of a Compliance Oversight Committee is to act as redundant backup to the books and records internal controls systems, designed to prevent and detect violations of a company’s compliance program. It should be clear the role of the Compliance Oversight Committee is not to substitute its judgment for that of the CCO but rather to provide another level of review to make sure nothing slips through the cracks which might expose the company to unwanted risk. This can begin with a clear, written charter that sets out the functionality, goals, and parameters of the group. Moreover, the Compliance Oversight Committee should be reviewed on a periodic basis to determine usefulness and effectiveness. To this end, the Society for Corporate Compliance and Ethics (SCCE) Complete Compliance and Ethics Manual (2016 ed.) suggests the following language in its proposed form of Compliance Committee Charter: The compliance officer shall have ultimate responsibility for operating the compliance program, with the support and assistance of the compliance committee. The committee shall consist of ### members, representative of each major department or area. The committee may appoint ad hoc members, each to serve at the pleasure of the committee, to assist and advise the committee in carrying out this charter. While the ad hoc members of the committee are not entitled to vote on matters formally considered by the committee, the ad hoc members shall be entitled to call a meeting of the committee and, further, to have any matter included on the agenda of any meeting of the committee. The committee shall designate the proper manner for calling meetings and the setting of agendas thereto. Who should be on an Oversight Committee? The Monsanto DPA provides guidance on this point by stating, “The majority of the committee shall be comprised of persons who are not subordinate to the most senior officer of the department or unit responsible for the relevant transaction.” This indicates that senior management should be involved in the Compliance Oversight Committee. It also indicates that more than one department should be represented on the Compliance Oversight Committee. This would include senior representatives from the Accounting (or Finance) Department, Compliance & Legal Departments, IT, Finance and Business Unit Operations. The bottom line is that the CCO should chair a committee of peers/senior level officers who are in a position to make decisions and marshal resources. What Should the Oversight Committee Review? There are a variety of approaches that a Compliance Oversight Committee can assume. It can dive down deeply ‘into the weeds’ for transactions which the company has identified as high risk. This can be the review of agents or other representatives in high risk areas or transactions in high risk countries. The Compliance Oversight Committee can use techniques such as continuous controls monitoring to identify any outliers of payments or other indicia of financial information which would warrant additional investigations. In addition to this remedial review, the Compliance Oversight Committee should review all payments requested by agents and representatives to assure such payment is within the company guidelines and is warranted by the contractual relationship with the company. Lastly, the Compliance Oversight Committee should review company sales or business development requests to provide compensation and, as appropriate, reimbursement for gifts, travel and entertainment of foreign governmental officials.  The oversight of Foreign Business Partners is one of the key mechanisms that a company can use to prevent and detect any violation of its own Code of Ethics and Compliance and the Foreign Corrupt Practices Act (FCPA). The proper structure of the Compliance Oversight Committee and its full engagement with all aspects of a company’s relationship with a Foreign Business Partner is one of the areas that the DOJ will look for in a successful FCPA compliance program. However, it is incumbent that each Compliance Oversight Committee should be designed to review the highest risks to your organization. If your company’s highest compliance risk is third party relationships, you should focus your compliance committee resources on that issue. My recommendation is that a company should incorporate both a pre-execution function and a post-execution management function in overseeing the full relationship with any third party. While this would most necessarily focus on FCPA compliance, there should also be a commercial component to this function. The Compliance Oversight Committee should therefore review all documents relevant to the five-step lifecycle management of third parties. Conclusion The Compliance Oversight Committee is a key tool which can be utilized by a company to manage its risks. The books and records component of internal controls is one level of prevention and detection. The review by a Compliance Department for requests for travel for and gifts and entertainment to foreign governmental officials and the lifecycle management of third parties is also an important step in the prevention process. However, the Compliance Oversight Committee is another step which operationalizes compliance and should be employed by companies as an additional protection against any type of compliance and ethics violation slipping through the cracks to become a much larger problem down the road. Companies should implement a Compliance Oversight Committee and review the systems they have in place to detect risky conduct.   Three Key Takeaways The Justice Department has long suggested an approach of operationalizing compliance through greater senior management oversight. Monsanto owns one of the world's top suppliers of fruit and vegetable seeds, Seminis, and has acquired a number of regional seed producers through its American Seeds Inc. subsidiary. The original Monsanto Company spun off its chemical business in 1997 and renamed itself Pharmacia Corporation following a merger with Pharmacia & Upjohn Inc. in 2000. Last week, Congress and the president managed to avoid a government shutdown with a continuing resolution that funds the federal government for the next six months.  Unbeknownst to most lawmakers, a last-minute rider, nicknamed the "Monsanto Protection Act," found its way, anonymously, into the continuing resolution before President Obama signed it last Tuesday.  Senator Jon Tester, Democrat from Montana, was outraged. "These provisions are giveaways worth millions of dollars to a handful of the biggest corporations in this country and deserve no place in this bill," he said. As Tom Philpott, food and agriculture correspondent for Mother Jones, explains, the U.S. Department of Agriculture has to approve genetically-modified crops before companies could sell the seeds to farmers. In 2008 and 2009, the Center for Food Safety, along with other environmental groups, sued the USDA in federal court, claiming that the USDA approved two genetically engineered crops without a detailed environmental impact statement.  The Center for Food Safety won the suit in both cases, but the rider on this year's continuing resolution would bar environmental groups from suing the USDA for these purposes.  The Monsanto Company declined The Takeaway's request for an interview, but they released the following statement: As a member of the Biotechnology Industry Organization (BIO) and the American Seed Trade Association (ASTA), we were pleased to join major grower groups in supporting the Farmer Assurance Provision including the American Farm Bureau Federation, the American Soybean Association, the American Sugarbeet Growers Association, the National Corn Growers Association, the National Cotton Council, and several others.   The point of the Farmer Assurance Provision is to strike a careful balance allowing farmers to continue to plant and cultivate their crops subject to appropriate environmental safeguards, while USDA conducts any necessary further environmental reviews.  The attached letter, submitted by the industry in June 2012, should provide you with additional information and context about what the provision is intended to accomplish.  A broad bipartisan group of legislators in both the House and Senate have supported the provision dating back to June 2012, and it passed with broad bipartisan support.
