Episode 30 of Season 4 went out live on 29 July 2021 at 7 pm.  It was a tough show for me in many ways.  My father passed away on 24 July and it was the first show since his passing.  Inevitably his memory permeated the show although he wasn't a big music guy his influence on me was profound.  I tried to keep the show about life and death in general rather than getting too deep.  With so many loved ones passing in these troubled times my sense is that many people will be able to relate to certain tracks and get some comfort out of the music and its ability to both hurt and heal.  We kicked off with Metallica and 'For Whom the Bell Tolls'.  The first hour was pretty up-tempo with bands like Edguy, Krokus, W.A.SP., and Skid Row.  I paid tribute to Dusty Hill, bass guitarist for ZZ Top, who passed away last night age  72.  He apparently died in his sleep which is about as good as it gets I guess.  We took a listen to Tush as he does lead vocals on that classic track.  the mood changed a bit once we hit the Springsteen and took in Atlantic City off his masterpiece Nebraska.   Zakk Wylde, Neil Young, and Windowpane with 'The More I Run' kept the mood where it was.  The show moved along with typical TSORR fare, Iron Maiden, Judas Priest, ACDC, Lynyrd Skynyrd all delivered the goods and in the last hour, I played a couple of tracks that I dedicated to Dad before taking us out with the only really heavy track of the show in the form of Machine Head's 'Davidian'.  Anyway, it is what it is, I hope you get something out of it, it was a difficult show for me and I let Lemmy have the last word with 'Till the End'.  Artists featured:  Metallica, Edguy, Skid Row, Krokus, W.A.S.P., ZZ Top, My Chemical Romance, Bruce Springsteen, Zakk Wylde, Neil Young, Live, Windowpane, Richie Kotzen, Scorpions, Foo Fighters, Scorpions, Foo Fighters, Billy Idol, The Four Horsemen, Lynyrd Skynyrd, Blackstone Cherry, Iron Maiden, Judas Priest, Theory of a Deadman, Linkin Park, Jimmy Barnes, Brian Fallon, ACDC, Gotthard, Johnny Cash, Valiant Swart, Roan Ash, Mammoth WVH, Aerosmith, Oasis, Jack Hammer, Black Sabbath, Machine Head, Motörhead.

Intro.(1:40) - Start of interview.(2:08) - Chris's "origin story": he grew up in East Greenwich, Rhode Island, but has spent most of his adult life in NY or outside of DC. He started out as a derivatives trader right out of college. Then he went to law school. After law school, he joined White & Case and later Sullivan & Cromwell to focus on M&A transactions. In the late 1990s (during the "dot com" era), he joined Bear Sterns as an investment banker in the tech group.(7:40) - On his move to join ISS in a newly created role as director of M&A research, in the midst of the HP-Compaq merger. "I think I was hired originally as a CYA sort of process." "But I happened to arrive at the onset of what I think was the beginning of the modern age of hedge fund activism in 2004 (Bill Ackman had just formed Pershing Square, Nelson Peltz started Trian, Jeff Smith with Starboard Value, etc.). It was perfect timing and fortuitous."(10:54) -  On how ISS makes its voting recommendations on contested M&A and activist campaigns, and how the first thing he did at ISS was to create a framework to deal with contested M&A situations and proxy fights for board seats. The framework is still being used today by the ISS Special Situations Team. Institutional investors needed this guidance.(15:53) - On how he grew the ISS Special Situations Team over time, with people experienced on public companies. Very different team than those of say-on-pay proposals or other more junior analysts. "The way I thought about it was the moment I pressed the button of recommendation, if I had all my retirement money on that one specific stock, how would I vote after I had the inside look."(20:34) - On the importance of the ISS vote: "Depending on the make-up of the share register, between 20-30% of the share register is going to be at least influenced by the ISS vote, in particular if Glass Lewis has the same recommendation."(21:52) - On his transition from ISS to Credit Suisse ("after 7 proxy seasons at ISS"). He joined CS to start a dedicated contested situations team on the corporate advisory side: "Today almost every bank has a dedicated team but back then it was only Goldman Sachs." "Banks do not represent activists, the market has dictated that. If you cross that Rubicon, the competition will use that against you. I personally think that is shortsighted, it may change over time. Just like banks did not represent hostile bidders in M&A, until they did."(27:19) - On his current role at Jefferies. "It's a growing platform seeking to capture market share for public company M&A." We have a team of 5 people dedicated solely on hostile M&A, contested "friendly" M&A transactions and activism defense.(30:00) - His take on the current proxy season, including Engine No.1's successful proxy fight with Exxon Mobil: "I've seen a lot of events that were deemed landmark, and Exxon could indeed be deemed a landmark situation. I know Charlie Penner (from his time at Jana Partners) and I knew that Engine No.1 wouldn't wage a proxy fight based on [Jana's 3Vs template], where one of those Vs is having the necessary votes...In addition, Exxon Mobil had been considered a pariah at least since the mid-2000s,  due to its refusal to engage with major investors and proxy advisors. These factors plus a period of under-performance by Exxon meant that Engine No.1 picked the right target [and they ran a very good campaign]."(34:33) - But for Chris, the hard part for Engine No.1 is what's next: now that they have 3 board members at Exxon Mobil, will they deliver on their promises? Chris is reminded of the case when he supported Nelson Peltz at Heinz (at the time a landmark proxy fight on a board election contest). Jeff Smith gave an interview about the Engine No.1 proxy fight and he brought up the Darden case, the first time an activist had succeeded in replacing an entire board of a Fortune 500 company (and they performed fairly well thereafter). "Let's see what we will be saying three years from now about the Exxon proxy fight, will Exxon change and if they do, will the results be good and driven by Engine No.1?"(37:00) - On the rise of global M&A and PE. "There hasn't been a ton of messy M&A, but we are starting to see more." On companies going private: "it's an inventory problem, more and more companies are leaving the public markets." In the UK, there is a national angst over the raiding of their companies (it's easy to take-over companies in the UK).(39:59) - On public vs private markets. "The private market is growing much faster than the public markets." On dual-class stock. On the different cultures in Silicon Valley and Wall St: "it depends on your story, if there is a story of value creation and people believe in the management and the board, they may sacrifice their own rights [to get a piece of the action]. The problems will arise as the company matures and under-performs with those structures [such as with dual class shares], but then you can always get rid of them later." The question he asks of his capital market colleagues: "Do people love this company? Is it oversubscribed? To what level? To some degree you don't have to give public investors anything. Money talks." Just like with shareholder activism: "It's where people have lost money, or money has been 'dead money' is when they start to get anxious and agitated about the people running the company." "Share price performance is the best defense, it's the first thing that I have in the book for boards of directors." "But almost every company at some point,  even the great companies, will have something hit them and that's when they are vulnerable. If they can fix it quickly then they're out, but if it sits there for 2-3 years [in the case of Exxon it was multiple years], then they become vulnerable."(45:56) - On the positive and negative sides the SPAC trend: "The real reckoning will only be known in 2023 when a huge number of these SPACs will have to deliver on their acquisitions." "The future of this market will depend upon will there be more success stories than failures and how they will be covered in the media and other outlets. The jury is still out."(49:41) - On the sustainability and ESG trend: "I don't know if it will maintain its current level of importance." "[It reminds me] of the overcrowded trade from back in my day as a derivative trader in the dot com mania peak. With ESG it seems like the same thing: the buzz over the last few years has created a tremendous flow into ESG focused funds. But there is a difference between saying that ESG creates outperformance or if it mitigates risk (the latter almost everyone agrees)." "What's interesting to me is that there are already three hedge funds that are focused on ESG strategies: Engine No.1, Impactive Capital (founded by Lauren Taylor Wolfe) and Inclusive Capital Partners (Jeff Ubben)." "There are also more companies supporting shareholder proposals (instead of opposing them)." "After the Exxon proxy fight, directors realize that they may be taken out by sub 1% shareholders."(57:48) - The book that has greatly influenced his life:For Whom the Bell Tolls (1940), by Ernest Hemingway. "It mostly taught me about the economy of language, and the power of simple, stark, declarative sentences in the active voice."(58:56) - His mentor: his father.(59:52) - His favorite quotes: a mish mash of 'carpe diem', 'we're not promised tomorrow', 'live in the moment', don't stress over the past or obsess over the future', [they are all kinda the same thing] "but I try to wake up  every day and live that way, not only in the difficult times."(1:00:41) - An unusual or absurd habit that he loves: he's still a die-hard metal head. In college he had radio show and his moniker was "Dr Metal"!(1:01:37): The living person he most admires:  "To me it's the group of people that sacrifice for a greater good, whether it's the military, first responders, and particularly (most recently) essential workers, healthcare workers and others that let others live their lives (often under duress). This week's episode is "Roots of the Demon, Part 2." We continue our exploration of the formative years of Night Demon's current members by telling the story of Jarvis's first band, Black Opal. You will hear in detail from Jarvis and other surviving members how Black Opal came into being, their obsession with Metallica, how they dedicated themselves to constant practicing, and how they struggled to get gigs because of their young age and the out-of-fashion nature of their unbridled heavy metal attack. We unearth snippets of Black Opal's first live performance, demo recordings and so on.  (Full versions of these recordings are available to subscribers.)  We examine how Black Opal's path intersected with a local band called The Whereabouts, which featured Armand on guitar.  The Whereabouts were not a heavy metal band, but were a  talented alternative rock combo that were ahead of their time and much admired by the local metal community for their next-level musicianship, songwriting, and business savvy.  Both bands played together at The Majestic Ventura Theater on many occasions. Raymond Alcide Joseph is arguably one of the most remarkable news publishers in our industry today. In 1971, while working as a reporter for the Wall Street Journal, he founded, with his brother Léo, the Haiti Observateur, a weekly newspaper and 24/7 website that publishes in four languages (Haitian Creole, French, and English). Today, it remains the free voice of the Haitian people.   For five years, Joseph served as Haiti's ambassador to the U.S., and during the massive 2010 earthquake, he was essentially the functioning government since the capitol, Port au Prince, was substantially damaged, and the country's elected leadership could not be reached. Joseph is credited by The American Bible Society as the original translator of the New Testament with the Psalms from original languages and French to Haitian Creole. His autobiographical book, "For Whom the Dogs Spy," reveals Joseph’s insider’s account—having served under four presidents—of Haiti’s struggle to build a democracy during the tyrannical reign of dictator François “Papa Doc” Duvalier, who used the legend of voodoo to bewitch the country into fearing him.  In this segment of “E&P Reports,” publisher Mike Blinder goes one-on-one with Joseph on topics that range from the start of his newspaper and how he influenced change during a cruel dictatorship to his opinions on the importance of a free press, not just in Haiti but here in the U.S. as well. What do you see as a solution to their seemingly never ending series of gaffs?Tech/Gaming NewsEpic will pay off class-action loot-box settlement with in-game currencyEpic is set to fork over some cash as the result of a lawsuit which included those dastardly loot boxes.Here's what arstechnica had to sayEpic is set to settle a class-action lawsuit over its use of randomized loot boxes in Fortnite's "Save the World" mode by paying affected players with in-game currency. Rocket League players who previously purchased loot boxes in that game will also receive an in-game payment.While Epic never offered loot boxes in Fortnite's mega-popular battle royale mode, it let "Save the World" players purchase "loot llamas" full of random items until early 2019 (amid international outcry about the randomized loot-box business and its similarity to gambling). Shortly after ending the practice, Epic was faced with a class-action lawsuit alleging, among other things, that it had "psychologically manipulate[d] its young players into thinking they will 'get lucky.'"Under a proposed settlement for that suit, which Epic says has achieved preliminary approval, all players who purchased a loot llama at any time will be rewarded with 1,000 V-Bucks (worth roughly $8). They're two of the more substantial changes to Twitter in a while, but they also fit snugly into models that have been popular and successful on other social platforms.The payment feature, called Super Follows, will allow Twitter users to charge followers and give them access to extra content. That could be bonus tweets, access to a community group, subscription to a newsletter, or a badge indicating your support. In a mockup screenshot, Twitter showed an example where a user charges $4.99 per month to receive a series of perks. Twitter sees it as a way to let creators and publishers get paid directly by their fans.Twitter also announced a new feature called Communities, which appear to be its take on something like Facebook Groups. The company currently promises speeds between 50 to 150Mbps, and Musk specifically calls out a 300Mbps goal in his tweet.While 300Mbps isn't unheard-of speed, it's faster than many people currently have access to, especially in the low-to-medium population density areas that Musk talks about targeting in a second tweet.In the reply, Elon also tells the person that their latency should improve to around 20ms as well. In the speed test screenshots, their latency was at 34 and 44ms respectively, while Starlink's website says to expect between 20 and 40ms during the beta.The speed increase and latency improvements should come as a nice surprise to anyone who put down a $100 Starlink pre-order. However, it's well known that Elon's promises about the future should be taken with a grain of salt, especially if they're about timelines. Still, this shows that SpaceX is looking to speed up Starlink, and it might be able to keep pace with what's available from a copper wire running to your house.Stump - In an area like ours where we only have 1 choice for internet do you think this service will make a good competitor?Entertainment NewsSpider-Man 3 Title Officially Revealed: No Way Home - Screen RantLastly from screenrantSpider-Man 3 is officially titled Spider-Man: No Way Home. Marvel Studios and Sony Pictures Entertainment's collaboration on the web-slinging hero has come a long way since it first started in 2015. It was followed by Tom Holland's Peter Parker debuting in Captain America: Civil War and since then, he's appeared in a Marvel Cinematic Universe film every year. That includes two solo movies, as well as two Avengers projects. Now, the character will embark on another standalone adventure.Not much is known about the plot details for Spider-Man 3 as of now, but it sounds like it's shaping to be one of the most interesting projects in MCU Phase 4. While Holland and other filmmakers have been mum about narrative specifics, they've been hyping the project as they're currently in the middle of production. Several set images have also made their way online, giving an idea about what to expect from the blockbuster. More recently, Marvel Studios and Sony Pictures Entertainment have started marketing the film with the release of the first look on the movie, as well as some fake titles just to troll the public.It's also exciting to finally know the movie's title, especially after the many fake outs. Audiences have been speculating about the sequel's name since it was first announced, with No Way Home even trending on Twitter just ahead of the reveal. Considering most assume the movie will focus on the multiverse, the title makes a lot of sense. It's entirely possible Holland's Spider-Man will find himself on a different world or in a different timeline, perhaps aided by Tobey Maguire or Andrew Garfield's Spider-Men. With so many rumors and reports already swirling about Spider-Man: No Way Home, the newly revealed title should only increase the speculation. Hopefully, more information will be revealed as the movie nears its release date later this year.Jeff - What are you looking forward to with this possible multi spidey crossover?Batman's next comic series is a Fortnite crossoverDC Comics and Fortnite developer Epic Games are joining forces on a new Batman and Fortnite-themed crossover comic book. The six-issue miniseries, titled Batman / Fortnite: Zero Point, will debut on April 20th. Two issues will then launch in both May and June before the series concludes with a final issue on July 6th.Longtime Fortnite fans might have perked up at the mention of the Zero Point, a reality-warping ball of energy that is hovering over the middle of the Fortnite island and is the catalyst for this season's many brand crossovers. (Just yesterday, Ellen Ripley and the Xenomorph from the Alien series were added to the game.) It seems the Zero Point will play a key role in this comic miniseries, according to this plot summary:“A crack splits the sky above Gotham City... a tear in reality itself. And now, the long-planned film adaptation of Jaime Reyes's antics has just taken a major step forward, landing Angel Manuel Soto as its director.This information was reported by The Wrap, as movement on the Blue Beetle solo film has made that momentous leap into action. Soto's work as a director could recently be seen with the HBO Max original Charm City Kings, and now that film has helped catapult him into a prime directing gig on this Warner Bros / DC Comics project. Is Blue Beetle better suited as a super serious origin story that brings Jaime's origins into dramatic life?   In today's episode Nicky P and Lizzie review For Whom The Sleighbell Tolls, episode eight from season six of American Dad. The show is one of Nicky's favorites and despite the rampant violence even managed to get a few chuckles out of Lizzie. I'm always amazed when shows centered around ensemble casts of terrible people still manage to put out episodes with genuine heart. This is one of those episodes. In the fields of maimed elven soldiers and piles of gored reindeer, the Smith family leans into family and survives Santa's waves of attacks. For this year anyway. This was a wonderful start to the Year-Round Tree season, thanks for spending it with us.       Beverages For Round The Fireplace Nicky P has shown up with a Yuletide Moon Red Holiday Cocktail, recipe care of cottercrunch.com featuring: a merlot, bourbon, maple syrup, cherries, clementine juice, and a bit of cinnamon. Lizzie is drinking a Rosemary Gin Gimlet from Biscuits & Booze featuring: Gin, lime Juice, Pomegranate Arils, Simple Syrup and rosemary sprigs. Basically, it's a G&T with extra herbal flavor.     Christmas Sweater Fever Nicky P was topless for this episode, to really get the hillbilly moonshiner vibe. Lizzie was apparently riled up by Stan Smith and has shown up to our recording wearing a bikini made out of popcorn and cranberries like the classic garland. In this episode I look at the American writer, Ernest Hemingway´s relationship with Madrid and wider Spain and how Spain and the Spanish capital inspired and influenced his writing. Ernest Hemingway is commonly associated with a handful of places around the world, most notably Paris, Pamplona, Havana, Key West and Ketchum, Idaho, where he took his own life in July 1961. But, Ernest Hemingway also had a lifelong love affair with Madrid and many of the city´s locations inspired his works such as, The Sun Also Rises, Death in the Afternoon and For Whom the Bell Tolls. Don Ernesto, as Hemingway was affectionately called by the Spanish, spent numerous stints in Madrid. He was here for chunks of the late 1920s, late 1930s, and parts of the 1950s, with his last visit in 1960. Joining me in this episode to help trace Hemingway´s footsteps around Madrid is Stephen Drake-Jones. Stephen is a historian, lecturer and tour guide with an encyclopedic knowledge of various periods of Spanish history and is also an expert on Ernest Hemingway´s Madrid. Stephen and I met up in one of Ernest Hemingway´s favourite Madrid hangouts – La Cerveceria Alemana – on the leafy Plaza Santa Ana and we pulled up two chairs at the exact table in the bar´s window where Hemingway often used to sit and drink. In fact it is where he gleaned much information for his classic, Death in the Afternoon. He wrote the appendix to the book in La Cerveceria Alemana, picking the brains of the numerous bullfighting aficionados who would hang out there.
