This Day in Legal History: Constitutional Convention AssemblesOn May 14, 1787, a pivotal moment unfolded in American history as delegates from each state began to gather in Philadelphia for what would be known as the Constitutional Convention. This assembly was critical in shaping the nation's future, aimed at addressing the deficiencies of the Articles of Confederation—the loose framework that initially bound the states together after independence.As the delegates arrived, the stakes were incredibly high. The existing government structure under the Articles was proving inadequate in managing various critical issues, such as interstate disputes and financial instability. The Philadelphia meeting was convened to create a more robust federal government while ensuring that individual liberties were not infringed upon.Notably, every state except Rhode Island sent representatives to the Convention. Among the attendees were some of the most distinguished figures of the era, including George Washington, who was unanimously elected as the president of the convention, and James Madison, now considered the "Father of the Constitution" due to his pivotal role in drafting the document.The convention sessions were held in strict secrecy, a decision made to foster open debate and prevent external influences. The result of the intense deliberations, which continued until September 17, was the creation of a new Constitution. Menendez, a New Jersey Democrat, has denied wrongdoing, pleading not guilty to 16 charges, including bribery, fraud, acting as a foreign agent, and obstruction. The trial also involves two New Jersey businessmen, Wael Hana and Fred Daibes, and Menendez's wife, Nadine, who will be tried separately due to medical reasons.The accusations detail that Senator Menendez accepted substantial bribes, including cash, gold bars, and a luxury car, in return for political favors to the governments of Egypt and Qatar. The FBI discovered much of the cash hidden at the Menendezes' home. Menendez allegedly facilitated arms deals for Egypt and attempted to secure a monopoly for Hana on halal meat certifications to Egypt. He is also charged with attempting to influence a Qatari investment fund on behalf of Daibes and interfering in a criminal case against him.Despite the severity of these charges, Menendez has not resigned but has stepped down from his role as the leader of the Senate Foreign Relations Committee. His previous legal troubles in 2017, involving a wealthy Florida ophthalmologist, ended in a mistrial. As the current trial unfolds, Menendez faces significant public disapproval in New Jersey, complicating any potential reelection efforts. His wife's trial is scheduled for July 8, where health concerns will play a central role, and Menendez might shift blame to her as part of his defense strategy.Jury selection to resume in US Senator Menendez's corruption trial | ReutersThe Delaware Supreme Court is set to hear an appeal concerning a substantial attorney fee award in a lawsuit involving Dell Technologies Inc. and a $1 billion stockholder settlement over a stock conversion, which was allegedly coerced by Michael Dell and Silver Lake LLC in 2018. This case, which is notable for its rare nine-figure fee award, reflects a broader discussion in Delaware about how much plaintiffs' attorneys should be compensated in significant legal settlements.In this particular case, attorneys who facilitated the historic settlement were awarded $267 million, which represents the second-highest fee ever awarded in the state's Chancery Court history. The debate over these fees has even drawn input from law professors, with some advocating for a declining-percentage method used in federal courts, which reduces the percentage fee as the settlement amount increases.This ongoing legal debate highlights the evolving challenges and considerations in determining reasonable compensation for legal services in major corporate litigation, especially in a state known for its significant corporate law cases.Dell Fee Request at Delaware High Court Could Impact Tesla SuitsThe legal battle involving 21 young plaintiffs in a significant U.S. climate lawsuit has reached a precarious point following a recent decision by the U.S. Court of Appeals for the Ninth Circuit. The court granted a February request from the Justice Department to dismiss the case, known as Juliana v. US, directing Judge Ann Aiken of the U.S. District Court for the District of Oregon to terminate it. This lawsuit, aiming for government accountability on climate action, has seen setbacks before, including a 2020 dismissal where the plaintiffs' demands for more aggressive government intervention against global warming were deemed beyond judicial capability to grant.The plaintiffs, represented by Our Children's Trust, are now considering limited options, such as requesting a full panel rehearing at the Ninth Circuit or potentially escalating the matter to the U.S. Supreme Court. However, legal experts, including Michael Gerrard of Columbia University's Sabin Center for Climate Change Law, caution against the latter due to the Supreme Court's current composition, which may not be favorable towards climate-related cases.The recent ruling underscores judicial hesitancy to engage in what is seen as policy-making—a realm typically reserved for the legislative branch. Despite this, the plaintiffs' lawyer, Julia Olson, argues that a court declaration recognizing the unconstitutional nature of current government practices could be transformative, similar to past court interventions that advanced justice and equality. Yet, the feasibility of such outcomes appears increasingly doubtful under prevailing legal standards and judicial perspectives.With these challenges, some suggest that initiating a new lawsuit with updated claims might offer a more straightforward route, given the ongoing and emerging government failures in addressing climate change since the initial 2015 filing. This strategy could potentially bypass previous legal obstacles, presenting fresh grounds for legal arguments based on more recent developments in climate policy and its failures.Youth Climate Lawsuit Faces Dire Path After Ninth Circuit RulingJack Teixeira, a 22-year-old member of the Massachusetts Air National Guard, is facing further legal challenges after already pleading guilty to serious national security breaches involving the leak of classified documents. Teixeira, who had been arrested in April 2023, admitted to charges related to leaking sensitive information on military operations, including details about the war in Ukraine, under a deal with the U.S. Department of Justice that proposed a minimum of 11 years in prison. Despite this civilian court case, the Air Force has opted to pursue additional military charges against him, which could lead to another 10 and a half years in prison if he is convicted.These military charges include obstructing justice and failing to obey a lawful order, with a hearing set to take place at Hanscom Air Force Base in Massachusetts to assess whether the evidence is substantial enough to proceed to a court-martial. Be honest and transparent because people like to work with those they can trust.  Never give up and follow your gut instincts.  Be nimble and be ready to change course when necessary.  Do not get stuck in your ways.  Maintain a positive attitude. The uncertain future of commercial real estate Changing interest rates have led to some uncertainty regarding the future of commercial real estate. Despite those concerns, Danet is optimistic and believes the situation may not become as dire as some anticipate. She advises people to make the most of the situation until 2025 because credit markets may improve significantly by then and banks prefer finding solutions to make things work instead of repossessing buildings. Arthur Mitchell is a Senior Advisor at White & Case in Tokyo. White & Case is a global law firm with a global presence. White & Case is just over 120 years old, having started in 1901, it has progressed to the global firm it is today and serves clients worldwide. Mr. Mitchell has a long history with Japan. He has been in Japan for 54 years. Mr. Mitchell came to Japan when he was 14 years old for a short trip, again when he was 17 and a few years later again as a third-year exchange student in college. After this exchange, he returned to the US, to complete his undergraduate studies at the University of Berkeley and went on to Harvard University for Law School. After Law School, in the US it is typical to get hired at a firm that you did an internship in a previous summer, but Mr. Mitchell didn't want to work immediately after graduation, so he decided to take up a Fellowship at Kyoto University.   Mr. Mitchell is getting the sense that there are innovative things going on in Japan. He is seeing that the young people are not necessarily aspiring for government roles or large corporate roles, they are aspiring for more entrepreneurial roles or ventures. Speaking from the perspective of law, he says that the law usually changes with innovation. He is seeing from the 2 companies, where he serves on the board, that the senior management is seriously considering moving towards digital transformation and innovation. Mr. Mitchell not only relies on younger staff within his firm, but also young friends outside the firm to help him further understand technological innovation.   Mr. Mitchell explains some of the things that he has been doing to improve engagement with his employees. Before COVID they used to have in-person seminars, this moved to online webinars, but these leave very little room for personal interaction. Typically for more complex matters, the best way is to sit in a conference room, use a whiteboard and have back and forth discussions, but COVID has made this very difficult as everyone is working remotely, and it becomes very difficult to read the roam in a virtual meeting.   Regarding foreigners coming to Japan, Mr. Mitchell has heard one of the biggest challenges foreign staff face in Japan is explaining the situation back to their home offices. The larger, better organizations understand Japan's work culture and their managers and staff are better equipped to work in Japan. Sometimes, newer organizations that haven't had much exposure to Japan previously, it is challenging to explain the situation back to the home office. The pace of Japan can be quite slower compared to other countries, for example a decision can involve many coffee meetings, talking with multiple stakeholders and convincing a lot of people. Many of the global companies, Mr. Mitchell works with, have realized that they need to speed up the pace of decision making, their changes and their approach to the markets. Mr. Mitchell defines leadership as setting a clear vision and defining the mission. Mr. Mitchell also suggests that in the upcoming years, organizations may need to change the way hiring is done. Currently, companies recruit from the Legal and Economics departments, but if technology is going to play a more important role in the future, perhaps hiring needs to be done from the Science Faculties. Mr. Mitchell also notes that Japan has a shortage of people. Lastly, he says that leading in Japan requires a lot of listening and being a good listener works well for business.

Intro.(1:40) - Start of interview.(2:08) - Chris's "origin story": he grew up in East Greenwich, Rhode Island, but has spent most of his adult life in NY or outside of DC. He started out as a derivatives trader right out of college. Then he went to law school. After law school, he joined White & Case and later Sullivan & Cromwell to focus on M&A transactions. In the late 1990s (during the "dot com" era), he joined Bear Sterns as an investment banker in the tech group.(7:40) - On his move to join ISS in a newly created role as director of M&A research, in the midst of the HP-Compaq merger. "I think I was hired originally as a CYA sort of process." "But I happened to arrive at the onset of what I think was the beginning of the modern age of hedge fund activism in 2004 (Bill Ackman had just formed Pershing Square, Nelson Peltz started Trian, Jeff Smith with Starboard Value, etc.). It was perfect timing and fortuitous."(10:54) -  On how ISS makes its voting recommendations on contested M&A and activist campaigns, and how the first thing he did at ISS was to create a framework to deal with contested M&A situations and proxy fights for board seats. The framework is still being used today by the ISS Special Situations Team. Institutional investors needed this guidance.(15:53) - On how he grew the ISS Special Situations Team over time, with people experienced on public companies. Very different team than those of say-on-pay proposals or other more junior analysts. "The way I thought about it was the moment I pressed the button of recommendation, if I had all my retirement money on that one specific stock, how would I vote after I had the inside look."(20:34) - On the importance of the ISS vote: "Depending on the make-up of the share register, between 20-30% of the share register is going to be at least influenced by the ISS vote, in particular if Glass Lewis has the same recommendation."(21:52) - On his transition from ISS to Credit Suisse ("after 7 proxy seasons at ISS"). He joined CS to start a dedicated contested situations team on the corporate advisory side: "Today almost every bank has a dedicated team but back then it was only Goldman Sachs." "Banks do not represent activists, the market has dictated that. If you cross that Rubicon, the competition will use that against you. I personally think that is shortsighted, it may change over time. Just like banks did not represent hostile bidders in M&A, until they did."(27:19) - On his current role at Jefferies. "It's a growing platform seeking to capture market share for public company M&A." We have a team of 5 people dedicated solely on hostile M&A, contested "friendly" M&A transactions and activism defense.(30:00) - His take on the current proxy season, including Engine No.1's successful proxy fight with Exxon Mobil: "I've seen a lot of events that were deemed landmark, and Exxon could indeed be deemed a landmark situation. I know Charlie Penner (from his time at Jana Partners) and I knew that Engine No.1 wouldn't wage a proxy fight based on [Jana's 3Vs template], where one of those Vs is having the necessary votes...In addition, Exxon Mobil had been considered a pariah at least since the mid-2000s,  due to its refusal to engage with major investors and proxy advisors. These factors plus a period of under-performance by Exxon meant that Engine No.1 picked the right target [and they ran a very good campaign]."(34:33) - But for Chris, the hard part for Engine No.1 is what's next: now that they have 3 board members at Exxon Mobil, will they deliver on their promises? Chris is reminded of the case when he supported Nelson Peltz at Heinz (at the time a landmark proxy fight on a board election contest). Jeff Smith gave an interview about the Engine No.1 proxy fight and he brought up the Darden case, the first time an activist had succeeded in replacing an entire board of a Fortune 500 company (and they performed fairly well thereafter). "Let's see what we will be saying three years from now about the Exxon proxy fight, will Exxon change and if they do, will the results be good and driven by Engine No.1?"(37:00) - On the rise of global M&A and PE. "There hasn't been a ton of messy M&A, but we are starting to see more." On companies going private: "it's an inventory problem, more and more companies are leaving the public markets." In the UK, there is a national angst over the raiding of their companies (it's easy to take-over companies in the UK).(39:59) - On public vs private markets. "The private market is growing much faster than the public markets." On dual-class stock. On the different cultures in Silicon Valley and Wall St: "it depends on your story, if there is a story of value creation and people believe in the management and the board, they may sacrifice their own rights [to get a piece of the action]. The problems will arise as the company matures and under-performs with those structures [such as with dual class shares], but then you can always get rid of them later." The question he asks of his capital market colleagues: "Do people love this company? Is it oversubscribed? To what level? To some degree you don't have to give public investors anything. Money talks." Just like with shareholder activism: "It's where people have lost money, or money has been 'dead money' is when they start to get anxious and agitated about the people running the company." "Share price performance is the best defense, it's the first thing that I have in the book for boards of directors." "But almost every company at some point,  even the great companies, will have something hit them and that's when they are vulnerable. If they can fix it quickly then they're out, but if it sits there for 2-3 years [in the case of Exxon it was multiple years], then they become vulnerable."(45:56) - On the positive and negative sides the SPAC trend: "The real reckoning will only be known in 2023 when a huge number of these SPACs will have to deliver on their acquisitions." "The future of this market will depend upon will there be more success stories than failures and how they will be covered in the media and other outlets. The jury is still out."(49:41) - On the sustainability and ESG trend: "I don't know if it will maintain its current level of importance." "[It reminds me] of the overcrowded trade from back in my day as a derivative trader in the dot com mania peak. With ESG it seems like the same thing: the buzz over the last few years has created a tremendous flow into ESG focused funds. But there is a difference between saying that ESG creates outperformance or if it mitigates risk (the latter almost everyone agrees)." "What's interesting to me is that there are already three hedge funds that are focused on ESG strategies: Engine No.1, Impactive Capital (founded by Lauren Taylor Wolfe) and Inclusive Capital Partners (Jeff Ubben)." "There are also more companies supporting shareholder proposals (instead of opposing them)." "After the Exxon proxy fight, directors realize that they may be taken out by sub 1% shareholders."(57:48) - The book that has greatly influenced his life:For Whom the Bell Tolls (1940), by Ernest Hemingway. "It mostly taught me about the economy of language, and the power of simple, stark, declarative sentences in the active voice."(58:56) - His mentor: his father.(59:52) - His favorite quotes: a mish mash of 'carpe diem', 'we're not promised tomorrow', 'live in the moment', don't stress over the past or obsess over the future', [they are all kinda the same thing] "but I try to wake up  every day and live that way, not only in the difficult times."(1:00:41) - An unusual or absurd habit that he loves: he's still a die-hard metal head. In college he had radio show and his moniker was "Dr Metal"!(1:01:37): The living person he most admires:  "To me it's the group of people that sacrifice for a greater good, whether it's the military, first responders, and particularly (most recently) essential workers, healthcare workers and others that let others live their lives (often under duress). Calling All Cars is an old-time radio police drama in the United States. It was broadcast on the CBS West Coast network and on the Mutual-Don Lee Network November 29, 1933 - September 8, 1939 and carried by transcription on stations in other areas. The program was notable for being one of the first police dramas on radio. Format. Calling All Cars dramatized cases that had been handled by the Los Angeles Police Department. A typical episode began by relating the facts of a particular crime, then introducing individuals who were associated with the case. A dramatization followed, climaxing in the arrest of the criminal. The outcome of a trial wrapped up the story. In On the Air: The Encyclopedia of Old-Time Radio, radio historian John Dunning described the program as "a crude forerunner of a type that reached its zenith years later on Dragnet: the tedious routine of tracking killers and robbers, often with a post-show recap telling how justice was meted out." Personnel. Chief James E. Davis of the Los Angeles Police Department was the host of Calling All Cars, and Charles Frederick Lindsey, professor of speech education at Occidental College, was the narrator. Other on-air people were uncredited. William N. Robson wrote and produced the program, with Mel Williamson and Sam Pierce also writing for it. Robert Hixon was the director. Sponsors. Networks. Calling All Cars was sponsored by Rio Grande Oil Co., which had dealers in California, Arizona, and Nevada, with commercials promoting its petroleum products and other products and services for vehicles. The company augmented the radio broadcasts with the monthly publication Calling All Cars News, which was available free from service stations that sold Rio Grande products. Issued often contained stories that were related to upcoming episodes of the program. By November 1936, the publication's circulation had reached 400,000. Rio Grande also created an organization for young listeners. After filling out a form obtained from a dealer and sending it in, a youngster received a metal badge with "Junior Police Safety Department" on the front. Syndication. As time went on, other sponsors used transcriptions of Calling All Cars, spreading it beyond its original western and southwestern coverage. In January 1939, Axton-Fisher Tobacco Co. began sponsoring the program on stations in Detroit, Michigan, and St. Louis, Missouri, advertising Twenty Grand cigarettes. In March 1939, Gruen Watch Co. began sponsoring it on a station in Syracuse, New York. In May 1939, Liebmann Breweries began sponsoring it on eight stations in the eastern United States, advertising Rheingold Beer. In February 1940, Ford dealers in the midwestern United States began sponsoring the series on eight midwestern stations; the dealers had already been sponsoring it on a station in Des Moines, Iowa. Recognition. On December 21, 1938, Calling All Cars received the Institute of Audible Arts Trophy for "the most consistently excellent program broadcast in western United States during 1938 ".

Né en Iran, Saam est l'un des plus grands avocats du barreau d'affaires. Episode summary: A short summary of LawGeex an AI contract negotiation tool, as well as an interview with Noory Bechor, LawGeex CEO.Episode transcript (What does LawGeex do?)This week I’m genuinely excited to be learning about LawGeex, an AI tool in the contract negotiation arena, and yes we have already covered Scissero and Legalsifter in this space, but hopefully this episode will make it easier for you to put some distance between all of them. In particular I'm interested in LawGeex because they have been going through a lot of change since they took a $12m investment round last year, and we are fortunate enough to be talking about some of those changes with LawGeex CEO, Noory Bechor.Just to do a quick refresh for everyone, tools in the AI Contract Negotiation category are tools intended to help with the back and forth negotiation and redlining of day to day contracts, with the aim of helping you do that more quickly, more consistently and with fewer errors.For those already familiar with LawGeex, you'll know that like other AI tools on the market it automatically locates clauses in contracts to speed up review time and also lets you configure some logic based on your standards. For example you can tell the tool to only accept governing law in a contract if it is New York.  Typically LawGeex focuses this functionality on the simpler high frequency contracts, NDAs and the like.Something however that separates LawGeex from most tools on the market is that they have technology plus service offering, not just technology. Back at LawGeex HQ there is a permanent team of human lawyers double checking uploaded contracts in situations where the AI raises its hand and says "I struggled a bit on this one can you help me out”.If you've used LawGeex before you’ll know that in previous versions there was a user interface that let you review changes and make edits, but in what is a pretty dramatic departure from that, LawGeex has now done away almost entirely with its user interface, opting instead to have you simply submit and receive contracts via email, a format most lawyers are probably more comfortable with. Really the only interface that’s still there is one that allows your to do the setup and configuration of what your contract policies are.As if that wasn’t a dramatic enough, LawGeex has one more trick up its sleeve. They now also claim to be using AI to automatically edit contract language in line with your particular policies, not simply locating language and flagging issues as we've seen before. This would make it a direct challenger to Scissero which claims to have pioneered this technology in the market. However, now that LawGeex doesn’t have much of a user interface it is quite hard to actually see the technology in action, as you just receive back the redlined contracts, which may also have been reviewed by their in-house lawyers. Episode transcript (Who should useLawGeex?)So who wants to use LawGeex?Given this is the third tool in this category we've covered, I think we can safely assume that the AI assistance is going to speed up and improve contract review, with efficiency and quality benefits being greatest for large organisations.For LawGeex now that they have pared down their user interface I can see them in particular appealing to larger change resistant organisations, lawyers will be able to maintain their existing email workflow and shouldn’t have to adapt or learn much. The caveat to this being that upfront configuration of policies will still be needed during implementation, it is hard to know exactly how much effort this will require as it will vary based on organisation requirements.The additional option of human reviewers that LawGeex offers in-house might also appeal to first time adopters of AI that are looking for some extra quality guarantees, even the best AI can’t be 100% right all the time. Aj tento rok vychádza v magazíne PRÁVO, ktorý sa dá kúpiť na stánkoch v piatok 29. novembra 2019; bude vložený v denníku SME. Čo rozhoduje o poradí právnických kancelárií v rebríčku a prečo nie sú medziročné rasty zisku o stovky percent podozrivé? Today, the Heels of Justice interview Maja Hazell is the Global Head of Diversity & Inclusion at White & Case. She oversees the Firm’s global diversity and inclusion strategy as a member of the Business Services Leadership team. She has led diversity and inclusion and career development initiatives for over twelve years, working for law firms, Fried Frank LLP, as their Director of Diversity and Inclusion, and Simpson Thacher & Bartlett LLP, as an associate. You’re from this firm?... Is anyone else coming?” — Clearly he thought a lawyer from a white shoe, 100-year-plus law firm could not possibly be a little black girl from the Bronx, and he didn’t feel the need to hide his reaction — I was so deflated and felt so awful that when I went back to the hotel I called my assigned partner-mentor and I told him what happened, he replied “Listen Maja, he’s an a**hole, you’re there to do a job and I know you, you are going to be great at that job.” He just affirmed me and built me back up.”

Investoři nejsou jen velké venture kapitálové fondy, jak to občas ve světě startupů vypadá. Mohou to být i jednotlivci, kterým se povedlo v podnikání vydělat dostatek peněz na to, aby mohli sami investovat do zajímavých projektů. Jedním z takových investorů-freelancerů je i Jan Urban. Honza začínal jako právník ve White & Case, posléze v McKinsey & Company a následně založil několik vlastních firem, které postupně prodal. V rozhovoru přiznává, že dnes ho živí zejména prodeje firem, do kterých vložil své peníze. Kromě toho ale sám i dál podniká, ačkoliv právě prochází obdobím, kdy by se jako investor rád posunul zase o úroveň výš. Naše rozhovory sleduje řada podnikatelů, kteří rozjíždí vlastní projekty a hledají investora. Proto jsme si s Honzou povídali o tom, jak nad investicemi přemýšlí a podle čeho je vybírá, což mohou být cenné informace pro všechny, co chtějí investory pochopit a případně je oslovit. Neskončili jsme ale jen u toho. Řeč totiž přišla i na začátky podnikání a rozjezd firem jako takových. Probírali jsme, co by měl dělat zakladatel firmy a s jakou filosofií by ke svému byznysu měl ze začátku přistupovat. Probrali jsme i časté chyby v podnikání a angažovanost, kterou od investora požadovat. Internet je plný návodů o tom, jak oslovit investora a jak od něj získat peníze pro vlastní startup. Nic se ale nevyrovná možnosti slyšet samotné investory na vlastní uši a před oslovením se s nimi alespoň touto cestou seznámit.
