In this week's episode, MT's editorial team discusses some common traps in M&A deals and whether consultancies should be held accountable for the actions of their clients.This week a mega-deal was unveiled in the food delivery market when we heard that tech investor Prosus had agreed to acquire Just Eat Takeaway. While at €20.30 per share the offer represents a 22% premium to the company's recent three-month stock price high, it still comes in at less than a fifth of the share's peak in 2020, after a tumultuous few years for the company. The deal comes as Warwick Business School professor John Colley reflects on a previous M&A involving Just Eat Takeaway – its acquisition of Grubhub in 2021 – which he considers as an example of when acquisitions go wrong. We discuss some of the common M&A traps Colley outlines.Consulting firm McKinsey has become the latest target of the environmental movement Extinction Rebellion. Chatting to JoAnna Puzzo , Cat Behaviourist and Training Manager to find out more about the growing number of abandoned cats in the Charity's care, how they're rehabilitated with behavioural and veterinary care. Particularly as Battersea is currently at capacity with the most abandoned, gifted and stray cats ever! With a look inside their new cat facility where the residents have amazing cabins, pods or studios packed with every aspect of enrichment. Rehabilitating up to 145 cats across the Charity's three sites at any one time, JoAnna explains that she's never surprised by the range of feline personalities. We had the pleasure of interviewing JODA over Zoom video.Anjunabeats is pleased to announce the release of the self-titled debut album from JODA, aka Jono Grant and Darren Tate.Grant is one-third of Above & Beyond who, over the course of a two-decade career, have established themselves as one of the biggest electronic groups in the world. Eight studio albums (including one as vocal trance group OceanLab and two acoustic reworks), 17 compilation albums, a film score, and nearing 100 singles speak to output as varied as it is prodigious. Their label Anjunabeats is home to a bustling community of artists with over twenty years of catalog.As a classically trained musician, songwriter, producer, and hitmaker, Tate is an OG Top of the Pops-botherer. In the early Noughties, at the outset of his career, he appeared on the show three times, once with Angelic, his collaboration with Judge Jules and the latter's wife, performing classic trance banger It's My Turn, then twice under the name Jurgen Vries. The following years saw more musical adventures, more Top 40 UK hits (12 in total), and more pseudonyms, including the trance-facing DT8 Project.In 2003, the pair managed to sync their schedules to work on a couple of tracks, 'Let The Light Shine In' and 'Nocturnal Creatures'. Clearly, there was chemistry here. But as the pair's respective careers subsequently took them off around the world in opposite directions, reconnecting other than fleetingly was never easy. Then in 2019 Tate returned to his trance roots and signed to Anjunabeats for his DT8 Project releases. Around the same time, Above & Beyond received an offer to score an environmental documentary, 'The Last Glaciers'.Jono and Darren got stuck into composing together, and it became a dream project all-around – not least because it sparked further ideas. So, JODA was born. Working in Tate's studio in suburban north London, and A&B's south London HQ, the pair were in a creative bubble during the early days of the pandemic. And the partnership proved fruitful.An artful evocation of electronic music's decade-zero, 'Try' is "rooted in classic songwriting", according to Grant, taking a page from classic synthpop. In this live on location recording, Oliver caught up with Andy Shovel co-founder of vegan food brand THIS at their London HQ. A born entrepreneur Andy's hit the headlines recently for his slightly ‘out there' marketing stunts, one of which included a life size naked statue of Piers Morgan in Leicester Square with his ‘THIS' product housed around Piers' nether regions… That said, the self proclaimed ‘un-cool' entrepreneur that is Andy, co-created his first business with a group of mates whilst at University. Ironically quite a ‘cool' clubbing night called ‘cash throw events' and yes the clue is in the name, it didn't take off financially but opened Andy's eyes to the possible. From University to founding a recruitment business which he later exited through to finance, insurance and everything in between Andy has built and sold multiple businesses. Not all of Andy's business ideas however have succeeded. One such flop was ‘Equity Fish', a business similar to what Crowdcube is today. Andy left this idea behind after being “outgunned by the legal system” - It didn't stop there however, Andy also ventured into advertising on escalator handles however, that too also didn't work… Relentless and not knowing when to stop, Andy has since learnt, thankfully, when to say ‘no'. Clearly however, and contrary to that, he said ‘yes' at exactly the right time when launching THIS, his most recent business. Having overfunded on multiple occasions and recently rolled out vegan THIS sandwiches into WHSmith and other high street stores, Andy's vision of a mass market vegan brand is coming to fruition as their current market value is circa £75million. The final blow came earlier this month after activists threw red paint over the office and blockaded its entrance. This comes on top of the news that in January, Elbit Systems had decided to sell their arms factory in Oldham, U.K., at a significant loss, after the site was repeatedly occupied by the same group.Today, Lowkey speaks to one of the co-founders of Palestine Action, Huda Amori. Originally from Bolton (around 12 miles from Oldham), Amori is Palestinian-Iraqi. Her father was chased from his home by Israeli soldiers in 1967.“This is a company whose whole business model is based on the destruction of Palestine,” she told Lowkey, adding:Elbit Systems was founded in Israel in 1966. And the main reason they were founded was to aid the dispossession, displacement and ethnic cleansing of the Palestinian people. Since then, they have continued to develop their weapons on the occupied people of Palestine. These weapons are often built in part or in full here in Britain, in our towns and cities across Britain and then are shipped off across the world to be used by other repressive regimes. Elbit systems manufacture 85% of Israel's military drone fleet. These drones are constantly used to entrench the Apartheid system over the captive population in Gaza, used to surveil, attack and murder Palestinians.”One of the world's largest arms manufacturers, Elbit produces much of the Israeli Defense Forces' machinery and ammunition and markets its products around the world as “battle tested” on Palestinians. Its products are sold globally, notably to the Indian military, helping their efforts to occupy Kashmir, and to British law enforcement, who are using the company's facial recognition software.“Whenever you see an attack on Palestinians, 99% of the time you can trace that back to Elbit Systems. If they are not producing the whole weapon, they are producing parts of it,” Amori said.Despite the significant material and reputational damage done to Elbit Systems, the company is extremely hesitant to take Palestine Action activists to court. The company finds itself in a lose-lose scenario whereby not prosecuting those practicing direct action against it encourages more of the same but doing so risks a barrage of negative publicity and scrutiny, plus the chance that a jury will side with Palestine Action, as has happened before. As Amori said,We wanted to get Elbit in court. We wanted to expose their crimes. And we knew that whatever happened, we could argue our case and we wanted to turn it around onto Elbit's crimes because that is the reason we take action. Over dinner at The Wolseley, in London's Piccadilly, two friends — a product designer and a men's shaving accessory purchaser — discuss the uninspired task of regular wet shaving and identify a lack of genuine quality razors and shaving brushes to make shaving once again, the exciting self-indulgent ritual it should be. The days of lathering up a badger hair shaving brush with a delicate, scented shaving cream, loading a double edge blade into a 3-piece safety razor and applauding hand-crafted shaving implements seem all but forgotten in the efficient-driven age of electric shavers and disposable multi-blade razors. The UK is now in phase two of its battle plan against coronavirus. The infection has defied containment, so now doctors are trying to delay a severe outbreak. The country's chief medical officer Chris Witty explained what measures are now being taken to the Commons health and social care committee, and gave a warning that he expects the number of people to catch the virus “only to go up.” The Leader podcast speaks to the Evening Standard's deputy political editor, Nicholas Cecil, to explore the latest developments. On today's show I welcome Julia Kessler and Kerstin Robinson, founders of Nix & Kix, a health-focused soft drinks brand with the added kick of cayenne pepper. It certainly worked for me as I was most definitely flagging in the London heat! In 2017, Edel Harris became the first woman to be named EY Scotland Entrepreneur of the Year. What arguably made that an even greater achievement was that she is CEO of a third sector organisation – the Aberdeen-based health and social care charity Cornerstone. Edel is a strong and charismatic leader, but also down-to-earth, which helps her carry people through times of significant change. She began her career as a police officer, left to start a family and then worked her way up to CEO status after returning to work at admin level and gaining a first-class honours degree through the Open University. From an Irish background but brought up in England, she has since been adopted by Scotland, is a director of the Scottish Council for Development and Industry, and is big fan of Aberdeen Football Club. Edel was interviewed in front of a live Scottish Business Network audience, at the London HQ of Bristows LLP, by Fraser Allen of White Light Media. When Oliver Bolton ordered 250,000 cans of his new drinks brand without any external market validation what so ever, he probably found himself in a little bit of a rut. Fast forward to today, he has not only made a success of that first business but evolved to create various drinks brands that you may have come across. The particular brand I’m familiar with and enjoy is ‘What A Melon’ which is a brand of watermelon water. In this conversation, Olly tells us how the idea for ‘What A Melon’ was born, his experience winning the Richard Brandson backed Virgin VOOM crowdfunded campaign which raising £77,000 and what life is now like as a drinks brand owner stocked in most food and drink retailers in the UK. I spoke to Olly at their London HQ surrounded by as much melon merchandise as you could imagine. The walls were melon, the drinks were melon, the carpets were melon there was even a melon bike in the room. On this week’s #MediaSnack we report on a little feisty exchange of words between the CEO of GroupM UK, Nick Theakstone and Mark Finney the head of media at ISBA, the UK’s leading marketer trade association. It all stems back to March 2016 when ISBA’s head of consultancy practice Debbie Morrison launched they excellent media agency contract template with some comments to the FT which angered agencies. In her FT interview, Debbie had suggested that media agencies don’t have the best interests of their clients at heart anymore. The fight back from agencies at the time was quite aggressive but months have passed, the media transparency debate has gathered momentum in different areas, not least thanks to the ANA’s Media Transparency initiative and we probably felt it was water under the bridge. Not so. Last week Nick Theakstone thought that the recent success of one of ‘his' agencies MediaCom (the UK’s largest media buyer) at a media awards event entirely defended the agency community from the transparency concerns raised by ISBA. We discuss how this simply doesn’t make sense, the two things are entirely separate - and we doubt whether Nick would have been making the same point the morning after a successful awards sweep by Zenith. Whatever his intentions, Nick has managed to get headlines for himself and the agency for entirely the wrong reasons, of course everyone is talking about the sniping against ISBA rather than appreciating MediaCom's excellent work. Mark Finney, ISBA’s head of media responded in Campaign, reminding everyone that we need to revert to a more constructive dialogue - at the same time calling Nick’s words “baffling and disappointing” - they won't be exchanging Christmas cards this year one supposes. Next up, we share details of the excellent ID Comms CMO panel which we hosted at LinkedIn’s lovely London HQ. The event was an invitation-only networking and panel discussion, attended by 40 marketers from brands including Unilever, Mars, Lego, Universal Pictures, Disney, British Gas and Royal Mail. The panel discussion featured Martin Moll, Head of Marketing at Nissan Europe, Lindsay Pattison, Global CEO of media agency Maxus and Steve Hyde CEO of 360xec. Finally, we report on news that Adobe has acquired TubeMogul for $540m - a strong indication of the much-expected consolidation in the ad tech space is actually happening.
In a special series recorded at the London HQ of Blackout, the Talking Events podcast welcomed experts from the world of rigging to discuss several of the key topics set to affect the industry. Plasa’s NRC Manager Paul Riddiford, Technical Director of Unusual Rigging Robin Elias, and veteran rigger & rigging trainer Eric Porter all joined host James Dickson to discuss the National Rigging Certificate and the forthcoming Rigging Conference. The 2016 edition will be the 7th time the conference has formed part of the PLASA show, which this year will be held at London’s Olympia. During the podcast, the guests discussed the merits of the National Rigging Certificate (NRC) and what it has brought to the profession since its introduction. They also discussed why it was brought in and the assessment process that riggers go through in order to gain the certificate. The episode is the first of a three-part series that will look further into the world of rigging, including the new National Event Lifting Certificate (NELC) and the launch of a brand new national apprentice scheme for trainee riggers.
