Timothy Massad is currently a Senior Fellow at the Mossavar-Rahmani Center for Business and Government at Kennedy School of Government at Harvard University, an Adjunct Professor of Law at Georgetown Law School and a consultant on financial regulatory and fintech issues. Massad served as Chairman of the U.S. Commodity Futures Trading Commission from 2014-2017. Under his leadership, the agency implemented the Dodd Frank reforms of the over-the-counter swaps market and harmonized many aspects of cross-border regulation, including reaching a landmark agreement with the European Union on clearinghouse oversight. The agency also declared virtual currencies to be commodities, introduced reforms to address automated trading and strengthened cybersecurity protections. Previously, Mr. Massad served as the Assistant Secretary for Financial Stability of the U.S. Department of the Treasury. In that capacity, he oversaw the Troubled Asset Relief Program (TARP), the principal U.S. governmental response to the 2008 financial crisis. Massad was a partner in the law firm of Cravath, Swaine & Moore, LLP. His practice included corporate finance, derivatives and advising boards of directors. Massad was also one of a small group of lawyers who drafted the original ISDA standard agreements for swaps.Howell Jackson is the James S. Reid, Jr., Professor of Law at Harvard Law School. His research interests include financial regulation, consumer financial protection, securities regulation, and federal budget policy. He has served as a consultant to the United States Treasury Department, the United Nations Development Program, the World Bank, and the International Monetary Fund. He frequently consults with government agencies and congressional committees on issues related to financial regulation. From 2023 to 2024, he was a Senior Adviser to the National Economic Council.   Since 2005, Professor Jackson has been a trustee of College Retirement Equities Fund (CREF).  He has also served as a director of Commonwealth, a non-profit dedicated to strengthening financial opportunities for low and moderate-income consumers. At Harvard University, Professor Jackson has served as Senior Adviser to the President and Acting Dean of Harvard Law School. Before joining the Harvard Law School faculty in 1989, Professor Jackson was a law clerk for Associate Justice Thurgood Marshall and practiced law in Washington, D.C. Professor Jackson received his J.D. and M.B.A. degrees from Harvard University in 1982 and a B.A. from Brown University in 1976.Ralph Ranalli of the HKS Office of Communications and Public Affairs is the host, producer, and editor of HKS PolicyCast. In this way, the impeachment of Samuel Chase set the tone for what does and does not constitute a dereliction of duty in the federal judiciary. Henry Kissinger, who yesterday died at the age of 100, oversaw policies resulting in the deaths of millions during his tenure as National Security Advisor and Secretary of State under Presidents Nixon and Ford. His strategies contributed to mass casualties in Cambodia, Chile, East Timor, Bangladesh, and the Kurdish regions. The USS San Jacinto stopped the British mail ship Trent and arrested two Confederate envoys onboard–leading to a diplomatic crisis between the UK and the United States. On the 8th of November, 1861, a diplomatic incident with potential major ramifications for the U.S. unfolded as Captain Charles Wilkes of the U.S. Navy seized two Confederate diplomats from the British vessel, the Trent. This bold action by Wilkes was not sanctioned by the U.S. government and rapidly escalated into an international crisis, with Great Britain deeming the seizure a blatant infringement on its neutrality. The Confederacy had hoped that the envoys, James Mason and John Slidell, would secure recognition and support from Britain and France, but their capture threatened to pivot the two powers from neutrality to active opposition against the Union.The Trent Affair tested the diplomatic resolve of the Lincoln administration, which was simultaneously engaged in the Civil War. The British government's response was swift and stern, demanding the release of the envoys and an apology, while reinforcing its military presence near U.S. borders. On this day in legal history, September 22, 1692, eight people were executed for witchcraft in Salem, Massachusetts during the so-called “Salem Witch Trials.”The Salem Witch Trials were a series of witchcraft cases brought before local magistrates in a settlement called Salem, which was a part of the Massachusetts Bay Colony in the 17th century. The trials took place between February 1692 and May 1693 and are one of the most notorious episodes in early American history. It all began when a group of young girls claimed to be possessed by the devil and accused several local women of witchcraft. As mass hysteria spread through the community, a special court convened in Salem to hear the cases.The first convicted witch, Bridget Bishop, was hanged in June 1692. As the trials proceeded, accusations spread to individuals from surrounding villages. At the height of the witch hunt, more than 150 people were found guilty and 19 were hanged. Another man, Giles Corey, was pressed to death with large stones for refusing to enter a plea. Many others languished in jail for months without trials until the hysteria that swept through Puritan Massachusetts subsided.The Salem Witch Trials have long fascinated historians and psychologists as a cautionary tale about the dangers of isolationism, religious extremism, false accusations, and lapses in due process. It wasn't until 1711 that the colony passed a bill to exonerate the accused and provide financial restitution to their heirs. However, the damage had been done, and the events in Salem have since become synonymous with paranoia and injustice, serving as a vivid cautionary tale for more than three centuries.In a highly unusual move, U.S. District Judge Timothy Batten removed a white juror from a tax trial involving wealthy developer Jack Fisher, citing the juror's "racist behavior." Fisher is accused of arranging $1.3 billion in fraudulent tax deductions through syndicated conservation easements. The juror, known as Juror 26, had told the judge that she was "standing up for White people," leading to her removal and replacement with an alternate juror. The defense has indicated that they will appeal if Fisher is convicted, citing the rare step of juror replacement during deliberations.The trial has been fraught with racial tensions and discord among jurors. Judge Batten had to warn jurors against using profanity with each other and interviewed several members of the predominantly Black jury about their disagreements. Juror 26 had falsely accused another juror, a Black man, of saying the defendants should be jailed "because they are rich, White and entitled."Prosecutors had urged for the removal of Juror 26 due to her comments, lying to the judge, and refusal to deliberate. Defense lawyers argued that her statements were misconstrued and that she had resumed deliberations. Batten eventually decided to remove her, stating that he could not in good conscience allow her to continue on the jury.Fisher's lawyers have filed a motion requesting the removal of five other jurors or a declaration of a mistrial, which the judge has denied. The trial is set to resume with an alternate juror, and the jury will return on Friday after failing to reach a verdict.White Juror Tossed at Trial as Judge Cites ‘Racist Behavior' (1)Pharmaceutical companies like Boehringer Ingelheim Pharmaceuticals, Inc. and Novartis AG are gearing up to negotiate drug prices with Medicare in compliance with the Biden administration's Inflation Reduction Act. Companies have until October 1 to agree to enter these negotiations. Those who refuse will face a starting tax of 65% on the U.S. sales of the product in question, with the tax rate increasing by 10% each quarter up to a maximum of 95%. The Internal Revenue Service is yet to issue a proposed rule on how this tax will be reported and paid.Pharmaceutical companies argue that this tax violates the Eighth Amendment's prohibition on excessive fines. However, they are not waiting for further guidance from the Biden administration, as the Congressional Budget Office estimates that the tax could exceed a manufacturer's profits when combined with corporate income taxes. The primary focus for manufacturers is to collect data for the Centers for Medicare & Medicaid Services by October 2, which will help in determining each drug's maximum fair price.The Congressional Budget Office has not provided a clear estimate on the revenue from the tax penalty but predicts that drug manufacturers will comply due to the high costs of non-compliance. Companies have the option to withdraw their products from Medicare and other federal health programs to avoid the tax, but this would mean losing access to a vast customer base. Industry experts believe that non-compliance is not a feasible option and expect companies to accept whatever price the government dictates. The general consensus is that the tax is not designed to be paid but to force compliance with Medicare's drug pricing program.Drugmakers Aren't Waiting Around for Details on Medicare TaxA non-profit group opposing race-based education policies has filed multiple civil rights complaints against U.S. universities. These complaints challenge the legality of minority scholarships and other programs aimed at promoting racial diversity. The actions follow a U.S. Supreme Court ruling in June that banned the use of race in college admissions, commonly known as affirmative action. The group, called the Equal Protection Project of the Legal Insurrection Foundation, argues that the Supreme Court's decision should extend to all educational programs.The latest complaint accuses Western Kentucky University of violating civil rights law by offering scholarships exclusively to minority students. Other universities targeted include Kansas State University and the University of Nebraska-Lincoln. The U.S. Department of Education has not yet indicated whether it will launch formal investigations into these complaints.Advocates of race-conscious programs argue that they are essential for combating societal disadvantages faced by minority students. They warn that removing race as a factor in admissions and scholarships will result in fewer minority students at top schools. Some schools, like the University of Missouri, have already announced the elimination of race as a factor in awarding scholarships.Legal experts note that it's unclear whether the Supreme Court's ruling will extend to other race-conscious programs beyond admissions. The Department of Education's civil rights office is expected to become a key battleground for these issues. Meanwhile, some schools are exploring alternative methods to improve racial diversity, such as recruiting from underprivileged schools.Anti-affirmative action group, emboldened by US Supreme Court, targets scholarships | ReutersCisco Systems Inc. has announced its largest acquisition to date, buying cybersecurity company Splunk Inc. for approximately $28 billion. The deal is significant, accounting for about 10% of Cisco's market value. Cisco plans to pay $157 per share in cash for the acquisition. Once the deal is finalized, Splunk's CEO, Gary Steele, will report to Cisco's CEO, Chuck Robbins, and join Cisco's executive leadership team.Legal counsel for the deal involves several major law firms. Simpson Thacher & Bartlett is serving as legal counsel to Cisco, while Cravath, Swaine & Moore is acting as Cisco's regulatory counsel. On the other side, Skadden, Arps, Slate, Meagher & Flom is providing legal counsel to Splunk, and Cooley is advising Qatalyst, the financial advisor to Splunk.The acquisition aims to strengthen Cisco's cybersecurity defenses and enhance its artificial intelligence capabilities. On the other hand, James' legal team will argue that Trump and other defendants, including his adult sons and the Trump Organization, should be found liable for fraud even before the trial begins.The case is being reviewed by Justice Arthur Engoron and focuses on allegations that Trump inflated the value of more than 20 properties between 2011 and 2021 to obtain better loan and insurance terms. James claims that Trump inflated his own fortune by as much as $3.6 billion. Trump's lawyers argue that James has no authority to sue over what they claim are non-fraudulent private transactions and that most of her claims are beyond the statute of limitations.The trial comes at a time when Trump is leading in the race for the 2024 Republican presidential nomination, despite facing multiple legal challenges. Last week, Trump accused James of ignoring a court decision and called for a delay in the trial. Episode 32 of the Legal Tech StartUp Focus Podcast -- Interview with Jason Gabbard, founder of JUSTLAW In this episode of the Legal Tech StartUp Focus Podcast (www.legaltechstartupfocus.com/podcast), your host, Charlie Uniman, interviews Jason Gabbard, the founder of JUSTLAW(www.just.law) a startup that, as it writes on its website, offers families, individuals and small business “legal matters covered by our [monthly] protection plan.” Jason dives right into a recounting of his career and, we learn, it is a varied one from a business standpoint.   After law school, Jason spends four years in corporate law at NYC law firm Cravath, Swaine & Moore. Jason goes on from there (i) to found, in the early 2000's, a “distributed” law firm, (ii) to create a legal tech startup in 2010 that extracts M&A deal clauses from SEC databases and that, with humans in-the-loop, also analyzes those clauses and (iii) to found Counselytics, another legal tech startup, one that automates much of the analytics that went into Jason's previous startup's clause-based work.   Jason has successful exits from both of the above-mentioned startups. And, in fact, for several years works at Conga, the company that acquired Counselytics. All this leads to Charlie and Jason discussing the (over?) abundance of companies in the CLM space and the frothiness in the market for investing in legal tech startup (and in startups, in general). Charlie and Jason next turn to Jason's latest venture, called JUSTLAW, that aggregates small business demand for legal services and surfaces that demand to solo and small/medium-sized firm practitioners.  What's of particular note here is that the practitioners charge for their services available on the basis of a tiered monthly subscription model (with the tiers corresponding to different levels of lawyer services). Jason concludes this podcast episode with words of wisdom to other legal tech startup founders/leaders (i) who are eyeing (or may someday eye) an M&A exit, (ii) whose startups are deluged with customer feature requests, (iii) who are building senior level teams and (iv) who are just moving from practicing law to starting up a legal company.

She is a leading trainer on negotiation and mediation for many from the private and public sectors, including the United Nations, where she designed a negotiation workshop as part of the first ever skills-building summit for female diplomats, entitled “Women Negotiating Peace;” U.S. courts and federal agencies; private corporations, such as Comcast NBCUniversal, Time Warner and Viacom; and law firms, including Cravath, Swaine & Moore, Morrison & Foerster and Pillsbury Winthrop Shaw Pittman.     Back at home, she serves on the New York State Alternative Dispute Resolution Advisory Committee commissioned by Chief Judge Janet DiFiore; she previously served on the Alternative Dispute Resolution Committee for the New York City Bar Association as well as the Mediator Ethics Advisory Committee for the New York State Unified Court System.  She is an admitted mediator for the Southern District of New York.   Prior to joining the Columbia faculty, Professor Carter was associated with Cravath, Swaine & Moore LLP, where she worked as part of a team defending against a multibillion dollar securities class action lawsuit related to the Enron collapse, served as the senior antitrust associate on several multibillion dollar mergers, and handled cases involving copyright law.  She also worked as an analyst at Goldman Sachs. She is a former U.S. Fulbright Scholar to Taiwan.   Professor Carter received her Juris Doctor degree in 2003 from Columbia Law School, where she earned James Kent and Harlan Fiske Stone academic honors. She also won the Jane Marks Murphy Prize for clinical advocacy and the Lawrence S. Greenbaum Prize for the best oral argument in the 2002 Harlan Fiske Stone Moot Court Competition. After earning her degree, Professor Carter clerked for the Hon. Mark L. Wolf, U.S. District Court for the District of Massachusetts in Boston.   Professor Carter has been sought as a media commentator in the area of conflict resolution, with appearances on MSNBC Live, Hardball with Chris Matthews, the CBS Early Show and NPR Marketplace. Her first book, Ask for More: Ten Questions to Negotiate Anything, will be published by Simon & Schuster on May 5, 2020 and became an instant Wall Street Journal bestseller -- the first negotiation book solo-authored by a woman to make that list.   Professor Carter is the Executive Director of Stand Up Girls, a New Jersey organization dedicated to the empowerment of girls and women. She was raised by hard-working parents who told their daughter that she could do anything. Julie ran with that ethos all the way to Columbia Law School and a partner position at law giant Cravath, Swaine & Moore. Then she did something really unconventional: Julie quit Cravath, joined Accenture as general counsel, and rose quickly to head Accenture's North American unit, where she oversees one of Accenture's largest, most strategically-important businesses. In this podcast, Julie talks about what we all have to do amidst the tech revolution and disruption: learn continuously, develop flexibility, welcome divergent views, and collaborate constantly. Here are five things that Julie said that struck my team as particularly interesting:   Focus on learning and be deliberate in building a learning and development plan for yourself. "If learning is strategic and important, then it needs to be treated as a business priority." Think about risk-taking in your career as a positive. "Instead of thinking about fear, which is [inherently a] negative, or "I'm taking risks," start thinking about, Am I pushing myself and the organization far enough to achieve what they can achieve?'" The convergence of industries means experience spanning multiple industries is important and differentiating. "In a world where you have industry convergence, you can't just have people grow in the industry; they need to understand more." Learn communication skills from leaders around you that communicate well. "To become a good communicator, you need to become a student of other good communicators." In moments of stress, the ‘system' doesn't need more stress injected into it. It needs calm, stability, and rationality. Of Counsel to Posner & Ferrara, the New York law firm he cofounded, he is a member of the NY and DC bars as well as the International Criminal Court. In the past, he was a regular panelist on HistoryCENTER, the History Channel's Sunday current events program. He has been a freelance writer for many news magazines, and a regular contributor to NBC, the History Channel, CNN, FOX News, CBS, and MSNBC. In 2009 he was the Chief Investigative Reporter for The Daily Beast. A former member of the National Advisory Board of the National Writers Union, Posner is a member of the Authors Guild, PEN, The Committee to Protect Journalists, and Phi Beta Kappa. He is represented by BrightSight Group for lectures about investigative journalism and his books. His wife, author, Trisha Posner, works with him on all his project”The Vatican, one of the most well-known places in the world yet shrouded in some of the darkest of mysteries. In Posner's latest book, he paints an expose' that reveals some of the shady dealings of one of the largest financiers in the world. Some may find it shocking that a religious institution would be tied to major under dealings, but it would not be the first time. From their secret archives implemented in the 17th century by Pope Paul V to the infamous “Ratlines” (passports issued by the Vatican to NAZI and SS leadership to escape Europe to Central America) during World War II, the Vatican is no stranger to controversy.This is a short but powerful interview and Gerald's work is certainly worth looking into.
