On the Monday before the Christmas holiday, USANA Health Sciences (which if you didn't know is a U.S. public company trading on the NYSE under the stock ticker USNA) announced its acquisition of an almost 79% controlling ownership stake in Hiya Health for a $205 million cash transaction…with contract features providing acquisition of the remaining equity at a pre-negotiated valuation scale. For the last twelve months ended September 30, 2024, Hiya Health generated net sales of $103 million and adjusted EBITDA of $22 million. That implies a transaction value of approximately 2.5x trailing twelve months revenue or almost 12x adjusted EBITDA…both of which are mostly in line with recent M&A transactions across the VMS industry. And though other founders love to obsess over those comparative metrics, regardless of where they landed, I'd imagine this is an amazing financial outcome for a company that was only founded four years ago…and raised in total a measly half-million dollars. But why would a multilevel marketing supplement company, that generates more than 80 percent of its annual revenue within the Asia Pacific region, acquire a direct-to-consumer (DTC) children's supplement brand focused on the U.S. market? And my latest first principles thinking content will explain the strategic rationale behind this M&A transaction including how the multilevel marketing business model appears to be falling flat for some companies after years of public scrutiny, regulatory pressures, and changing consumer tastes. Also, I'll examine several other value accretive investment opportunities that USANA has pursued to advance its long-term growth strategy. In December 2020, USANA made a strategic investment in the protein bar brand manufacturer Built Brands. Beyond receiving a minority equity stake (in a growing company), Built Brands' expertise was leveraged to accelerate the development, enhancement, and expansion USANA nutrition bars that were to be manufactured in its new foods plant. And then in November 2022, USANA acquired the protein bar brand Rise Bar. Additionally, in that same announcement…USANA acquired an emerging direct selling company (called Oola) that leverages a personal development framework to sell “mind and body” supplements. But for these companies dropping multilevel marketing…it's always important to remember that “grass isn't always greener on the other side.” But with the form of direct selling invented 80 years ago by Carl Rehnborg now becoming a tainted term of sorts today…I'd expect more of these MLM companies to add diversified layers of growth. Yet don't get it twisted…these moves are mostly targeted at slightly camouflaging the primary business model just long enough until multilevel marketing can be reframed (and transformed) into something more attractive to younger digitally native generations. Have you ever wondered why so many of the largest global supplement companies utilize a multilevel marketing strategy? Is it just that effective or is there something deeper at play? I can't be the only supplement industry professional that's ever wondered why an MLM brand like Herbalife sells more supplements in 90 days than a massive brand like Optimum Nutrition can throughout an entire year. Or that an MLM brand like USANA Health Sciences sells a billion dollars of supplements annually. Or that MLM brands like Shaklee, Shakeology, and Isagenix each sell hundreds of millions in supplements annually and rank in the top 25 biggest companies in the space that aren't owned by a CPG conglomerate. And then finally I can't forget about the largest MLM company in the world by revenue…Amway. But to explain the outsized impact Amway plays on all this MLM & the supplement industry stuff, I need to go back several decades before the company was founded when vitamin ingredients switched from being extracted from food to synthesized in a lab. During that same timeframe in the mid-1930s, Carl Rehnborg founds the California Vitamin Company…which is generally recognized as introducing the first multivitamin/multimineral supplement sold in the United States. In 1939, the name of California Vitamin Company is changed to one that might be much more familiar to the consumers today…Nutrilite. While Carl Rehnborg might hold a special place in the supplement industry history, he actually had a much larger impact on the multilevel marketing space. That's because in 1945…he invented the form of direct selling that is now called multilevel marketing. Nutrilite devised an approach whereby distributors purchased products at a thirty-five percent discount and then played the dual role of retailing products to non-distributor consumers while also recruiting new distributors in a pyramid-type incentive structure. But while Nutrilite might have started the deep connection between supplements and MLM, the Direct selling Association notes that today's largest single “direct sales” product category is wellness. This category of products (which includes supplements), represent 35.6% of total sales in the Network Marketing sales channel…and wellness is the fastest growing category of all. Furthermore, I'll explore a few other historical linkages between multilevel marketing and the supplement industry...including why women and Mormons in the State of Utah are important to this story. Ladd McNamara, M.D. is an author, educator, and international speaker, with a passion for health, truth, justice, and freedom. To have lasting happiness and health, one must have freedom to pursue truth in all areas, including the principles of wellness. In 1997, Dr. McNamara founded the Medical Advisory Board for USANA Health Sciences, the manufacturer of high quality, science-based nutritional supplements. He served on the board for over ten years, assisting USANA scientists with product development, and educating medical professionals and the lay public regarding the application and power of nutritional supplements. It’s not happy people who are thankful. It’s thankful people who are happy. For the past year or so, expressing gratitude has been a daily habit. It’s on my ‘Tanja’s ideal week” success tracker and I’ve been consistent, and it’s dramatically improved my life. "We Are Often Playing Small To Our Own Potential" Jen Groover From her earliest memories of being tied to her chair as a young girl by “Sister Elizabeth” for being too curious, Jen Groover she knew she was intrigued by conversation and networking. We discussed "fear" and how Jen now has more fear of regret, than fear of failure and I too am the same way. We also talk about the glass ceiling often being our own belief system. Jen talks about creativity assets are dropping out of the sky every day, but it is not until we take action that those assets can be turned into as many verticals and companies as you have time for. I ask Jen about where it is that she finds her inspiration. It was interesting to hear Jen talk about Reebok being one of the companies that she looked at to learn how to create, execute and repeat. It was then at QVC she discovered the importance of telling stories that would sell into people’s desires. It was here that she learnt the art of pitching and positioning for other brands, she then put that education behind her own company. [03:00] What triggered you to make a move to start your own business empire? My childhood was not ideal with a lot of uncertainties and unpredictability and fighting around money. I didn’t want that cycle when I got older. A desire to control my own fate to the point which I could. [04:05] In college, the idea of career path and the thought of getting a job is not appealing to me. [05:57] Your journey for the Butler Bag, your first product – how you went from concept to creation and what are your initial challenges? [06:25] I have twins and one day I was digging through my bag but I could not find my credit card and they were screaming and crying. I thought to myself – there has to be a better way. [07:25] You don’t complain about something unless you do something about it. [07:37] I trained myself to be inventive as I am not a designer, I can’t draw and I’m not an engineer. [08:08] Six months later, while unloading the dish washer and from a bird’s eye view I looked at the dish washer tray and everything on the tray was standing straight. This is how I want my handbag to be. [09:20] When someone looks at something, they either think: i) someone has thought of it already or ii) why haven’t I thought of that (you probably have a winning product there). [09:34] The challenges - mindset and not knowing what to do. [09:59] The obstacles - I have never done this before. [11:19] When the first shipment came, 95% of them were not the quality of leather I ordered. Had to figure out how to salvage that mistake. [12:44] What are your distribution, manufacturing and pricing strategies? [13:06] I had to figure out the cost and have a price range that is affordable. Used Kate Spade in this model. [14:14] Understand the media inside-out. Hired a trainer who taught me everything about the media and how to tell my story. [18:40] When was the right time to move to the next project, i.e. Leader Girlz? [19:03] Butler Bag was running itself. I had a team in place and started doing licensing deals which gave away a lot of responsibilities. [19:32] I was inspired when I took my daughters to Disneyland when they were 3 years old. I was telling stories to my daughters that I didn’t believe in. There must be something more relevant now. [20:27] How do you foster entrepreneurship to a girl through play? [22:12] Teaching the mindset of leadership, empowerment and that uniqueness is a power. [23:33] To take Leader Girlz to the next level and eventually to a franchise model. [25:20] How do you prioritize? To be clear on what I really want, what I’m good at and what I’m not, to be very transparent about that. To acknowledge that I can’t do it all myself. I have a supportive partner and we complement each other. Partnership is important in order to scale myself and to leverage. To delegate well. A good leader empowers people instead of manage people. Take time to rejuvenate. [28:11] Why mindset is one of the key staples to success? It is the fundamental foundation to success, not knowledge. The problems in mindset are the lack of self-worth and lack of self-belief. Key points To become aware of where our belief is coming from. To question everything.
