And for this I've got stories of two of my kids that have crossed paths with you. So my daughter, I think was about five years ago, during some of her onboarding at University of Saskatchewan in Saskatoon, that onboarding weekend, she went up, and I attended with her and we got to at least watch. I think it was a student entrepreneur competition. And at that competition you were up in Saskatoon and you were one of the judges. So that's one of my kids. And then needless to say, she's not in business anymore. So the board has to keep up. We have to keep up with the training. So it's not just about understanding the financial statements anymore. We have to do better than that. And if you need to bring in experts to help you with the training, then do so.Munir Haque: [00:00:33] Hello, everybody. Today's guest is Karen L. Smith. Karen is a governance and ethics consultant. She's a governance specialist with Chartered Director designation from McMasters University and the Conference Board of Canada. She's a specialist in administrative justice with a certificate in Tribunal Administrative Justice. She's a certified employee benefits specialist with designations from Dalhousie University and the International Society of Employee Benefits. Karen has a long history of serving on boards and committees. Essentially too long for me to mention in this introduction, but to name a few, currently she is a chair of Access Communications Co-operative. She's a board member of the Regina Community Clinic. She's on the board of the Saskatchewan New Home Warranty Program. She's a co-chair of the Saskatchewan Advisory Board of the Institute of Cooperative Directors. Karen is also the founding member and served as president of the Saskatchewan Administrative Tribunal Association. Professionally, she was the CEO of the Saskatchewan Better Business Bureau, recently retired in 2023, she was there in that position for eight years. Before that, she was the director of employee benefits plan for the Saskatchewan School Board Association. She was also a member of council for the Village of Buena Vista and a life member of PARKS. That's the Provincial Association of Resort Communities of Saskatchewan. Hello, Karen. Thank you so much for being on The Boardroom 180 Podcast. Is there anything that you want to make special note of that I missed in the introduction?Karen Smith: [00:02:03] The only one is, for ten years, I was on the Workers Compensation Board. So that was a paid board member position. Full time board work.Munir Haque: [00:02:13] There's one thing that pops up a couple of times in your bio and that's tribunal administrative justice. Do you want to explain that a little bit to those of us who don't know exactly what it means?Karen Smith: [00:02:24] It's the final level of appeal. It was part of the Workers Compensation Board responsibilities. So besides the normal governance duties that you see when you're a part of a board that's providing oversight for an organization, in addition, with the Workers Compensation Board in Canada, the Saskatchewan Board also had tribunal responsibilities. So when a worker or an employer is looking for the Worker's Compensation Board for either benefits or coverage of some kind, one of the softs that were made when the legislation was first put into place, is that workers would not be able to sue employers if they had a dedicated insurance scheme to protect them from workplace injuries. So part of that mechanism then, to protect both the rights of both parties is to make sure that there was a final level of appeal and then if it needed to go to the courts, it would be on issues of jurisdiction or something that was patently wrong. So very limited instances during the ten years when I was on the board, there was always a tribunal. I sat on well over 2000 appeals in that ten year period. And I would say that less than five went to the court. So that's a pretty good number that there was no need for an additional review.Karen Smith: [00:04:11] And those that did go to the court, generally speaking, they would look at it and then return it back to us and ask us to consider a certain part of that particular decision. So the process in the tribunal work is really about a worker. Let's say it's a worker. The worker appeals the decision to the first level, and we always encourage going up the chain just the same as if you were in a retail store and you had a complaint, you'd go up the chain. You don't go to the corporate headquarters until you've exhausted the local ones. And it's the same principle with workers compensation benefits, whether it's a worker attempting to get benefits or they think the benefits that were given weren't full enough or missing, or if it was an employer who was either appealing a worker's claim or they were appealing the payroll assessment that was made, because the payroll assessment is what funded the worker's compensation scheme. So as a tribunal, we were the final level of appeal. There was internal levels through whatever department it was organized through. They had an internal appeals department as well that looked at both worker and employer appeals. And then if they still weren't satisfied, then they would have came to the board appeal tribunal.Munir Haque: [00:05:35] Well thanks for that little bit of education there. Patricia (Tricia) DeGennaro is a Senior Fellow and Project Lead for the Balkans Next research initiative at Joint Special Operations University (JSOU). She came to JSOU from US Central Command's(USCENTCOM) Combined Joint Task Force - Operation Inherent Resolve (CJTF-OIR) where she was a Senior Social Scientist focused on strategic communications and influence in the USCENTCOM area of responsibility.DeGennaro holds an MBA in International Trade and Finance from George Washington University and an MPA in International Security and Conflict Resolution from Harvard University. She speaks fluent Albanian and has a basic knowledge of Italian, Arabic and Dari.She joins us to discuss geopolitical issues throughout Europe, especially Central and Eastern Europe and Russia's invasion of Ukraine. Patricia (Tricia) DeGennaro is a Senior Fellow and Project Lead for the Balkans Next research initiative at Joint Special Operations University (JSOU). She came to JSOU from US Central Command's(USCENTCOM) Combined Joint Task Force - Operation Inherent Resolve (CJTF-OIR) where she was a Senior Social Scientist focused on strategic communications and influence in the USCENTCOM area of responsibility. DeGennaro holds an MBA in International Trade and Finance from George Washington University and an MPA in International Security and Conflict Resolution from Harvard University. She speaks fluent Albanian and has a basic knowledge of Italian, Arabic and Dari. She joins us to discuss geopolitical issues throughout Europe, especially Central and Eastern Europe and Russia's invasion of Ukraine. We also discuss her ideas for forging a lasting path towards peace. Previously, she supported the US Army's Training and Doctrine Command Operational Environment Training Support Center. DeGennaro was an adjunct professor at New York University's Department of International Affairs for almost fifteen years teaching courses on international security policy, civilian and military affairs, and terrorism. Non-conforming items and unauthorized changes include;Council approved the project based on a two year completion duration. Two years has passed as of 11/25/2022. City insists the project is a 5 year project. Logging and clearing has been completed and lies exposed to the elements. Logging operations have intruded into the wetlands and caused monetary damage to a Stone Creek resident's property.Up to 66 residential lots were approved. Current drawings have added 3 lots. The accessible areas of the required public parks has been reduced and displaced by building lots leaving inaccessible steep hillsides.Approximately 25 to 30 proposed lots are on classified wetlands and in a mapped flood zone. Failure to address Hayden Code 12-3-4,19d exposes new and existing off site properties to damage.The required second emergency egress right-of-way to Lancaster has not been established between Stone Creek North and Marks Development. A recent phone call to Northern Lakes Fire Department revealed they have not approved the project.The storm water design does not conform to Hayden Code 8-3-5B and channels surface water off site onto the adjacent Bear Creek, Stone Creek and Rocking R neighborhoods. The only constant in this world is change. This certainly applies to the recruitment business - in order to succeed, you must continually evolve. Objectivity and a Flat Fee Structure In order to serve your clients' best interests, Cameron firmly believes that objectivity plays a significant part. This is how he explains his concept of objectivity: “By nature, when one candidate has a fee or different fee or no fee attached to his head than this candidate, then all objectivity goes out the window regardless of how hard we all try. Regardless of how hard the headhunter or client tries to keep in mind who is the best candidate, if one's gonna cost you 50 grand higher or one's gonna cost you 25 or zero to higher, you are going to take that into your calculation. So out of the window goes the idea that we are all in the same team trying to figure out who is the best fit for this role.” In line with his concept of objectivity, Cameron believes that a flat fee structure works best: “A fee structure that allows for the headhunter to be paid regardless of who is hired, his interest is on the same side as the client.”  Turning a Challenge into an Opportunity The Coronavirus pandemic has brought about unprecedented challenges for most recruitment business owners, including Cameron who said, “this is my second recession.” But rather than thinking of the recession as a challenge, Cameron chooses to regard it as an opportunity.  He explains, “recessions give you time to think more strategically, contemplate where you want to grow or practice, what talent you should further cultivate.”   However, Cameron acknowledges that he's in a very fortunate position in that he's been financially prudent during the good years.  His advice to young recruiters: “Save your money. I think it allows you to make a more objective view of the search. If you are not living or dying by the next commission check, you are gonna be more objective with your clients.” Staying Sharp and Avoiding Complacency The more successful you become, the more challenging it becomes to avoid becoming complacent.  He offers three specific tips that have helped him to stay sharp and may work for you as well.  Firstly, focus on the why.  Cameron says he “keeps a family picture of my wife and my boys” on his desk. Second, seek out opportunities to push yourself outside your comfort zone. Finally, don't get too comfortable and rely on repeat business from your established client base.  Instead, continue to make marketing calls to the organizations who do not know you. This week on Rural Health Leadership Radio we are talking about breaking the intergenerational cycles of poverty and education, and any other continuous cycle that has a negative impact on health and wellbeing. We are having that conversation with Dr. Randy Wykoff, Dean of the College of Public Health, and Director of the Center for Rural Health Research, at East Tennessee State University. “If we can’t break the intergenerational cycles of poverty, we’re not going to be effective in improving rural health.” ~Randy Wykoff, MD Randy Wykoff, MD, MPH & TM became the founding dean, College of Public Health at East Tennessee State University in 2006.  He is a physician, board-certified in both Pediatrics and Preventive Medicine, with additional training and certification in Tropical Medicine.  He teaches courses in Social Justice, Public Health Leadership, and in various aspects of applied public health, and he lectures extensively on the social determinants of health.  His research focuses on the inter-relationship of poverty and health, with a specific interest in how to improve the health status of people living in poor and/or rural areas. In 2019, he was asked to Direct the newly created Center for Rural Health Research.      Prior to his current position, he served as Senior Vice President for International Operations at Project HOPE, overseeing health education, disaster response, and humanitarian programs in over 30 countries around the world.  He previously served as the Deputy Assistant Secretary for Health (Disease Prevention and Health Promotion) in the US Department of Health and Human Services.  In this position, he oversaw the release and implementation of Healthy People 2010, and the Surgeon General’s first Call to Action to Prevent and Decrease and Overweight and Obesity, and served for one year as the acting Executive Director of the President’s Council on Physical Fitness and Sport.    He served for 11 years at the Food and Drug Administration, holding the positions of Associate Commissioner for AIDS and Special Health Issues, and, later, Associate Commissioner for Operations.  In this latter capacity, he served for 18 months as the deputy to the Acting Commissioner.   While at FDA, he also led the Science Team for the Tobacco Working Group, served as the Executive Director of the National Task Force on AIDS Drug Development, and completed a detail with Senator Edward Kennedy and the Senate Labor and Human Resources Committee.   He began his career as District Medical Director of the Upper Savannah Health District in the South Carolina Department of Health and Environmental Control, responsible for all public health activities in a rural six-county region.  He and his wife, Janine, have five children.

Les Brown On today’s show I had the chance to talk with one of my mentors that has had a huge impact on my life, Les Brown. From listening to him in my car, at the gym and when I’m relaxing, to now be in a position to be able to interview him was a huge accomplishment for me up to this point in my life. There are so many great take-aways from this show, Les Brown has truly mastered the craft of communication and shares his incredible story and how to design your life.    “Do what is easy your life will be hard. Do what is hard your life will be easy” – Les Brown.   Bio Motivational speaker Les Brown was born Leslie Calvin Brown on February 17, 1945, in Miami, Florida. After giving birth to Brown and his twin brother, Wes, on the floor of an abandoned building, Brown’s biological mother gave her sons up for adoption when they were six weeks old to Mrs. Mamie Brown. When he was in fifth grade, Brown was forced back a grade by the school’s principal after being disruptive in class. Brown’s demotion subsequently led him to being placed in special education classes and labeled as mentally retarded. As an adolescent, Brown attended Booker T. Washington High School where he was influenced by a speech and drama instructor who encouraged him to pursue a career in radio broadcasting. After graduating from high school and briefly working for the Department of Sanitation, Brown worked as an errand boy for a Miami Beach radio station. At the station, Brown observed the disc jockeys with hopes of one day becoming an on-air personality. His break came when one of the disc jockeys became inebriated. Brown stood in for him and then was hired as a disc jockey. In the late 1960s, Brown moved to Columbus, Ohio, to work for WVKO Radio, where he became active in the community. Brown’s political activism in Columbus won him a seat with the 29th House District of the Ohio State Legislature. In his first year, Brown passed more legislature than any other freshman representative in Ohio State legislative history. In his third term, Brown served as chair of the Human Resources Committee. In 1981, Brown left the Ohio State House of Representatives to care for his ailing mother back in Florida. While in Miami, he continued to focus on social issues by developing a youth center training program. In 1986, Brown entered the public speaking arena on a full-time basis and formed Les Brown Enterprises, Inc. In 1989, Brown received the National Speakers Association’s highest award, the Council of Peers Award of Excellence (CPAE). In 1990, Brown recorded the Emmy Award-winning series of speeches entitled You Deserve, which became the lead fundraising program of its kind for pledges to PBS stations nationwide. In 1991, Toastmasters International selected Brown as one of the world’s best speakers and awarded him the Golden Gavel Award. Brown ranks amongst the nation’s leading authorities in understanding and stimulating human potential; he is a featured guest on many radio broadcasting stations and is often hired by professional corporations to teach and inspire new levels of achievement.   What you’ll learn from this call; How do you make the best of everyday to change your life? That ends Segment I with Tanuja Dehne.  Join us for our continuing conversation with Tanuja next month in Episode 12 --- we’ll discuss derailers to effective boards and effective leadership styles in the boardroom.  And shall I say it?  Why not.  As a self-promoting reminder, the Lyceum Leadership Consulting does provide third party, Board Effectiveness Review.    Segment II:  Main Feature Interview “Special Guest Paul Bonavia, Retired Chairman and CEO of UNS Energy”  You may have read our article in the May 2017 issue of Public Utilities Fortnightly about our next guest - Paul Bonavia.  By sheer coincidence, I wrote that article for Fortnightly on April 1 of 2017 in Chicago Illinois.  Exactly ten years before that on April 1, 2007, the Illinois General Assembly passed a resolution designating April 1st as “Cheap Trick Day” in Illinois. I am giddy with delight to come as close as I can to a Rolling Stone reporter in featuring this conversation with drummer Paul Bonavia, who in his younger days was in bands with members that would go on to form Cheap Trick.   While I’m sure some subset of our listenership is interested in Paul’s pre-utility rock and roll lifestyle, this conversation was directed toward Paul’s “alternative” lifestyle as a CEO of an investor-owned utility and the sale of the company he led --- to Fortis in August of 2014.  Segment III: Special Subjects Segment “First of a Mini-Series on Shareholder Activism with Chris Young, Head of Contested Situations at Credit Suisse” Welcome to our final segment in this Episode on the dramatic, consternation-filled subject of shareholder activism.  That’s Orson Welles in his introduction to his panic-producing, 1938 radio masterpiece War of the Worlds. For the Lyceum, an allegorical backdrop of an environment well-suited to some “alien” form of activism perhaps? This is our mini-series on Shareholder Activism, and we are joined by Chris Young, Managing Director and Head of the Contested Situations Group at Credit Suisse.  In this first part of this series we will cover the history of activism and the market for corporate governance, growth in the asset class, and answer a fundamental question: what do activists want? As a backdrop, The Wall Street Journal reported recently that shareholder activism, which has been a perennial nuisance for chief executives, is now becoming an existential threat. Activists are going beyond just settling for board seats and are waging campaigns that target changes in top management at the outset. So far in 2017, and this is going back a few weeks right now, but so far in 2017 activists have started nine campaigns targeting top management. This is the fastest pace on record according to FactSet. I have represented two clients this year from the power and utility industry on board searches in the face of shareholder activism.  While two companies experiencing activism does not constitute a trend, my clients’ experience of late certainly seemed to warrant raising awareness with our CEO’s Virtual Mentor listenership by featuring this fascinating and informative conversation with Chris Young.  As we were in production on this podcast, Daniel Loeb, founder of activist investor Third Point, demonstrated this activism genius by accumulating a small 1.25% stake in Nestle, published a letter on a Sunday and two days later, Nestle announced a $20.8 billion share buyback as well as clarifying other strategic objectives. She was a State Representative from Bettendorf for the past decade, serving as chair of the Human Resources Committee for six years. She chose not to run for re-election in 2016. She is a registered nurse. She sees Advocacy as an important part of her job.The Johnson County Task Force on Aging presents a forum on issues vital to the senior community on the second Monday of each month, at 2pm, at the Coralville Public Library.
