Summary of Chapter 9: Contract Interpretation Chapter 9 delves into the intricate process of interpreting contracts, focusing on how ambiguities, contradictions, and various interpretative aids are handled in legal practice. The chapter is divided into key sections that address the common challenges faced in contract interpretation and the principles and tools used to resolve them. Ambiguities in Contracts: Types of Ambiguities: The chapter begins by explaining the two main types of ambiguities—patent and latent. Patent ambiguities are apparent on the face of the contract, while latent ambiguities become evident only when the contract is applied to specific facts. Resolving Ambiguities: Courts use several methods to resolve ambiguities, with the primary goal being to ascertain the intent of the parties. Tools such as the rule of contra proferentem, which construes ambiguities against the drafter, and a preference for consistency in interpreting the contract, are crucial in this process. Contradictions in Contracts: Harmonization: The chapter explains how courts strive to harmonize conflicting provisions within a contract, giving effect to all terms if possible. When a specific provision conflicts with a general one, the specific provision typically prevails. Analyzing Context and Intent: Courts analyze the context in which the contract was formed and the parties' likely intent to determine which provision should prevail when contradictions arise. Interpretation Aids: Course of Performance: This section discusses how the conduct of the parties during the performance of the contract can provide insight into their intent and clarify ambiguous terms. Course of Dealing: The history of past transactions between the parties is used to establish a common understanding or pattern of behavior that can inform the interpretation of the current contract. Usage of Trade: Industry standards and common practices within a particular trade or industry are considered to ensure that contracts are interpreted in line with these norms, especially when specialized or technical language is used. Conclusion: Chapter 9 highlights the complexity of contract interpretation and the importance of applying consistent principles and tools to resolve ambiguities and contradictions. By understanding these methods, legal professionals can better draft, negotiate, and enforce contracts, ensuring that they reflect the true intentions of the parties and are interpreted fairly and consistently in legal disputes. --- Support this podcast: https://podcasters.spotify.com/pod/show/law-school/support

A political giant for more than five decades, the man who many believe to be ‘the best Prime Minister we never had', Lord Michael Heseltine, joined DIB boss Frank McKenna in the Downtown Den this week. ‘Hezza', also affectionately referred to as ‘Tarzan' by Tory activists in the 1970s and 80s, has been at the forefront of public life since 1979 when he was given his first cabinet role by Margaret Thatcher as the Secretary of State for the Environment. He has also served as the Minister for Defence, the Minister for Trade & Industry, and Deputy Prime Minister. A staunch advocate of the UK remaining in the European Union, Lord Heseltine is President of the European Movement. Despite a general antagonism towards Conservative leaders and politicians, the city of Liverpool have made Heseltine an ‘adopted Scouser', following his pivotal role in helping to regenerate the city in the early Eighties, when he was given the title ‘Minister for Merseyside'. He was made a Freeman of Liverpool in 2012 and he is still a regular visitor to the city. In this wide-ranging conversation, the successful entrepreneur and politician discusses his role in Liverpool's renaissance; his frustrations with Brexit; his time in government; and his vision for the future. In this fascinating discussion, Lord Heseltine chats to Frank about: His role in the urban regeneration of Liverpool Devolution The overdominance of London Levelling Up Brexit and re-establishing EU relations His impressive political career Highs and lows of governments over the years Local government reorganisation His favourite Prime Minister The European Movement https://www.europeanmovement.co.uk Follow DIB here: LinkedIn Twitter Instagram YouTube

A bankable feasibility study has opened the way for the building of a factory for the local manufacture of fuel cells that are designed to provide low-carbon electricity to decentralised users at affordable prices throughout the African continent. Innovative South African Mitochondria Energy Systems, headed by founder and CEO Mashudu Ramano, expects to break ground for the R1-billion development in the first quarter of next year, with the first fuel cells being produced in 2024, with full-scale commercialisation expected in 2028. Established in 2018, Mitochondria is a developer and marketer of hydrogen-based technologies. An area of Emfuleni, which has been earmarked for declaration as a special economic zone (SEZ) by the Department of Trade Industry and Competition (DTIC), is the site of choice for the manufacture of the energy systems, aimed at decentralising electricity generation in the same way as cellphone systems decentralised telecommunications. Funders of the first phase of the project include South Africa's State-owned Industrial Development Corporation (IDC), the Development Bank of Southern Africa (DFSA) and Mitochondria itself, Ramano outlined in an interview with Engineering News & Mining Weekly. Discussion is underway with potential funders of the second phase, a far-reaching R3-billion augmentation project involving the local manufacture of fuel cell stacks. The just energy transition is a major project consideration and much collaboration has also taken place with local communities amid the potential for most of the components required to be locally sourced. In South Africa for the Mitochondria Technology Day were representatives of AVL of Austria and Ceres Power of UK, companies that are partnering Mitochondria in the introduction of what is described as “an affordable, reliable, decentralised and sustainable energy solution for the African continent”. Green hydrogen is seen as the ideal eventual fuel for the multifuel stationary electricity generating fuel cells that form an integral part of simultaneous trigeneration of baseload power, heat and water in fulfilment of ten of the United Nations Sustainable Development Goals. “The more you move towards hydrogen and on-site generation, the more you are able to get better efficiencies in the energy system,” explained Ramano. On the choice of Mitochondria as the company's name, Ramano highlighted that the word mitochondria refers to every cell in the human body having a power generation capacity. “Every time I use the word Mitochondria, I'm calling forth a new energy generation era for the world. This is the prosumer, where you produce and you also consume and so Mitochondria is about the new emerging energy era in the world where there will be so many energy generators, but all networked like the mitochondria in my body, which are generating power right now as I'm speaking to you,” he added. Early on in his study of fuel cells and hydrogen, he visited Japan consecutively to 11 years to understand the fuel cells that were being introduced into homes. Then five years ago, his company decided not to follow the model implemented elsewhere and requested that AVL do a prefeasibility study using the latest technologies that could be competitive with coal in South Africa, which pointed to the need for a decentralised solution as had proved so successful with telephony, which catapulted Africa into the modern era. From a communications perspective. Mitochondria's fuel cells are high temperature fuel cells that make use of steel-based nickel-bearing cerium alloy developed by Ceres in solid-oxide ceramic-based fuel cells that offer 60% efficiency in generating baseload electricity. With heat added, the efficiency is said to exceed 90%. “The core technology we use is like the size of my hand with a hundred thousand holes in it and that is what splits the atom into protons and electrons, and then electrons flow from the cathode to the anode and that's electricity,” Ramano...

The DTIC published anti-dumping protection levies on the importation of tyres into South Africa on Monday, regarding section 57A of the Customs and Excise Act, 1964. This provisional payment concerning anti-dumping duty is imposed up to and including 8 March 2023. A schedule was published with this announcement. The anti-dumping duty is levied at 38.8% on the imported price of the tyres. Together with other transport-related organisations and associations, the Road Freight Association (RFA) had earlier engaged with the DTIC – and bodies involved in the retail and wholesale tyre sectors – to gain clarity on why these anti-dumping duties would be implemented, given the inability of the local manufacturing industry to meet local consumption demands, as well as to ascertain how the local manufacturing industry would be adversely affected. Tyres are imported from various markets because South Africa cannot meet local consumption due to capacity Gavin Kelly, who spoke with Radio Islam International, said the anti-dumping protection levies were designed to protect the local businesses. It is implemented to prevent cheaper products from coming into the country, making local businesses no longer sustainable and forcing things to close down.

To paraphrase the famous playwright George Bernard Shaw, “Those who can, do. Those who can't, outsource”. For many companies, business process outsourcing (BPO) allows them to contract certain back-office and front-office functions – such as customer relations, HR management and even accounting – to third-party solutions providers. This in turn frees up resources which can be used to enhance core competencies. In South Africa, the BPO market is a fast rising one, and is ripe to be augmented with technology The kind of AI used in process automation may not be smart enough to pass the Turing test, but it does involve increasingly more complex processing algorithms, iterative learning and sophisticated data abstraction, replacing decision-making and administrative skills that have, until now, necessarily been performed by people. But isn't AI going to sterilize the main benefit of BPO in SA and that is creating jobs? Joining Michael Avery on this discussion is Johan Steyn, a smart automation and artificial intelligence thought leader and management consultant; Reshni Singh Director: Global Business Services at Department of Trade Industry and Competition and Incoming CEO of BPES (Business Process Enabling South Africa); Llanley Simpson. Director: Mining and Mineral Beneficiation in The Department of Science and Innovation

When we cross the finish line together, we can celebrate together. Teams that don't recognize that are painfully missing out on the beauty of collaboration and humanity. At the end of the day, you can choose to make your work painful or you can choose to make it collaborative, creative, and rewarding. So, which will you choose? In this episode, I speak with Henry Nutt, a well-known speaker and industry influencer who's passionate about transforming the construction industry through collaboration. While traveling the country walking jobsites, speaking to industry leaders, and participating in various seminars, he has found that one of the most common issues between Owners, General Contractors, and Trade Partners is our inability to identify core issues. This inability stifles a project team's opportunity to truly collaborate and quickly create solutions.Henry's objective is to educate owners and construction leaders on how to effectively utilize Lean Tools, work as a team, and execute work efficiently with a minimal amount of waste.Listen in to learn Henry's powerful insights on how we can work together to effectively and efficiently transform the construction industry and make it an industry we all can thrive in.What You'll Learn in this Episode:· The power of building community and seeking connection with others in the construction industry.· Henry's journey in construction & The major difference between managing projects and managing people.· Why Henry speaks about Lean Tools & How Lean Tools improves leadership and teamwork.· How Henry developed resilience, endurance, and grit while building a credible reputation as a professional in the construction industry.· The importance of vulnerability and taking time for healing.· Bringing your whole self to work: Why we need to prioritize humanity in construction & How that impacts safety and decision-making.· Henry explains the concept of One Project, One Team and the book he's currently writing.· Major learnings and missteps Henry has had throughout his career.· Henry answers: What footprint do you intend to leave on the world?Resources Mentioned:Learn more about Lean Tools: www.purdue.edu/leansixsigmaonline/blog/lean-tools Southland: www.southlandind.com CityBuild: https://oewd.org/city-build Connect with Henry Nutt:Connect with him on LinkedIn: www.linkedin.com/in/henry-nutt-iii-7832347 To stay connected with us and listen to more episodes, visit www.learningsandmissteps.com!

Welcome to our fun podcast today. This is audio only (no video). We talk about a very incredible and unique plumber interaction. While I feel a strong relationship with referral partners, I am not the PLUMBER GUY. That's someone else. But I do strongly advocate partnerships. You will love this story. Toby and discuss some labor shortage topics, the idea of ANTI-FRAGILE in marketing, and some customer experiences we recently had that only remind us of the thought that everything circles around the client's perception of the service. It is CRITICAL. Then we close out a big reveal on something we are working on with The Alliance of Independent Restorers that will quickly promote this industry that we love so much. Add legitimacy and credibility in the eyes of the Dept of Labor and Trade Industry. Super Exciting and it will benefit EVERYONE. We hope you enjoy the episode and we will be back next week with the full video/ live episode. On this week's The Sci-Files, your hosts Chelsie and Danny interview Gia Haddock. Gia is a senior Fisheries and Wildlife student at MSU. Having an interest in disease, amphibians, and sociology, Gia combined the three with their undergraduate research. They study the current behaviors, knowledge, and opinions of those involved in the amphibian pet trade through the lens of disease spread. Currently, we are in a sixth mass extinction, with amphibians one of the most imperiled groups. One of these reasons is the human movement of lethal amphibian-targeting fungi, Bsal and Bd. There have been previous bans on amphibian and exotic species imports that have been overturned, but a new ban is being discussed now. This has been met with much disdain from the pet trade community. Gia has spent two years developing interview protocol, creating relationships with the pet trade, and conducting interviews. There is a trend in legislation and management decision-making to make choices without recognizing the voices of those that their decisions will affect. Gia aims to use their research to inform decision-making in regards to limiting the spread of disease in the pet trade. They hope their work will contribute to creating better representation, trust, collaboration, and transparency in the pet trade world. If you're interested in talking about your MSU research on the radio or nominating a student, please email Chelsie and Danny at scifiles@impact89fm.org. Alexis de Tocqueville observed that Democracy and socialism have nothing in common but one word, equality. But notice the difference: while democracy seeks equality in liberty, socialism seeks equality in restraint and servitude. In his budget vote speech in the National Assembly, Trade Industry and Competition Minister Ebrahim Patel said a new bill containing amendments to the Companies Act will be finalised within the next two months to tackle what he termed “the gross injustice of excessive pay". The legislation will also require disclosure of what executives earn. There is a three- pronged approach at this level, as the executive pay and worker representative on board must be seen in with increasing worker shareholding developments as all moving in a certain direction. Generally what overall message does all this convey about the 'ease of doing business' in SA? Michael Avery hosted Dr Mark Bussin Chairman, 21st Century Pay Solutions; David Holland of Fractal Value Advisors and author of Beyond Earnings; and Etienne Vlok, Sactwu national industrial strategy coordinator, for a roundtable on executive pay.
Today, Friday May 21, is Tax Freedom Day, when South Africans stop working for the state and start working for themselves. This year it falls two days later than last year, in which it occurred one day later than in 2019. This is alarming because it means the economy contracted. It means the state is consuming an ever-greater share of economic growth. And it comes in a week where Moody's issued a stern warning about slow reforms leading to further downgrades. And while Trade Industry and Competition Minister Ebrahim Patel attempts to micromanage the economy through import substitution or localisation quotes and mandatory pay disclosure reveal the true extent to which The Government is truly out of touch with what it takes to build a business, grow one out of nothing to create value for the risk capital providers and create jobs and growth for the economy in return. At least the Reserve Bank Governor seems to understand what is needed. In the press conference after keeping the repo rate unchanged at a record low 3.5% on Thursday, he reiterated that the stance is accommodative because the MPC believe that inflation is contained, that "there is slack in this economy and this economy could do with some support." To review the week that was Michael Avery is joined by Warwick Lucas Chief Investment Officer at Galileo Asset Managers, Raymond Parsons, professor in the School of Business and Governance at North West University & Nazmeera Moola, Head of SA Investments at Ninety One
Jeff Nobers, Executive Director, Builders Guild of Western PA, explains how important the trade industry is as President Biden prepares a visit to the carpenters training facility in Collier. See omnystudio.com/listener for privacy information.
Writing in his seminal work, The General Theory of Employment, Interest, and Money, 1936, John Maynard Keynes, observed that “The ideas of economists and political philosophers, both when they are right and when they are wrong, are more powerful than is commonly understood. Indeed, the world is ruled by little else. In the continuing debate about how to end poverty and build prosperity in South Africa, ideologues in the ruling party have put forward powerfully seductive, often conflicting and ultimately destructive economic ideas. These ideas have been thrust into the public arena, central planning, master plans, the current favourite of Trade Industry and Competition Minister Ebrahim Patel, and the developmental state, to name but a few…and the stagnant economy should be proof of these ideas toxicity to the economy, but, instead, often we just see the ANC lean on its hold of the levers of state power to double down. The battle of ideas is a phrase that will long be associated with the Institute of Race Relations under the leadership of Frans Cronje, who announced his retirement as CEO of the Institute at the end of 2021 recently. Michael Avery sat down with Cronje to reflect on his tenure and what the ANC’s National Democratic Revolution means for the chances of economic reform under President Ramaphosa.

Bogolo Kenewendo is the founding president of Kenewendo Advisory, former Minister for Trade, Investment and Industry of Botswana. Bogolo led the Brexit trade negotiations on behalf of southern African nations and was a member of the UN high-level panel on digital cooperation. We discuss the African Continent Free Trade Area that was signed the 1st of January, the kind of questions her advisory company is being asked to work on, what benefits and challenges has COVID brought to the continent of Africa, and what was discussed at the high-level UN panel o digital cooperation, such as regulating and legislating digital firms, and how they had to add a statement in the report saying that “views on privacy and security differed sharply”.Enjoy the podcast, and please subscribe and share!UN panel - talking about online technology while we need to talk about infrastructure on the continent of Africa. We need to start the conversation with ICT infrastructure as well as policy infrastructure and be accommodative to technology that already exists on the continentAfrican infrastructure: we can have laptops, but how will we charge them? Multilateral institutions need to invest in infrastructure. What are the enabling technologies emerging in Botswana and the south African region and what are the technologies that are more damaging?Mobile penetration continues to increase, and internet connection - and this means access to information.UN panel & regional differences: it was mainly a lack of understanding and having the information of how things really are. Why is there hesitation towards a laissez-faire approach on regulating digital phones on the continent and what can be some of those challenges in regulating them?A bigger disagreement was around what is the right approach around regulating and legislating digital firms - do we just let them be and the free market will have that invisible hand or we ensure ourselves that there's the right regulation, that taxes are put in place.People do not see the fourth industrial revolution as a natural evolution of efficiency ( as was done with the second and third) there will always be a challenge in change and how things are done. Just toning down the language around technology can be a start, we are not communicating what will be the differences and changes and how they impact people's lives.Next week we'll hear from Tony Curzon Price, Senior Advisor to the UK Cabinet Office, working for the Prime Minister. Our topic is: "Tools, Machines and Populism"Global Arena Research Institute is an independent, non-partisan research organisation that combines the most advanced methods of AI-driven data, scientific and other artificial reasoning capabilities, elevating data science into completely new levels of opportunity. Our goal is to provide unprecedented insights into the nature, impact, and management of globalization in order to improve institutional and governmental as well as business, energy and other sectors' decision making. Ambassador Sadick Jaffer, of Invest SA, the government department responsible for investment promotion, part of the Department of Trade Industry and Competition; Tanya Cohen, coordinator for the Public Private Growth Initiative & Andy Searle, CEO of BPESA
As South Africa looks for growth engines in the wake of the Covid 19 cataclysm we often talk of infrastructure as the major lever we have to pull. But another industry is flying quietly under the radar and could offer some more hope in a country desperately searching for small economic miracles. Business process outsourcing. The name doesn’t conjure the same sexy images of Roosevelt’s New Deal but in a recent McKinsey report the consulting firm noted that South Africa has been voted the second most attractive Business Process Outsourcing (BPO) location in the world for three years in a row. Once again this year, thousands of the world’s leading economic and business players met in the little Swiss ski town of Davos. And once again, the key topics and discussions had little to do with winter sports. The reasons are obvious. There’s a lot going on in the world today and plenty of questions: As global political economies continue to evolve at an increased pace, how much will leaders factor geopolitics into evaluating potential transactions? How do global population and health trends affect the ways companies and investors think about investing in and managing businesses? Can innovation, entrepreneurialism and investment meet the challenges of climate change? And what about technology? As jobs increasingly get disintermediated by Artificial Intelligence, how should businesses, governments and individuals balance the opportunities that tech brings with its equally challenging implications? To find out, we spoke with Clayton, Dubilier & Rice London-based Operating Partner Vindi Banga. Some background on Vindi’s global business and policy efforts: Banga spent 33 years at Unilever, where he served as executive board member and president of Global Foods, Home & Personal Care. He led the creation of a 'One Unilever' agenda for the Foods, Home & Personal Care organization, responsible for innovation and marketing mix development across 170 countries for all 270 Unilever brands. Vindi also was responsible for Unilever's sustainability agenda, an issue – as you’ll hear – he has learned and thought about since his childhood in India. Vindi served on the Prime Minister of India's Council of Trade & Industry from 2004 to 2014, and in 2010 the India’s President awarded him the Padma Bhushan, one of the country’s highest civilian awards.
