Environmental, social and governance (ESG) considerations are trending right across Africa. In this podcast, Africa Legal's Tom Pearson speaks to members of ALN Nigeria and ALN Kenya to explore how mergers and acquisitions and corporate transaction trends are shaping business. A robust legal and regulatory premise for ESG, in addition to businesses taking the initiative more seriously, is fast evolving, explain Ajibola Asolo and Adeolu Idowu from Aluko & Oyebode | ALN Nigeria. Asolo says there are a number of regulations which apply to companies in Nigeria. “The principal legislation that applies to corporates in Nigeria, the Companies and Allied Matters Act, imposes a duty on directors to ensure that they act in the best interest of companies, and that companies have due regard to the environment and communities in which the operations are based.” In addition, Asolo notes that there are guidelines issued by the Securities and Exchange Commission in Nigeria that set out broad principles and recommendations pertaining to sustainable finance. These guidelines essentially mandate all of the Commission's regulatees to report on the progress relating to the implementation of ESG principles in their annual reports, among other things. Asolo also points out that the Petroleum Industry Act, which covers companies in the energy space, sets out regulatory imperatives designed to ensure that companies operating in this space meet the requisite health, safety, and environmental standards. Dominic Rebelo, partner at Anjarwalla & Khanna | ALN Kenya, shares his insights on the regulatory environment in the East African region. He says Kenya should be one of the leaders on the continent – and potentially globally – in terms of environmental protection. “We had a new Constitution in 2010 which was one of its kind in that it entrenched environmental protection in its preamble, where it states specifically that the people of Kenya are determined to sustain the environment for future generations. And then in the body of the Constitution itself, it gives as a fundamental right, the right to a clean and healthy environment for every person in Kenya. So that's a huge right to be given under the Constitution. It applies to everybody living in Kenya and then obligates the government to put in place the protections required to ensure that their right is met,” says Rebelo. Rebelo adds that legislation like the Climate Change Act and the Energy Act has pushed the country to generate power from more green resources. Idowu reckons that there is a global focus on renewable energy, and whether in the environmental, social or governance space, it's just good business to have strong ESG practices and to create a structure that embeds as many of the principles as possible. With Nigeria having the highest volume of M&A in the finance, energy and petroleum sector, particularly in mining and utilities, she explains why major oil and gas companies are divesting of their onshore assets.

The Independent National Electoral Commission has reiterated its assurance to the Nigerian electorate that citizens who have yet to attain the legal voting age will not be allowed to participate in the polls. The Director of Voter Education and Publicity, INEC, Victor Aluko, says that the register will be cleaned up completely and no underage voter will vote in 2023. Aluko stated that after collating the complaints, INEC's revision officers at various levels could work on them. The National Commissioner, INEC, Festus Okoye, however, assured Nigerians that it was committed to cleaning up the register and punishing those found guilty of tampering with its integrity.

ALN Kenya | Anjarwalla & Khanna has cemented its position as a leading full service law firm in Africa. In this podcast, co-managing partners Rosa Nduati-Mutero and Daniel Ngumy speak to Tom Pearson about the changes that have taken place in the firm and the ALN alliance. Exciting moves have been made at ALN, an alliance of top law firms in Africa, which recently incorporated Nigerian powerhouse Aluko & Oyebode into their fold. Rosa says the rationale behind the expansion, for both ALN and ALN Kenya, was to augment and demonstrate the “One Region, One Vision, One ALN” integrated offering, making it easier to sell local knowledge with international expertise to cross-border clients. One recent addition to the ALN Kenya team is Tax Associate Director James Karanja, an experienced grants management and compliance specialist with a demonstrated history of working in the international trade and development industry. Daniel describes James's appointment as invaluable to their capacity to offer international tax advice, “particularly where the revenue authorities across the countries that we work with are looking at transfer pricing disputes and to bring depth of knowledge in terms of capacity building within the various member firms,” he said. “James joining us, particularly focusing on international tax matters and transfer pricing, has been quite a coup.” While the collaboration with Aluko & Oyebode and James's association with the firm is celebrated, Rosa and Daniel's meritocratic partnership has also been hailed. Rosa points out that they have perhaps one of the most diverse partnerships on the continent, which includes 26 partners, representing about seven nationalities. “Diversity is really the key to success in today's world,” she says, elaborating on how this is implemented. Daniel adds that much effort is being made to build a Pan-African law firm which provides integrated business solutions across Africa, while attracting and retaining top talent. “We are seeing that being represented by some of the strategic hires that we have begun doing.” Rosa is passionate about the environment and creating a circular economy, and the conversation wraps up with her talking about the firm's corporate social responsibility offering and the case study they have created on the successful elimination of single use plastics within a specific region.

Earlier this year Eni Aluko was appointed sporting director of Angel City FC, the new expansion team in the National Women's Soccer League (NWSL) which begins playing in 2022. The Los Angeles based franchise has a majority female ownership group led by actor Natalie Portman, venture capitalist Kara Nortman and a host of other founder members including Serena Williams, Jennifer Garner and Mia Hamm. Before moving in to management, Aluko played professional football for Chelsea and Juventus among others and made 102 appearances for the England national team from 2004–2016, competed at the 2007 FIFA Women's World Cup in China, 2009 UEFA Women's Euro, 2011 FIFA Women's World Cup in Germany, 2013 UEFA Women's Euro, and 2015 FIFA Women's World Cup in Canada. At the 2012 Summer Olympics in London, she represented Great Britain.A qualified lawyer, Aluko built a career as a TV pundit immediately combined with representing players and advising on contracts. Yele Aluko is Chief Medical Officer at EY, a role he has held for close to 4 years. He is Co-Chair, Health Equity Advisory, at the international Well Building Institute, an Advisory Board Member at the Children's National Hospital and a Board Member at the Wake Forest University School of Business. He has worked as a Cardiologist in hospital settings for over 30 years. Yele was born in Nigeria and we start with when he first realized his calling to be a doctor. We trace his journey to the US and how at the beginning he went through a difficult integration into life there - with little social capital locally and few relationships. We move to his journey to cardiology and his experience in hospital settings, and ultimately to what led him to move away from bedside medicine into matters of medical policy. True to the mission of this podcast series we examine the issue of diversity in medicine, and Yele discusses the concepts of "missing persons" in medicine - the gap in representation of people of color at every level of medicine and the trickle down effects that this causes in terms of access to health care, trust in medical professionals and healthcare equity. We discuss initiatives to eliminate bias, and whether they work, and why they often lack sufficient "buy in". This rich discussion is part of our Fiftyfaces Nigerian Voices series which will be released later in July. We are releasing it now as a counter narrative to that espoused by the podcast by the JAMA of February 2021 that questioned whether systemic racism in medicine existed.

I have been fortunate enough to meet some phenomenal young women, who have reminded me not to make assumptions on outward appearances. To seek the truth first. My first guest is the Beautiful Timi Aluko from Nigeria. For years, Timi went undiagnosed of Polycystic Ovarian Syndrome, this caused her to have a hormonal imbalance and uncontrollable weight gain for years. As a result she experienced body shaming, bullying and depression. At 25 years of age, Timi has proudly overcome her tormentors. How? Well I guess you have to listen. Timi Aluko is the founder of Aso, an African Textile production firm. The Program Coordinator of Nigerian National Committee of the United World College, and a virtual assistant for business executives and professionals. Embrace a Determination Mindset and Remember Gratitude Fear and lack of confidence can seem like insurmountable mountains to overcome, but by being determined and choosing to keep pressing forward when you want to quit. Being grateful is one way to turn fear into confidence. Abigail chooses to be thankful to God for His thankfulness and provision in her life. By believing each day that God has called her to this, she overcomes fear and lack of confidence and is determined to continue forward knowing that He has been faithful and will remain faithful to her. Sarah Is a very insightful and interesting author with some great wisdom, It was truly an honour to get the opportunity to hear her story. Sarah Aluko is a Nigerian-British Author and Poet. Sarah Aluko’s poetry speaks of womanhood, being black, love, loss and heartbreak. As a result of this, she has built a following of thousands of young people on social media who consume her poems ferociously and share them widely. In 2017, Sarah Aluko released her debut anthology, Firstborn on International Women’s Day, which was long-listed for the Out-Spoken Prize for Poetry in the same year. She was also commissioned to write a piece for the technology giants, Microsoft, to mark the launch of their new Surface Pro as well as a piece for Nasty Women, the global art movement that campaigns to end violence against women. Sarah has worked with England’s largest organisation for performance poetry and spoken word – Apples and Snakes. Since Firstborn, Sarah Aluko has been listed as part of Nasty Boy’s Creative Class of 2018- Nasty 40, which is a list complied of 40 creatives in (or from Africa) to celebrate the next generation of Africans shaping youth culture. The list has been featured in Okay Africa, Marie Claire, Dazed and Hunger Magazine. In addition to this Sarah Aluko was once again long-listed for the Out-Spoken Page Poetry Prize for 2018. Further, she was part of the Barbican’s Art Hack in tandem with the Basquiat Boom For Real exhibition. Too Young For What? which was organised by Barbican Guildhall Creative Learning as an explosion of creativity across 48 hours in the Barbican Centre. Sarah Aluko has since participated as a mentor in the Sprinng Literary Movement programme 2018 – a mentorship programme catering for aspiring writers aged 18-25 years living in Nigeria, Sarah received excellent feedback. Fagbohunlu is a partner at Aluko & Oyebode where he heads the firm’s dispute resolution and maritime practice groups, and specialises in commercial litigation and arbitration with particular emphasis on complex commercial matters.
