In this episode of the All Things Sustainable podcast, we continue our deep dive into methane emissions. Today we're exploring the role that private equity can play in eliminating methane emissions, including at abandoned oil and gas wells.  Methane is the second largest contributor to global warming behind carbon dioxide. And the fossil fuel sector is responsible for nearly one-third of methane emissions from human activity today. Record production of oil, gas and coal, combined with limited mitigation efforts, has kept emissions above 120 million metric tons annually, according to the International Energy Agency's 2025 Global Methane Tracker published in May. The IEA calls methane abatement a “crucial opportunity” to reduce near-term global warming.  To understand how some companies are tackling methane emissions at abandoned facilities, in the episode we talk with Zefiro Methane Corp., an environmental services company that specializes in methane abatement at abandoned oil and gas wells in the US. Zefiro is a portfolio company of private equity firm X Machina Capital Strategies, or XMC, which works to transform oil and gas assets into long-term, sustainable solutions.  We speak with Catherine Flax, Founding Member and President of Private Markets at XMC. On June 5, Catherine was appointed interim CEO of Zefiro Methane Corp., where she also serves on the board.  We also talk with Talal Debs, Founder and Managing Partner of XMC. Talal was CEO of Zefiro Methane Corp. from November 2023 until June 2025.  In the episode, Talal outlines how XMC takes a "full-spectrum energy investment" approach.   "Let's take all the energy that we can get economically, but make it as clean as possible with a mind towards: what are we going to do with the mess afterwards?" he says. “I think that my analytic awareness of denial and projection and the concreteness of psychic reality when executive function wanes, that I could help the other caretakers to understand some of what was going on - to give them a way to understand that relieves their sense of frustration and uncertainty. I think that the analytic awareness of denial, of projection, that these things are not generally recognized by many caretakers, but it does reorient and make the caretaking function much more tolerable. It expands the understanding of what goes on in the waning personality. I also think that analytic work fosters the capacity to tolerate ambiguity, uncertainty, pain and frustration and in that way may allow us, the analytic mind, to tolerate some of the intense affect - as sort of the phrase I love from an Italian analyst, as “writings waiting to be completed” - by the analytic mind. We can hold and metabolize the difficulty and offer that kind of function rather than unpleasantness just to be rid of. These are some of the things that I felt are useful as a psychoanalyst.” Episode Description: We begin with describing how dementia is a cloud over our field both for individuals and for institutes. Maxine then introduces us to 'Sally' who was her analysand 40 years prior to recontacting her to care for her cognitive decline. Maxine mentions that just hearing her former patient's voice instantly brought alive her past experiences with her. We discuss how she approached the issue of caring for her and her neurological condition. We consider the at times overlap between psychogenic and organic symptoms and she shares with us her countertransference experiences of herself losing her memory. Maxine also shares her approach to answering Sally's questions about the possibility of recovering. We close with her describing how she feels that being an analyst aided her care of Sally and what she learned from that experience that she brought to her other patients -"to face the pain of difficult truths."   Our Guest: Maxine Anderson, MD, is a training and supervising analyst at the Northwestern Psychoanalytic Society and Institute, the Seattle Psychoanalytic Institute and Society and the Canadian Psychoanalytic Society. Originally trained in psychiatry, she pursued psychoanalytic training in Seattle in the early 1970s and then pursued post-graduate work at the British Psychoanalytical Society for 8 years, returning to Seattle in 1992.  Thereafter, she became a Founding Member of the Northwestern Psychoanalytic Society and Institute. John Quinn is joined by Michael Barlow, Managing Partner and Founding Member of Quinn Emanuel's Wilmington, Delaware office.  They discuss the evolving state of Delaware corporate law and the legislative response to growing dissatisfaction among corporations over the recent legal treatment of conflicted transactions.  Traditionally, Delaware law has deferred in general to corporate decision-making under the business judgment rule, but rigorously reviewed transactions involving conflicts of interest—particularly those involving controlling shareholders—under an “entire fairness review.”  Entire fairness reviews are fact-intensive and include scrutinizing both the process and terms of the transaction, making early dismissal of claims rare.  In response, Delaware courts developed a safe harbor called the “MFW” framework.  The “MFW” framework involved approval by a special committee of disinterested directors and the minority shareholders.  Still, even under the MFW framework, motions to dismiss were granted in fewer than 40% of cases, leading to frustration among deal planners.Despite these odds, a Quinn Emanuel team led by Michael recently won a rare complete dismissal of an entire fairness case on behalf of Fidelity National Financial, Inc.  In that case, the court ruled that there were no alleged facts that could support the conclusion that the preferred stock transaction at issue was unfair. Frustration among corporate deal planners with what was perceived as activist judicial decisions creating uncertainty (e.g., as to what was a “controlling stockholder,” among other things) has recently led to Tesla, Dropbox and other corporations to express their intent to leave Delaware as their state of incorporation.  “DExit,” is the term coined to describe this trend.  To address these concerns, Delaware enacted Senate Bill 21, a bipartisan effort to clarify and narrow the standards for conflicted transactions.  The legislation provides clearer definitions of controlling stockholders and establishes safe harbors for dismissing cases early if certain procedural protections are followed.  It also reforms the state's books-and-records statute (Section 220) by limiting the scope of pre-suit corporate document demands.  The next few years will test how effectively the new legislation meets the corporate world's demand for greater legal certainty.  Finally, Michael believes that Delaware will continue to lead the nation in corporate law due to its unparalleled legal infrastructure and judicial expertise. Podcast Link: Law-disrupted.fmHost: John B.
