Quand Meta a mis 2 milliards de dollars sur la table pour racheter Manus, le groupe californien a aussitôt tenté d'éteindre l'incendie politique. Message adressé à Washington : aucun actionnaire chinois ne resterait au capital et les services seraient purement et simplement coupés en Chine. Une opération de déminage diplomatique en règle. Problème : Pékin n'a jamais été consulté. Et selon TechCrunch, le ministère chinois du Commerce s'est désormais saisi du dossier pour vérifier si cette acquisition respecte les règles nationales sur l'exportation de technologies sensibles. Ce qui devait être une formalité s'annonce soudain beaucoup plus complexe.Sur le papier, tout semblait pourtant bien ficelé. L'été dernier, Manus avait discrètement déplacé son siège à Singapour. La start-up, née en Chine, avait réduit ses effectifs à une quarantaine de personnes après une levée de fonds de 75 millions de dollars menée par Benchmark. Une migration express devenue si courante qu'elle porte désormais un surnom dans la tech : le « Singapore washing ». L'idée est simple : quitter la Chine pour contourner les restrictions américaines visant les investissements dans les technologies jugées stratégiques. Mais ce raisonnement se heurte aujourd'hui au droit chinois. Les autorités se demandent si le transfert de Manus – équipes, logiciels et propriété intellectuelle compris – n'aurait pas dû faire l'objet d'une licence d'exportation. En clair, Pékin cherche à savoir si des technologies considérées comme sensibles ont quitté le territoire sans autorisation. Le professeur Cui Fan, spécialiste du commerce international, est même allé jusqu'à évoquer sur WeChat un risque de « responsabilité pénale » en cas de violation avérée. L'examen n'en est qu'à ses débuts, et pourrait s'arrêter là. Mais son existence même offre à la Chine un levier de pression non négligeable.Cette affaire illustre le piège dans lequel se retrouvent désormais les grandes manœuvres technologiques entre la Chine et les États-Unis. John is joined by Christopher D. Kercher, partner in Quinn Emanuel's New York office. They discuss a complex cross-border dispute involving a Chinese public company listed on the Shanghai Exchange. The company, which owned oil assets in Texas and was one of the largest private oil producers in the U.S., faced a governance crisis after an investor took over the company and elected a new board in China. When the new board attempted to gain control over the company's U.S. subsidiaries, it discovered that the company's former management had implemented mechanisms at the subsidiaries' holding companies that blocked the election of new directors. This control deadlock posed an existential threat, as Chinese regulators warned the company it could be delisted if control was not reestablished by the end of the year. The urgency of the situation demanded a rapid litigation strategy across three U.S. jurisdictions: Texas, Nevada, and Delaware. The client's initial effort, led by another firm, to resolve the matter in Texas failed because of the “internal affairs doctrine,” which required adjudication in Delaware, where the entities were incorporated. Fortunately, the other side initiated a Delaware proceeding allowing the Chinese parent to counterclaim and consolidate all issues under a highly expedited schedule. A key early win was securing a “status quo” order in Delaware, which froze major corporate actions and gave the new board veto power over decisions exceeding $100,000, effectively halting adverse moves by the former management. The case involved extensive discovery, much of it in Mandarin, and included WhatsApp, WeChat, and other messaging platforms. Advanced AI tools played a crucial role in accelerating document review, translating materials, and aiding strategy development. Cultural sensitivity and coordination with Chinese counsel were also essential to preparing the case. Episode #432: Myanmar researcher Lin Jin Fu investigates the rise of scam compounds that blend human trafficking, digital fraud, and organized crime. His study, Scam haven: Responding to surging cyber crime and human trafficking in Myanmar, traces their expansion from Chinese “scam houses” into a transnational industry stretching across Myanmar, Cambodia, and Laos. Originally rooted in China's underground economies, these groups migrated outward as Beijing cracked down and the pandemic restricted domestic activity. They flourished in lawless borderlands such as the Golden Triangle and northern Shan State, where weak governance allowed them to create fortified compounds that combine physical captivity with online deception. Scam centers now anchor wider illicit economies— drugs, gambling, black-market banking, and prostitution— worth at least $37 billion a year. In 2023, the Three Brotherhood Alliance, with apparent Chinese backing, attacked major compounds in Laukkai during Operation 1027, rescuing trafficked Chinese nationals and handing over several ringleaders who were later sentenced to death. At the same time, Beijing launched a domestic campaign, flooding WeChat and Weibo daily with anti-fraud messages. Yet the system persists. Frightened operators briefly suspended work elsewhere, then reopened on the condition that they avoid targeting Chinese citizens. Every compound, Lin Jin Fu explains, survives by securing protection from an armed host—usually the junta or allied Border Guard Forces— while some ethnic armies tolerate or tax them. These networks adapt easily. Big bosses flee by helicopter; smaller scams need only laptops, generators, and internet. The old “pig-butchering” crypto fraud now employees sophisticated AItools, and online-gambling scams targeting countries across South America dominate Tachileik. Sadly, for many impoverished young Burmese, scam centers are the only escape from conscription and joblessness. Meanwhile, inside the compounds, workers endure coercion, sexual abuse, and debt bondage. Surrounding towns boom briefly, then collapse into ghost cities once crackdowns hit. Lin Jin Fu warns that for scam centers to fully cease operations across Myanmar, the military junta has to go. Beyond that, he emphasizes that absent legal migration routes and alternative employment, the industry will continue to endure. “For drugs, people had an alternative— grow coffee instead of poppy,” he says. “For scams, what is the alternative?”

Fentanyl Cash Laundering and the Role of Chinese Nationals. Josh Birenbaum (Foundation for Defense of Democracies) discusses with John Batchelor the challenge of laundering the enormous amounts of cash generated by fentanyl drug smugglers and drug lords. This multibillion-dollar process often utilizes Chinese nationals residing in the United States. Because of capital controls imposed by the Chinese Communist Party (CCP), diaspora populations use internet chat rooms and WeChat to find opportunities to access dollars. Drug cartels capitalize on this by giving the Chinese nationals money to spend lavishly, thus laundering the drug cash. While these individuals may know they are circumventing CCP controls, they usually do not know the illegal origin of the funds which ultimately finance the cartels.

More than six months after 50,000 liters of toxic water from a Chinese-run mining site spilled into Zambia's Kafue River, there's still no resolution to what's become a massive environmental crisis.  The government is siding with the company, Sino-Metals, while local farmers and activists remain unsatisfied with the response and have launched multiple lawsuits, including one seeking $80 billion in damages (more than twice the entire size of the Zambian economy). That's sparked outrage on Chinese social media platforms like WeChat and Weibo, where commentators are fuming over what they perceive as blatant extortion of a Chinese company.
