Can AI Replace Your M&A Lawyer? The Truth About Legal Risk in the Age of AI with Eric Hsu

Buying Online Businesses Podcast

Play Episode Listen Later Jun 10, 2026 42:08

Most people think the biggest risk in buying a business is overpaying. It's not. It's signing an LOI you don't fully understand. Moving fast because someone on the internet told you speed wins. Then finding yourself thirty, forty thousand dollars deep into a deal that was never going to close the way you structured it. Eric Hsu has seen it happen more times than he can count. Over 160 closed deals as an M&A attorney who exclusively represents buyers. And the pattern almost always starts at the LOI - that document most first-time buyers treat like a formality. AI can hand you twenty questions to ask a seller. It can flag risk, validate numbers, model theory. It's genuinely useful. And genuinely dangerous when you don't know what you're actually looking at. Because AI can't read why a seller gets vague about their Google Ads account in a way that means something. It can't tell you that annual subscription revenue the seller just collected isn't really theirs yet - and your client inherits every obligation to fulfil it. It doesn't understand deal psychology. It can't sit across from someone who built their business over thirty years and feel where the resistance is coming from. That's pattern recognition. That's what 160 closed deals actually buys you. In this episode, Jaryd and Eric pull apart exactly where AI helps, where it quietly misleads you, and where it has no business making the call. You'll learn: Why the LOI is the single most expensive legal mistake first-time buyers make - and what stress-testing one actually looks like before you sign The working capital trap that kills deals mid-diligence and leaves buyers choosing between injecting $100K cash or walking away with nothing How SBA lending rules have shifted since mid-2025 - and why brokers now favour cash buyers who show up lender-ready from day one What AI genuinely cannot replicate: pattern recognition, human behaviour, and the deal empathy that holds negotiations together The holdco structure Eric recommends for portfolio buyers - when to set it up, why before your first SBA close, and what it actually costs Why integrity issues during diligence are non-negotiable walk-aways - and the dating analogy that explains exactly why The glue of the deal is the relationship. The trust. The ability to get both sides on a call and actually work something out. AI can model the numbers. It can't do that.

When one takes a decision to evacuate and starts moving, this is not the end of their decision-making process. Which route to take? Who to contact? How to arrange a place of shelter? Where to go first? Have I forgotten anything? I previously discussed the decision-making with Erica Kuligowski from RMIT, and today we're meeting again to follow up on decision-making for large-scale evacuations. We focus on choices and uncertainties that make many of the evacuees take additional trips, and those trips become background traffic that interferes with your escape. In this episode, we dive deep into the decision making in this stage, the sources of data, and hypothesise how this knowledge could be used in practice. And of course, Erica being one of the leaders of the Human Behaviour in Fire community gives us a high level overview how this part of science looks like, and what is currently being researched. The HBiF conference we mentioned in the episode can be found here: https://humanbehaviourinfires.se/----The Fire Science Show is produced by the Fire Science Media in collaboration with OFR Consultants. Sheldon, Tom and Jeff are back for another awesome episode of the podcast! I absolutely love hosting these guys! We spoke about how death awareness quietly shapes human behaviour, culture, and politics, drawing on their decades of research and insights from The Worm at the Core. We explored societal instability, economic inequality, and theories of cultural collapse, including Peter Turchin's work on income inequality and relative deprivation, and how shrinking opportunities and mass media fuel dissatisfaction and ideological division. Then we turned to Heidegger's ideas on authenticity, inauthenticity, and how humans respond to mortality—whether through flight from death or living with what he called anticipatory resoluteness. From there, we discussed emerging neuroscience research on death reminders, and the role of practices like mindfulness and meditation in shaping our responses to mortality. From a therapeutic perspective, we spoke about death anxiety in psychotherapy, whether it tends to appear directly in the therapy room or remain embedded in cultural, religious, and ideological belief systems. We explored whether practices like meditation or psychedelic therapy can genuinely transform our relationship with death, or whether fear of death is something humans continually manage rather than overcome. Finally, we spoke about the broader implications of Terror Management Theory—how cultural worldviews help us cope with mortality, but can also lead to rigidity, conflict, and dehumanisation when threatened. We closed with reflections on existential maturity, humility, and whether cultivating pro-social values offers a more humane way of living with the knowledge that we will die.***Sheldon Solomon is a social psychologist and Professor Emeritus at Skidmore College. He is one of the co-founders of Terror Management Theory and has spent over four decades researching how awareness of death influences human behaviour, morality, and culture. He is co-author of The Worm at the Core: On the Role of Death in Life.Jeff Greenberg is a social psychologist and Professor Emeritus at the University of Arizona. As a co-founder of Terror Management Theory, his research explores the psychological functions of self-esteem, cultural worldviews, and meaning in the face of mortality. He is also co-author of The Worm at the Core.Tom Pyszczynski is a social psychologist and Professor Emeritus at the University of Colorado, Colorado Springs. A co-founder of Terror Management Theory, his work focuses on how existential anxiety shapes ideology, prejudice, and self-regulation. He has published extensively on death anxiety, worldview defence, and existential motivation.***The Mind Mate Podcast explores the human condition at the intersection of philosophy and psychotherapy. Hosted by counsellor and psychotherapist Tom Ahern, the podcast engages deeply with questions of meaning, anxiety, freedom, identity, death, love, and what it means to live authentically in the modern world. Brick phones are making a comeback… but it's not just down to Y2K nostalgia. There's growing concern around how dependent we are on our smartphones - screen time apps are getting more popular, devices to lock you out of your apps are on the market and some people are even getting rid of their smartphones completely. So, why are so many of us doing a digital detox? And do we even need to?BBC journalist Chelsea Coates explains where this growing trend is coming from, plus she takes us through the data on smartphones and young people. We hear from Elias Wachtel, who reported on this for The Atlantic after giving up his smartphone, and Veda (@Sakuraopal) in Hong Kong, who went viral online after swapping her smartphone for a flip phone to cut her screen time. Dr Cam McDonald is back, and we’re diving deep into what really drives behaviour... in kids, classrooms, and us grown-ups too. Cam breaks down how stress, environment, movement, food, and connection shape focus and behaviour. We unpack why punishment doesn’t work, why every kid (and adult) has their own 'best learning environment,' and how the right kind of AI could transform education - not by replacing teachers, but by helping them understand what each student actually needs. We also talk trauma, physiology, and why you literally can’t heal if you’re stressed. This one’s a fascinating mash-up of neuroscience, compassion, and common sense with plenty of light-bulb moments. Harvard experts warn Diaspora Jews are suffering from ‘traumatic invalidation' after Oct. 7

Diaspora Jews have spent nearly two full years seeing posters of Israeli hostages ripped down in public, hearing chants of “Go back to Poland” in the streets, and seeing Zionists banned from progressive organizations and events. After all that, Diaspora Jews could be suffering from a condition called “traumatic invalidation”. The diagnosis is contained in a research paper published this year by two Jewish Harvard University–affiliated psychologists who specialize in trauma. The symptoms include anxiety, depression, shame and, in extreme cases, post-traumatic stress disorder. The authors found that Jewish patients reported their pain and trauma after Oct. 7 has been not only widely ignored, but in many cases denied—or even weaponized against them. Since their study was published by The Journal of Human Behaviour in the Social Environment in May 2025, it has struck a chord among the Canadian Jewish community. That's why a coalition of Canadian synagogues, Jewish medical professionals and trauma organizations have brought one of the authors to this country this week for a series of public talks. On today's episode of The CJN's North Star podcast, host Ellin Bessner sits down with Dr. Miri Bar-Halpern, a Boston-based clinical psychologist and Harvard lecturer, who is wrapping up her speaking tour in Toronto. Something for nothingDo rewards and incentives damage our humanity? In much of our personal and professional lives, we receive rewards for good behaviour and carrying out our responsibilities. But, evidence now suggests there are risks to this approach. Studies show rewards can damage wellbeing, fostering dependence and undermining our own sense of control. And neuroscientists have shown those more prone to seeking reward have a 70% higher risk of addiction, with addictive behaviour now present in almost half of the U.S. population. So, should we move away from rewards-based systems, and instead learn to value doing the right thing simply for the sake of, well, doing the right thing?Paul Bloom is a Canadian-American psychologist, bestselling author, and celebrated speaker. Bloom has written widely on human nature, and he won the Klaus J. Jacobs Research Prize for his investigations into how children develop a sense of morality.Dan Ariely is a Professor of Psychology and Behavioural Economics at Duke University and best-selling author. Ariely is a scholar of irrationality and decision-making, explaining how we repeatedly and predictably make the wrong decisions in many aspects of our lives.Nancy Sherman is a Professor of Philosophy at Georgetown University who has conducted research in general ethics, moral psychology, and the history of philosophy with focus on the Stoic tradition. A New York Times Notable Author and sought-after speaker, her views on military ethics have been influential.
