Attorney Kelly March, in Colorado since 2010, began to see how corrupt and backwards some situations can get in the family courts. Attorney March saw that certain families could benefit from TILA-LABS as they become overwhelmed by the system. Welcome to EO Radio Show - Your Nonprofit Legal Resource. Episode 90 is a refresh of the third of the original episodes published in the summer of 2022. During these dog days of summer, it's a good time to bring back some of our earliest episodes that cover fundamental topics that nonprofit leaders and aspiring leaders need to understand. In this refresh of episode three, I cover the general principles of state law rules that address corporate governance. Under state law, the business and affairs of a nonprofit corporation must be managed and all corporate powers are to be exercised by and under the direction of the board of directors. Each director has personal duties to the corporation. Principally, these duties are the duty of care and the duty of loyalty. This nonprofit basics episode addresses director duties and best practices for the typical nonprofit public benefit corporation. In the first section, I summarize the duty of care, including a discussion of the manner in which a careful director meets this standard. The second section discusses the duty of loyalty with a particular emphasis on dealing with actual and potential conflicts of interest. Amanda Osmer is the fourth-generation owner of Grappone Automotive Group. Osmer's great-grandparents, Rocco and Emanuela Grappone, were Italian immigrants who opened a gas station in Concord in 1924. Her grandfather, John Grappone, worked for 79 years to help expand that single business into the Grappone Automotive Group, which today encompasses five New Hampshire dealerships, representing Ford, Honda, Hyundai, Mazda, and Toyota, as well as one of northern New England's largest wholesale parts operations. Amanda launched Leadership Grappone, a program that a seeks out the company's emerging leaders, with the goal of uncovering their true leadership potential. Rebecca Hamilton is the Co-CEO of Badger, a producer of organic body care products. An advocate for issues concerning the environment, ingredient transparency, and societal change, Rebecca has spoken at the White House, addressed the United Nations Convention on Biological Diversity in support of organic and regenerative agriculture, testified before Congress on behalf of safer cosmetics, and attended Senate and House briefings on Capitol Hill in support of family-friendly workplace practices and chemical reform. Sam and Emma speak with David Bellos, professor of Comparative Literature at Princeton University, to discuss his recent book Who Owns This Sentence?: A History of Copyrights and Wrongs, co-authored with Alexandre Montagu. First, Sam and Emma run through updates on Israel's targeting of Al-Shifa hospital, the false UNRWA accusations, Russian elections, US realtors, SCOTUS, the sale of US Steel, the Federal Reserve, and Donald Trump's legal woes, before parsing through objections from US representatives to the continued commitment to Israel's obvious lies about UNRWA. Professor David Bellos then joins, diving right into the contemporary distinctions between patents, trademarks, and the monstrous world of copyright, with the former two requiring applications and reapplications, while copyright allows for extensive, long-term monopoly over intellectual property for both individuals and corporations. After briefly touching on the concept of intellectual property writ large, Professor Bellos steps back to look at the initially parallel histories of patents and copyright, both birthed alongside the creation and dissemination of the printing press in 15th Century Venice to provide a distinction between the limited ownership of newly-authored works and the public domain of older and classical art, also touching on the much longer (and more severe) history of trademarks stretching back through the medieval times. The Word in Black website states a mission: "To be the most trusted news and information source for, about, and by Black people.” Founded on June 7, 2021, just after the entire world witnessed the tragic death of George Floyd, 10 of the nation's most prestigious Black legacy newspaper publishers joined together to launch a collaborative online news presence to work together to serve their local readers and combine their resources and content into a single branded platform. Of the many hopeful developments in psychedelic research in recent years, perhaps the most important is that FDA approval of MDMA-assisted therapy for treating post-traumatic stress disorder appears likely within the next year. That prospect is due in no small part to our Raise the Line guest, Dr. Michael Mithoefer, who has spearheaded clinical trials of MDMA-assisted therapy for more than twenty years and is a senior leader at the Multidisciplinary Association for Psychedelic Studies Public Benefit Corporation which has led this groundbreaking research. Although he notes that FDA approval isn't guaranteed, Mithoefer is contemplating what the practicalities will be of implementing this multi-stage therapy regimen, and he has cause for concern. “I think now the question is going to be, if it's approved, how does it fit into this medical system we have, which I think is quite dysfunctional, especially with mental health. To me, the challenge is going to be not to try to distort the treatment to fit the system,” he tells host Shiv Gaglani. In this enlightening conversation, Shiv and Dr. Mithoefer discuss the need for specialized therapist training, the importance of making the therapy available regardless of ability to pay, and other potential therapeutic uses for MDMA. However, it was the dot-com crash that turned the tide and urged him to follow a new path. He yearned for something more meaningful, leading him to pursue a degree in environmental management. He didn't anticipate that his first book, written like a consultant and not an environmentalist, would become a bestseller and lay the foundation for his work in helping companies understand the role of business in society. He passionately believes that profits and sustainability are not mutually exclusive and that the majority of a company's value lies in its intangible aspects, such as brand value and customer loyalty. The Resale Edit: What Brands Should Consider When Building A Resale ProgramThe only place to start this week is the Charnard's decision to give 100% of Patagonia to a trust and holding company charged with manifesting Patagonia's mission: to save our home planet. Consistent with the past 50 years, Yvon and Patagonia are still willing to do so, with this recent move. Leadership can be elusive but we certainly know it when we see it. Although brands and retailers are taking steps to be more sustainable, there is still a disconnect on how many goods a company can make to reach environmental goals. We are not going to address this within our current linear model. And it's one of the reasons so many fashion brands are launching resale programs. But with all these new programs how can one distinguish between business innovation and marketing? One way is to look at the business model behind the effort. Innovative business models are set up to be profit centers for the business, they address core activities such as buying and selling pre-owned items. Marketing programs have an ROI that drives traffic but are not set up to become core for the business. Saks Off 5th, who expanded their resale efforts this week with LXR and Reflaunt is aiming to make money by buying and selling pre-loved items. This is business model innovation given the ability to scale a profit center. Whereas UK fashion provider, Joules, who also announced a resale program is essentially awarding gift cards to get you back in the store, more akin to smart marketing. Marketing efforts can evolve into business innovation, but approaching resale as a business innovation certainly improves the odds of capturing the customer shift underway.Saks Off 5th initially partnered with LXR back in 2020 selling pre-owned handbags in-store. Their program has now expanded with Rent the Runway and Reflaunt to offer roughly 1,000 items online. Many of the resold items are not typically sold via the Off 5th banner including Hermes, Fendi, Prada, and Tom Ford. This makes sense for a discount retailer who can now buy back and resell higher-end pieces to their value-oriented customer base. This is a business that has the potential to continue to grow, not a marketing program.We will see more of these programs across value-oriented retailers such as Walmart, Target, JCP, and Macy's as they find new ways to attract and maintain value-oriented customers. As a not-so-small footnote, brands should beware these programs have significant brand risk in the new supply, discounting and merchandising of branded items outside the brand's purview. As compared to traditional wholesale relationships where brands share in revenue, these programs both buy from and sell to customers, bypassing the brands altogether.@James Reinhart wrote a fantastic article in Fast Company comparing fast fashion to big tobacco. James' points included the social pressures of the newest look and price point with cigarettes in the media and affordability at the time. It's possible there will be class action lawsuits or the government will regulate fast fashion but even if this does occur it won't be soon. For now, this article serves more as a billboard highlighting the need for new business models as fashion considers the sustainability implications of the industry.WWD covered lululemon's annual sustainability reporting which highlighted the challenges of our current commerce model from a CO2 perspective. Lulu shared an 82% absolute reduction, ahead of plan on direct emissions (scope 1 and 2) while indirect emissions (scope 3) increased 4%. Given lululemons growth, 4% would still be commendable by some and it also highlights the innovation needed from new business models such as lululemon's Like New. Other brands were in the news for sustainability press releases including Puma's new recycled shoe, others implementing ‘more sustainable' logistics and packing materials, and Macy's circularity program. While these make good marketing, many of these efforts, such as the process of producing a shoe from recycled content, is not addressing the systemic problem a growing fashion CO2 footprint–an exception may be Macy's move to digital samples which can scale and does address core operations. Saks Off 5th and lululemon's Like New program are examples of business innovation that can ultimately scale where business growth isn't directly tied to growing CO2 emissions.The So WhatFashion brands who are serious about climate goals will need to innovate profitable circular models. If your resale program doesn't make money buying and reselling pre-owned items, question if it's really just a marketing program and won't address your innovation agenda.Premium and luxury brands get ready for a very different retail landscape where more of your products are repurchased and resold in channels and stores you would disapprove of, bypassing you entirely.
