The merger between Paramount and Skydance advances as Edgar Bronfman Jr. withdraws his competing bid, allowing the deal to close. The initial bid by Bronfman was $4.3 billion for National Amusements, which increased to $6 billion. Paramount had already committed to merging with Skydance to secure vital investments amid industry challenges. A committee from Paramount reached out to over 50 potential bidders during the “go shop” period, which has now ended. National Amusements, led by Shari Redstone, holds more than three-quarters of Paramount's Class A voting shares. The merger highlights David Ellison, Skydance's founder, as a key player in entertainment. The estimated combined value of Paramount and Skydance is around $28 billion, with a target finalization in September 2025, pending regulatory approval. Carl Quintanilla, Jim Cramer and David Faber began the hour by breaking down the market rally following this morning's inflation data. The consumer price index held flat in May, but increased 3.3% from a year ago. Both numbers were 0.1 percentage points below market expectations, which sent stocks soaring and yields lower. After the market discussion, David Faber reported the latest around Paramount, after National Amusements stopped discussions with Skydance, ending months of deal discussions without a transaction. After the opening bells, the desk also reacted to Oracle's latest quarter. Shares of the tech company rallied on Google and OpenAI deals despite posting an earnings miss. Hollywood consolideert! De streamingoorlog van vorig jaar heeft diepe wonden achtergelaten bij iedereen behalve Netflix. Bovendien kost het weer flink wat rente om geld te lenen. Als gevolg daarvan verwachten experts dat er van de vijf grote studio's in Hollywood maar drie overblijven. Paramount, Warner, Disney, Universal, Sony én kleinere omstanders drinken al een tijdje koffie met elkaar om te bekijken of ze met een overname of een fusie wat meer winst uit hun contentboerderijen kunnen persen. Dat levert natuurlijk vuurwerk op. Shari Redstone bezit via haar National Amusements slechts vijf procent van de aandelen van Paramount, maar bezit door een bijzondere constructie wel nagenoeg al het stemrecht. Inmiddels is voormalig topman Bob Bakish al ontslagen na ruzie met de grootstemhouder. Blijven over: drie co-CEO's die eigenlijk niks te zeggen hebben over het bedrijf waar één vrouw maar een plukje aandelen van bezit. Bio Johanna Blakley, PhD, is the managing director at the Norman Lear Center. Based at the University of Southern California’s Annenberg School for Communication and Journalism, Blakley performs research on a wide variety of topics, including global entertainment, cultural diplomacy, entertainment education, celebrity culture, fashion, digital media and intellectual property law. She has two talks on TED.com: Social Media & the End of Gender and Lessons from Fashion’s Free Culture. She speaks frequently in the U.S. and abroad about her research and her work has been cited by Reuters, the New York Times, The Economist, the Washington Post, The Atlantic, the Los Angeles Times, Politico, Huffington Post, RAND, Forbes, Business Week, PR Week and GOOD. She has appeared on Good Morning America, MSNBC, Al Jazeera and Current TV, and on several radio programs, including On the Media, Planet Money, Marketplace and the TED Radio Hour. Blakley is co-Principal Investigator, with Marty Kaplan, on the Media Impact Project (MIP), a hub for collecting, developing and sharing approaches for measuring the impact of media, primarily funded by the Gates Foundation. MIP seeks to better understand the role that media plays in changing knowledge, attitudes and behavior among individuals and communities, large and small, around the world. MIP currently works with the US State Department on three cultural exchange programs: American Film Showcase, Global Media Makers and the Middle East Media Initiative. The companies have been negotiating a merger deal for three years, which often put CBS and Viacom Vice Chair Shari Redstone at odds with former CBS CEO Les Moonves, who has since left the company mired by sexual harassment and abuse claims. The Redstone family-controlled National Amusements owns both companies. The combined entity will include CBS, as well as Viacom brands MTV, BET, Showtime, Nickelodeon, Comedy Central and Paramount. Senator Marsha Blackburn calls out Huawei U.S. Senator Marsha Blackburn, who’s a member of the Senate’s Technology, Innovation, and the Internet subcommittee called out Huawei for allegedly implanting spyware on devices. Blackburn said the China-based company is part of China’s military industrial complex designed to spy on the United States and other countries. Huawei is still on the Commerce department’s blacklist. But last month President Trump said that he would allow U.S. companies to sell equipment to Huawei. Democrats blast McConnell at DEFCON hacker conference Senator Ron Wyden and California Representative Ted Lieu blasted Mitch McConnell at the main worldwide hacker conference, DEFCON, last week, for McConnell’s opposition to election security. McConnell has blocked legislation to strengthen election security—stating that federal legislation to defend election systems interferes with states rights.

Billionaires in the News this week: Robert F. Smith. Smith is a billionaire who makes his money by investing in enterprise software. He recently pledged to pay off all of the college debt of the Morehouse College's graduating class of 2019. That's great for them, but highly visible philanthropic gifts reinforce the idea that social problems can be meaningfully addressed informally by promoting a sense of noblesse oblige in the super wealthy. Joe makes the very good point that philanthropic giving is chaotic in the sense that it is guided by the whims and experiences of individual rich people. That's a bad way to try and fix social ills. Anyway, Smith is married to a Playboy bunny, opposes closing the carried-interest loophole, and describes his so-called philosophy as "an unusual amalgamation of laissez-faire survival of the fittest and a progressive desire to open up opportunities for the disadvantaged in the world." Since 2009 there has been three new Star Trek movies, one new series with another four reportedly in development. Yet enthusiasm for the franchise among die hard fans is low. What’s going on? We’ll explore what is going on in Star Trek today in this episode. What's Going on? When it comes to connected TV and film universes, Star Trek was the first franchise to do it. Not Marvel. But that might not happen anymore. And it all has to do with who owns Star Trek. But trying to figure out which corporate entity owns the property can get a bit confusing. And it’s been that way from the beginning. A lot of people think Gene Roddenberry and his production company Norway were the original owners. They weren’t. The original owner was Desilu Studios and in 1968 Paramount Pictures, itself owned by Gulf + Western, purchased Desilu and Star Trek along with it. In 1994, Viacom purchased Paramount for $9.75 Billion! Star Trek was still controlled and operated by Paramount, the franchise essentially had a new owner. This next fact seems unrelated, but it isn’t. In 2000, Viacom merged with CBS Corporation. Interestingly, Viacom was created by CBS back in 1952 as the network’s syndication division. Then it was called CBS Films but was later renamed Viacom. It was spun off into its own company in 1971. Back to the year 2000, and Viacom was then owned by National Amusements. The majority owner of that company was Sumner Redstone. In 2005, Redstone decided to break Viacom apart into two companies, essentially undoing the 1999 merger. The entity known as Viacom became CBS Corporation. It owned all TV and radio divisions, along with Simon and Schuster publishing. CBS would also own all of the television properties, including Star Trek. The head of the new CBS Corporation was Les Moonves. The second company created was a new version of Viacom. It held Paramount studios, MTV and BET networks. Viacom with Paramount, retains the Star Trek feature film library, and according to some, the rights to make new feature films. But the exact terms of the rights, and who can do what are not clearly known. And this is where things get a bit murky. But you needed this background to follow and understand what’s happening today.

When CBS and Viacom split more than 10 years ago, Viacom was supposed to be the crown jewel. It had the cable networks, the media industry's money-makers. Fast-forward to today, and Viacom is floundering as millennials ditch cable TV and Paramount Pictures struggles. Now, controlling shareholder National Amusements is calling for the two companies to explore coming together again.
