Provaris Energy Ltd managing director and CEO Martin Carolan joins Jonathan Jackson in the Proactive studio to discuss the confirmation of a Term Sheet with Uniper, as well as its capital-light revenue model to generate early cash flow while limiting large-scale capital expenditure. This approach is a key part of the company's commercialisation strategy. Revenue will be generated through Technology Licence Fees and Origination Fees, ensuring upfront and recurring income streams. The company's hydrogen shipping fleet will be funded by third parties, such as shipowners or Special Purpose Vehicles (SPVs). These entities will finance and operate hydrogen carriers under long-term charter agreements. Provaris retains the flexibility to invest selectively in fleet assets or projects that enhance long-term shareholder value. Projected financial returns could reach up to US$34 million (approximately A$54 million) per project, based on deployments involving two H2Neo carriers and one H2Leo barge. I met Fortune Senior Finance Reporter Allie Garfinkle in February 2024 at an event for comms professionals.  She had just taken over the Term Sheet daily deals newsletter covering startups, venture capital, M&A, trends and pretty much anything tech-related. When news broke right after our panel that Reddit was filing to go public, she didn't have a desk or a chair, so she grabbed her laptop, sat on the floor with her back to the wall and began drafting her next column. She wasn't stressed out — she seemed excited and laser-focused. Term Sheet comes out five times each week which means she's up and reviewing reader tips between 4am and 6am. “I actually write every day because I want it to feel urgent. It's sort of this odd equivalent of being journalistically naked,” she said. A lot of tech reporters use their platforms to make predictions, pick winners and embroider their opinions, but Allie tends to play it right down the middle.  “The thing that I probably excel at is sort of being somewhere between neither being a cheerleader nor being an incredibly harsh critic,” she said. “I actually try to approach every person in front of me on their terms, like, “okay, who are you?” Episode breakdown (3:49) “I started at Fortune in January. Blue Sky Uranium CEO Niko Cacos joined Steve Darling from Proactive to share news the company has entered into a binding term sheet with Corredor Americano, an Argentine company, to complete an option agreement regarding the Company's Ivana Uranium-Vanadium Deposit. Cacos told Proactive that Corredor Americano can earn up to a 50% indirect interest in the Property by spending up to 35 million dollars advancing Ivana through to the completion of a feasibility study and drilling key exploration targets located in adjacent areas of the Property. Following a positive feasibility study, Corredor can earn an additional 1% upon its decision to fund the capital cost of the Project and further 29% interest by funding 100% of the estimated capital costs to achieve commercial production. Cacos emphasized the strategic importance of this agreement with its recent PEA for the Amarillo Grande Project confirming the Ivana deposit as a potential candidate for low-cost uranium production. The proposed transaction provides compelling benefits for Blue Sky and its shareholders by setting a clear path to bring Ivana to production in partnership with one of the most capable groups in Argentina. The collaboration with Corredor Americano is expected to accelerate the development of the Ivana deposit, leveraging Corredor's expertise and financial strength. This partnership aims to unlock the full potential of the deposit, ensuring a streamlined path towards commercial production. The terms of the agreement reflect a structured approach to project development, with Corredor Americano taking on significant financial commitments to advance the Ivana project. This includes funding for extensive drilling programs and feasibility studies, aimed at confirming the project's viability and outlining a clear route to production. Siamo qui per fare una crash-course sulle term sheets ! Un documento molto importante nel mondo startup… Cos'è una term sheet? Di base è il documento che un investitore manda a una startup per esprimere il suo interesse ad investire nell'azienda. In altre parole, durante la fase di fundraising un founder deve andare a caccia di term sheets.  Ma una term sheet non vale l'altra. Un potenziale investitore usa questo documento per delineare i principali termini economici e contrattuali che saranno la base della negoziazione per poi arrivare a un possibile investimento. Quindi è cruciale che un founder capisca le principali clausole da negoziare prima di entrare in un eventuale contratto.  Per affrontare questo tema molto importante abbiamo deciso di invitare Giovanni Calabrese, investitore e VC Associate in gruppo Sella, e Gianluca Cocco, imprenditore tech con una exit alle spalle e che adesso sta lavorando ad una nuova startup in stealth mode. L'obiettivo di questa intervista è capire bene i termini del term sheet perché spesso quando una startup ha bisogno di denaro può essere tentata da accettare la prima term sheet che riceve … ma non facendo attenzione si corrono grandi rischi: banalmente diluirsi troppo o per esempio accettare clausole che possono permettere ad un investitore di vendere l'azienda senza l'accordo del founder. Paramount Global has filed a $50 million-plus countersuit against Warner Bros Discovery over streaming rights to the long-running cartoon satire, South Park. This is in response to Warner Bros Discovery's $200 million lawsuit against Paramount Global over the same issue. The countersuit seeks to recover unpaid license fees and a declaratory judgment confirming the parties' rights and obligations under the Term Sheet. The legal battle has become increasingly heated, with both sides making strong accusations against each other. This legal dispute is significant as it could impact the launch of Warner Bros Discovery's revamped Max streaming service next month. Expect to see lawyers making a lot of money as this legal battle continues. Demetrious Polychron, a Lord of the Rings fan fiction writer, is suing the Tolkien Estate and Amazon for $250 million in copyright infringement, claiming that The Rings of Power show infringes on his work, The Fellowship of the King. Polychron claims his work is "inspired by Lord of the Rings and J.R.R. Tolkien" but is a "wholly original book and concept." He has attempted to work with the Tolkien Estate professionally but was rebuffed, so he delivered a copyrighted copy to Simon Tolkien's home. The lawsuit points out similarities between the two works, but some of Polychron's claims, such as one of his characters having the same name as a character in Rings of Power, are contested.
