A debate over the definition of an accredited investor is underway ahead of an SEC meeting that could make it tougher to quality. The SEC Chairman is reportedly in favor of making the definition more restrictive, and that's raising concerns among lawmakers, financial scholars and business startups who feel that opportunities for investing should be expanded, not diminished. (1)   Hi, I'm Kathy Fettke and this is Real Estate News for Investors. If you like our podcast, please subscribe and leave us a review.   What is an Accredited Investor?   If you've been wanting to invest in a private placement, such as an apartment or storage syndication, but haven't yet met the requirements of an accredited investor, you may be feeling the frustration. The SEC requires an individual to earn at least $200,000 a year as an individual, $300,000 a year as a couple, or a networth of $1,000,000 or more which excludes the value of a primary residence.   Accredited vs. Sophisticated   The SEC does allow a small number of non-accredited investors in certain private placements - 35 to be exact. And though they may not be accredited, they do have to be "sophisticated."  Investopedia defines a sophisticated investor as someone “with sufficient knowledge and experience in financial and business matters to make them capable of evaluating the merits and risks of the prospective investment.” (2)(3) That knowledge or experience would need to be obvious to the private placement sponsor or syndicator. That could include an employee with knowledge about investing opportunities, risks, and the deal itself.   The sophisticated investor designation is allowed in a 506(b) offering under Regulation D - but again only 35 "sophisticated" investors are allowed, and they must have a pre-existing relationship with the sponsor. The Jumpstart Our Business Startups Act, or JOBS Act, of 2012 allowed investors with no prior existing relationship to participate in a private placements for the first time through a new category called 506(c). This allows syndicators and fund managers to market their offerings to the public, but does not allow non-accredited sophisticated investors. Only accredited investors are allowed in a private placement that advertises publicly.   Support for Less Restrictive Definition   At a House hearing on what the SEC is currently planning to do, Committee Chairwoman Rep. Ann Wagner said: “It is no secret that SEC Chairman Gary Gensler's agenda includes sweeping new regulations in our private markets that would create barriers for investors and entrepreneurs to participate in those markets.”   An article in The DI Wire says notes on the SEC's agenda show that Gensler plans to change “the accredited investor definition by increasing the annual income and net worth thresholds.” The SEC began soliciting public comments on potential changes last year to “update the rules” and “more effectively promote investor protection.” (4)   Representative Brad Sherman that the current definition doesn't make sense and needs reform. He says: “That doesn't mean it should be more restrictive or less restrictive than what we have now, but it should be different.”   Is the Current Accredited Investor Definition Unfair?   Director of Financial Regulation Studies at the Cato Institute, Jennifer Schulp, was more critical. She testified that the accredited investor definition is “unfair” and objected to the idea that the SEC decides “who gets to invest where: public markets for most, but public and private markets for those it judges to be worthy.”   She says: “Such paternalism – limiting how people can invest their money – is objectionable in itself. The SEC should not be charged with protecting individuals from their choices to take certain kinds of financial risk.” She highlighted the fact that in 2010, the SEC “shrank” the pool of accredited investors by adding a clause to the Dodd-Frank Act that excludes the value of a person's primary home.   Proposed Certification Exam   Chairman of the House Financial Services Committee, Rep. Patrick McHenry, had introduced the Equal Opportunity for All Investors Act. It calls for the SEC to offer an accredited investor certification exam for people with investment knowledge and experience. He said during the hearing that he looks forward to moving ahead with legislative proposals that would improve the accredited investor definition. That's bigger than the GDP of at least 20 countries. Has their ever been a verdict against an individual this huge? Hell no. Alex Jones now has been fined more than all the actual murderers and mass shooters who have ever lived around the world since the dawn of time *combined* for having the nerve to ask questions. This totally insane judgement is meant to send a message to anyone who dares question the “official narrative” - if you speak up, you will be sued for a Powerball jackpot-sized sum of money. Coming in 2023: the grand opening of the first U.S. Federal Debtor's Prison in Guantánamo Bay. * Right before Teddy was getting ready to record this show, the news broke that crypto exchange FTX was filing for Chapter 11 Bankruptcy. This is notable from a political perspective for multiple reasons. FTX founder Sam Bankman-Fried had donated $40 million to Democrat candidates and Super PACs during the 2022 Midterm elections. And Bankman-Fried made huge waves earlier this year when he announced that he expects to spend “north of $100 million" in 2024, with a “soft ceiling” of $1 billion.* Turns out this guy is a total scam artist who bilked millions of crypto investors out of roughly $10 billion in deposits to prop up his own shitcoin FTT. Sam Bankman-Fried used his fraudulently obtained billions to curry major power and influence in Washington, D.C. Thanks to his $40 million in political donations, “crypto executives landed hearings on Capitol Hill and helped to secure backing for amendments to President Joe Biden's $1 trillion infrastructure bill”. * Sam Bankman-Fried was the “primary force” behind the Protect Our Future PAC, which has raised more than $14 million and made heavy donations to key House races in Ohio and Oregon, among others. Protect Our Future PAC was established in January 2022 to “help elect candidates who will be champions for pandemic prevention.” * SEC Commission Chair Gary Gensler totally fell for Bankman-Fried's b******t - hook, line and sinker. Gensler and Congressional Democrats were basically ready to give Bankman-Fried a blank piece of paper and let him personally craft crypto regulations that would greatly benefit FTX. * Fortune magazine: “The problem is that cop-on-the-beat Gensler not only failed to spot the crime—he appeared set to go along with a legislative strategy that would have given SBF a regulatory moat and made him king of the U.S. crypto market.”* Fun fact: Gary Gensler was a former campaign finance chair for Hillary Clinton. You can't make this s**t up, folks. It's a big ol' corrupt cartel of criminals. * Even Tom Brady, Steph Curry and the Miami Heat fell for this scam. Man, I never thought I would feel pity for Tom Brady, but that guy is having the worst year of his life. Here's the world's smallest violin playing for Tom Brady. But he pushed this scam in TV ads and surely helped convince thousands of gullible suckers that FTX was legit, secure and safe. * Fun fact: Bankman-Fried's mom Barbara Fried is a lawyer who once worked for Hillary Clinton. She is currently teaching law at Staford University and is the co-founder of Mind the Gap, a pro-Democratic super PAC. * From Influence Watch: “Mind the Gap (MTG) is a left-wing super PAC dedicated to helping Democratic political candidates win elections. The PAC earns millions of dollars in donations primarily from Silicon Valley executives “who are keen on quietly funneling massive political donations into the Democratic Party”* What the hell is Elon Musk doing with Twitter? He's gotten billions of free handouts and tax breaks with Tesla, and has lucrative billion-dollar deals with the U.S. government through SpaceX. US reality star Kim Kardashian has paid $1.26 million fine for unlawfully promoting a cryptocurrency on social media without revealing that she was paid to do so, the Securities and Exchange Commission announced Monday.The SEC had filed charges against the "Keeping Up With the Kardashians" star for not disclosing the $250,000 payment she received for posting promotional content about EthereumMax, according to an SEC press release. Kardashian also agreed not to promote any cryptocurrencies for three years.In 2021, Kim Kardashian shared promotional content to her followers on Instagram. Kardashian has one of the largest followings on social media, with 331 million followers on Instagram and close to 74 million followers on Twitter.EthereumMax, which has no relation to the Ethereum blockchain, was also promoted by professional boxer Floyd Mayweather Jr. In January, investors of EthereumMax sued both Kardashian and Mayweather."This case is a reminder that, when celebrities or influencers endorse investment opportunities, including crypto asset securities, it doesn't mean that those investment products are right for all investors," SEC Chairman Gary Gensler said in a tweet.

This week Chrissy Wozniak discusses a new proposed rule by the SEC, with Mary-Thomas Hart, the Chief Counsel, Government Affairs at National Cattlemen's Beef Association.The National Cattlemen's Beef Association (NCBA) reiterated the need for a limited version of the Securities and Exchange Commission's (SEC) greenhouse gas disclosure rule following SEC Chairman Gary Gensler's testimony before the U.S. Senate Committee on Banking.  The SEC's greenhouse gas disclosure rule, proposed earlier this year, would require publicly traded companies to disclose their direct (scope 1), indirect/energy use (scope 2), and supply chain (scope 3) greenhouse gas emissions. The requirement to include scope 3 emissions would place a disproportionate burden on cattle producers whose beef is part of the supply chain for publicly traded restaurants and retailers. Additionally, the rule exposes individual producers to additional levels of legal liability.NCBA previously submitted technical comments on the rule and individual cattle producers sent over 7,406 emails to SEC commissioners and members of Congress expressing concern with rule. The new additions bring company holdings to 129,699 bitcoins.   US regulators move forward with crypto laws Last week, the Financial Times reported that U.S. SEC Chairman Gary Gensler has been communicating with his counterparts at the Commodities Futures Trading Commission (CFTC), in order to promote security and transparency for investors who trade crypto assets. Gensler's recent moves suggest he sees the handwriting on the wall and is preparing for the day when the SEC and CFTC will be working together more closely.   EU agrees rules to regulate ‘crypto Wild West' with new regulation The EU Parliament, EU Council and EU Commission have reached provisional agreement to regulate what one of its lawmakers, Ernest Urtasun, termed the ‘crypto Wild West'. Last fall, Deputy Attorney General Lisa Monaco announced significant changes to Department of Justice policies on corporate criminal enforcement, including the use of monitors, review of prior misconduct, and cooperation. As Monaco stated, "This is a start -- and not the end -- of this administration's actions to better combat corporate crime." These changes and the Administration's formation of a Corporate Crime Advisory Group signal a shift in DOJ's commitment to ferreting out corporate crimes and more rigorous enforcement activities. The U.S. Securities and Exchange Commission (SEC) has announced its own intention to conduct faster investigations, bring bigger cases, and to seek harsher penalties. In his first speech on enforcement, SEC Chairman Gary Gensler quoted the agency's first Chair, Joseph Kennedy, to summarize his own agenda: "The Commission will make war without quarter on any who sells securities by fraud or misrepresentation." The Securities and Exchange Commission (SEC) has approved the first Bitcoin ETF. The proposed date for the listing is Monday, according to the new filing, but that doesn't necessarily mean that's when it will begin trading. That could come later in the week. Anticipation had been building for a bitcoin futures ETF after SEC Chairman Gary Gensler earlier this year said he supported such a structure, which he argues offers more investor protections than an ETF that is tied directly to physical bitcoin. The ProShares Bitcoin Strategy ETF, which will give exposure to bitcoin futures contracts but not the spot market, will trade under the ticker “BITO.” This is a huge step forward for the crypto community and the stock market as community.

On Saturday, we sat in solemn remembrance on the 20-year anniversary of 9/11. We have seen ubiquitous natural disasters, such as wildfires and hurricanes, ravage the nation. And, of course, geopolitical tensions between the US and China continue to persist. All of this, inter alia, has given off the impression that the world is headed downhill. But Keith steps in to offer an alternative perspective, in that the overall trend is that the world, when considered on a comprehensive basis and in the annals of time, is significantly improving - something of which we often lose sight. He suggests that our grim outlook on life may very well be a function of the slow pace of the development of the good relative to the fast pace of the development of the bad. When we consider the facts that, inter alia, legal slavery has essentially been abolished around the globe and war casualty rates are at an all-time low, along with the fact that world markets are incrementally moving higher, we might come to realize that - while it is easy to harp on the bad - we might be best off focusing on the good.Keith notes that, this morning, we are beginning to see a rebound in last week's market sell-off, with the DOW projected to rise by 200 points, the S&P 500 by 27 points, and the NASDAQ by just over 90 points. In some more miscellaneous news, Apple is expected to unveil its iPhone 13 this week. House Democrats are expected to outline its plans for new tax hikes, including a 26.5 percent corporate tax rate. Asian and European markets are mostly higher. Barron's says that the market may be due for a pause or pullback, but no correction or prolonged decline. And Bank of America is predicting a 10-year average loss for the S&P 500 of 8/10 of 1 percent per year, suggesting that the index is headed essentially nowhere for a decade. In other news, Keith acknowledges the concern that the market will continue to recede even after the delta variant stops making headlines, saying that we cannot fully ascribe the current growth dip to the delta variant. In fact, many economists fear that this dip is not temporary, and that there will continue to be ongoing supply shortages and a large percentage of Americans reliant on government assistance such as stimulus checks and eviction moratoriums even after the delta variant. Keith also notes a trend that Americans are moving to more remote and suburban locations, and, as such, virtual work may not be transitory. This implies substantial demographic changes around the country, as well as profound changes in the housing market; the national median existing home sale price in July was up 18 percent from a year ago.Keith then cites a prominent economist from Boston University, who has mentioned that individuals are too focused on wealth accumulation and much less on how to have the best lifestyle today and in the future. The economist also feels that lots of people are claiming their Social Security benefits prematurely, and that people are generally retiring too early. Carl Quintanilla, Jim Cramer and David Faber discussed another record day for the Dow and S&P 500, sparked by inflation data showing consumer prices in July did not rise by as much as investors feared. CPI rose 0.5-percent last month and increased 5.4-percent year-on-year. The anchors explored what it all means for investors and the Fed. As for the reopening trade, Southwest shares fell after the airline said cancellations have increased in August due to concerns over the Delta variant, making it difficult to be profitable for the current quarter. The anchors also discussed decisions by Southwest, American and Delta to not require their employees to get COVID vaccinations, unlike United's mandate. President Biden's economic agenda also in the spotlight after Senate narrowly passed a $3.5-trillion budget blueprint one day after a $1-trillion bipartisan infrastructure bill was approved in the chamber. The anchors discussed the stocks most likely to benefit from infrastructure legislation -- especially the big rally in steel stocks -- and reacted to what Nucor's CEO told CNBC about the bill. Crypto in the mix as Coinbase posts better-than-expected quarterly results -- and SEC Chairman Gary Gensler tells Senator Elizabeth Warren that the SEC needs more regulatory authority over cryptocurrency. Also in the mix: Electric air taxi startup Joby Aviation goes public via a SPAC deal, an update on the railroad bidding war for Kansas City Southern, meme stock mania, retail's upward momentum led by Home Depot, a report which says American Express is postponing its return to the office plans because of the Delta variant outbreak, and shares of Wendy's get a lift on earnings but the company formerly known as Weight Watchers plummets.

Carl Quintanilla, Jim Cramer and David Faber took a deep dive into the April employment report and what it could mean for the recovery and the markets. 266,000 non-farm jobs were added, well below the one million jobs economists had been expecting. The unemployment rate rose to 6.1-percent, but more people entered the workforce in April. The debate has intensified: Are government unemployment benefits giving potential workers an incentive to stay home? That's one of the questions the anchors asked U.S. Labor Secretary Marty Walsh when he appeared on the program to discuss the jobs report, labor shortages and the recovery. It was a good morning for tech stocks as shares of Peloton, Square and Roku rose sharply in reaction to their quarterly results -- Peloton up despite lowered guidance in wake of its treadmill recall. Carl, Jim and David also reacted to what SEC Chairman Gary Gensler told CNBC about the Archegos fallout and regulating Bitcoin -- this ahead of Elon Musk's scheduled guest host appearance on "Saturday Night Live".
