When you're in a workforce you have to have relationships. We're human beings not human doings, but a lot of us get caught up in the human doing stuff and relationships take a back seat. I made the mistake of separating work and weekend life with different sets of friends, as I went along I realised that you have to have relationships at work where you care for them and their families. It creates empathy. BEST MOMENTS ‘When talking about work life balance, balance is a point in time where nothing moves. When you achieve perfect balance you become stagnant. It's no surprise that Sandhya Ganapathy describes herself as a passionate proponent of clean energy. EDPR is a global leader in renewable energy and the world's fourth-largest wind energy producer. An overlooked way to quickly grow a business is to simply acquire customers. Customers which belong to another business. This tactic is overlooked because it's traditionally been the exclusive domain of investment bankers and management consultants who only deal with large companies. But recently, there's been a groundswell of activity spurred by the tech industry as well as the emergence of micro-acquisition marketplaces. Acquisitions are frequently used by tech companies to buy capability, patents and for many reasons other than a short-term earnings boost. So we talk with ex-M&A specialist, former real-estate salesman, army cadet, investment banker, and now, founder of a medical service company, Peter Li. You had really long experience in Ubisecure and in the industry so have super interesting things to tell us. We will talk about mergers and acquisitions today. But before that, we'd like to hear a bit more about yourself, so please tell us your journey to this world of digital identity. Keith: For me, digital identity became part of my career when I moved to Finland in 2000. So this was the height of the .com boom. I got a job working for Sonera, which is now Telia, one of the largest Telco operators in the Nordic countries. As part of that role, one of my jobs was to help Telia to combine the login systems for various small start-up companies, various small projects that they had acquired during the .com phase. They acted as a kind of a technology incubator for many small companies too so they had a huge portfolio of disparate services, all with different ways to sign in and authenticate. That's where my journey started. So I have a background as a software engineer. I have a Bachelor of IT and previously worked in logistics field as a software developer. But after moving to Finland, I later studied software business then continued after graduation joined Ubisecure and I've been working with identity and access management, particularly customer identity and access management ever since then.

Mergers and Acquisitions (M&A) in the Pest Control Industry This week’s interview is essential listening for all those interested in what’s happening in the global pest control company mergers and acquisitions (M&A) market, especially if you yourself are contemplating the sale of your own business. So, settle down and listen to what Paul Giannamore, the managing director of the Potomac Company (www.PotomacPest.com), has to say. With offices in Geneva, Switzerland and Philadelphia, USA, the Potomac Company specialises in global mergers and acquisitions, with special expertise in the pest control sector. Paul first explains that the reasons why an owner wants to sell their business varies greatly, and interestingly, has changed over time. Traditionally the sale of what are mainly family businesses often came about as a result of a family death or divorce, with the average age of the seller being 70-80 years old. Now sellers are around the 40-50 year mark and are aiming to cash-in on their investment, often then going on to start a second career. Over the last few years, pest control businesses have experienced asset price inflation – from traditionally five to eight times cash flow, to now 15 to 20 times. Amazingly, these businesses have increased in value by 300% in the last five years. 2019 was in fact the highest year on record for spend on servicing company acquisitions – an estimated $1.5 billion (1.3 billion Euros) – double that of 2018. However, with the arrival of the coronavirus pandemic, the market this year is only 10% of 2019. But... Paul anticipates the market to return with force in Q4 and into 2021, with valuations remaining high. So, no better time to sell. But how to do it? For those contemplating selling-up, Paul recommends taking on the services of an advisor. He notes how those companies making acquisitions are getting a much better deal in Europe than in the US. Staggeringly, transaction multiples in Europe are only two-thirds of what they are in the USA. As to what a company is worth, factors such as client base, geographic coverage, proportion of recurring contracts e.g. commercial accounts, resilience demonstrated during the Covid-19 crisis are significant factors, in addition to profitability. But listen to what else he says.... Paul stresses that if listeners take home one single message it would be, not to simply have casual conversations with a few potential purchasers – put together your sales materials, contact at least three or four potential acquirers and run a formal competitive process. Make them work for the acquisition. As for the future, Paul views the largest business opportunity is making the industry more technologically focussed. Whilst people still remain key, there is increasing scope for enhanced data management and the use of remote technology, especially as the regulatory agencies continue to search for reduced biocide use. Largest retailer of medical uniforms. 5 years. 10 acquisitions. Sales process through strategic offering in mid-2013. Was CEO when it was sold. Terms: * Help us understand and demystify what M&A is. * What is due diligence? Is performed in an acquisition / sales. Done to ensure what you're buying is what you expect it to be. It's valuation, testing earning. Kicking the tires to ensure you get what you think you'll get. Companies are often sold by investment banker/ business boeker. Company is stating certain facts to support their valuation. Transactions are similar to large personal transactions: cars, homes, etc. * When is it a merger v. acquisition? * Certified Mergers & Acquisitions: really means acquisitions and sales divestitures. * Transaction Advisory: As a business owner or leader, what should you be looking from both sides of a deal? * In Preparation for a sale: Just reading an article about how many businesses have owners who are 55+ years old. Don't have succession planning, etc. There are many businesses getting ready for sale inthe next 10 years. * Know what it's worth. Have a business valuation that will identify current value as well as value drivers and value eroder to create strategies to maximize value. * Consider tax situation and corporate structure. * Quality financial info: having holes and problems in the information will hurt the valuation. * Marketing of the business. * Good transaction attorney. There are differences between the personal attorney and a specialist. * Buyer: Many of the above count the same for buyers * Valuation by an independent professional firm will support your negotiations. * Signed letter of intent to do real due diligence. * Quality of earnings report to confirm what sellers are telling you about future earning potential. * Need to consider post-closing transition. * Two kinds of buys: * Strategic buys who will have synergies, overlap and redundant positions. * Private Equity: May shake up upper management but rank and file middle managers and sales reps are left alone and given time to prove themselves. How much thought is really given to the work of post-transaction integration beforehand? * Key employees locked up * Transition plan for owner, especially, if they are the brand. * Vendor agreements * Cultural challenges * Are there synergistic opportunities? From the perspective of a mid-level manager what should we be trying to do if we know we’re on either side of a deal? * Try to get involved. You may not be on the deal team but there's a lot of work to do. Many people don't want to do it. * Be positives and step up. See the opportunities and long-term payoffs. * Never be shy about volunteering. * Has seen it on the sell side too. Some will put their resume together and gossip. Others will dive into the issue, roll up their sleeves and help. Put best foot forward for buy team.
