Keď zmluva nestačí – ak živnostník pracuje ako zamestnanec, môže ísť o švarc systém, ktorý je jednou z najpálčivejších tém slovenského trhu práce. Odborníci upozorňujú na riziká a vysvetľujú, ako sa mu vyhnúť a nastaviť spoluprácu v súlade so zákonom. Švarc systém nastáva, keď osoba formálne vystupuje ako živnostník alebo konateľ jednoosobovej spoločnosti s ručením obmedzeným, no v skutočnosti vykonáva závislú prácu — teda prácu s prvkami nadriadenosti, osobného výkonu, pokynov zamestnávateľa a konania v jeho mene. „Primárnym znakom závislej práce je existencia nadriadenosti a podriadenosti. Ak práca napĺňa znaky závislej práce, musí byť vykonávaná v pracovnoprávnom vzťahu — nejde o otázku voľby,“ upozorňuje Radoslava Lichnovská z Taylor Wessing, advokátka, špecializujúca sa na pracovné právo. Kontroly inšpektorátov práce a daňových úradov sú orientované na realitu, nie len na zmluvy. „Obsah preváži nad formou — dobre napísaná zmluva vás nezachráni, ak je vzťah v skutočnosti závislý,“ varuje R. Lichnovská. Kontrolóri sa pýtajú na každodennú prax: či kontraktor chodí na interné porady či má firemnú e‑mailovú hlavičku - všetko to indikuje integráciu do organizačnej štruktúry. Tomáš Alaxin, daňový poradca z TPA Slovakia upozorňuje na prísne sankcie: od spätnej platby DPH a odvodov až po pokuty a zaradenie zamestnávateľa do zoznamu nelegálnych zamestnávateľov s vylúčením z eurofondov a verejných zákaziek. Pre kontraktorov hrozí doplatenie daní a stratené sociálne zabezpečenie — teda riziká, ktoré často podceňujú. Švarc systém nie je len slovenským fenoménom, ale jeho rozsah koreluje s daňovo‑odvodovým zaťažením. „Kým štát zvyšuje dohľad, podniky by mali preferovať dlhodobú istotu zamestnania pred krátkodobou úsporou — inak sa riziko môže vrátiť mnohonásobne,“ varuje T. Unsere beiden heutigen Gäste sind Geschwister. Sie hat nach ihrem BWL-Studium in Köln zuerst als Senior Consultant bei Michael Page International und dann als Research Assistent an der FernUniversität in Hagen gearbeitet und dort 2012 auch promoviert. Danach war sie fast 5 Jahre bei Vodafone als Projekt-Manager Leadership, Talent und Engagement. Seit 2017 ist sie bei BabyOne, zunächst als Leiterin der Unternehmensentwicklung und seit 2019 als Co-CEO zusammen mit ihrem Bruder. Nach seinem Jura-Studium in Bonn war er als Rechtsreferendar unter anderem im Auswärtigen Amt, bei Taylor Wessing und in der deutschen Botschaft in Montevideo. Nach zwei Jahren als Rechtsanwalt bei der KPMG wechselte auch er zu BabyOne, zunächst als Leiter Recht, um dann zusammen mit seiner Schwester als Co-CEO die Führung des von den Eltern der beiden gegründeten Unternehmens, zu übernehmen. Die beiden teilen ihre unternehmerische Reise auf LinkedIn und so sind wir auf ihre spannende Geschichte aufmerksam geworden. In den letzten 7 Jahren haben wir uns in über 430 Folgen mit mehr als 500 Menschen darüber unterhalten, was sich für sie beim Thema Arbeit geändert hat und was sich weiter ändern muss. Wir sind uns ganz sicher, dass es gerade jetzt wichtig ist. Denn die Idee von “New Work” wurde während einer echten Krise entwickelt. "Postupne vo mne rástlo zdesenie. Je to tak rozsiahle, že sa vám začnú spájať súvislosti veľmi postupne. Nie som odborník na trestné právo, ale aj odborníci, ktorí tú novelu čítajú, nevedia predpokladať všetky možné dopady, ktoré tá novela bude mať. Bolo to šokujúce," hovorí advokát Taylor Wessing a poradca Zuzany Čaputovej Radovan Pala. "Nadobudnutím účinnosti stovky, možno tisíce ľudí, ktorí dnes sú pre majetkovú trestnú činnosť vo výkone trestu, budú môcť požiadať o podmienečné prepustenie alebo domáce väzenie. Tých okamžitých dopadov tam bude veľmi veľa. Prokuratúra a vyšetrovatelia budú ešte len zisťovať po účinnosti toho zákona čoho všetkého sa to dotýka," dodáva Pala. "Záťaž bude enormná. Bude to enormný tlak. Ja tam vidím ešte jeden aspekt. Pri tej majetkovej kriminalite, ak bude možné vždy uložiť podmienku alebo domáce väzenie, to vytvorí obrovský korupčný tlak. Lebo keď sa niekto živil tým, že spreneveroal peniaze alebo robil podvody, ak zistí, že má možnosť tú vec vyriešiť len podmienkou, tak inštinktívne sa k tomu bude stavať spôsobom akým fungoval dovtedy. In der Nachmittagsfolge begrüßen wir heute Christian Gaiser, CEO und Co-Founder der Numa Group, und sprechen mit ihm über die erfolgreiche Übernahme der Plattform für Serviced Apartments namens Yays.Die Numa Group (Numa) ist ein Betreiber einer vollständig digitalisierten Plattform im Gastgewerbe. Das Startup bietet modernen Reisenden innovative Design-Apartments und Boutique-Studios an. Neben den Reiseerlebnissen hat das Unternehmen auch eine firmeneigene Full-Stack Software entwickelt, wodurch über 80 % der internen Prozesse digitalisiert werden. Dies bezieht sich u.a. auf die Buchung und Zimmervergabe bis hin zu Housekeeping, Buchhaltung und vieles mehr. Dadurch bleibt Numa skalierbar, kosteneffizient und ist in der Lage, selbst stärkere Marktschwankungen zu überstehen. Durch den Einsatz des intelligenten Yield Managements, des Vertriebs und der hauseigenen Betriebssysteme kann das Startup den Verwaltungsaufwand und die Betriebskosten deutlich reduzieren, wodurch es stets flexibel und effizient bleibt. Numa wurde im Jahr 2019 von Christian Gaiser, Dimitri Chandogin, Gerhard Maringer und Inga Svinhufvud Laudiero in Berlin gegründet. Als verlässlicher Partner für Investierende, Eigentumbesitzende und Developer betreibt das Startup erfolgreich mehr als 5.200 Einheiten in 28 europäischen Städten, einschließlich Berlin, München, Rom, Mailand, Madrid, Barcelona und Wien. Kürzlich erreichte das Unternehmen 1,5 Milliarden Euro an verwalteten Immobilien.Nun hat Numa die vollständige Übernahme der Plattform für Serviced Apartments namens Yays bekannt gegeben. Das Unternehmen mit Sitz in Amsterdam betreibt über 489 Einheiten in den Niederlanden, Belgien sowie Frankreich und umfasst ein gesichertes Portfolio an Immobilien, die in Madrid, Frankfurt und Den Haag mit zusätzlichen 124 Einheiten eröffnet werden sollen. Die Transaktion, deren Höhe nicht kommuniziert wird, wurde von DLA Piper, CBRE und EY auf der Verkäuferseite sowie von Greenberg Traurig, Taylor Wessing und Eight Advisory auf der Käuferseite unterstützt. Yays wird etwa 20 % neue Einheiten zum aktuellen Immobilienportfolio von Numa hinzufügen.

They often use their stakes to turn businesses around or simply improve them in order to sell their holdings for a profit. The lawyers Taylor Wessing has assessed the Irish private equity market and found that there was a flight to quality and less risky companies last year. Es sind wahre Kolosse: Die größten sind drei Mal höher als die Freiheitsstatue, ihre Spannweite länger als ein Fußballfeld. Und an ihnen hängt maßgeblich das Gelingen der Energiewende in Deutschland. Die Rede ist von Windrädern. Das Ziel der Bundesregierung lautet: Bis 2030 soll der Anteil des aus erneuerbaren Energien erzeugten Stroms auf mindestens 80 Prozent steigen. Heute stehen wir bei etwa 47 Prozent. Ein Kernelement ist die Windkraft. 115 Gigawatt sollen Windräder bis 2030 liefern. Gerade sind es 56 Gigawatt. Innerhalb von nur sieben Jahren also nochmal die gleiche Kapazität wie in den vergangenen 20 Jahren. Umgerechnet wären das laut einer Studie 6 neue Windräder – pro Tag. Das sind die 3 Fragen, die wir diesmal bei Law aufs Ohr klären wollen: 1. Ambitioniert oder völlig unrealistisch: Wie sind die Windenergie-Ziele der Ampel-Koalition einzuschätzen? 2. Neben bunten Weihnachtskarten sind bei Tausenden Menschen in den vergangenen Wochen sehr ernst klingende Abmahnschreiben in den Briefkästen gelandet. Der Vorwurf: Verstöße gegen Datenschutzvorgaben durch die Nutzung von Google-Schriften. Grund genug, das Thema bei unserem Podcast „Law aufs Ohr“ aufzugreifen. Die fünfte Folge mit dem Titel „Streitfall Google Fonts – Auftakt für eine neue Abmahnindustrie?“ ist beinahe ein True-Crime-Podcast geworden. Um Mord und Totschlag geht es zwar nicht, aber in den Briefen und E-Mails werden die Empfänger aufgefordert, mehrere Hundert Euro zu zahlen, um einer Anklage zu entgehen. But the opportunity to run an L&D department solo is a unique experience and one that brings as much freedom and excitement as it does challenge and resourcefulness. In this episode, Aimee compares and contrasts her experience in L&D teams and her solo role now and provides insights into how to make this successful and a career move of choice. Krátko po predstavení aplikácie TikTok si dvaja Austrálčania, správne predpokladajúc úspech tejto platformy zaregistrovali doménu tiktoks.com. Keď na to spoločnosť ByteDance, ktorá TikTok vlastní prišla, ponúkla držiteľom domény štedrých 145.000 USD za to, že uvedenú doménu na ByteDance prevedú. Títo dvaja Austrálčania si to však zrejme všetko dobre vypočítali a vyšlo im, že viac sa im oplatí ak si doménu nechajú a využijú ju na podnikanie v oblasti získavania followerov. Takáto praktika, pri ktorej si niekto špekulatívne registruje doménu známej značky za účelom profitovať z nej sa nazýva cybersquatting. Ten, rovnako ako iné praktiky často vedie k doménovým sporom, o ktorých sa Kristína Kešnerová rozpráva v tejto epizóde podcastu s odborníkmi na právo duševného vlastníctva, advokátmi Jánom Lazurom a Zoltánom Nagyom. Ján, okrem toho, že je partner advokátskej kancelárie Taylor Wessing, tak rozhoduje doménové spory ako jeden z expertov Arbitrážneho centra pre alternatívne riešenie doménových sporov.

Právo hospodárskej súťaže primárne upravuje konkurenčné správanie podnikateľov. Už menej sa však hovorí o tom, ako sa súťažné právo týka športovcov, ich združení a športových klubov. Projekt SuperLigy mal zmeniť klubový futbal v Európe na nepoznanie. Väčšine futbalových klubov na starom kontinente mal zničiť sen o tom, že jedného dňa môžu vystúpiť na futbalový piedestál. Dvanástke najelitnejších klubov z Anglicka, Španielska a Talianska mal naopak priniesť vyššie príjmy a istotu, že nebudú môcť vypadnúť, nech by ich športové výkony boli akokoľvek mizerné.  Ostrá kritika zo strany fanúšikov, trénerov, hráčov, či dokonca politikov nakoniec zapríčinila, že sa projekt SuperLigy zrejme v dohľadnej dobe nezrealizuje. Vidina alternatívnej európskej klubovej futbalovej súťaže, ktorá by priamo konkurovala prestížnej Lige Majstrov, však predstaviteľom UEFA nedá spávať už viac ako dve desaťročia a nemožno očakávať, že nedávne fiasko ju navždy rozptýli. Je preto viac než aktuálne zaoberať sa tým, či by takáto alternatívna súťaž vôbec bola v súlade s platnou právnou úpravou a aké ďalšie právne otázky by vyvolávala.  V novom podcaste sa jednotlivými aspektami športového a súťažného práva v kontexte SuperLigy zaoberá advokát z Taylor Wessing, Tomáš Grell.

S blížiacim sa koncom roka si všetci čím ďalej tým viac uvedomujeme, akých bolo uplynulých 12 mesiacov zvláštnych, ako pandémia zmenila naše súkromné i profesionálne životy. Nakoľko tieto zmeny neobišli ani naše povolanie, rozhodli sme sa, že poslednú tohtoročnú epizódu podcastu venujeme zhodnoteniu toho, čo sa tento rok udialo v práve a ako sa zmenila práca advokáta.
