Today's episode will be broken into 3 segments:In part 1, I will discuss several financial considerations that differentiate a software acquisition & diligence process from a more "traditional" oneIn part 2, I discuss several product-specific considerations that prospective acquirors ought to pay particular attention to, especially those who are non-technical, with no prior software experienceFinally, in part 3, I outline 5 very different ways in which prospective acquirors can go about structuring the acquisition of a software company, because – as you'll hear – not all software investment theses are created equally. Please enjoy!

Betsy Harbison, CEO at Softrip, successfully completed a funded search in 2021. Her story, however, is rather unique in that the business she acquired is a remote, vertical software company that was also a carve out, meaning that a crucial part of Betsy's journey involved the daunting task of untangling Softrip from its parent company. In this episode, she considers the pros and cons of self-funded versus funded search; why she ended up buying a remote company when her search had initially focused on the Midwest; the thinking behind her decision, in purchasing the business, not to raise any debt; and the challenges she encountered in doing due diligence on a carve out, including the seller's insistence that she not speak with employees or customers prior to close. She also shares reflections on her first years as CEO, comprising the excitement and the difficulties around not having the luxury to wait before making changes, the transition from too much product customization to a rebuilding of that core product, and also her recent focus on an entirely new product offering. It's a distinct story of acquisition entrepreneurship and a fascinating conversation.
In this episode of the Inner Edison Podcast, host Ed Parcaut welcomes Calvin Correli, a seasoned entrepreneur with a fascinating journey that started when he sold his first piece of software at just 12 years old. Calvin shares insights into his upbringing in Denmark, his early introduction to the world of software, and how his entrepreneurial spirit was nurtured from a young age. As the conversation unfolds, Calvin discusses key transformational moments in his life, such as his personal development phase and spiritual awakening, which led to the integration of spirituality with entrepreneurship—a unique path he has been paving for over 16 years. The discussion delves deep into Calvin's creation of Simplero, an all-in-one software solution designed to streamline operations for coaches and entrepreneurs by integrating billing, email marketing, website building, and more into a single platform. Calvin's story is a testament to the power of combining personal growth with professional endeavors, and how successfully navigating these areas can lead to innovative creations and impactful personal achievements. Ed and Calvin also explore broader themes such as the evolution of technology, overcoming personal challenges, and the importance of mindset in achieving entrepreneurial success. Calvin's journey emphasizes how every experience, whether a triumph or a trial, contributes significantly to personal and business development. This episode is particularly insightful for those interested in entrepreneurship, technology evolution, and the fusion of personal and professional growth. **Contact Ed Parcaut:** -

It's a long way from the Waihi dairy farm on which he grew up before undertaking a mechanical engineering degree then moving to Colorado and setting up a Kiwisaver scheme. If you don't know why people get so excited about lithium, it's because lithium ion rechargeable batteries are cleaner, greener, more powerful and longer-lasting than most other battery options. This is why lithium ion is the battery of choice for many of the world's top ten biggest companies, including Apple, Google and Tesla- and why the lithium battery market it worth USD 54.4 billion. Clint has been running Zelandez from Austin, Texas since his Kiwi-founded safety software company, SaferMe, entered the American market in 2019, having gone from strength to strength - including huge growth with its workplace sign-in and tracking tools, which were massively in demand during the recent COVID pandemic, spurring huge growth.Today Clint talks about SaferMe's journey, explains how the services Zelandez offers leave less of a toll on the environment and better lithium yield, and Clint gives advice for young people who want their career to take them from Christchurch to Colorado to the Lithium Triangle and beyond. In today's episode, we discuss:* Using oil and gas extraction techniques to get lithium brine out of the ground to help create the lithium-based batteries so many of our electric cars and digital devices rely on* The history of lithium use in batteries - who pioneered it, who has under-valued it, and how lithium is ready to be hugely valued as a commodity.* Advice on the right age to transition into an energy/minerals career.* How a degree in engineering led to working in investment analysis for Kiwi Wealth before Clint moved into SaaS startups.* How Clint's bank managers reacted when they saw how much he was investing in lithium extraction technology.* How SaferMe pivoted during the pandemic to sell contact tracing tools - backed by the NZ government - which could have resulted in up to 20x company growth.* Getting a business deal with a Fortune 500 CEO through a LinkedIn “spam note”* Fallacies in New Zealand's thinking about the best way to provide the cleanest electricity for the national grid.Referenced:* Zealandez: https://www.zelandez.com/* SaferMe: https://www.safer.me/* The Lithium Triangle: https://en.wikipedia.org/wiki/Lithium_Triangle* Best practices for reinjecting brine during lithium extraction: https://www.zelandez.com/news/the-lithium-brine-industry-must-share-reinjection-best-practices/Where to find Clint van Marrewijk:* LinkedIn* Twitter This is a public episode. Brothers David and Chris Sinkinson attended Queen's University in Ontario, Canada, when David learned of the problems maintaining the blue emergency phones on campus. He proposed a location-aware mobile safety app, so Chris built it himself, and it worked great. AppArmor grew steadily to become the most popular university mobile safety platform in Canada and the US, and over 250 universities use it. With no outside investors, they bootstrapped the company to US$5 million ARR with serious profits before selling the company to Rave Mobile Security for US$30 million. They stayed on for another year in transition before writing a book and running a podcast called Startup Different. Quote from Dave Sinkinson, CEO and co-founder of AppArmor ”The biggest advice I give new founders is to ‘ignore that startup noise.' Throughout our experience, we had lots of people who I loosely referred to as haters. People who said we're "just a lifestyle business” or our idea is never going to work. One person literally told my cofounder brother Chris that we weren't even a startup. “Just ignore those people. Don't pursue validation from your peers. Instead, pursue validation in the market. A couple of years into the business, that realization was a big change that helped me stay on track. So, my advice for SaaS founders is to ignore the haters and enjoy the journey.” Links David Sinkinson on LinkedIn Chris Sinkinson on LinkedIn AppArmor on LinkedIn AppArmor website Rave Mobile Security website Startup Different podcast and book Sponsor This week's podcast is sponsored by Full Scale, one of the fastest-growing software development companies in any region. This week's guest, Dean Guida, founder and CEO of Infragistics, has plenty of grit. But as he's discovered on his way to bootstrapping a company that today serves 100% of the S&P 500, including Bank of America, Exxon, Fidelity, Intuit, and Morgan Stanley — to win in business, you also need: Strategic planning A positive and collaborative company culture Reliable data that informs your decision-making And non-stop learning Dean launched his business in 1989 when he was only 23 years old. I'm thrilled to share with you a recent conversation I had with Meredith Rhodes, a business advisor at Thrive. I first met Meredith through networking, a practice I cannot emphasize enough for its role in business growth. Meredith works at Thrive, a software company that has evolved from the Nynex Yellow Pages in the 90s to a top-rated company with operations in the United States, Australia, New Zealand, and Canada. It's been fascinating to witness the transformation of Thrive and Meredith's journey with the company. The Evolution of Thrive and Meredith's JourneyMeredith shared that while Thrive's philosophy of helping small businesses has remained constant, the tools and processes have become more complex. This evolution mirrors the journey of many entrepreneurs, which can often feel like a lonely road without a clear path. However, Meredith's work at Thrive is creating a direct path for people to advertise and put themselves out there. The Power of Networking: BNI (Business Networking International)We delved into the topic of networking, specifically BNI. Meredith shared her experience with BNI, which she discovered in August 2021. We discussed the importance of having a presence beyond social media. We also touched on the topic of financing for coaches and consultants. Thrive partners with WiseTech to provide financing options, allowing clients to get paid upfront while Thrive handles the collection process. This can give businesses a competitive advantage over others that don't provide this option.Understanding your business's numbers and cash flow is crucial. I mentioned the "ostrich effect," where business owners avoid looking at their financials, which can be detrimental. Using software like Thrive can help businesses track their cash flow and make informed decisions.Meredith admitted that she often works long hours but prioritizes a daily workout to counterbalance her sedentary work on Zoom. The Importance of Networking and CommunicationWe agreed that networking and communicating what you do is more important than having a website in the early stages of starting a business. A website alone is not the answer and should be part of a larger marketing strategy.Connecting with MeredithMeredith takes the time to analyze the needs of potential clients and determine if Thrive's products or services are a good fit. She provides her contact information through her digital business card, allowing people to schedule a meeting using Thrive's software scheduler.I admire Meredith's dedication to supporting individuals and value her as a trusted partner. I look forward to connecting people with her and reminding everyone to go confidently in the direction of their dreams. This is an invitation to join a supportive community of purpose-driven entrepreneurs who are creating an impact in the world.A mastermind is a community of peers who exchange ideas, provide support, and offer sound advice for running a successful business.Join the Confident YOU Mastermind now at https://goconfidentlyservices.myflodesk.com/confidentyoumastermindSupport the showThank you for listening to our podcast.
