On this episode, we're going back-to-basics to discuss the rules that apply when nonprofits engage in lobbying activities. With legislative sessions ramping-up in several states, it's important to take time to understand the lobbying limits and definitions that apply to your organization's advocacy. But, it's even more important to recognize that public charities can lobby and advocate for or against legislation at the local, state, and federal levels. So, rally your staff and volunteers, and speak up, because your nonprofit can play an important role in impacting public policy.    Attorneys for this Episode  Brittany Leonard   Tim Mooney  Natalie Roetzel Ossenfort    The Importance of Lobbying  Big business often pays for expensive lobbyists to represent their interests in front of legislators, but normal community members cannot foot that bill. Nonprofits who lobby can step up and fill the void.   501(c)(3) public charities can use their experience, funding, and passion for their mission to represent communities by advocating for or against changes to law.   For example, Movement Advancement Project tracked the 2025 spring legislative session and found that every state except for Vermont had an anti-LGBTQ bill proposed but 88% of them did not become law. This was due in part to great nonprofits lobbying against these bills.   How Much Lobbying Can Public Charities Do?  Internal Revenue Code provides two ways for public charities to measure their lobbying limits  Default, Insubstantial Part Test: Public charities can lobby so long as lobbying is an "insubstantial part" of their overall activities (around 3-5% of total activities).  Activities based test, not dollar-based  Broad definitions of lobbying  501(h) Expenditure Test: Most public charities can opt in to using this test to measure their limits (as opposed to the insubstantial part test), and when they do, it provides a mathematical formula to calculate lobbying limits.  Dollar-based test (unpaid, volunteer activities don't count against limits)  Narrower definitions of what qualifies as lobbying  Many organizations can put up to 20% of their budget toward lobbying using the 501(h) election, but the exact amount depends on the organization's annual exempt purpose expenditures.    What is Lobbying?  The definition of lobbying depends on which of the two Internal Revenue Code tests your public charity uses to measure its limits  Insubstantial Part Test: anything that advocates for or against legislation at any level of government is lobbying. For example:  Advocating against a proposed ordinance in your city that would update the housing code in a way that would negatively impact the communities you serve  Supporting a ballot measure that would codify reproductive rights in your state's constitution  Talking to members of Congress to oppose the "Nonprofit Killer" bill  Engaging in advocacy in an attempt to influence what gets included in your state's budget  501(h) Expenditure Test  Direct Lobbying: Communication to a legislator (or their staff) that expresses a view on specific legislation. For example:  Calling your Senator to encourage them to vote for an upcoming bill that will give every family a free puppy  Emailing your State Rep's Chief of Staff to recommend an increase in funding for animal shelter improvements in the state's budget  Grassroots Lobbying: Communicating to the general public your organization's view on specific legislation with a call to action (only four types). For example:  Placing an ad in the newspaper that says "Call your Senator and express your support for legislation that would give every family a free puppy."  Putting a web form on your public charity's website that encourages supporters to input their name and zip code to have a letter in support of a state-level bill automatically sent to their legislators  What about a Threads post encouraging the public to vote in support of a local bond initiative or other ballot measure?  Direct Lobbying. Why? The public is a legislator in the ballot measure process, because the public decides whether the measure passes (and becomes law) or fails (does not become law).   Keep in mind that in addition to counting ballot measure advocacy against your lobbying limits, your ballot measure advocacy may also trigger state or local-level campaign finance reporting (since it happens in the election context).   Examples of activities that do not count as lobbying include education about legislation without expressing a view, advocating for or against executive agency action, for or against executive orders, public education with no call to action under 501h, litigation, etc.  Lobbying definitions can also vary according to state law.  State laws generally don't limit how much lobbying a public charity can do, but they do require lobbyist registration and reporting when certain thresholds are met.  State laws often define lobbying differently from the Internal Revenue Code and can include both legislative and executive branch advocacy activities.    Resources  Being a Player: A Guide to the IRS Lobbying Regulations for Advocacy Charities  Public Charities Can Lobby: Factsheet  State Law Resources: Nonprofit Lobbying Practical Guidance  501(h) Lobbying Limit Calculator

From Door-to-Door Sales to the EU Policy Bubble Before he ever pitched a digital campaign, Filip was strangers' knocking on doors in Southern California selling heart-shaped pillows and screwdrivers with built-in flashlights. Not exactly glamorous, but it taught him the skill most agency owners run from: sales. When he landed in Brussels in 2005, he fell into a job selling ads for EU Observer, one of the leading political publications at the time. His clients were the same organizations trying to get in front of policymakers. Over the next decade, he built a deep network and a knack for relationship-based selling. Eventually, he left to consult on his own, but by 2017, he hit the same wall most consultants do: "I'm making money… but it all goes to someone else." A lunch with his current business partner (a seasoned communicator who had served as spokesperson for governments, UN agencies, and the European Commission) led to a plan to build something together. Building a Niche Agency: Where Marketing Meets Lobbying Once they figured out their roles and what they brought to the partnership, Filip and his partner started making plans and realized something: Most agencies in Brussels fell into one of two buckets: Lobbying firms who knew politics but didn't understand digital. Marketing agencies who knew digital but didn't understand politics. No one sat in the middle. So they built an agency that merged both worlds, pairing policy context with high-quality digital production. At the time, it was a hypothesis, and a risky one. Only a couple of competitors existed. But they saw the gap and took it. Landing the First Clients by Leveraging Existing Relationships Filip is no stranger to knocking on doors to sell a product, and he would have for his agency. However, this wasn't the right environment for that, so when it came time to start looking for clients, he relied on his network. Filip's approach to sales was never transactional and he very much enjoyed building lasting relationships. This is something many agency owners overcomplicate. Filip's first step wasn't SEO, funnels, or paid ads. It was: "Let me call every single person I already know and ask them to grab a coffee." That alone got him his first tiny clients. It wasn't a big account. Five hundred euros for hours of work, and zero profit. But it built the early case studies they needed. Most agencies try to skip this part. They want the big brand logo first. But every agency you admire started by leveraging relationships and building proof. Pro tip: You should always continue to revisit these relationships. Reach out to that client and buy them a coffee. This is the low-hanging fruit that can get your agency out of a tough spot. If you're not doing this, you're leaving money on the table. How Deep Market Knowledge Helps in Hard Times By January 2020, Filip's agency was growing at a healthy pace, had a new office and a seven-person team. Then we experience COVID shut downs. Their contracts froze, clients stopped paying, and their pipeline evaporated. Meanwhile, the agency had fixed expenses and a growing team relying on them. Most agencies would've cut staff and hoped to survive. Filip didn't. Luckily, he understood his market: EU organizations operate on annual budgets. If they don't spend it, they lose it the following year. So he and his partner made the hard call: No salaries for themselves (they relied on their wives for a while). Keep the team. Use that time to aggressively market. Their bet paid off and by Q4, every organization that couldn't run events was suddenly scrambling for digital support. Their best quarter ever happened during one of the scariest years on record. It was the foundation of everything that came afterwards. Keeping the Team Inspired During Slow Cycles How do you keep a creative team motivated when client work stops? Filip's answer: "Let them create whatever they want." There were no clients nitpicking colors or people demanding designers to make the logo bigger. It was a rare opportunity for pure, unfiltered creative expression. The team remembers that period as one of the most enjoyable times in the agency's history, despite the financial uncertainty. Why Big Name Clients Don't Always Make the Best Case Studies Most agency owners are probably familiar with this scenario: A famous brand comes in with big expectations and a big budget, and you brush off early concerns thinking their reputation would suffice to make the use of their case story all worthwhile. It happened to Filip and, unfortunately, after dismissing those concerns, the client rewrote everything and destroyed the design. Now they couldn't even put it on their website. Filip laughs about this now, because it still happens. Sometimes the smallest project gives you the best case study. Sometimes the biggest one becomes a "please-don't-put-our-name-on-that" situation. This Day in Legal History: PATRIOT Act IntroducedOn October 23, 2001, just six weeks after the September 11 terrorist attacks, the United States House of Representatives introduced H.R. 3162, the bill that would become the USA PATRIOT Act. Officially titled the “Uniting and Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism Act,” the legislation represented one of the most significant expansions of domestic surveillance and law enforcement powers in modern U.S. history. The bill was drafted rapidly, largely by the Department of Justice under Attorney General John Ashcroft, and was introduced with bipartisan support.Key provisions of the act included expanded authority for wiretaps, the ability to access business and personal records through National Security Letters, and increased surveillance of internet and email communications. Section 215, in particular, allowed the government to obtain “any tangible things” relevant to a terrorism investigation, a phrase later scrutinized for its vagueness. Civil liberties organizations quickly raised concerns about the law's impact on privacy, due process, and the Fourth Amendment's protection against unreasonable searches.Despite these objections, the bill moved swiftly through Congress. The House passed it on October 24, and the Senate followed on October 25. President George W. Bush signed it into law on October 26, 2001. In the years that followed, the PATRIOT Act would become a focal point in debates over national security versus individual rights, particularly as revelations of mass surveillance by the NSA surfaced in the 2010s.Some provisions were later challenged in court, amended by Congress, or allowed to expire. Nevertheless, the PATRIOT Act reshaped the legal framework for counterterrorism in the U.S., leaving a legacy still felt in debates over surveillance, transparency, and executive power today.Several major lobbying firms in Washington, D.C., posted record or near-record revenues in the third quarter of 2025, driven by policy shifts under President Donald Trump and rising client demand for regulatory guidance. Ballard Partners led the surge, reporting a 400% year-over-year increase and nearly $25 million in lobbying revenue. Other top performers included BGR Group ($19.1 million), Brownstein Hyatt Farber Schreck ($18.9 million), Holland & Knight ($13.9 million), and Hogan Lovells ($4.4 million), each claiming their best quarter yet.The increase in lobbying activity was largely fueled by the Trump administration's aggressive moves on tariffs, trade, and the implementation of a sweeping tax-and-spending bill signed in July. Lobbyists noted that even during the early October government shutdown, regulatory deadlines such as public comment periods on tariffs kept work moving. Akin Gump reported $16.3 million, its best third quarter ever, and K&L Gates earned $5.4 million.Overall lobbying expenditures have continued to climb, with companies spending over $2.53 billion by late July 2025. He announced his withdrawal ahead of a scheduled confirmation hearing, citing an insufficient number of GOP votes. The Homeland Security and Governmental Affairs Committee had already postponed a prior hearing in August amid growing concerns.Senate Republicans distanced themselves from Ingrassia after Politico published alleged chat messages from him. His connections to controversial figures — including his legal work for Andrew Tate and attendance at a rally for White nationalist Nick Fuentes — drew additional scrutiny. Senator Thom Tillis labeled him “unfit to serve,” and Majority Leader John Thune confirmed the nomination was unlikely to move forward.The Office of Special Counsel plays a crucial role in enforcing civil service protections, particularly amid Trump's push to reshape the federal workforce. It also oversees Hatch Act compliance, which limits political activity by federal employees. With the Merit Systems Protection Board now restored, a new nominee will be needed to confront upcoming legal battles over career employee protections.Trump's Special Counsel Nominee Withdraws After GOP BlowbackIn Delaware court, tensions escalated between bidders and creditors over who should win control of Citgo Petroleum's parent company, PDV Holding, as part of a court-ordered auction aimed at compensating creditors tied to Venezuela's defaults and expropriations. The case, which has dragged on for eight years, now faces a decisive moment after three bidding rounds.A $5.9 billion offer from Amber Energy, affiliated with Elliott Investment Management, has been recommended by the court-appointed auction officer. However, Citgo's legal team and Venezuelan representatives argue the offer is too low, especially compared to a $7.9 billion bid from a Gold Reserve subsidiary. They also allege flaws in the auction process itself.Amber's bid includes a key side deal to pay $2.1 billion to holders of a disputed Venezuelan bond, making timing crucial since the agreement expires in early December. Gold Reserve, on the other hand, seeks to distribute more of the proceeds among a wider group of creditors, raising concerns over whether bondholders should benefit at all given unresolved legal questions about the bond's validity.Judge Leonard Stark also heard motions from Venezuela and Gold Reserve to disqualify him, court officer Robert Pincus, and two advisory firms over alleged conflicts of interest. Callais  Issue: Whether a states efforts to comply with the VRA is, in itself, a form of racial discrimination   (1) Rehearing from last term (2) The Court is playing politics (3) the VRA is on the chopping block   Consequences: A final blow to the VRA, and increased difficulty for minority voters to participate in free and fair elections   National Republican Senatorial Committee v. FEC  Issue: Whether to maintain the federal limits on political party coordination w/ candidates in campaign advertising.   (1) Could render campaign contribution limits meaningless, increasing the already outsized influence of money in politics (2) These cases on elections and voting rights can't be observed in a vacuum     LGBTQ+   Chiles v. Salazar   Issue: Whether Colorado's ban on “conversion therapy” for minors violates First Amendment protections of free speech and religious exercise   (1) Religious litigants have been notoriously successful in this court (2) free speech and religious exercise have been used not to ensure equity or equality but to prop up Christian nationalist ideology.   West Virginia v. B.P.J.   Issue: Title IX and barring Trans athletes   (1) This court continues to wade into culture wars (2) It's ruling in Skrmetti and Justice Barrett's assertion that Trans isn't a protected states (3) Embolden lawmakers to continue to write oppressive laws against trans individuals    Executive Power & Civil Liberties   Trump v. Slaughter   Issue: whether statutory removal protections for members of the FTC – and agencies like it – “violate” the separation of powers.    (1) The Court's emergency orders this summer (2) growing belief in the unitary executive theory (3) Likely to overrule Humphrey's executor  Consequences: Collapse of independent agencies and with it, governing stability.     What c3s can do:  Supreme court advocacy is nonpartisan—you are free to stand for or against cases before any court or get involved in the cases.   Litigation at the supreme court: c3s are often the best voice and represent groups who otherwise would not be heard or could not bring such large scale cases  Amicus briefs   Educating the public about cases and impacts of opinions  As you know c3 public charities may engage in lobbying and there are ways through lobbying that can affect the courts at the federal or maybe the state level  Nominee advocacy—Advocate for or against nominees to supreme court (lobbying)  Remember the lower district courts and circuit courts as well  Remember the lobbying rules if you are a c3: must track and report your lobbying the IRS and stay within your lobbying limits.
