Like I mentioned back in Episode 2, there are some down sides to relying on the private fund exemption – at the SEC level, the only “down” side is an AUM ceiling after which you have register (150mm…see ep 32). But many states require extra stuff if you're managing any 3c1 funds: this varies by state, but many impose annual audit requirements and either increased investor accreditation thresholds, restrictions on who can pay performance-based comp, or both. EXCEPT those restrictions don't apply to managers whose only clients are “venture capital funds”.So what is a “venture capital fund”? In this episode, Sabine VdL interviews Minh Tran, founding partner of Mandalore Partners (and also her co-founder at Alchemy Crew) about the world of Venture Capital Funds. He has worked in the Corporate VC world for 30 years, most recently in financial services and founding Mandalore Partners 10 years ago. KEY TAKEAWAYS When you are a Corporate Venturer you have two models, one is to invest in VC outside – that’s not really a corporate venture, but you have that option, the second is to create your own team internally, for many reasons, this model hasn’t worked in the long run. I came up with a third model, which is how to externalize corporate venture funds – to reach out to startups with both a financial interest and a strategic alignment of corporates. This is Venture Capital as a Service. Resilience comes from lateral thinking too when investing. You can enter the market of your core industry, but you can also reach out to new industries that can impact your core industry. If you’re a retailer, you invest in your core business, but FinTech could disrupt retail finance, so you could reach out to FinTech ventures, not just retail. So you’re prepared for disruption. SIDE – Source, Invest, Develop, Exit. Each step of our process has been optimized. Source is the ability to source better than a corporation, we combine public data (Crunchbase) with private data (corporate assignments) to come up with a list of startups. We then invest like a VC. We develop a portfolio management plan like a VC, but I do things differently, more hands-on than VCs. Then Exit, again I use VC techniques to exit at some point with or without the corporate. Like any VC I look at if the market is growing, how the product would fit in the market, what is the business model/plan, and what is the team? I also look at a fifth element: The leverage we can access from the corporation. This could help accelerate the startup or the valuation of the startup. This episode is also available as a blog post: https://10leaves.ae/publications/difc/private-venture-capital-funds Private funds are collective investment schemes, formed by investment professionals (called fund managers), who seek to raise capital to make multiple investments in a specified industry sector or geographic region. These funds are marketed to qualified or professional investors – mostly High Net Worth Individuals, family offices and institutions. Private funds are essentially “blind pools”. Passive qualified investors make commitments to invest a certain amount of capital over time, as per the fund's commitment schedule, entrusting the fund manager to source, acquire, manage and exit the fund's investments over a set period of time. Some VC funds can also be setup to invest on a “deal-by-deal” basis. In these cases, the Fund Manager solicits investments from a pool of potentials, for each specific deal that they source. Multiple investors can invest in multiple deals, and there can be some deals that have no common investors. Such structures are usually seen in very small VC Funds and can get cumbersome to manage once the number of deals increases.

Management fees, legal and accounting expenses, rent and staffing all add up before the fund pays any returns to investors. Gillian and Anne dig into these costs, with examples to show how fund managers run fund expenses. More important, fund managers sometimes elect to optimize their own fees to reduce their individual income tax liability via Management Profits Interest agreements, a practice that federal lawmakers are scrutinizing.

Immerhin gäbe es aber die heute relevanten „Digital“-Unternehmen wie faceboobk, google, amazon, zalando nicht ohne die VCs als Risikokapitalgeber. In der neuen, sehr lebhaften Ausgabe des Podcast DIGITAL LIFE TALK hat Jörg Binnenbrücker (Co-Founder von Capnamic Ventures ) die Rolle der VCs als Finanziers und Coachs von StartUps auch für „Dummies“ großartig erklärt. Deutlich wird auch, dass für die Investoren der Fund mehr ist als eine Geldanlage. Sanjeev started his entrepreneurial journey as the Co-Founder of Daksh, one of the largest BPO in India which sold to IBM for $150 Million in 2004. Sanjeev shares his investing thesis in the podcast where startups need to solve a big problem for a large market. And if the participants in the market is very diffused which is the case with most consumer businesses, then organising that market can deliver you a very big impact. Eg Daksh was participating in $100 Billion outsourcing industry. MakeMyTrip $20 Billion travel industry. BigBasket $300 Billion grocery industry. Common theme is that very large market, highly under penetrated in terms of how it is organised and how digitally influenced it is. In founding team Sanjeev looks for First Principals thinkers. Reason that element is you are solving problem that has never been solved before so you can’t use a template to replicate. You have to create you template on the run. He is looking for Co-founders who are like Hindu gods Brahma and Vishnu, who are very complementary to each other, one if the visionary and other executes and builds on that vision. Why story tellers win ? Storytelling is as much about your thinking process as it is about communication process. Capital goes to those founders who are thinking big and who are thinking scale. Investors make their own mistakes but that is what is very attractive to investors. Are you solving a big problem. Do you have vision of the future. While you will solve actual problems bottoms up but do you have bigger picture very clearly in front of your mind There is value in how you communicate but to me communication skills is an outcome of your thinking skills. And therefore they are the rightful recipient of large capital because in India GDP is growing and digital GDP is growing even faster. So there are lot of big problems which are waiting to be solved which is what these entrepreneurs are doing. Journey of scale up think in horizontal. It’s really about 4 things: 1. Strategy: How are you thinking of shaping a market 2. Structure: What is the organisation design. 3. Putting the right people 4. Having a very strong governance mechanism.
