And, yes, they are actually called dark pools. Market makers: Also known as “wholesalers,” these are firms who help investors buy and sell securities using the pool of shares they own. They're basically a middleman with access to highly important information, who is seeing the game one thousand times faster than you. Payment for order flow (PFOF): When brokerages route the buy and sell orders of retail investors to big market makers instead of sending it directly to the stock market. This deal helps brokerages make hundreds of millions of dollars every year. Short-selling: Short-selling is when an investor borrows securities (usually from a broker who either has the security in their inventory or is also borrowing the security from elsewhere) and sells it on the open market with the plan to buy the security back later at a lower price. After buying back the shares, the investor returns the borrowed shares (plus interest) to the original broker and profits off of the difference. The Securities and Exchange Commission: Commonly known as the SEC, this is the government agency that oversees securities exchanges, brokers, investment advisors, and mutual funds. They're in charge of creating fair dealings, ensuring the disclosure of important market information, and preventing fraud. Payment for order flow is a form of compensation, usually in terms of fractions of a penny per share, that a brokerage firm receives for directing orders for trade execution to a particular market maker or exchange. Payment for order flow is common in options markets and is increasingly found in equity transactions. Equity and options trading has become increasingly complex with the proliferation of exchanges and electronic communication networks. Although the notorious Bernard Madoff was an early practitioner of payments for order flow, the practice is perfectly legal provided both parties to a PFOF transaction fulfill their duty of best execution for the customer initiating the trade. According to the U.S. Securities and Exchange Commission, payment for order flow is a method of transferring some of the trading profits from market-making to the brokers that route customer orders to specialists for execution.

It's like buying avocados at the supermarket for $1 each and selling them at the hipster farmers market for double.Dark pools are private exchanges for trading securities that are not accessible by the investing public.Options trading is buying and selling of options, which are essentially contracts that give you the right to buy or sell a stock at a certain price by a certain date. It's basically betting on a stock price going up or down. So if you purchase an option instead of buying a stock, it means that you are buying the option to buy a stock if it hits a certain price. This can lead to issues, because if your bet fails, you've lost all that you've invested. Whereas if you bought actual stocks, regardless of the price, you still own that asset.Payment for order flow (PFOF) is when brokerages such as Robinhood route the buy and sell orders of retail investors to big market makers such as Citadel and Virtu instead of sending it directly to the stock market. Wer dachte, die EU-Kommission Die ersten Gerüchte, dass die hiesigen Finanzaufseher ein Problem mit der Payment-For-Order-Flow Praxis haben könnten - die gab es schon im Sommer. Auch wir bei Finanz-Szene gingen ihnen nach, kamen aber nicht so recht weiter: Die Neobroker, deren ganzes Geschäftsmodell auf der Praxis der Provisionen für die Weitergabe der Order fußt, konnten die Gerüchte zerstreuen. Und selbst im Umfeld der Finanzaufsicht Bafin gab man sich eher lax und großzügig. Solange die Provisionen für die Verbesserung des Handels verwendet werden und alles transparent gemacht wird, sei doch alles in Butter.  Dass sich alle Akteure sehr lang in trügerischer Sicherheit wiegen konnten, hat einen simplen Grund. Das "Feuer" kommt meist daher, von wo man es nicht erwartet. In diesem Fall: "Von ganz oben". Aus Brüssel. Von der EU-Kommission, die den Rahmen für die Finanzmarktregulierung setzt, die nationales Recht bestimmt und den lokalen Aufsehern den Rahmen setzt. Und dort geht plötzlich alles sehr schnell und liegt seit vergangenen Donnerstag (siehe unsere exklusive Berichterstattung hier) ein konkreter Entwurf für die Reform der Finanzmarktregulierung vor, die ohne Umschweife und Ausnahmeregelungen jede Form von Provisionen von Dritten bei Orderweitergabe verbieten soll.  Anlass für uns, einmal einen "Deep Dive" in die Folgen eines möglichen Verbots zu versuchen. Dafür gewinnen konnten wir Michael Bußhaus, Chef des Neobrokers Justtrade, seit 20 Jahren Broker-Experte mit Chefpositionen unter anderem bei Onvista und der Comdirect und somit auch inmitten des "Sturms", der hier gerade aufzieht. "So, wie das nun im Entwurf drinsteht, hat es uns schon überrascht", gibt Bußhaus auch unumwunden zu - sagt aber auch, dass die Folgen erheblich weitreichender sein könnten, als sich das viele vorstellen. Betroffen wären auch Transaktions- und Abwicklungsbanken, die klassischen Broker, die ebenfalls schon "seit 25 Jahren Payment-For-Order-Flow Zahlungen erhalten". Und selbst klassische Banken, deren Geschäftsmodelle mit Hochpreis-Gebühren womöglich geschützt würden, hätten laut Bußhaus keinen Grund zu jubeln, schließlich deute die geplante Regulierung auf ein nahendes generelles Verbot von Provisionszahlungen von Dritten - was wiederum die Anlageberatung und dazugehörigen Geschäftsmodelle grundsätzlich revolutionieren könnte.  Bußhaus hat auch konkrete Theorien, wie die Welt nach einem möglichen Verbot aussehen könnte ("Zahlen wird es der Kunde über neue Entgelte") und führt auch aus, warum der Erfolg der Neobroker nicht allein preisgetrieben sei. ===== Wir bedanken uns beim Sponsor FIO – dem Experten für Finanz-Software und Zahlungsverkehr mittels virtueller Konten.
