In this episode, we delve into the intricacies of film finance, a critical yet often underappreciated facet of the movie-making process. Our journey begins with "True Hollywood Stories," where we uncover real-life anecdotes that reveal the strategic selection of finance methods, navigate the legal terrain of investor financing, and offer sage advice to independent producers on securing funds. As the reel unwinds, we explore the impact of Securities Law Enforcement on the silver screen's financial scaffolding. Filmmakers must be vigilant of the legalities when courting investments, and our discussion illuminates these crucial considerations. The narrative then transitions to an "Overview of Film Finance," where we dissect the various financing models trending in the industry. Each model carries its own risk-reward profile, and understanding these nuances is key for filmmakers looking to fund their next project."Pre-Offering Considerations" takes center stage as we highlight the preparatory steps essential before any deal is inked. These considerations are not just formalities; they are the bedrock of a sound financial strategy in film production. In "Fitting Investor Financing into a Film Finance Plan," the conversation shifts to the art of aligning investor expectations with the stark financial realities of filmmaking. Striking this balance is both an art and a science, and we provide insights into navigating this complex dance. The spotlight then shines on the role of a Business Plan or Securities Disclosure Document, as discussed in Chapter 6. This document is more than mere paperwork; it's a filmmaker's pitch to potential investors, and we discuss how to craft it compellingly.Documentation is the unsung hero of film finance, and in breaking down the "Three Forms of Documentation for Film Financiers," we reveal the significance of each in the broader context of securing funding."Contingent Promissory Notes as a Film Finance Method" introduces a unique approach to film financing. We examine how these instruments operate and what distinguishes them from traditional funding avenues. The intricacies of the SEC's Regulation D, including Rule 506(b) and Rule 506(c) Exemptions, are decoded to clarify their implications for filmmakers. These regulations can be a labyrinth, but understanding them is crucial for legally securing investment."The Federal Equity Crowdfunding Law" has rewritten the script for film financing, presenting new opportunities for independent filmmakers. We analyze how this law has transformed the landscape and the doors it has opened for creative projects. Finally, we spotlight "Investor Tax Incentives" and their magnetic pull in attracting investment. The Film Industry and Georgia's Tax Credits: Georgia's generous tax credits have transformed the state into a filmmaking hub with a massive economic impact. Karen highlights the significance of these credits and how they have attracted big studios, making Georgia second only to California in producing blockbuster movies. However, the challenge remains to create a sustainable year-round industry with benefits for all stakeholder.  This includes both ends of the spectrum - helping creatives understand what is needed to attract funding and includes attracting and educating private investors to back projects with the great potential. 3. Jon Gosier's Entrepreneurial Journey: Learn from Jon's journey, from his early days as a graduate of the Savannah College of Art and Design (SCAD), where he focused on the technology side of the music industry, to being recognized as one of the "new faces of Black Leadership" by TIME Magazine. We'll also touch on his latest venture, Audigent, a rapidly growing adtech data platform for audience engagement analytics in the music industry. 4. Film Financing and Fintech: Jon's most recent ventures, FilmHedge and Southbox Entertainment, are at the heart of this podcast episode. FilmHedge, with $100 million under management, is one of the few groups capable of green-lighting films in Georgia, bringing much-needed capital to the state. Southbox Entertainment, with $80 million in fresh funds, introduces an innovative film finance model, which contributes to the financial funding stack for films and streaming entertainment. We'll explore how fintech is used to manage the risk associated with financing future distribution contracts, revolutionizing the film financing landscape. Join us for an insightful conversation with Karen Rands and Jon Gosier as they explore his entrepreneurial journey, beginning with his Afro Tech businesses in Uganda, to the market impact of his ad-tech innovation in Audigent, the evolution of Georgia's film industry, and his game-changing impact of fintech in film financing. Writers know the right things to withhold from an audience to make it satisfying.- Stage is an actor's medium, film is a director's medium, and TV is a writer's medium. Thanks for listening — if you like what you hear, please review us on your favorite podcast platform.Check us out on the web at www.villageglobal.vc or get in touch with us on Twitter @villageglobal.Want to get updates from us? Graham Bradstreet needs no introduction in Hollywood, especially among the studios, agencies, and major production companies who all come to him for film financing. After co-founding Working Title Films (this year's "Baby Driver" and "Darkest Hour) with his partners and selling it to Polygram back in the 90s, Graham formed several other companies and financing vehicles to supply movie budgets in excess of $3 Billion to the major studios like Paramount and Sony. He developed the concept of insurance backed securities, popularized the practice of tax breaks and tax credits, and dug into international legislature and tax codes to figure out how to get huge slates of movies made. Recently Terence and Graham have formed a new film production company to produce 30 movies over a 4-year period.
