Joe is the National Fintech practice leader at RSM, a leading provider of audit, tax, and consulting services focused on the middle market. If your goal is to sell your company, the number one action you should take (related to accounting and finance due diligence) is to get a good CFO In this episode, Colonnade Advisors addresses the following questions as related to the accounting aspects of due diligence: When should an owner start preparing to sell their company? (01:20) Gina: “It starts years in advance. At the very basic level, a business owner or leader of a company should be reviewing the financials on a monthly basis. The reason is to get comfortable with the cadence of their business so that they can talk to the financials.” Does a company need a public audit prior to selling the company? (1:40) Gina: “We recommend all companies have a financial audit for several years before they go to market.” What is the difference between an audit and a compilation? (01:58) Gina: “A compilation is when accountants come in and put your financials together for you. They may even do it on a GAAP basis. An audit means that the accounting firm is doing a deep dive into the numbers. They’re looking at bank reconciliations. They’re doing different types of testing for fraud and for receivables and payables, et cetera. It’s a very involved process, but it is a must for a business that is planning for a successful sale.” Do I need a financial forecast? (02:35) Gina: “A company should keep a forecast and measure themselves to the forecast and plan. The reason for this is twofold: 1) I believe that you only get to where you’re going if you plan for it, and 2) buyers are going to look at the company’s financial forecast and how they are doing compared to that forecast.” What other financial statements must be in order? (03:54) Gina: “Another good thing to prepare for a sale process is a monthly data book. This data book includes the income statement, cash flow statement, balance sheet, and MD&A (Management Discussion and Analysis).” How does a company select an accounting firm to work with on accounting due diligence? (06:25) Gina: “I usually recommend that companies not go with the local firm that does their tax returns. Typically (I recommend) a regional accounting firm, or a national one, because you need a team that can defend its choices in accounting principles interpretation.” When should a company start working on accounting due diligence? (08:20) Jeff (07:37): “The sooner the better. The first audit is the worst. After that, it gets a little bit easier. Getting that process rolling is important.” When is meeting the financial forecast key? (10:21) Gina: “The financial forecast is crucial when we’re actually selling the business. The key is when you’re in the sale process, from the moment we release that confidential information memorandum (CIM) until the check clears and the business is sold, the company has got to make its numbers.” What is the management team’s role in owning the forecast? (11:44) Jeff: “It’s important that the management team understands and owns the forecast because they’re going to have to live with it. The financial forecast obviously develops the metrics upon which you’re going to be judged either through management contracts, earn outs or just general performance. You really want to be confident that you’re going to hit the numbers one, two, three years out.” What is an MD&A (Management Discussion and Analysis)? (13:45) Gina: “A paragraph or a page and a half that explains the numbers, e.g. ‘Revenues were up by X because we sold Y more; expenses were down by Z because we lost three people in headcount.’” How should revenues be broken out? (14:12) Gina: “By number of products sold, pricing, number of customers; whatever metrics that are core to your business. Companies that can do that generally have a good finance department.” What are some common missteps Colonnade sees in accounting practices of middle market companies? (16:40) Gina: “The finance department is looked at as a cost center.” Owners keep the books themselves or use a part-time bookkeeper. When companies don’t hire a CFO, there’s a potential problem. What are some other missteps management can make when getting ready to sell their company? (18:00) Jeff: “When the CEO is the master of everything. He’s the head of sales, he’s the head of marketing, he’s the head of IT sometimes, and in a lot of cases, he or she is the CFO. That’s a problem because an investor could come in and say, ‘Well, I’m not going to pay $50 million for this one guy or this one woman. Where’s the team?’” When do you know that a company has the infrastructure to be sold? (18:35) Jeff: “The real enterprise value gets built when you say, ‘This is a business that is going to be my legacy, but I don’t need to be here as the CEO or the founder. I built this business. I built out a team. The finance function is all built out. The marketing function is built out. The sales function is built out. This business runs on its own. And so if you want me here or not, that’s fine, but my team is really more important than I am.” Why does a company wanting to be sold need a CFO? (19:00) Gina: “Without a CFO, when a buyer comes in, they will do a negative adjustment to your historical financial statements to fill that role. That CFO role will be built into your valuation regardless. So invest in the CFO. It’s going to be worth far more than not doing it.” What is the difference between GAAP and cash accounting? (20:22) Gina: “Here’s the non-CPA’s way of explaining GAAP. Under GAAP, the timing of your revenues and expenses need to match, and they need to also match the timing of your liabilities, which means if you are selling a service that is a service for six months, you receive the payment upfront, the revenue upfront, you’re going to have to recognize that revenue over six months.” What is an example of GAAP accounting vs. cash accounting? (21:00) Gina: “ A common example is payroll. Accruals should be done for payroll. Let’s say you pay your employees every other Friday. The month doesn’t always end on the fourth Friday, so you end up having to pay in the following month, let’s say the Wednesday the following month. (When you pay in the following month) you’re paying for the prior month’s work. You need to do an accrual for that payroll so it matches the month in which it occurred. So accruals need to be done under GAAP and revenue needs to be recognized in line with what the services or the products provide.” What industries can use modified cash accounting? (21:36) Gina: “We work a lot in the F&I (Auto Finance and Insurance) and administrator space. (These companies) can be sold on a modified cash basis. But that doesn’t happen in all industries.” How does modified cash accounting work when selling a business in the F&I or administrator space? (22:16) Jeff: The important thing is understanding the difference between the two accounting processes or procedures. In the cases where it’s beneficial to the clients to present themselves on a cash or a modified cash basis, we’re certainly going to do that to maximize value. There has to be a spreadsheet that says, here’s the audit according to GAAP, and here are the cash financials that we want you to value the company on, and here are the adjustments we’ve made to get there, and it has to be logical and make sense and be consistent.” Gina invites Joe Kaczmarek, an expert in audit tax and consulting services, to share his perspective on due diligence accounting aspects. What is the difference between an audit and a sell side Quality of Earnings (QOE)? (24:19) Joe: An audit is to go back and verify information at a point in time. We’re validating the accuracy of your balance statement and your income statement. When we do a quality of earnings (QOE) report, we’re really stripping out one-time expenses, one-time revenues, and coming down to a real accreditable earnings number on a cash basis. From a quality of earnings perspective, it’s also much broader.” How many years back should an audit go? (27:02) Joe: “What I typically say is, ‘If you want three years in the marketing documents, it typically presents the best if those are all audited.’ (Three years). But more importantly than how many years is having a firm that really understands the industry and is really nailing down those things that could come up in diligence.” What are the bare minimum processes and procedures a firm should have in place before they go to market? (28:02) Joe: “The big thing is having a CPA on staff and having that person really understand what’s required. We like to see monthly financial statements, on not only a cash basis but an accrual basis, a GAAP basis.” What else should companies thinking of selling consider? (28:34) Joe: “investing in your financial reporting group. That’s not something that’s providing revenue so it’s often overlooked. You really need to have the infrastructure there to be able to report and provide the information necessary to go through diligence.” How quickly should a company be able to close the prior month’s books? (29:07) Joe: “It really depends on the complexity of the organization and the systems they have in place. It can take two days to two months. (However,) those companies taking two months realize very quickly through this process that that’s not going to be adequate (fast enough). If it’s a private equity group coming in to acquire them, they’re going to need reporting on a monthly basis that’s going to be out within a week or two from the month-end or the year-end.” What is your view on QuickBooks? (30:36) Joe: “Depending on the industry that you work in, Quickbooks may be adequate. QuickBooks could be fine for smaller companies and midsize companies. But you’ve got to realize what the limitations with QuickBooks are (such as controls, access, and integration).” How should companies account for a PPP loan? (32:40) Joe: “There is going to be a portion of it that’s going to be forgiven, if not all of it. You should record it as debt. Then as you get approval for that forgiveness, that’s the point in time when it should flow through your income statement for GAAP purposes. If you look at a transaction, that’s one of those one-time items that will most likely be backed out, and I would say that’s non-operating revenue, so it should be down below the line.” What’s one piece of advice you would give a company that’s about to go through an M&A process? (33:47) Joe: “Engage a reputable firm to conduct sell-side due diligence. Sell-side due diligence firms will dig into the company’s financial information and figure out where there may be issues. There are a lot of big events and markers of milestones we’re missing out on right now, especially with our kids. The loss looks different for everyone, but in a month that is typically full and busy with celebrations, the empty calendar can be a stark reminder of all that’s being lost. In today’s episode, we’re talking about taking the time to name the losses, and how to hold grief and gratitude together. Show Notes:There is a lot to grieve, and there is a lot to be grateful for. We don’t have to choose one or the other; we are allowed to feel both.This week’s practice:Take some time this week to slow down and name what has been lost, both for you and your kids. Whatever it is, name what has been lost…speak it out in the presence of God, share it with a friend…allow yourself to grieve that instead of stuffing it down. What's Your Story: How Leaders Tell Stories to Influence and Connect with Audiences
Every communicator plays a significant role within an organization, but some of those roles get more visibility than others. Sales shares about customer insights, marketing relays their brand and product strategies, and something we’ve seen grow in the last five years, is that data security teams have become big communicators, with many CISO’s managing the communication to leadership teams and corporate Boards. On this episode of What’s Your Story, Sally connects with Kim Keever, Senior Vice President and Chief Information Security Officer of Cox Communications, one of the leading cable, internet and home automation providers to talk about the increased demand for security insights and how she brings clarity to a pretty complex topic. More About Kim Keever Kim Keever is the Chief Information Security Officer and Senior Vice President of Security, Analytics and Technology Services for Cox Communications. Her teams are responsible for all aspects of Information Security for Cox Communications, the Center of Excellence for Analytics and for Technology people programs. Since joining Cox, she has built an industry recognized security program. In early 2016, Kim’s team received an innovation award from CSO Magazine, and Kim was named a top woman in technology by Multichannel News. In both 2017 and 2018, she was named one of the most powerful women in cable by Cablefax. Kim is a graduate of Georgia Institute of Technology. She is a member of several industry associations and boards including Alliance for Telecommunications Industry Solutions (ATIS). She is active in volunteer organizations including Children’s Healthcare of Atlanta Technology Advisory Board and support of homeless shelters located in Atlanta. Show Notes There has been an increased demand for security insights since 2014 because of large company security breaches. Leaders started looking for an increase in security insights out of worry and wanted to know: what happened, how did it happen, and could it happen to us? How do you talk to leaders about security without scaring them? We talk about security with a risk based approach: Call out the highest risks first. Do a little bit at a time. Give them context. Give them a comparison so they can better understand where the risks are. There are two types of CISO’s: High tech. Business focused. The ability to explain the technology in a business context and alert companies to what the risks are is important because it’s the most effective way to help CISO’s operate. Companies will be more likely to get buy-in and senior leaders will feel more comfortable with the security team. How do you understand the magnitude of what to keep a watch on? There are different areas in which data breaches are happening: Bad Guys. Nation State Actors. Hack-tivists. When you start talking about security and risk, you run the risk of making companies look bad as far as their security of data goes. Don’t let your vulnerability be because of funding. How can you partner with other departments or organizations to get the funding needed to reduce the risks and fix the issues early on? Don’t bombard your listeners with too much detail, give them the facts but don’t overwhelm them. Train your employees on effective communication, and continue to practice it. Be sensitive of the information you share. Help clear up misunderstandings or potential misunderstandings. When you speak about complex things, you may need to say them multiple times and tell them in different ways in order for listeners to fully understand and remember. The security team is trying to educate the entire organization, more than just talking about security risks. Hands on experiences have helped prove the need for heightened security. Finding ways to make security fun and interesting tends to help the content resonate with people. A strong leader is someone that employees are willing to follow. As a leader, hire people who are smarter than you and have diversity of thought; those who are independent in their work and want to do the right thing. Give employees opportunities to keep them engaged, allow people to own their own space, and let them grow in their career. Keep your employee’s best interest in mind, and always keep an open dialogue. Security is a great field to get into. Having a background in technology helps, and this career is in high demand and won’t go away. Be willing to gently show people that they may not be doing enough in one area.

Show Notes: There are so many ways to make money as a financial advisor, I want to break down some of the more popular models to make money as a financial advisor. Previously, you might have wondered do all financial advisors, planners, coaches get paid the same? Is it from products sold? Services rendered? How does that AUM thing work? Let's tackle all of that today. For traditional financial professionals that are regulated by the 1940 Act, just find the ADV. Within that, you will see the various compensation models. Here's a video I've done describing this with my own ADV down below. Once you find that ADV, you'll likely come across a few different models... AUM Flat Fee Products/Commissions (life insurance, 12b-1 fees) Hourly If no ADV, this would be a more non-traditional route and means that you could see a different variety... subscription - probably the most popular (i.e. Financial gym) courses, Ultimately what you charge for and how much that will be up to: (1) your expertise and the (2) of client you will serve. Real Estate Investing: Five Benefits of Owning Rental Homes Our guest today is a former athlete and family man who built a career on the corporate side of the solar industry. Along the way, he saw the value of owning rental property, and now owns 16 single-family rentals in seven states. Nate O'Neil is a true believer in the financial power of long-term rentals and is here to tell his story on the Real Wealth Show. Show Notes: There are five really great benefits to holding financed properties over time: 1) Cash flow 2) Appreciation 3) Tax Shelter: $300 of monthly rental cash flow is like $460 of W2 income because W2 income is heavily taxed. This is significant over time, and with a number of properties. You can also depreciate the home over 27.5 years, which offsets taxable gains. 4) Mortgage Pay Down: A rental home owner's net worth is credited every single month by the amount of principle their loan is paid. I look at is how much principle was paid down by the rent and how much my net worth increased from owning the asset. Again, the payoff grows over time and an expanding portfolio. 5) Inflation Hedge: People underestimate the power of a 30-year mortgage. Due to inflation, a $600 monthly payment today, will actually go DOWN over time. The value of that $600 in 10 years will be less, so therefore, in essence, the payment goes down. Furthermore, with inflation, both rents and property values will increase. Bonus: Over time, equity grows as the loan is paid down and appreciation grows. This is money in the bank for further investing. For example, if you own an asset that is worth $200K and is paid off, you can do a cash-out refinance at 75% LTV, meaning you can take out $150K. That $150K is TAX FREE. I would have to earn $230K at my W2 job to take home $150K. And the original loan, at least in part, is paid back, not by me, but by the rent! Current tax law allows my kids to inherit the property, at which point, the property steps up to market value. Overall message: Owning long term rentals is POWERFUL well beyond those first two big benefits of cash flow and appreciation! www.RealWealthShow.com
What's it like to be single in the church? Are we unknowingly sending the message that without a matrimony, they are not a whole person? If you are married, I think you will be surprised by what my guest Nicole LeBlond bravely shares, and based on the other women's voices recorded in this episode, she is not alone in her experiences. Prepare yourself to be enlightened and better equipped to know how to love and support the single women in your life. If you are single, my hope is you will feel seen and affirmed. My hope is our christian communities will learn how to see you as whole and valid, as is. My Guest: Nicole LeBlond Nicole was born and raised Portland, Oregon and is a pediatric nurse at Randall Children’s Hospital. Along with working with the greatest team at the best children's hospital in Portland, she participates in medical missions in Haiti – a country and people that has taken hold of her heart. She is a diehard Boston Red Sox fan and speaks fluently in movie quotes. She's a little obsessed with Disneyland – so much so, she had an Annual Pass for 2 years and is thinking it might be time to renew. She is a follower of Jesus – striving to share His grace, mercy, and love to all the peeps in her life. Show Notes: There tends to be a lumping in of never marrieds with divorced and widowed women even though the experiences are quite different. The church struggles to know what do with single people. Nicole has felt as a single woman there was something wrong with her because she didn't really fit anywhere in the church. She has found Women's Ministry Events to be isolating - events seem to focus on a woman's purpose is to be a wife and a mother. Separating the Singles out (dividing them by age or gender) is injuring & feels like the church is telling her she doesn't have any worth, like she doesn't have anything to offer the rest of the church. Singles Need Us to Be Their Community Nicole enjoys hanging out with married people - being a part of a family is a beautiful picture of community. She needs the church to rally around her and tell her, "We'll be your family!" Even though she doesn't have kids herself, she does have something to offer us. "I don't have to have kids to be able to listen to you talk about your child, 'I'm struggling with X and I don't know what to do,' but you know what I can do? I can pray. I can go to the Father for you maybe in a way that someone else can't because I see it in another way." "Everyone is a valid member of our community." We have a unique opportunity to do life together. Paul and the Bible: "Singleness is a gift" This not a gift to the single person, but is a gift to the church Because there may be more freedom in their schedule to serve others in the church, singles are then a gift to the church How being single does not feel like a gift -the loneliness -grieving not having a family with children -romance shows can be poke the bruised places The message she got that you can earn a husband - Marriage is a Reward or You are not Christian enough "You're not married yet because your husband isn't ready. Once he's hit whatever benchmark that God has for him, he'll be ready and you can be married. Or "You haven't met that benchmark that God has for you therefore when you meet that, you'll be ready for marriage." What Not to Say You have to just to stop looking, and then he'll show up. You just haven't met him yet. Some people weren't meant to be married. (can give the message that there is something wrong with her) The American Culture says getting married and having children is just what you do What to Say & Do "Man, I'm sorry." Engage them where they're at, not waiting for them to get married -ask them to lead Bible Studies -ask them to open up their homes to host small groups -not treating her as a tag-along but as a member who has something to offer -invite her to events or to hang out with your family -If she is a close friend, ask her if she desires/ to be married. What She Wishes We Knew She understands grief. She grieves her singleness. Kathleen's Parting Thoughts If we really stop and think about it, as the woman earlier in the show stated, we are a society that holds coupling on an altar. If you aren't in a couple, then we assume you are looking to find someone, and then we inadvertently are telling singles they aren't okay if they aren't matched up. Invalid, not whole, not valuable, less than, don't fit, something wrong with me this was the theme I heard over and over again you might feel attacked & not understand why what we are saying and doing is hurtful, and I'm glad you are noticing those feelings. But I also know you are here because you want to love better. So, if you don't understand why single women are feeling this way in the church, now would be a great time to go to them and have an honest discussion. In every Episode Guide I make available to my Patreon Members, I tell them if they've found themselves uncomfortable after the Big Reveal segment of the show, they might want to Seek out others who think like the guest on that particular topic and ask them questions. And then I give them words they could say, like: “I honestly want to understand why someone thinks the way they do about this topic. I’m not looking to debate you, I really just want to learn more. Would you mind sharing with me what brought you to this conclusion? Because I realize you probably didn’t just wake up one day and say ______. (I feel like the church thinks I am not valuable) A good friend of mine who used to lead a thriving single moms group me were having a discussion about how we tend to see single men vs single women. Women tend to be seen as broken, and not able to keep a man, or power hungry, career chasing, no time for a family because of her cold cold heart, where as single men are seen as helpless in one way, "poor guy he just hasn't found the right woman yet," but he is not seen as broken or as power hungry. This discussion really had me examining my own biases. And the result wasn't pretty. I had to hold up things I had been taught (explicitly and implicitly) next to what was true in the lives of my own single friends to see that it was time to let go of some stinkin' thinkin'. Invite them Keep asking if they turn you down they may not be ready yet (divorced, widowed) they may be exhausted doing all the things themselves (if you are married, most of us have someone to shoulder all the burdens with, even if he doesn't seem to pull his weight all time, many of us have a security of knowing there is another person available in times of emergency) they may have other plans Things to NOT say: "You just haven't found the right guy yet." "You're going to meet someone, just when you least expect it." "Let God be your husband." Why aren't you married yet? You have to just to stop looking, and then he'll show up. Some people aren't meant to be married. God's still doing a work in you/him, then you'll be ready. Have you found someone yet? Touch If you are married or have a significant other, I want you to notice how much touch you get throughout the day. A brush of the arm, an arm around a shoulder, a hug, a snuggle under a warm blanket, or even just a jab in the arm. Now I want you to think about your single friend and how little she is probably touched. A little warning here, not everyone is going to welcome contact, so you may want to make sure your friend is okay with touch, but please consider linking arms with them or hugging them the next time you are together. We need touch in order to thrive. And maybe this could be a simple way for you to love your single friend. We live and work in such a hyper-visible and connected online world today. The windows and front door to our competitor’s businesses are wide open to us through their websites and social media platforms. And so we can find ourselves visiting all too often, obsessing over what services and programs they’re offering, how many comments they’re getting on their blogs and FB Lives, how many people are in their groups, what marketing activities they’re implementing and so on and so on… Occasionally these surreptitious forays can be positively affirming as you benchmark yourself. But in my personal experience, and in hearing the stories of dozens of clients, it’s far more common that these forays see you tumbling headfirst into The Comparison Trap. It’s a place I’ve often fallen into and that’s why I’ve created a 4 step approach to escaping it, quickly! Show Notes There is an endless number of people you could compare yourself, your business and your achievements too, and it’s all too easy to do so, even when you innocently believe you are just in “research mode”. That can be a slippery slope, with an inevitable sense of being on the losing side because there will always be someone who has done something that you wish you could have achieved or feel you should have accomplished by now. You’re only seeing the tip of the iceberg without the bulk of facts that underpin it. How do you know if that “incredible program” is actually selling? How do you know for sure that the owner of the website is happy and fulfilled with their work? How do you know if the “amazingly engaged” Facebook Group you’re lurking in is actually delivering new clients to the founder? How do you know that the pretty average looking course is not a huge profit producer? Even if the projected successes you’re seeing are true, are you actually comparing your business beginning with their mature middle? And is that the actual business that you want? Rather than comparing yourself with others, compare yourself with whom you were last week, last month, last year. Stay connected to your vision. Measure your progress. Create more than you consume. The Escape System brings in two modalities that I’ve found really useful – Acceptance Commitment Theory and the Emotional Freedom Technique. Notice: Recognise the tension Name: Identify the thoughts you are choosing to have and the emotions they are causing Neutralise: Detach from the misbeliefs and release the emotions Nourish: Take care of yourself with a self-compassion plan In essence, the system is about awareness (notice and name) and action (neutralise and nourish). SHOW NOTES There is no one who says it quite like Viola Askey from Oregon in the morning to this podcast: this is MY START LINE. (and by the way, that Olympic-distance duathlon she’s talking about? She started, she finished, and she crushed it - we featured her finish photo in the Coached and Loved newsletter a couple of weeks ago!) We love what Viola had to say because it represents the great gifts of Fitness Protection so beautifully. The people in Maintain are doing WHAT THEY WANT TO DO...and they are all different people who want to do different things! Anna Sorenson from Wisconsin was once upon a time so injured she couldn’t walk, but she’s slowly and steadily built her fitness back up to the point where she has a rock-solid base and she can pick what she wants to do in any given season and pivot in that direction. This season, she is shoring up her strength in our Slow Burn strength beta, which will be opening to the public in 2020! Cara Gerard from Quebec is a completely different runner who has similarly found her happy place amidst all the options Maintain presents. All she ever wants to do is be a person who can YOLO half marathons at the drop of a hat, she says, and Maintain gives her that. She runs through the freezing winters (you’ll see her outside down to -25 degrees Celsius!) and she loves being fit enough to do exactly what she wants all the time. And that is the intent of Maintain - keep you perpetually fit enough that you have CHOICES, without burning you out. And make no mistake - having choices means ALL the choices, and that includes the choice to do less if less is what you need right now. You can choose to listen to your body and decide that Maintain is too much, and that that’s not a reflection on you or your worth or your morality but just where you are right now. Some runners like Alison Melley from Maryland choose to shift into Runner, Interrupted or ReBuild (make sure to listen to our ReBuild podcast) for a time while they focus on other things. Alison knows herself well enough to know that being able to do most of the work on the training plan matters to her, and when she shifted to ReBuild, her TrainingPeaks workout boxes were turning green again and that feeling of checking everything off the list was motivating and empowering to her. Meanwhile, Karen Sutton from Leicester, UK recently shifted from ReBuild to Maintain after recovering from a bout of plantar fasciitis. She has slowly worked up to a point where she can complete all the Maintain workouts, with the help of lots of patience and hard work. Karen runs because it keeps her blood pressure down without the need for medication, and with a family history of heart health problems, that is a HUGE success. Whatever your definition of success - turning boxes green in TrainingPeaks or eliminating the need for blood pressure medication - it is so important to us that our people feel like they are succeeding as runners. This is everything. And it was particularly important to MK that the transition between Maintain, ReBuild, and Runner, Interrupted be presented AS A LATERAL MOVE. In her original livestream the day the pieces snapped into place in her brain, she drew three boxes. When she finished the livestream, she realized how critical it was for those boxes to remain next to each other, on the x-axis, a function of time. You will be in one of these three boxes throughout the course of your life as a runner, and the three boxes form the base subscription of products, all three accessible to you at all times so you have what you need when you need it since life doesn’t always work with calendars. From here, MK talks about some professional Jenga players she knows and the way they talk about high-level Jenga strategy. When removing blocks from the tower in order to build it higher, beginners will often start with the blocks on the bottom because they are the easiest to slide out at the beginning of the game, without realizing that they are setting themselves up for a very unstable tower when they neglect their baseline priorities: themselves. In Maintain, we urge our runners to prioritize running as self-care: the habits that make it possible, the real estate on the calendar that gives it space. We want to set you up so that you are able to make the best possible choices for yourself - that is NOT the same as accountability (we are not about that bullshit). We are here to give you validation, a framework for good decision-making, and a safe space in which to make those decisions, especially when they are difficult ones. Sometimes, the decisions center around a big event, and we know that lots of our runners want to run marathons. That’s why we give marathon training plans to our subscribers FOR FREE - we want to help them be as prepared as they possibly can be without putting an undue amount of pressure on themselves. Pat Brockman from Texas talks about how she trained for her first marathon after battling stress fractures on and off for years every time she tried to build enough volume to do it. Heart-rate-based training like we do in Maintain was the answer for her, and getting to the start line of her marathon was a glorious achievement. Emma Ross from California talks about her excitement to train for her first marathon in December of this year - after years of training by heart rate with Coach MK and encouraging other runners who have built up to their own marathons, Emma is READY for this! We love seeing our people feeling empowered to run their FIRST MARATHON and choosing to do it for themselves, because they want to and because it will make them feel GOOD, not become a bullshit stick to beat themselves with. The mindframe of Maintain, no matter what you want to get out of running, is that we are playing a long game. Patience, acceptance of where things are now, that you are where you are now and that it could not be otherwise...that is the first step to finding the comfort and peace that will ground you as you move in the direction you want to do. Karen Schlueter-Morland from Minnesota is the ultimate embodiment of patience, tenacity and grit. MK actually came up with the name, “Tenacious AF” (that’s the name of one of our marathon training plans) thinking of Karen. She doesn’t think of herself as patient, but she hasn’t stopped trying, working or caring. THAT is tenacity- showing up when it hasn’t come together YET. Showing up when the odds aren’t good. Showing up every day, no matter what. So, the marathon training plans are free- that was always intentional. MK said years ago “just give my plans away, no one can use them without me. You aren’t paying for the plan.” Now, we’re really doing it - our revenue model is contingent upon boring, everyday subscribers, not selling flashy plans or making big promises. And finally to close things out - Stacy Clark from Connecticut brings it home for us with a lovely reflection on her need for structure between training plans. No one is more diligent and hardworking than Stacy, but even Stacy had a tough time getting the runs in when it was just her out on her own. She has embraced the mindset of Fitness Protection in a big way this past summer, reminding herself to take the pressure off, give herself grace, and keep moving forward with no regrets. We could not be more proud - of Stacy and of every single runner in Maintain. All of you are coached and loved and winning at life every day.

Episode #92 Show Notes There are so many things in life that normal people take for granted. This becomes more apparent the longer you take care of your loved one. There are things that I take for granted because there things that come natural to me that Mama can no longer do for herself. Mama can no longer wash her face, brush her hair, brush her teeth, or even talk. Mama tries so hard to talk to us and you can see the frustration in her face as she tries to say something and can’t. Mama tries to hold a cup of something to drink and because of her Parkinson’s she shakes so bad that some of whatever’s in the cup spills out. Mama so apologetic when she makes a mess. One of the things that I have taken for granted myself in my caregiving was the fact that when Mama was taking care of my grandmother who fortunately was not as bad as Mama is Mama never asked me to stay with grandma to help with grandma. I always had free time on my hands to do whatever I wanted to do. And I’ve forgotten that in my caregiving because we were leaving Michael with his grandmother way too much. We sought that it was good training for a after all he is old enough to have a child of his own. And until recently here we did not realize that Michael was having a troubled time taking care of his grandmother. And I’ve forgotten how much free time I had with my grandmother. A lot of times I’ll go out and check on Mama and mamas asleep, but there are other times where mamas really fidgety, and the only thing I can do is just sit there to chair and hold her hand. Tell her she’s okay, tell her that she’s safe, that I love her. A lot of the time in my own caregiving, I take for granted the fact that I can go brush my teeth, my mouth. Mama can no longer do that and here the other day I was trying to give her some ice water out of a spoon and this white flaky something another come out of her mouth. I asked Mama said Mama what is that and of course I didn’t get a straight answer, all I got the beat was mumbo-jumbo, come to find out what ever this crap was all through her mouth, was on her tongue, the roof of her mouth. Now I don’t have nerve enough to stick my fingers in my mother’s mouth! That’s just not going to happen. So I ended up taking a toothbrush and brushing her mouth her teeth, the roof of her mouth. So if your loved one stops eating check their mouth make sure this pasty crusty group is not in their mouth. Because it could stop them from eating could stop them from swallowing.

Show Notes: There is a saying that goes, “You are what you attract.” People might think it only applies to relationships, but surprisingly, it is also applicable to businesses. If you want to have an amazing client, then you need to have the same energy as that client. You need to work on yourself as much as you work on your business. You need to achieve balance in your personal and work life for you to be an effective entrepreneur or an effective coach. Hello and welcome to The Traveling Introvert. Today I want to talk about being your own worst client. Imagine that you had a coaching client who consistently failed to complete their tasks on every week, or every month. Or, every time that you talked to them they couldn't find the time to get their opt-in page completed, or they were too busy to write the next chapter of their book. They were basically just working too hard and completely forgot to put together a webinar, or a presentation, or something really important. It wouldn't take too long before you sat them down and had a serious talk about the future of your coaching relationship and their business. Coaching a client such as that is frustrating, and it's also a waste of both of your times. So, why is it that so many people continue to accept these and other excuses for themselves? Why is it that you might have a lack of business developmental growth which will allow you to continue and do better, even when you know it's important that these tasks, for the future for your growth, why do you still make excuses to not do them? It doesn't make any sense, and I know you might think I'm being hard or weird, but all entrepreneurs struggle with this same issue. We all put our clients, our family, our friends, and even the neighbor we barely know, before ourselves. And sometimes it's even worse for introverts, and especially in this day and age where we're always on, or available 24/7, or want to be responsive in case something else happens, or our client goes to somebody else. It's really hard, but you need to think about this. I'm giving you permission right now to stop doing that. You need to treat yourself like your VIP client, you need to put yourself, your needs, your introvert balance and your business growth ahead of your clients, because by doing that, and by learning how to grow your business you can then help your clients do that. You'll be able to reach a larger audience, help more people, and achieve the goals you set for yourself. So you need to put your business growth and your introvert balance ahead of everything else. The simplest way to do that is make appointments with yourself. I started doing this on my calendar, you know, that hour or two you have free on Thursday afternoon, make sure it's free. Make sure you can't have a client call booked in that spot, book it for yourself. What I've had to do recently is put in blocks of time, one or two hours a day where it is just work on my business not in my business. Put it in your calendar, make it a funky color, make it stand out, but it has to come first and you need to treat it as an unbreakable appointment, just as you would with an appointment with a client, or a doctor, or somebody else. You need to set those barriers as well. And, spend the time working on things that are important to the continued growth of your business. It could be, develop a new coaching program, or develop a new product, write a chapter in your upcoming book, write emails for your autoresponders, reach out to partners, think about a summit that you want to do. Just get everything in line. Maybe it could be, just get your acuity up and running, maybe you've had it up but you need to tweak it, or make sure that the emails that go out to your clients are fully understandable. In short, do the things you tell your clients to do, you know, the things that your own coach, if you have one, is probably telling you to do. Don't push them aside for later, or after I get this client worked out, or after I put out this fire. Evaluate yourself and think about it, is it really worth putting all your client work first if you can't pull in the new business? You need to be constantly pulling in new business to keep things going, and the only way to do that is to concentrate on your business growth. Elevate yourself to VIP client status and start putting yourself first. You, and your business, and your bank balance will thank you for it, and it's a lesson that you need to repeat to yourself, because you might start off well for a month or so, and then stuff happens. The client has a fire that needs putting out, you go on vacation and things happen, and then you come back and you stop doing it. This is why you need to sit down and block out time, maybe for the next six months, maybe for the next year. You can always move times if stuff happens, and yes, you are allowed to take vacation, but putting these times in your calendar and making them a non negotiable is the first stage to growing your business. The discussion mainly revolves around what "drug positive" means, MDMA, and harm reduction. 3 Key Points: The history of MDMA is different than we have been taught. MDMA is quite safe and the harms are very low. Risk reduction is a more appropriate term at times. Emanuel is positive that his early drug experiences substantially helped improve his life. Show Notes There is an largely unknown history of MDMA. Sasha Shulgin apparently was not the first to synthesize it in the modern era. He created a new synthesis method. MDMA was the first designer drug in a sense. MDA became illegal and chemists decided to change the molecule Manuel Noriega of Panama used MDMA at least once and gave permission to some chemists to manufacture in Panama shortly before the US invasion. Harms from MDMA are quite minimal and small. Parents who have lost a child can be natural allies to the drug positive movement. Best practices for drug testing MDMA and Cocaine. It is going to be really hard to convince the public to legalize drugs other than cannabis. About Emanuel Sferios Emanuel Sferios is an activist, educator and harm reduction advocate. Founding DanceSafe in 1998 and starting the first laboratory pill analysis program for ecstasy users that same year (now hosted at Ecstasydata.org), Emanuel pioneered MDMA harm reduction services in the United States. His MDMA Neurochemistry Slideshow has been viewed over 30 million times and remains a primary educational resource for physicians, teachers, drug abuse prevention counselors and MDMA users alike. Emanuel resigned from DanceSafe in 2001 and went on to work in other areas of popular education and harm reduction. He has recently come back as a volunteer. Oh! And he’s making a movie. During this episode of AI your host Jason Cass talks about where he’s been, what he’s been doing and his plans for the podcast going forward. Show Notes: There have been a lot of changes going on in Jason Cass’s life. He bought an agency and the process was longer than expected. Purchased the agency through an SBA loan. The process has been longer than expected. You go through five layers of underwriting, you have to be pretty clean. Had his agency that went out about a year. Not a big fan of business plans that go out past a year. A business plan only matters until you get punched in the face. Went to the IAOA – Insurance Agency Owners Alliance Run by Dave Jackson and Nicholas Ayers. This is about real change by listening to people who do what you do every day. In January go to IAOA, then Elevate in June, and AI Lab IAOA was a very positive thing for his business. He and his peers sat around as business owners and critiqued each other’s businesses. We use criticism in a negative light and it doesn’t always have to be. Randomly listened to phone calls and critiqued them. Broke down what they did in their office every day. We need to ask ourselves how are we going to make things better for our employees? It all starts internally. You can only get better in business life as much as you gain personally. Billy Williams says that culture runs your office. Why AI? Agency intelligence is what’s going to power you for the future. If you have a lot of flashy marketing and then your physical agency doesn’t reflect that, it seems like you’ve fooled them. If you just do your best and create a customer experience that’s new and tangible, that’s a better experience. If you do the best you can for your business, customers are going to go tell everyone about you. You’ll start to get referral-based business with a higher closing ration. You need to have videos and blogs, but you need to focus on agency intelligence. Why are we still talking about the customer experience? The industry is way behind. Going forward there will be two separate podcasts: Agency Intelligence A regular podcast Focused on the nitty gritty. Doing this to lay a foundation of importance for agency intelligence and creating a great customer experience. Agents Influence Conversations with Jason Cass Conversations with influencers and thought leaders. Will still exist but will be less frequent. If you don’t create a great customer experience you won’t be making as much as those who do. Videos, blogs, and Facebook are important, but you need agency intelligence for success. WELL…Come to the TRUTH about deadlines! If you desire a life that’s compelling, energized, and inspiring, then "deadlines" are NOT for you. SHOW NOTES: There's power in the words we speak, so why would be call the BIRTH of something a “Deadline?” Imagine if you gave your desires and dreams a DUE DATE for their LIFELINE… The date you give birth to what you create is a BIRTHDAY, not a deadline. How? Start to expect what you’re expecting. The state of expectancy goes beyond simply being pregnant or “with child.” When we're "expecting", there’s excitement. Every day, week, month include new happenings of anticipation and preparation. We can go about our goals or desires in the same way. You’re giving birth to a NEW LIFE for you as you launch out in creating your heart's desire(s). As we sip on life, we’re tasting and enjoying the now, while creating something magnificent in the process. What are YOU expecting? What are you expecting about what you’re expecting? Hope is positive expectation. It's a foundation for what you’re expecting. There are 3 things that'll begin to happen when you’re expecting what you’re expecting: 1. Your ENERGY will increase. If you’ve ever felt like you “don’t feel like it” or you've “lost that lovin’ feeling”, then it’s time to expect what you’re expecting. It goes beyond WISHFUL thinking. Be clear about you’re expecting. It’s ENGAGED ENERGY. 2. Your AWARENESS will increase. You’ll become hyper focused or hyper sensitive to what really MATTERS. What matters will MATTER, and what doesn’t...will NOT. Set a DUE DATE for your project, desire, passion(s). What desire have you been putting on the back burner? Set a DUE DATE for it today! Make plans, preparations and get your expectations UP. Time, energy, heart and soul…your life leads into your DUE DATES + “BIRTH” DAYS. This is REAL LIFE. It’s not conceptual. It’s the real deal and it works. Preparation is dependent on you becoming aware of what matters, and what doesn't. This will simplify your life. The key is becoming conscious about what you’re conscious about. 3. Your LOVE will increase. In what you feel, partake of, participate in, and produce. No matter what your story is, you DON’T have to WAIT for the conception of a child to begin to conceive and receive the desires in your heart. Things don’t always go the way we think you’ll go, or happen the way we say they will. However, when you begin to receive the conceived desire, idea, imagination that you have within your heart…the dream that's YOURS…and you start seeing it become your reality...and you take an active role in preparing for its birthday by setting its due date…everything comes into FOCUS (and perspective) very quickly. Without a due date you may feel like you’re going to be “pregnant” forever. DON’T allow the passing of moments, minutes, weeks, months, and years by waiting for this so-called “someday” to give birth to your dream. If you’re not convinced that TODAY’S THE DAY to go ALL IN with this thing…then tune-in again tomorrow. or go back and listen to all the previous podcasts. I encourage you to set a DUE DATE for what you desire. That way you can begin to prepare and take MASSIVE ACTION in creating it! This is our fourth episode and we’re finally interviewing a father. We are recording on Father’s Day eve and we’ll be interviewing a father who has been alienated from all 3 of his daughters. I wish I could report that the alienation is the worst part of Zach’s story. It is not. As a direct result of his alienation, Zach’s oldest daughter lost her life. She was murdered. Zach in my introductory comments I mentioned that I don’t think our society has enough information about stories like yours. Actually stories like Anjelica’s, your daughter. I read the story you wrote on your website and I thought it was really powerful. I’d like to ask you to read that to our audience. But I’d first like to hear a little bit about her, who she was and what your relationship was like. (5 min) Anjelica was like a super hero. She had special powers. So smart and so athletic. I really loved our time together. She had a very trusting nature about her. I remember when she was little, I would put her on top of the car and tell her to jump to me. Then I would step back and no matter how far away I got, she trusted that I would catch her. And I did. We hiked mountains together. We climbed rocks. We mountain biked. She was fearless. I told her she could do it and she believed me. One thing that stood out about her was her courageous heart. She would face obstacles without concern for how silly she might look. She just went straight ahead. I remember her being the smallest on her basketball team, but never being afraid or shy. Another thing that stood out about her was how great of a big sister she was. She was like a little shepherd, always keeping the younger two in check. She was very loving and had a great sense of humor. We loved cooking together. She got so good at softball that I could throw the ball to her almost as hard as I could, when she was 13. She was an original. She was my first daughter so everything with her was so cool, like teaching her to ride a bike or climb cliffs or to swim or play baseball. I just loved it. I really miss her. None of my girls will ever be little again, but I really miss them when they were so little and precious and cute. Now their precious and cute in a different way. 2. Overview: In this episode Gareth Lock and I talk about human factors and the importance of creating a team based environment and culture that supports open and honest feedback for safety and organizational improvement. Gareth talks about his efforts to improve safety in recreational diving as well. Gareth Lock Biography: Gareth is passionate about improving personal performance, taking lessons-learned from 25 years in the Royal Air Force as a C-130 navigator, instructor, military advisor to the research community and a requirements manager into different domains. His main area of focus at the moment is bringing human factors knowledge and non-technical skills or crew resource management training into recreational and technical diving, a sport with an inherent and irreducible risk. He is currently undertaking a part-time PhD examining the role of Human Factors in Diving incidents and accidents, and has recently launched two courses teaching human factors skills and knowledge to divers, especially relevant to those who face higher levels of risk or are supervisors or instructors. Show Notes: There is more behind the scenes than human error. When accidents or incidents happen and human error is listed as the cause, there is normally more within the system that led to the human error. A lack of evidence as a result of a lack of reporting can impede improvement. Defensiveness and a lack of accepting criticism can be a barrier to safety and organizational improvement. “Absence of evidence doesn’t mean evidence of absence”-Nassim Taleb. Just because there may not be a great deal of evidence about negative events doesn’t mean that safety deviations aren’t happening. Normalized deviance of proper and safe practices over time without any obvious incidents or accidents may lead people to believe that what they are doing is safe even though there may be excessive risk in the deviance from proper and safe procedures. Building a habit of pre-checks, operational and safety awareness during operational execution, debriefing and lessons learned that seeks open and honest feedback may help improve human and organizational performance. It can be hard to replicate operational failures in a lecture, but discussions and simulations may help accelerate the process of learning. Adaptability as a core skill should be taught to teams working in high-risk environments. Terrence is also a voting member of the US TAG (PC251) for ISO 55000 - ASTM E53 Asset Management Standards Committee. More recently Mr. O’Hanlon has been selected as the sole US Representation through ANSI for ISO Working Group 39 to create a standard for competence in assessing and certifying Asset Management programs known as ISO 17021-5. Mr. O’Hanlon is also a member of the Institute of Asset Management, American Society of Mechanical Engineers, The Association of Facilities Engineers, Society of Maintenance and Reliability Professionals and the Society of Tribologists and Lubrication Engineers. Show Notes: There are a number of proven tools for improving reliability, yet they fail about 70% of the time. Effective leadership behind these tools is one of the key drivers behind what makes these tools successful. Reliability is directly tied to safety. Reliability goes beyond the business case. It can be a factor in promoting social good, and it and can be seen as a way of life. It can be very empowering when leaders ask workers about their jobs and about what they do and know. Not only can leaders learn more, but when workers have the opportunity to explain their work it can improve morale. Asking questions, working through inquiry and listening to answers can create a more powerful force in creating greater reliability. Leaders need to work through master to discovery. Leaders need to build trust with their subordinates and have to in turn trust them. Organizations should work to preempt failures and work to prevent failures from “piercing the shell” of organizations. Organizations should work to avoid letting defects into the system. They should work to find and remove the sources of the potential defects before they enter the system, which creates greater reliability, as opposed to allowing defects into the system and then finding and fixing them later. Detection is a necessary skill, but the leverage is not letting the defects into the system. You can help do that through empowering and engaging the team and empowering team members to fix the defects before they enter the system without having to go through a bureaucratic process. They found seven teeth belonging to a South American monkey. Next, a sighting of a Leprechaun back in 2013 near Detroit is described and a Dogman sighting in Pennsylvania from 1976 is discussed. Finally, Hillary Clinton says that if elected President of the United States, she will look into the UFO phenomenon. Art. Liturgy. And Evangelical Mega-Churches. On the 9th episode of the ALT podcast, I have a joint conversation with Willow Creek pastors Blaine Hogan & Aaron Niequist. Blaine Hogan is the creative pastor for Willow Creek Community Church in Chicago, IL. He's had a career in acting, including a popular TV show. His path then led him to become the creative director of one of the largest & most creative churches in North America. His experience in merging the creative arts into modern worship settings has given him an incredible insight for emerging artists in the Church. He's recently launched a new eCourse called "Make Better" designed specifically for creators & artists. At the same church, Aaron Niequist has served as a worship leader for the past few years. Like Blaine, he's been intrigued by the ancient expressions of the Church. Aaron has experienced both success & failure as he's experimented with integrating ancient practices into their large contemporary mega-church setting. His path has led him to create two avenues for engaging Liturgy in a contemporary context. The first is "A New Liturgy", a series of 25-minute journeys through prayer, meditation & song. The second is an experimental gathering on Sunday nights called "The Practice", an ecumenical worship service that explores the unforced rhythms of grace. So both of these guys are navigating art & liturgy in one of the largest evangelical churches in America, Willow Creek... a church that has provided a refuge for many escaping dry, dead & traditional religion by creating exciting seeker-friendly worship services.
