First, an Oregon federal judge blocked the $24.6 billion bid by Kroger to take over Albertson's, its next largest rival. Less than 24 hours later, Albertsons, which also owns Safeway, pulled out of the deal entirely — and then filed a massive lawsuit against Kroger, the parent company of Fred Meyer and QFC. The bitter breakup marks the end of a two-year saga that stood to upend grocery shopping across Oregon and centered largely right here in Portland. Hal Donaldson's faith-based humanitarian organization Convoy of Hope is a magnificent agent of change. In partnership with local churches, businesses, civic organizations, and government agencies, the organization is deeply committed to healing the world in all its broken places, through children's feeding initiatives, community outreach and disaster response. US equity markets logged modest declines on Friday (21 June) as semiconductor stocks retreated for a second straight session - Dow inched +16-points or +0.04% higher, with Intel Corp (up +1.53%) and Nike Inc (+1.68%) rising over >1.5%. Boeing Co edged +0.15% higher amid reports it was nearing a deal to acquire supplier Spirit AeroSystems (+6%). Apple Inc dropped -1.04%, falling in the final minutes of the session - possibly a byproduct of Friday night AEST's triple witching (the simultaneous expiration of stock options, stock index futures, and stock index options contracts) or a sizeable rebalancing of the US$70B Technology Select Sector SPDR Fund. Goldman Sachs Group Inc (down -1.72%) and JPMorgan Chase & Co (-1.19%) were both under pressure after the U.S. Federal Deposit Insurance Corp (FDIC) and the Federal Reserve Board on Friday (21 June) said they have found “shortcomings” in the so-called living wills of four of the eight largest U.S. banks. Since the 2008 financial crisis and the Dodd-Frank legislation to shore up the U.S. banking system, big banks have been required to file living wills with regulators to lay out plans for an orderly bankruptcy. Meanwhile, New York Fed's Liberty Street Economics blog cautioned last Thursday (20 June) that the big US banks face growing spillover risks from non-banks that could trigger "vectors of shock transmission and amplification, forcing authorities to intervene and do so en masse," the post said, adding that the disruptions "could be rather severe."

A Toyota subsidiary will shut down its largest auto parts plant in the U.S. over concerns about a difficult path to “sustainable profitability.”Hino Motors Manufacturing U.S.A. opened the facility in Marion, Arkansas, in 2006, making truck frames and axles for Hino commercial vehicles as well as for its Toyota parent. PJM Interconnection is in a race to shore up electric grid reliability as the transition from fossil fuels to clean energy accelerates. --- In February PJM Interconnection, the largest wholesale electricity market in the US, published a report that points to the very real possibility that electricity supply in the market could fall short of the level needed for reliable grid operation in just five years. The potential shortfall is tied to the pace of the energy transition, in which fossil fuel generators, and coal plants in particular, are retiring faster than they can be replaced by new clean and renewable generation. The report has led to a flurry of activity in PJM, as its members rush headlong into a process to reform the way the market manages, and values the reliability that generators bring to the electricity system. Abe Silverman, Director of the Non Technical Barriers to the Clean Energy Transition program at Columbia University's Center on Global Energy Policy, explores efforts underway in PJM to revise market rules to ensure that supply meets demand at all times, including during extreme weather events that have recently threatened the reliability of the grid. The resource adequacy challenges to be addressed are immensely complex, and extend beyond the fundamentals of energy technology to encompass the diverse economic and environmental priorities at play in the market and, more broadly, across the nation. After two decades of losses and "hundreds of millions of dollars" invested in Chicago, Walmart is shuttering four unprofitable stores in the metropolitan area, reducing its store footprint by half in the crime-ridden city. "The simplest explanation is that collectively our Chicago stores have not been profitable since we opened the first one nearly 17 years ago – these stores lose tens of millions of dollars a year, and their annual losses nearly doubled in just the last five years," Walmart wrote in a press release. Indeed, Walmart has soured on Chicago - the Democratic stronghold that went from a once beautiful metro area into an absolute hellhole. According to Walmart, the decision came after considerable investment in the town."Over the years, we have tried many different strategies to improve the business performance of these locations, including building smaller stores, localizing product assortment and offering services beyond traditional retail. As population growth in the nation's largest counties rebounded in 2022, Illinois continued to see population losses. According to the U.S. Census Bureau's Vintage 2022 estimates, 92 of Illinois' 102 counties lost residents from July 2021 to July of last year. In this episode of Law, disrupted, John is joined by John Hueston and Moez Kaba, Co-Founders and Partners at Hueston Hennigan LLP. Chambers has described John Hueston as “one of the top trial attorneys” in the United States and Moez as “a master in the courtroom.” Together they discuss an arbitration in which they obtained both a $175 million plus 5% ongoing royalty (an estimated $50 million annually) award in arbitration – one of the largest U.S. trademark awards ever – and a federal jury trial verdict for more than $271 million (a potential record for a Lanham Act case) for clients Monster Energy and Orange Bang against Vital Pharmaceuticals, Inc. (VPX), the maker of Bang energy drinks. The conversation begins with John Hueston explaining the background of the dispute. He discusses how for 40 years, Orange Bang had a widely known trademark for the term “Orange Bang” as a beverage. He then explains that VPX licensed the use of the term “Orange Bang” but only in connection with creatine-based beverages in the nutrition market. The discussion turns to the rise of VPX to become the third largest competitor in the energy drink market, thanks to their product, Bang Energy. The discussion then turns to the issues in play in the arbitration, including how John and Moez had to prove both the licensing agreement's validity and that the trademark had been infringed. They explain their strategy of making the three-week arbitration about the science creatine and how they used VPX's own documents and witnesses' depositions to work in their favor. Moez and John discuss how they proved trademark infringement using survey evidence, historical admissions, and strong equitable stories, including how VPX signed the licensing agreement knowing confusion would ensue. They explain why they decided to take a conservative approach to monetary damages rather than asking for more than $1 billion, which expert analysis could have supported. This approach resulted in an award of $175 million plus 5% royalties going forward.John then moves the discussion to the Lanham Act jury trial. Moez begins by noting the nine-month time difference between the arbitration and the federal trial and that Monster had filed its lawsuit in California in 2018 before the arbitration proceedings began. In the lawsuit, Monster alleged that VPX advertised its product as a game-changing beverage, which was "nothing short of a miracle drink that delivers benefits and cures that have evaded scientists for decades." Monster also alleged that VPX had misappropriated Monster's trade secrets by hiring Monster employees and telling them to bring Monster's confidential information over with them.John Hueston and Moez then explain their unique approach to mock jury exercises in which they overweight the other side's arguments to help develop their approach both before starting discovery and to prepare for the trial. They also discuss the strict time limits the Court placed on the trial and how they were able to present their case involving complex health, science, and legal issues. Moez explains how they developed their themes that VPX was lying to consumers about what they put in their beverages, cheating competitors by taking confidential information and stealing shelf space away from Monster Energy in supermarkets. They discuss how instead of calling VPX's CEO to the stand first, they targeted high-level executives who could confirm VPX's false statements.Finally, the discussion turns to the two critical points of the trial that gave John & Moez the confidence to believe the jury would rule for them: the jury's reaction to John Hueston's cross-examination of VPX's CEO and Moez's ability to reduce the scientific issues to a level that was understandable and compelling to a working-class jury. Ultimately, the jury awarded Monster more than $271 million on its Lanham Act claim.

The United States' electricity regulator has proposed two major electricity market reforms that could speed the pace of renewable energy development. --- In recent years there has been a dramatic increase in the number of proposed clean energy projects in the United States. In fact, the amount of clean energy that's waiting in line to connect to the nation's electric grid is greater than the total installed generating capacity on the grid today. The prospect of so much clean energy in waiting is a bright spot in the larger effort to decarbonize and address climate change. Yet proposed clean energy, and actual clean energy, are two very different things, and the fact is that a number of policy barriers stand in the way of turning so many clean energy proposals into reality. Shelley Welton, a Presidential Distinguished Professor of Law and Energy Policy with the Kleinman Center, discusses proposed policy reforms from the nation's electricity regulator, the Federal Energy Regulatory Commission, that aim to remove these barriers to the greening of the electric grid. Welton looks at rules that seek to speed the process for connecting clean energy to the grid, and ensure that the grid is ready to handle all that new clean power. She also discusses the Supreme Court's recent ruling that narrows the Environmental Protection Agency's ability to limit greenhouse gas emissions from power plants, and implications the ruling might have for the FERC's ability to regulate on issues relating to climate change. Mathieu Stevenson is the CEO of Snagajob, one of the largest U.S. platforms for hourly workers. The platform uses sophisticated software to match hourly workers and employers. There's been a remarkable turnaround in the demand for workers compared to the millions laid off during the pandemic. According to Snagajob's most recent hiring report, about “99% of employers reported they are currently hiring,” and “92% do not have the staff they need to operate at full capacity.” This raises the question; is it a worker shortage or case of not paying enough, or are there other issues at play. “Overall jobs are up 61% compared to pre-pandemic norms,” and 101% year over year growth.” The study shows that the labor shortage we face today is “multifaceted.”
Rents are not just making a rebound after a dip during the pandemic. They are blowing right past the monthly cost of buying a home in more than half of the largest U.S. markets. A new realtor.com report says they've been rising so fast, it's now more affordable to buy a home in 26 U.S. cities, than it is to rent. January was the eighth month in a row that rents have shown double digit growth in the U.S. Realtor.com says the year-over-year increase hit 19.8% in January. That kind of growth is almost double the monthly cost increase for buying a home – which started the year at 11%.Rent Growth BreakdownRents have risen the most for studio apartments. Those rents are up 21% or about $256 a month, compared to a year earlier. One- and two-bedroom units are up 19.2% which adds about $266 dollars to the monthly rent for a one-bedroom and about $323 for a two-bedroom.Higher rents mean that the monthly cost of a starter home is about 20.6% lower than it is for renting in 26 of the 50 largest metros. That translates to a $323 monthly savings, for home buyers in those metros.Top Three Buying MarketsThe realtor.com report shows that the three top markets that favor buying over renting provide an even bigger discount.1 - In Birmingham, Alabama, the monthly cost for a starter home is just $668 compared to a median rent of $1,201. That's a 44.3% savings or about $533 a month.2 - In Cleveland, Ohio, the monthly buying cost is $809 versus $1,325 a month for rent. That's a 38.9% difference or about $516.3 - In Pittsburgh, Pennsylvania, homebuyers are paying $945 a month compared to a median monthly rent of $1,530. That's a 38.3% savings or about $585.But realtor.com says the trend is not universal. While it's pricier to rent than to buy in 26 metros, it's still more affordable to rent in 24 others. Realtor.com says the price difference in those metros makes it about 24.8% more expensive to buy than to rent, giving renters a monthly savings of about $536. In cities with a lot of big tech, buyers are shelling out even more money per month. That cost is about 41.6% higher per month than renting. Rent vs. Buying in Tech MarketsThe top three tech metros where buying is a whole lot more expensive than renting include: 1 - Austin, Texas, where the monthly cost of buying is about 76.1% higher than renting.2 - New York City where buyers pay an extra 52.4% month over renting.3 - And San Francisco where the monthly cost of buying is about 49.1% more expensive.Realtor.com's chief economist Danielle Hale says: “While both rental and home-buying costs are rising, a number of factors could tip the affordability scale in favor of first-time buying for many Americans this year. She says: “Rents are forecasted to outpace listing price growth in 2022 and are already accelerating across all unit sizes.” She also says that surveys show a majority of landlords plan to raise their rental rates even higher this year.Florida Metros Top Rent Growth ListThe metros where rents are rising the fastest are all in Florida. Realtor.com's list of the Top 10 Markets for Rent Increases in January 2022 list Miami, Tampa, Orlando, and Jacksonville as the top four. The Federal Energy Regulatory Commission explores options to incentivize and finance a vast transmission network to support clean energy.---Much of the fossil fuel generation fleet in the United States will be replaced by renewable energy resources as the country's electricity system is decarbonized. Yet it remains unclear how the vast network of high-voltage transmission lines needed to connect clean energy resources will be planned and paid for. Marc Montalvo, president and CEO of Daymark Energy Advisors and former director of risk management and market development at ISO New England, looks at why existing means of planning electric transmission are not up to the task of delivering a low-carbon grid. He also discusses recent action by the Federal Energy Regulatory Commission, the nation's electric grid regulator, to explore ways to incentivize the construction of new transmission and support the expansion of renewable energy. An unprecedented backlog of clean energy projects is in line to join PJM Interconnection, an electricity market serving one in five Americans. ---PJM Interconnection, the largest wholesale electricity market in the U.S., is on the verge of going solar in a big way. The market, which encompasses 13 states from the mid-Atlantic shore, through fossil fuel-rich Pennsylvania and Ohio and as far West as Illinois, has a massive backlog of clean energy projects of all types that are waiting to be built, with solar foremost among them. In fact, the amount of clean energy in line to join PJM totals more than all of the generation capacity that exists in the market today.Mike Borgatti, Vice President of RTO Services and Regulatory Affairs at Gabel Associates, discusses the unprecedented number of new clean energy projects that are lined up in PJM's interconnection queue, and the policy and economic factors that are driving the shift to solar, wind and storage.
