O2 and Virgin have almost 40 million customers between them, so it will be a huge challenge to bring their records into one platform. Of course M&As have become increasingly common in the telco industry in recent years, and tongues continue to wag about potential activity involving both BT and Nokia over the next few months. Data solutions provider Sagacity work with leading telcos, so I invited Harry Dougall, CFO and founding partner at on the podcast to discuss the typical challenges companies face when merging. We explore some of the mammoth data tasks that could make or break M&As, such as joining all the data together in a unified format. A merger of this scale often takes years, especially if customer information is spread across siloed departments. We talk about the importance of checking for accuracy and records that need to be merged (if somebody was a customer of both organizations). We also discuss how making decisions about which packages are appropriate for which type of customer, where they could be cross-selling services, and identify the most valuable customers to focus on retaining them.

Listen on Apple, Google, Spotify, and other platforms. Scot Chisholm is one of the original founders of Classy, the highly successful San Diego social enterprise named after none other than “Anchorman”. Classy helps nonprofit organizations maximize their fundraising through its online tools targeted at a younger generation. So far, Classy has helped nonprofits raise $3 billion dollars in the last 10 years, and the company doesn’t anticipate slowing down anytime soon.   Classy was founded in 2011 after founders hosted a pub crawl to raise money for cancer research. Originally called Stay Classy, the company was mission-driven, focused on helping nonprofits raise funds in a rather unique way.  When Scot had originally visited the Tacos and Tech podcast back in 2018, the company was unknowingly in turmoil with a private equity firm. This was just the beginning of a long battle to separate the firm from Classy. Scot explained how hard it originally was to raise funds. For some reason, firms didn’t want to touch Classy. The majority of the startup’s investors were angels, but later larger venture capital firms like Salesforce Ventures and Hinge Capital bought in.  For a young, growing company, the private equity firm was not the right match. This resulted in the team buying out these Series C investors and bringing the partnership to an end. At this point, Scot and the team could have given up, and sold the business entirely. Instead, they proved that it was a phenomenal business, raising money through insider investments to prevent selling.  Shortly after, the team shifted from shareholder to stakeholder primacy, a model that elevates metrics other than revenue up to the board. Metrics utilized include the Net Promoter Score, Employee Net Promoter Score (Classy boasts over a 50), and Benefit Score. To become a certified benefit corporation, a company must receive a score over 80 - Classy sits at 115 for its focus on social and environmental impact.  Going into 2020, the team was feeling great, but the world stopped in March and donations ceased with it, thanks to the pandemic.  However, the lull was short-lived as giving came back in a big way, with citizens of all income backgrounds giving to food banks, hospitals, and others who were particularly hit by the pandemic. With the turn of the social justice movement, Classy saw new donors who had never participated in donations prior.  Nonprofits who were not directly in line with COVID relief that traditionally focused on in-person events - opera houses, symphonies, ballet - had their revenue streams reduced to close to nothing. They were forced to pivot to online fundraising, taking part in what Scot calls ‘the Zoom effect of the fundraising world’. Before 2020, only 10% of giving was online, but the number has grown tremendously in recent months.  Classy is in the business of helping nonprofits raise funds. When organizations win, so does the team. With a modernized platform appealing to millennials, the company has been able to raise a whopping $3 billion for causes across the globe. Classy has also been raising funds - the company recently closed a Series D for $118 million.  Scot recently stepped down from his CEO role, putting Chris Himes, who has both nonprofit and for-profit experience at the helm. As an executive chair member, Scot will be working on company expansion, particularly with M&As. Pulling ideas from Atlassian’s M&A strategy, Scot plans to look at all of the friction points in Classy’ clients’ workflow to seek out the next opportunity.  Listen in to hear about how Classy defied all odds, coming out as one of San Diego’s most well-known social enterprises.    Scot’s Favorite Tacos: Ortiz’s in Point Loma  Connect with Scot:  LinkedIn Keep up with Classy: Website LinkedIn Facebook: @classy.org Thanks to our partners at Cox Business for their support in enabling us to grow the San Diego ecosystem.

As a leading e-commerce attorney, Yael also owns the law firm Cabilly & Co. She and her team represent thousands of Amazon sellers in all legal issues, including listing and account suspensions, intellectual property enforcement, e-commerce transactions, and IP registration.  Michal Baumwald Oron is the CEO and Co-founder of Fortunet. With over 23 years of experience as a lawyer and manager, Michal has held senior positions in international leading companies and brands such as VP Business Development and General Counsel. She has also led various projects in both the US and Israel, including M&As, joint ventures, and public offerings. In this episode… How do private label sellers on Amazon go about selling their businesses? What resources and tools do they need in order to prepare their business for a sale? And, once they are ready to find a buyer, how do they choose between an FBA broker and an investment banking firm? Selling a business requires a thorough analysis of its value, competitors, and the story that differentiates it from the rest—so sellers need an expert that is not only a great broker, but also an effective analyst and advisor. According to Yael Cabilly and Michal Baumwald Oron, this is where investment banking firms come in. E-commerce investment bankers, such as the ones at Fortunet, provide valuable services for private label sellers, including business analysis, price negotiation, and the facilitation of the sale. With this help, sellers can remain confident that their sale will be a success. In this episode of the Buy Box Experts podcast, host James Thomson interviews Yael Cabilly and Michal Baumwald Oron, the Co-founders of Fortunet, about the valuable role of investment bankers in the sale of an FBA private label business. Yael and Michal talk about the increased popularity of FBA businesses and their advice to private label sellers on how to successfully make a sale. They also discuss their projections for the future of e-commerce amidst the COVID-19 pandemic. Stay tuned.

The son of two doctors, Tom Fencl recalls that while growing up in communist Czechoslovakia, to him a free market economy was more “an intellectual curiosity” than a possible career destination. “When the Berlin Wall came down, I was midway through high school—it was a very formative experience,” remembers Fencl, who says that the historic happening suddenly released “a market economy spirit.” After studying at Prague’s University of Economics, Fencl says, he was “drawn to the big financial centers” and worked in London for 2 years at Stern Stuart & Co. as a consultant before heading to the University of Michigan for an MBA. “From a university standpoint, the University of Michigan may not be the most obvious place for a European to go—but they found me more than I found them,” explains Fencl, who notes that years earlier in Prague he had met students from the University of Michigan who were involved in a study of post-communist economies. “They were virtually the first MBA students that I had ever met,” he observes. From Michigan, he went directly to New York and Wall Street, where roughly 10 years after the fall of the Berlin Wall Czech-born and -raised Fencl became an investment banker. “I worked as sort of a traditional investment banker, meaning that I covered everything from capital market transactions to M&As,” says Fencl, who worked for Salomon Smith Barney (later acquired by Citigroup) and Bank of America. “I left Wall Street just before the 2008 meltdown,” he reports. “That was some lucky timing. I moved back to my home country, the Czech Republic, with my newborn and my wife, and there I joined a private equity boutique,” explains Fencl, who over the next 10 years migrated from what he describes as “transaction-driven” finance roles to more traditional CFO posts. “I joined Pricefx in Prague—which was its largest office and where a lot of the banking office functions are,” says Fencl, who was named CFO of the company in 2017 and subsequently relocated with his family back to the U.S.—a market that Pricefx now views as a primary source of future growth. –Jack Sweeney Fencl: To remind your listeners, we're a SaaS company.  So that is a subset of the industry where there's one metric above all, which is ARR, annual recurring revenue, and more specifically the growth of ARR. And then you rank companies based on where they are. For the past few years, we've been somewhere around 80% year over year. So that's a pretty decent clip. Now, you ask what did I change since I arrived? I didn't have to introduce that. They were told already by the very first investors, "You need to watch your ARR growth." The thing that I had to work on doing, and it is obviously a cultural shift, is understanding that particularly when you're using other people's money, where you're not regulated by, do I have the cash or not ... Now, you have a lot of cash, but the right question is how are you deploying it? How efficiently are you using that capital? So, the metric that I had to work and make sure that the organization understand is payback, customer acquisition cost payback. So understanding how the growth ... How much did I have to spend to get that growth? And that of course is something that then leads to further analysis because you break down the metrics into its components. And that's something where you can't just buy the growth, right? You have to have a certain level of patience. Well, for us, we mentioned before that we just finished fundraising. So we have plenty of cash to give us the, what they say, runway; meaning, we don't have to worry immediately on the short-term of funding the business. But conversely, we need to deploy that capital and, what we say, that's to scale up. And as I was saying before about it's not just growth, but how efficiently it grows. So I guess the biggest priority is make sure that we deployed efficiently, that we do achieve the growth, but we do it in a way that will satisfy sort of the requirements of the return on capital. And to do that, one of the key areas of our focus today is work with data. There's obviously a lot of data in the business, but not all of it is structured perfectly. And not all of it is organized in the right way. So we're currently spending a lot of effort on making sure that we clean that up and that we, going forward, make the decisions based on data. Data-driven decision-making is a big priority internally.

Ira Pastor, ideaXme life sciences ambassador and founder of Bioquark, interviews Dr. Hamed Faridi, Chief Science Officer of McCormick. Ira Pastor comments: Many scientists believe that we have only touched the surface with what the botanical world, and its unique ways to naturally manufacture complex, phyto-chemical cocktails, with novel bio-activities, has to teach us. Additionally, while we all may keep our pharmaceuticals, and dietary supplements, and related health products, tucked away within our medicine cabinets, we tend to forget about that other cabinet of health that we all have in our homes, which is a treasure trove of phyto-medicinal possibilities - the spice cabinet. Dr. Hamed Faridi is the Chief Science Officer Emeritus, McCormick & Company, the world's largest spice company (HQ - Maryland USA), a Fortune 1000 company, with 11,700 employees, which manufactures, markets, and distributes spices, seasoning mixes, condiments, and other flavoring products for the industrial, restaurant, institutional, and home markets. A renowned food industry leader, Dr. Faridi has led a global team of 500+ scientists responsible for thought leadership, scientific research, product development, health & wellness, and sustainability to support the global businesses of McCormick. Dr. Faridi has been referred to as the “voice of science” for McCormick & Company and advises the company’s CEO, and senior executives on strategic corporate initiatives such as technology investment and potential M&As and serves on several business councils. Under his leadership, McCormick’s R&D program has been transformed and is rated by investors and global customers as one of the most innovative in the industry. His science-based approach to “Flavorful Healthy Eating” is recognized as a groundbreaking platform for improving public health. His vision led to the formation of the McCormick Science Institute (MSI) as a research-driven organization to advance scientific understanding of the potential health benefits of culinary spices and herbs. This research prompted a close partnership with US Departments of Agriculture (USDA), Health and Human Services (HHS) and the White House, to help in the implementation of the 2015-2020 Dietary Guidelines for Americans. In 2013, in partnership with IBM, he initiated the creation of an Artificial Intelligence (AI) platform for food and flavor product development with the potential to change the course of the industry and enhance the universal eating experience of consumers around the world, by tapping in on over 40 years of sensory, culinary, chemistry and scientific data collected by McCormick R&D scientists in 14 countries. He has published six books and dozens of scientific articles in food science and technology, and has been a guest lecturer at conferences and research institutions in 22 countries. He has also served on several boards of professional and trade associations in the U.S. and Europe. He was elected and served as president of the American Association of Cereal Chemists (AACCI) and the Flavor & Extract Manufacturers Association (FEMA). In addition, he has served on Advisory Councils of food science departments for four major universities. He is the recipient of numerous awards and was honored as a Fellow by the Institute of Food Technologists (IFT) and the AACCI. Dr. Faridi is on the Board of Trustees at Maryland University of Integrative Health (MUIH) in Laurel, MD, and has served on the Board of Directors of the St. Joseph Medical Center in Towson, Maryland. Prior to joining McCormick & Company, Dr. Faridi served on the faculty of Washington State University and held R&D executive positions at Nabisco Food Group where he received several awards for innovation and business impact. Dr. Faridi received his MS and Ph.D both in food science from Kansas State University, and an MBA from Fairleigh Dickinson University. On this show we will hear from Dr. Faridi: About his background and how he developed an interest in food, science, herbs, and medicinal plants, and rose to a position of leadership in McCormick. About the importance of the study of the combinatorial phytochemical mixtures found in culinary herbs and spices and his work in AI to come up with novel flavor combinations. He’ll discuss the anti-microbial potential of culinary herbs and spices and sustainability practices in the herb and spice industry. Finally, we’ll hear about the use of flavor science to impact eating behavior, obesity, and other metabolic disorders. The Transformation of Fire Protection and Fire Safety, with Shane Ray Building Materials Industry | The Evolution of the Fire Safety Industry As president of the NFSA and a former fire marshall in South Carolina, Shane Ray has dedicated his life to fire safety. Prior to coming into his role at the National Fire Sprinkler Association, Shane served as a firefighter for most of his career. He familiarized himself with a handful of different fire protection device and equipment manufacturers that were used both in the field and in the structures themselves. But when it comes to fire protection in the building materials industry, the NFSA is down to just four major players: Tyco, Globe, Reliable, and Viking. M&As and Consolidation in Fire Safety Every member of the National Fire Sprinkler Association is devoted to fire protection and saving lives. And while the mergers, acquisitions, and overall consolidation of the equipment manufacturers has resulted in fewer brands, they are leveraging each others strengths to build higher quality components and make the equipment better. We have seen this trend many times in the building materials industry, but in this case, it comes from a combined interest of preventing and suppressing fires. The Future of Fire Protection and Fire Safety If you are in the building materials industry, you understand that evolution sparks a grow-or-die mentality. But sometimes it’s a matter of niching down to drive new trends that serve the greater good. The same holds true in fire protection, and tech is another factor that has come into play. Most of the modern sprinkler systems are incorporating more and more electronic components, smart technology, and IoT, so it is creating new opportunities for the NFSA to collect data and determine where they are performing and where they need improvement. To learn more about the transformation of the fire protection industry, listen to the latest episode of GWP’s Constructing Brands. About Shane Ray Shane Ray has been a volunteer firefighter since 1984 and a career firefighter since 1994. He has also served as a mayor for six years and the Tennessee Fire Chief’s Legislative Chairman for 12 years. Ray’s love for politics started as fire chief of the Pleasant View Volunteer Fire Department in Tennessee, where he served 13 years. He then served under Governor Nikki Haley in South Carolina as superintendent and state fire marshal. He currently serves as the president of the National Fire Sprinkler Association and is a lifetime member of the Pleasant View Volunteer Fire Department. Throughout his career, he has been committed to public service with a “Do It Different” mentality and that all stakeholders are important. What You Will Learn: Shane’s role as the president of the National Fire Sprinkler Association What influenced the consolidation of suppliers, contractors, and manufacturers in the fire protection industry How technology has played a role in the evolution of the fire protection industry What the future holds for fire protection equipment based on current trends How the NFSA is utilizing data and analytics to identify new opportunities for improvement Resources: Website: https://nfsa.org/ LinkedIn: https://www.linkedin.com/in/shane-ray-9b82786/ https://www.linkedin.com/company/national-fire-sprinkler-association/ Twitter: @chiefrays @NFSAorg Facebook: https://www.facebook.com/NFSA.org/ Email: ray@NFSA.org Phone: 845-745-2671

These transformative brands are part of the fuel behind Simon's success recently marked with a fast follow $25M Series C funding round. On today's podcast, Jason discusses the state of the CX today – where it fails us, how CDPs are delivering on the promise of Big Data and Business Intelligence solutions. “Over the last year or so, we have seen an uptick in older companies positioning themselves as CDPs to try to take advantage of the buzz around the category, without offering the capabilities of a true CDP. As the market matures, these follower companies have struggled to keep up - recent acquisition news around Acquia/AgilOne and Amperity/Custora is evidence of this. However, these acquisitions do highlight the increasingly critical role customer data plays in driving marketing strategy, as well as the importance of having a competitive product in this new category." – Josh Neckes, President/Cofounder, Simon Data After the recent Acquia / AgileOne acquisition news. Jason also shares his perspective on what this means for the industry and why we can expect to see more M&As in 2020. Episode 499 of “Cool Things Entrepreneurs Do” is co-produced in partnership with the Austin Technology Council, the largest tech industry organization in Central Texas. ATC empowers members by using insights, resources, and connections so their members can succeed and thrive. This conversation is with long-time ATC member (back to the days when it was the Austin Software Council) Jean Anne Booth - CEO and Founder of UnaliWear.   In this episode Jean Anne talks to Cool Things host, Thom Singer, about business, Austin, and the changes in technology. She shares her story from working at NASA in college, to engineering jobs, to a career as a serial entrepreneur.      About UnaliWear   Focus groups have named our Kanega watch a wearable “OnStar for People” because we provide discreet support for falls, medication reminders, and a guard against wandering in a classically-styled watch featuring an easy-to-use speech interface rather than buttons.   Thanks to our patented battery system in the band, you never have to take your watch off to charge – and unlike Apple watch or Samsung Gear, we don’t require a smart phone (because it’s built in). We combine cellular, Wi-Fi, GPS, BLE (for hearing aids and telemedicine devices), an accelerometer for automatic fall detection, and continuous speech to provide an active medical alert that works anywhere, along with data-driven artificial intelligence that learns the wearer’s lifestyle (think “NEST for people”) to provide predictive, pre-emptive support.   Our naming derives from Cherokee: “Unalii” is “friend”, and “Kanega” is “speak”, so we are the friend that speaks to you.   OnStar is a registered trademark of OnStar, LLC. UnaliWear has no affiliation with OnStar.   About Jean Anne Booth (CEO and Founder)   A serial entrepreneur, Jean Anne started UnaliWear after selling previous startups to Texas Instruments and Apple.   Jean Anne was the founder of Luminary Micro, the creators of the Stellaris microcontroller platform and the first to market with ARM Cortex-M3-based microcontroller solutions.  Luminary Micro was purchased by Texas Instruments in May 2009, and was one of the top VC-backed M&As of 2009.  Jean Anne retired from TI in 2012 after serving as the general manager for TI’s Stellaris family of products.   Jean Anne was also a founder at Intrinsity, the creators of the graphics chip in Apple iPad products.  Intrinsity sold to Apple in 2010.   Jean Anne holds a BSEE from the University of Texas at Austin, and an MSCE from National Technical University.   https://thomsinger.com/podcast/unaliwear

Season 1, Episode 2: Psychopathy   In this episode we discuss psychopathy. You would never know given all the attention psychopathy receives that it only occurs in 1% of males in the general population. Cleckley and others have explained psychopathy as being a personality disorder defined by a constellation of characteristics occurring on the interpersonal, affective, and lifestyle levels. There is considerable confusion regarding the construct given its history and its common, if not pejorative use of the label. In this episode, we will explore its history and its relationship to a now forgotten medical condition known as moral insanity. Brad Post Michael D. Kenny, Attorney Brad Post: Welcome to the floridadefense.com podcast. We are speaking to Tampa robbery charges defense lawyer Mike Kenny. And Mike we’re going to be going over, in the next series, just going over theft crimes. Correct? Michael D. Kenny, Attorney: That's right. B: You want to give us an overview of the theft crimes, and then we’ll dive into robbery. M Sure. So there is, like you're mentioning it, you call them theft crimes, and these crimes we’re going to talk about all have to do with a taking of something from somebody else. Whether it's a permanent taking, or a temporary taking of some item. And depending on how the taking occurs, or where the taking comes from, kind of changes the severity of the crime and the name the crime. A robbery, which is what we’re going to talk about today, is essentially taking something from another person, but there's an added set of elements, of using force to take that item, or the threat of force. The robbery statute in the state of Florida's is under statute section 812.13, and defines robbery. It says it means the taking of money or other property, which may be the subject of larceny, which basically means theft, from the person or custody of another, with the intent to either permanently or temporarily deprive the person, or the owner, of the money or other property, when in the course of the taking there is the use of force, violence, assault, or putting in fear. That’s the actual definition of robbery. Robbery has different levels. The most basic type of robbery is a third-degree robbery, and that’s called a robbery by sudden snatching. And the name kind of implies that something is taken quickly from another individual. And the way that a person gets charged with a robbery by sudden snatching, the thing that I always kind of think about is a pickpocket. Pickpockets are kind of notorious. The people who are pickpockets are notorious for being a pretty good about sneaking up beside somebody and taking something. There is no threat of violence. There is no force used. There really is no action on the part of the person, other than taking the item from the person. But a robbery from sudden snatching comes up when in the course of that either by snatching a purse from somebody, or taking a wallet from somebody, the “victim” becomes aware some point during the taking that something's being taken from them. So, let’s say a guy's a purse snatcher. Say he goes in and grabs the purse off of someone, and begins to walk away. If he doesn't use any force to remove that purse, but maybe unclips the purse, somehow takes it from a person. And that person, at some moment, becomes aware that “Oh, my gosh! Someone’s taken my purse!” At that moment, that transitions from theft to a robbery by sudden snatching. Because there's no violence used. There's no force used. The only thing that happens is the person who’s being victimized here realizes that he or she is the victim of a theft. And the legislature has decided that we’re going to punish those crimes a little more seriously. Because, obviously, once a victim realizes he's being robbed from, everything can potentially escalate to another level. So, that’s a robbery by sudden snatching. It is a third-degree felony. And it’s punishable by a maximum of five years in the Florida Department of Corrections. It doesn't score any type of mandatory prison sentencing, but you can get anywhere from probation to five years. Now, the next level is the type of robbery that we hear about most often, is what's called a strong-arm robbery. That’s a second-degree felony. And, a strong-arm robbery is your basic definition of a robbery, as how most people commonly understand it. That is, the taking of an item from some person, by using force, or threat of force. This can come up, and the most common situation a person is what we use the term ‘mugged’. A person is confronted by another individual, and that individual demands money. He can either use force, and get into fight, and attack somebody and take that. And that’s a robbery by sudden snatching. Or, he can use a threat of force. Say, “I'm going to harm you if you don't give me this money!” That’s a second-degree felony. And that’s punishable by up to 15 years in prison. You can get anything from probation to 15 years in prison for that. Then there is a next level from that, which things begin to change dramatically as far as the sentence. And that’s if the person is armed. If, in the course of committing the robbery, the offender carries a firearm, or other deadly weapon, then the robbery is a felony of the first degree, and is punishable by a term of imprisonment not exceeding life. So, that’s a punishable by life crime. So, if you take that same situation you look at the three different robberies we talked about: a guy runs up and snatches a purse off somebody, and that person doesn't become aware of until he’s running away. That could potentially be a robbery by sudden snatching. Then you graduate another level where a guy walks up to someone, and says, “Hey, listen! Give me your purse, or I’m going to hit you!” And the person gives the purse. That’s a second degree robbery. That’s known as a strong-arm robbery. Then, you get to this next level. A person points a firearm at someone and says, “Give me your purse!” That crime is now punishable by life in prison. The first one punishable by five years. The second one punishable by 15. And, obviously the third one punishable by life in prison. That doesn’t have to be a firearm. It could even be a knife. It could be a weapon of some sort. The firearm is still punishable by life, but it changes because there’s a 10/20/life statute in Florida. Anytime firearm is used in the commission of a felony there is a 10 year minimum mandatory prison sentence. B: Mike, one thing that I like about talking to you, and we’ve talked about this in the previous podcast, is that you’ve worked on both sides of the courtroom. M That’s right. B: The plaintiff side, and also the defense side. Do you see very many of these being repeat offenders, very often? And, is there an additional charge, or imprisonment, on repeat offenders? M: As a prosecutor, obviously I’ve seen pretty much every type of crime you can imagine. Everything from misdemeanor to a capital murder. But, as far as robberies are concerned, those are usually, in my experience as the prosecutor and as a defense lawyer, those are usually crimes of desperation. And, so you don't typically find that people do them regularly. Unless, we’re talking about a serial bank robber which we may have run into those a couple times. Usually, you don't find the same person having a history of committing robberies. What I can tell you is that there are specific penalties, and Florida's pretty tough for people who get convicted of serious crimes, and then when they come out they’re back in the system again. There's one specific, very simple enhancement called the prison releasee re-offender. And, a person who’s a prison releasee re-offender is anybody who gets sentenced to the Department of Corrections for anything. Say you go to prison for any type of charge whatsoever, but within three years of your release, you are convicted of committing a violent felony, basically a forcible felony, and that’s anything like a robbery, a burglary, an arson, any kind of specific crimes known as forcible felonies. But, these are specifically designated by statute. But, if you commit these violent felonies, or forcible felonies, you get the maximum sentence day for day, and the judge has no discretion. As long as the state has served notice that you qualify for prison releasee reoffender, you get the maximum sentence day for day. So a person who may have got a prison for something in the past, and ends up committing armed robbery, even if the judge wanted to, if you get convicted of an armed robbery, the judge has no discretion, but to give you life. B: All right. We've got a few other topics that we’re going to discuss. So, join us on our next edition of floridadefense.com podcast. We’ve been speaking to Tampa robbery charges defense attorney Mike Kenny.

W: College life. M: Aren't you excited? We're finally on our own! W: That's just it. We're on our own now. We've taken so many things for granted until now. M: Like what? W: Free meals. I can't cook to save my life, but my Mom always made dinner the best part of my day. M: You can just go to McDonalds or something. You're free to do whatever you please! W: It's not as simple as picking what you want to eat. We have to pay for it out of our own pockets now. M: Don't your parents give you money? It's no different from an allowance. W: Well, mine just told me to get a job. They're cutting my allowance. M: That's harsh. What are you going to do? W: Face the music. I'm becoming an adult and its time that I start acting like one. M: You're growing up too fast for me. W: Or maybe you're not growing up at all? M: Hey, that's deep. W: I know. Oh, that reminds me, you going to the party at the Frat House? M: What happened to all that talk about acting like an adult? W: I figure I have a couple of more years to grow up, so why spoil it now. I'm young and free. Why be tied down by responsibility? M: Well, that didn't last long. Hey, lets go! (Written by Tijan Nicholson) 2. (70) Handing in Homework M: Umm…Ms. Yamada? I’m sorry. I can’t hand in my homework today. Um, I think…the sheep took it from my bag on my way to school. W: What? How can sheep take your homework? You forgot your homework last week as well. Calvin, you need to work harder. M: I didn’t forget it last week. Last week… my dog ate it all up! W: Yeah, yeah, yeah…Calvin, you need to take more responsibility for what you do when you go to college or the workplace. You could get kicked out of school, or even lose your job! M: OK…but I’m still a kid. W: You’re already 18!! You’ll be out in the work force soon! Now, I want you to sit here and write “I’LL HAND IN MY HOMEWORK NEXT WEEK” 100 times. M: What!? Now? Here? W: Yes. Just sit here, write them on this paper. M: (in an adult-like way) Um, Ms. Yamada, I think this is meaningless. There is no guarantee that I’ll hand in my homework next week even if I write that sentence 100 times. It’s just a waste of time, paper, and ink. You will pollute the earth by making me do this thing. W: ……Calvin, that was the most logical thing I’ve heard you say in the last 10 months! M: Yeah?? So…can I go now? W: No. Now, I’d like to hear your story more. How can I get you to hand in last week’s homework? M: (in an adult-like way) Ms. Yamada, you need to keep moving forward. Some people say we should learn from the past, but I don’t think that’s always the case. We shouldn’t let the past pull us down. There is no future behind us; it’s ahead of us! So just forget about it and let’s move on! W: No! Now, you do last week’s homework right here, right now, and hand it in. Is that clear? M: Yes, Ms. Yamada. (Written by Ayumi Furutani) 3. (162) A Boring Class Situation: 2 students are talking quietly during a class lecture. W: Hey, Ray, if you had only 14 minutes left to live, what would you do? M: Hmm… That's a tough one. I think I'd try to get to the high ground. When I was a kid, I used to spend summers at my grandparents' place, a small village in the mountains. One time I found this awesome rock. When I lay on that rock, the deep blue sky stretched endlessly all around. W: And, as I imagine, you would go directly to the sky from that rock? M: Exactly! What about you? W: I would behave like nothing's gonna happen. Cook my meal, surf the Internet, sit on the toilet. I mean, that's what my life is about, right? And I don't want it any other way. M: You have a point, unlike a certain person here. W: Mr. Jones IS a guru of boring lectures! Look how many students have fallen asleep under his hypnotizing gaze! 18 out of 20! M: Ha-ha, no way! Wait, are we the only ones awake now? W: Yep. M: And he doesn't seem to have a clue. How is that even possible? W: Maybe his sleeping magic backfired? Somniloquy in action! M: Hey, talking in your sleep is just one of the lesser wonders you can witness in class early on a Monday morning. W: Other wonders include a mass disappearance and/or a mass hangover! M: Anyway, what's with the question about the final 14 minutes? W: Oh, that's easy. Look at the clock. What do you see? M: As a student craving a cup of foul vending-machine coffee more than anything in the world, I see only how much time is left till the end of this lecture. And that is... exactly 13 minutes! Ah, got it. W: Now it's your turn to come up with a conversation topic we could use to pass the remaining, almost infinite amount of time! M: Hmm, what would you do if you had only 13 minutes left to live? (Written by Dmitry Mamchur) 4. (202) Drinking In Class M: Hey! What are you doing?! W: (gulp, gulp) Um…drinking coffee? M: Hey, we're in the middle of class!! W: And that is related to this conversation how? M: You can't drink in the middle of a lecture! W: Really? Not even water, or coffee? M: No! W: Oh, that's strange… M: Why? Can you drink during class in America? W: Of course! You can drink water, tea, coffee, almost anything. Depending on the teacher and how discreet you are, you can even eat snacks! M: No way! You gotta be kidding. W: Well, sometimes there are a couple of teachers that won't let you drink or eat anything. But most teachers are very understanding, and even drink water or coffee themselves. M: Wow, that certainly sounds nice. W: Yes, but I've seen a few students fall asleep in the middle of a lecture here in Japan, and if that happened in a lecture in America the teacher would be furious! M: Is that so? Hmm, I guess it's give and take, though I could really go for something to eat now over taking a nap! W: Well, we only have about ten more minutes left in class, so I'm guessing we can both hold out for a few more minutes. M: True. Hey, do you want to catch some lunch after this? Maybe even head off campus and eat some curry? W: Sure, sounds good! Although I think maybe we should quiet down, the teacher's glaring at us and walking this way! (Written by Matthew Bola)

In den 75 As- bzw. Pseudohalogenide dismutieren. Deformationsschwingung der M-NPy-Bindungen (M = As, Sb) zugeordnet. Die Verbindungen As(N3)5 · LB bzw. Die 75 As- bzw.
