Bio: Marc Stockli: Marc O. Stockli has benefited from a unique perspective for many years in developing and writing this book. Marc has also been a public speaker to thousands of entrepreneurs in more than 30 countries. Marc has been exposed to board work from early on in his career. First, as a young investment banker, and later a strategy consultant for world-renowned professional services firms. Later on, as an entrepreneur and investor. In sum, he has prepared for, attended, and reflected on about 200 board meetings overall. This profound experience has been gained globally, allowing Marc to provide unique insights and disclose hidden opportunities. Marc O. Stockli is a co-founder and former CEO of Totemo, whose cybersecurity products are used by 1,500 corporations and more than 3.5 million licensed users. Totemo was sold to Palo Alto-based Kiteworks in December 2021. Marc is an active investor, board member, and coach for entrepreneurial companies and teams in technology and financial services. He acts in such capacity for Amwell (IPO on NYSE in September 2020), Beekeeper, Merantix, Lucy Security (sold to ThriveDX in February 2022), Vara, CleanHub, or Format Vermögen & Anlagen, to name but a few. Previously, Marc worked in corporate finance in Hong Kong, Tokyo, and New York, as well as strategy consulting with BCG. A strong economy and global stock market surge may suggest market euphoria. I'm Andrew Sheets, head of Corporate Credit Research at Morgan Stanley. Along with my colleagues bringing you a variety of perspectives, today I'll be talking about the surprising lack of confidence in corporate boardrooms, and why it could extend the cycle. It's Thursday, June 13th at 2pm in London. “Buy low, sell high.” That age-old advice is rooted in the idea that investors should try to buy when others are fearful and sell when others are euphoric. The high in prices, after all, should occur when people are as positive, and things are as good as they can possibly be. At the moment, there is plenty of focus on this idea that the market pendulum may have swung too far towards excessive positivity. The economy is strong, with US growth tracking above 2 per cent, inflation moderating and the unemployment rate still near a 60 year low. US and global stock markets are near all-time highs. And many quantitative measures of investor optimism are elevated, whether it's the low levels of expected volatility, polls of investor outlooks or ownership of equity futures. But we think there is one missing piece of this story, with relevance for credit and beyond. While investors are optimistic, corporate boardrooms remain much more restrained. And that caution could help extend the cycle. One way to measure corporate optimism is whether or not companies are adding debt; a company is more likely to borrow when it feels better about the future. Well, as of the first quarter of 2024, the growth in US non-financial corporate borrowing was at a 10-year low. And among lower rated borrowers, the issuance of high yield bonds and loans remains dominated by borrowing to repay or refinance existing debt – the most conservative type of issuance that you can get. Another way to measure corporate optimism is Mergers & Acquisitions, or M&A, as it really takes confidence in the future to acquire another company. Well, global M&A volumes in 2023 were the lowest, adjusted for the size of the economy in over 30 years. While this has picked up a bit, and we do think M&A recovers significantly over the next two years, it's currently still very low. On the surface, there are plenty of signs that investors are entering the summer optimistic. But the corporate sector remains surprisingly restrained, especially given that solid economic data, record profits and record highs in the stock market. We'd further note that the Tech sector, where there is more optimism and much more investment spending, generally isn't borrowing to fund this, and also enjoys unusually strong balance sheets. All of this matters because it's been high levels of corporate optimism that have often been very bad for credit, as it's excessive optimism that often leads to excessive risk taking, hubris, and an eventual payback that is bad for lenders. The lack of optimism, at the moment, is a good sign, and one of several reasons why we think spreads can remain tight, and the credit cycle has further to run. Thanks for listening. In this live event hosted by Umbrex in November 2023, Ron Lumbra, a member of the CEO & Board of Directors Practice and Partner at Heidrick and Struggles, discusses how to get on a corporate board. He shares insider knowledge about the process. The event was recorded as a streaming event, with approximately 300 people signing up for the session. The discussion was facilitated and included questions from attendees. Exploring the Landscape of Board Roles The discussion focuses on the different types of board roles, such as Fortune 500 companies, other public companies, PE-owned portfolio companies, and family-owned companies.  The top of the pyramid is the public company corporate board, which is the most sought-after and difficult to join. People often serve on various types of boards, such as large-cap corporations, smaller publicly traded companies, private companies, family businesses, and nonprofits. These boards have similar structures, committee structures, and skills matrix, making them valuable ground training experiences for those looking to join corporate boards. A board is a group of experienced business people who are responsible for running and governing a company. It is not just a group of smart people, but specific roles that a board seeks to fill. He identifies the difference of a philanthropic board. When searching for a board member, companies often seek specific skills, such as financial experts with experience in China, supply chain, or being female. Ron talks about a typical board structure and defines the importance of what a candidate can bring to the board. The board consists of about 10 people, with four or five members fit into the CEO club or those who have run a big business club. The number one in demand skill set is financial experts, with three seats focused on audit and finance committees. The number one skill set is CFOs, while the other three are controllers, treasurers, VPs, SVPs, or audit partners from one of the big four. Companies are also looking for leaders in certain fields at specific times. Generally at present, their expertise in cyber and AI, supply chain, and ESG areas are in demand. Supply chain has seen a surge in demand, especially during the pandemic. Boards are looking for people who can lead, guide, and help with challenges they may face. They create a skills matrix to identify the various skills needed, which is more than the number of seats. People who can check more boxes credibly tend to be more attractive board candidates. The Benefits of Being on a Board Ron explores the reasons people want to be on a board and the benefits they receive. Operating executives with a day job often go on boards to expand their skill set, gain an outside perspective, and learn from others in different industries. As they age, they may consider a different career path and seek ways to contribute, give back, stay engaged, and stay relevant. Age plays a significant role in the decision-making process, as board directors are not employees and are not discussed in the proxy board. Boards typically have a mandatory retirement age of 72-75 years, which varies by company. People usually go on boards in their late 50s or early 60s and have a decade or more of tenure before they age off. Ron also discusses the reality of being on a board in terms of time and commitment. Being on a board is different from being an operating executive, as it is intense and socially intensive. Board culture and how the board functions come together and go apart are important factors, both experience, personality and cultural fit are all factors considered.  Board meetings are usually held five times a year, with committee meetings often occurring around them. Ron shares information on payment for board members and how to position oneself to get on a board, particularly at the non-finance 500 level.  Securing a Invitation to The Board He explains that the supply side of the board opportunities is what attracts candidates, and understanding one's skill set, industry expertise, strategic acumen, and expertise is crucial. Ron also highlights the private placement market, where 40% of corporate directors are placed through relationships. This can be an advantage for candidates, as they are paid to introduce competition. However, the private placement market is less competitive and more about networking and making oneself known. Joining a board is akin to joining an elite country club, where applicants must demonstrate their knowledge and expertise. Networking is more about making yourself present and well known, rather than trying to make a sale. It's important not to take it personally, but rather to understand how the game works to get on board. Ron encourages people to focus on networking, letting people know their skill set, and having the courage to differentiate themselves. Many people answer yes to every question and bring various skill sets, but this may not be memorable or distinctive. People who have the courage to say they know banking, regulation, and Washington can become extraordinarily memorable. Trends and the Changing Focus of Companies Ron talks about the trends in diversity goals and the changing focus of companies. He highlights the importance of women on boards and the momentum of advocacy groups around women on boards. The pandemic in March 2020 led to a shift in focus towards ethnic diversity, with a two-year window of intense focus on black directors and Latino Asian directors. Today, there is still an interest in ethnic diversity, but most boards are working hard to address the issue. Advocacy for women on boards is now focused around 30%, partly from shareholder advisory groups and exchanges. Some boards are advocating for at least 30% women on boards. Diversity matters have changed significantly over the past decade, with a period from 2020 to 2023 when companies focused on diversity, leading to a pent-up supply of non-diverse CEOs being called on boards. The market is now recognizing the importance of diversity in addressing societal constraints and positioning companies effectively. Ron shines a light on the importance of understanding the unwritten rules of board roles and how they impact a candidate's authenticity and legitimacy. He emphasizes the importance of addressing governance matters, as it can impact a candidate's authenticity and legitimacy. He suggests that exposure to governance can come in various ways, such as attending board meetings, working with the audit committee, or working closely with members of the compensation committee. This exposure can demonstrate knowledge of board culture, functioning, agenda, and what matters within a board. Understanding The Board Environment Ron talks about the importance of understanding the board agenda and what matters, and why it is so difficult to secure a position on the board.  Boards create a high bar to ensure that candidates understand their roles and culture, and that they don't bring on disruptive or underperforming individuals. By addressing these issues, candidates can demonstrate their commitment to good governance and the importance of understanding the board environment.Business schools and the National Association of Corporate Directors offer board directors certification programs, which can be helpful for getting on a board. However, it is important to not oversell these programs, as they may not provide the necessary knowledge and experience for decision-makers. Participation in these programs can make individuals more knowledgeable and contemporary in governance topics, making them better interviewers or interviewees. A Focus on Governance To demonstrate a commitment to governance, one can get on a nonprofit board. The type of nonprofit and the specific role on the board should be determined by the individual's passion for the subject matter. Nonprofit boards often have committees that align with the individual's interests and skills. For example, financial experts might be better suited for audit or finance committees, while those with expertise in governance may find the Governance Committee beneficial. Engaging in committees is where the work happens, and it is crucial to find a committee where you can grow and develop. This can lead to being tapped into a corporate board, as people will see you as a leader and a greater amongst equals. Boards are typically staffed over a decade, so it doesn't have to happen on the day you join. If you like the mission, theme, and value add, you will find yourself on committees, running committees, or chairing the board. Vetting Candidates for Board Positions When talking about the process of vetting candidates for board positions, Ron explains that it is divided into two categories: formal and informal. Formal vetting involves light off-the-record background checks, such as FBI police records and business references, to ensure a good understanding of the candidate. The process also includes back channel conversations with board members, who may have connections to the candidate. It is important to understand that every person you interact with or have worked with in the past is a potential candidate, and it is crucial to be aware of these back channel calls. Executive search firms fill about 40% of roles, and it is essential to ensure that candidates are aware of their interest. To do this, resumes should be on file with all major firms, as they are centrally administered and managed. This makes them a shared asset in the board database, which can be used to identify potential candidates for new searches.Joining a board of directors can be lucrative for younger professionals in their 40s-50s. However, it is challenging to position oneself effectively in these roles due to the value placed on experience and life experience. The average age of a first-time director on a publicly traded larger cap board is 58, so it is crucial to understand the circumstances in which you will be effective on the board. “If you take a survey, everybody thinks that all of the Latinos just got here the other day and came over the border…More than 68% of most Latinos are born in the US.” “There are no U-Hauls at funerals.” In January 2004, Nelson became the first independent Director of the Exelon Corporation that resulted from the merger of PECO Energy and ComEd. Exelon is a Fortune 66 company and is the largest competitive energy company doing business in 48 states, D.C. and Canada. This company, with $60 billion in revenues, employs over 40,000 people nationwide. Exelon works in every stage of the energy business – power generation, competitive energy sales, transmission and delivery. Nelson has been a member of the Risk, Generation and Delivery Committees,  as well as, authored of the Investment Committee's financial achievement. He is a Director of the PECO Energy Board, the most profitable and safe utility affiliate, serving 1.6 million customers with electricity and gas. Nelson is an investor in a financial institution FinClusive and on its advisory board. In 1975 he joined the Temple Hospital Board of Directors as Chair of the Professional Affairs Committee until 1993 when the President of the United States appointed him General Counsel to the U.S. Department of Housing and Urban Development. He returned to Temple University as  a Trustee in 1997 and served on the Student Affairs and Diversity Committee, Search Committee, Trustee Committee, as well as the Executive Committee. Nelson has played many roles at Temple from teaching to developing a Legal Aid Program for the Law School. Nelson has served on numerous Corporate Boards including the Legg Mason Family of Funds (1998-2001); Advisory Board of PNC Bank 2008- 2015; Chair, National Foundation for Credit Counseling (NFCC); Chair and Audit Committee, Paradigm Funds (2010-2011); the Board of  Directors of The Convention Center Authority of Pennsylvania (2002-2004); Treasurer and Co-founder, Latino Corporate Directors Association and also the Education Fund from (2014 – present). Nelson was City Solicitor of Philadelphia from 2001 to 2004, Attorney for Philadelphia Gas Works (serving a million customers) and Counsel to both the Philadelphia Airport, the Philadelphia Water Department, as well as all city personnel. Nelson was the first Puerto Rican to be admitted to the Pennsylvania Bar and the first Latino Judge in the Court of Common Pleas in Pennsylvania where he served for 12 years. During his tenure, he was appointed Administrative Judge (CEO) by the Supreme Courts where he administered a $90 million annual budget with 2000 employees. He received the National Institute for Justice Award for saving the courts $100 million in 10 years and eliminating a seven years backlog. Nelson is a senior partner at Dilworth Paxson LLP where he concentrated his practice in litigation, dispute resolution, government relations, energy, and public housing development. His leadership as the Chair of the Diversity Committee, earned him the Philadelphia Bar Association Justice Sonia Sotomayor Diversity Award. Nelson served on the President's Commission on the White House Fellows from 2000 to 2012. He was a Fulbright Scholar, a White House  Fellow from 1977 to 1978 and has five honorary doctorate degrees and numerous National Awards. Nelson graduated with a B.S. in Accounting from St. John's University and a J.D. from the Temple University Beasley School of Law. A member of Omicron Delta Epsilon Economic Honor Society. Nelson is admitted in Pennsylvania, New York, Washington, D.C. and the U. S. Supreme Court. He contributes to a weekly 6ABC “Inside Story” roundtable. The publication has won him honors from the Pan American Association, the Pennsylvania Hispanic Chamber of Commerce and Al Dia newspaper. ob Zukis is a man on a mission to improve the ability of corporate America to succeed in a complex digital world, even when under constant cyber attack. Bob is the CEO and founder of the Digital Directors Network, the global pioneer in helping corporate directors advance their understanding of systemic risk. We consider Bob to be the world's leading advocate for improving cybersecurity governance. His many articles published in major business journals and impactful books on the topic make this case well. Bob has worked with, studied, and been on corporate boards for years and now teaches corporate governance as an Adjunct Professor of Management at the USC Marshall School of Business. He is co-author of the book The Great Reboot. We examine the book and Bob's approach to helping corporate directors mitigate cyber risk in this OODAcast. Topics covered include: How the 1200 strong members of the Digital Directors Network collaborate together to seek to reduce systemic risk. The creation of the Qualified Technical Expert (QTE) program and how the need for QTEs on boards is analogous to the need to have a Qualified Financial Expert (QFE) on boards when Sarbanes-Oxley drove that requirement. The new SEC regulations on cybersecurity that will require corporate boards to designate cybersecurity experts. How the new US Cybersecurity Strategy is helping create positive momentum in corporate America (Bob says "the White House has declared war on systemic risk with this strategy"). Actions directors can take to ensure corporate management is appropriately engaging to mitigate not just cyber attacks against the company, but broader systemic risks. Bob explains that "It's not just enough for board members to ask questions on cyber risk, as the questions are meaningless if corporate directors don't understand the answers." Very well put! Board members should continuously seek to improve their ability to understand. And then on top of that should ask the right questions. What is Bob's view of a powerful question boards should be asking? " What's the value of what we are trying to protect, and how safe is it for what we're spending?" Bob provides information on an event that brings together the Digital Directors Network called Domino (16-17 May 2023 in Chicago). This is a gathering of 200 of DDN's corporate director, CIO and CISO members for a unique executive learning experience. This year's event will feature keynotes from experts like SEC Commissioner Jaime Lizarraga explaining the new cyber rules being rolled out by the SEC. However, are the boardrooms ready?  Worryingly, some  reports suggest that the majority should be having last minute panic attacks. In this edition of  Reimagining Cyber Extra, Rob Aragao and Stan will be addressing discussing what corporate boards and CISOs need to be doingSome key quotes:"There's this  vernacular that gets thrown around from a technology perspective that doesn't always jive to what the business or a board member for that matter is understanding""The rule is designed to compel boards that haven't been taking cybersecurity seriously to do so. But I do think it's also created some trepidation or some concern between the board of directors and those that are in the front lines, the CISOs or the directors of information security. I think it puts some tension on those relationships. And some uncertainties as far as who's going to actually do that reporting effectively""The role of the CISO is going to change even further than what we've seen. As an example, the CISO reports to the CIO in some cases, and in other cases it reports to other parts of the business. This is going to push it really, I would think, for most organizations to completely rethink where the CISO reporting structure is." "I hope [it brings] a  greater understanding on the stresses and the pressures on the CISO and the information security organization and what they have to deal with every day.  Hopefully the board will give them the resources they need. I'm not saying that they aren't funding security. Many times they are, but they need to take the actions to help build in that resilience into the organization. Ali Wing and Oobli Are Fermenting Their Way to a Sweet Protein Future We all know that eating too much sugar isn't good for us, but millions of years of evolution led us to love sweet foods. After all, they provide us with a quick boost of energy needed in an ancestral environment where we were largely active throughout the day. Of course, today most people in the developed world are far from being active all day, yet we still crave sugar and eat it in an abundance far greater than what was available to our distant ancestors from whom we descend. There've been plenty of attempts to create sweetness without the negative effects that go along with eating the refined sugars we seem to love so much. From older products like aspartame to newer ones like stevia or allulose, a pot of gold awaits those who can help humanity satiate our sweet tooth without contributing to the health crises we now face. To that end, we're talking today with Oobli CEO Ali Wing about her company's efforts to commercialize the world's first sweet proteins. Yes, you read that right: sweet proteins. In 2022 Oobli closed a $25 million Series B round, bringing the company's total fundraising to date to $40 million.  So, how do they create sweet proteins? As you'll hear Ali describe in this episode, some plants naturally produce proteins that happen to be sweet as an evolutionary trick. It'd be difficult to mass produce those plants, but via microbial fermentation, Oobli has figured out how to produce the bioidentical proteins themselves.  I had the pleasure of enjoying some of Oobli's pre-market products and I certainly couldn't tell the difference myself. I was especially excited to try the company's chocolate bar which tastes as sweet as a full-sugar bar, but with 70 percent less sugar.  It's an exciting way to sweeten the food industry without turning our health sour.
