In deze aflevering gaat Corinne Kuipers, advocaat Corporate/M&A bij Van Benthem & Keulen, in op de Wet Ingroeiquotum en streefcijfers, ook wel de Diversiteitswet genoemd.Op 1 januari 2022 is de Diversiteitswet in werking getreden. Deze wet heeft als doel om de verhouding tussen het aantal mannen en vrouwen in het bestuur, de raad van commissarissen en de subtop van grote vennootschappen evenwichtiger te maken. Op 31 januari 2023 is het diversiteitsportaal van de SER live gegaan. Vanaf nu moeten grote vennootschappen in hun bestuursverslag over 2022 en aan de SER rapporteren over onder meer de bestaande man-vrouwverhouding, de gestelde doelen en of die doelen zijn gehaald. De deadline voor rapporteren aan de SER is 31 oktober 2023.In deze podcast legt Corinne uit wat de Diversiteitswet inhoudt. Het vaste streefcijfer van 30%, dat eerder gold, geldt niet meer. Tanya's 15-year legal career at some of the world's largest law firms has honed her ability to influence and collaborate with people from diverse disciplines and backgrounds, Tanya spent 7 years in Real Estate legal teams before moving into legal team management. Tanya spent 8 years in Corporate M&A at both Simmons & Simmons and Norton Rose Fulbright in London. Tanya founded the Ladies Investment Club in Singapore and grew a team of 40 female investors which enabled female investors to build their investment portfolio and credentials, while providing hard to access funding to female founders. Tanya went on to launch a venture capital fund for women entrepreneurs and during her time at the fund, discovered the need for both more women investors and women entrepreneurs to be supported. Tanya believes in tapping into the largely untapped capital held by women through education and empowerment to both increase wealth held by women and to drive more capital towards diverse founders. Internationalising your practice by qualifying in multiple jurisdictions will be a focal point at the upcoming conference hosted by the UK Ministry of Justice and GREAT Legal Services in partnership with Africa Legal. In this podcast Michael Strain chats to Tom Pearson on why being dual qualified matters. Michael Strain, partner and Head of Corporate/M&A at Clyde & Co in East Africa took a rather unusual route to becoming dual qualified. He had already been practising corporate law in London when he got the opportunity to build the firm's regional office in Tanzania some ten years ago. He progressed his Tanzanian admission as soon as he could, including an oral examination before law school professors and senior members of the judiciary. The outcome was Strain holding qualifications from both England and Tanzania. He told Tom that he felt privileged to have been able to qualify in Tanzania, and that being versed in both jurisdictions set him apart from many other Africa-focused M&A lawyers. “Having an additional qualification, and in particular a qualification from England and Wales, is super helpful, not just in terms of the work that you can physically do, but also in terms of the optics that it shows to clients. It shows that you are indeed international.” Being dual qualified, Strain says, means being able to seamlessly assist clients based on familiarity with the legislation in a particular country, instead of going back and forth from the negotiating table to find answers. He found this to be especially useful when representing clients in mergers and acquisitions (M&A), his area of expertise, where deals are often governed by English law but have many important local nuances. In the podcast Strain elaborates on the benefits of having multiple qualifications and ends the conversation with this advice for young African M&A lawyers with a qualification in their home jurisdictions, and who are considering the England and Wales qualification: “Just do it. It's an investment that will certainly pay off.”

Integration processes in many organizations are not harmonized or don't get shared between different teams. Even if there is a playbook, deployment and tracking always remain a challenge. Integration management tools are not necessarily underrated but the industry still lacks awareness about the tool. Moreover, companies are concerned about sharing their data. Integration management tools can be used to manage the complete lifecycle of an M&A process. Project management is one of the aspects of an integration management tool. Team collaboration, communication, and coordination are key focus areas for these tools. On human resources in an integration project, it is good to build internal capability but at the same time, external help is required as well. But don't treat them as external. Treat them as an extension of the internal team. Managing integration itself is challenging. Without proper management tools, you are signing up for failure. Credit market turmoil is altering the global playing field in buyouts and acquisitions a field rife with complaints in recent years about too much money chasing too few good deals. The credit shortage puts pressure on pricing and transactional quality while also giving public companies a better shot at acquisitions that the more aggressive private equity firms might previously have snatched away. These are some practical implications of a paper presented at a recent Wharton conference sponsored by the Weiss Center for International Financial Research. The paper documents the pricing anomalies that have characterized private equity transactions in recent years.
