Sturgeon was established specifically to tap into Central Asia. Kiyan, thank you very much for joining me today… Let’s begin by providing some background on yourself and then an overview of Sturgeon Capital, when and why it was founded, etc. History of Sturgeon, why founded with this vision for frontier markets in Central Asia? What is a “frontier market” according to Sturgeon? Your website indicates “we reject traditional definitions of ‘frontier markets’ – expand on this… Your website indicates Central Asia is a “vast area of enormous potential and extreme complexity… I like the ‘enormous potential’ aspect – who wouldn’t. The ‘extreme complexity’ characteristic might give many investors pause…Can you explain this further? In this Episode, Kiyan discusses the following: Describe Funds 1 & 2 Purpose/strategy of each, when launched; $$ size of each, no. of investments to-date, no. of investments total to be made from each Fund; target technologies and target size of investment per co. on average; Do you typically lead, co-invest, or indifferent? Fund 2 – describe its focus on Uzbekistan… Other countries in the region where Sturgeon is invested? Do you leave a reserve or have an allocation from each Fund for follow-on investment to support portfolio companies through additional rounds? Sturgeon leaves about 10% reserves for follow-on investments Spend some time on how you source deals, what you are looking for in an investment in a co. for in this geographic region (game-changing tech, solving major pain points, etc.) We like market-place bus. models, e-commerce and SaaS Can capture customer base, then capture other services… Had to solve for: Logistics, payment solutions (< 10% Visa/MC penetration), then needed to have products on the platform that people could buy Effectively starting e-commerce businesses building from the ground up But the opportunity is huge with attractive returns, 4X-5X+ Even though we focus on “frontier” markets and regions, what we are presenting is a business bet not a country bet… Public-private partnerships you have developed and how that works… There isn’t a well-established venture investing ecosystem in these countries By product of our investing in the region, though, creates jobs, especially among youth - So, we are adding lots of value in infrastructure, in case of e-commerce you’re helping the national logistics company become more efficient. In some cases, govt. co-invests with us, reduces impediments to establishing new businesses, etc. Where does Sturgeon’s capital come from mainly? Family offices, geographic diversity? Are you currently accepting new investments into Fund 2? First close in June 2020 Fund 2 will be capped at $25MM; 2/3 of the way there now. Before we launch any fund we spend 6-12 months building a pipeline, doing diligence and de-risking; then we know how much we need to raise. Rather than raising a pool of money and then hunting for deals. Did you know that Amazon Businesses are selling for insane prices, at insane speeds?In fact, Forbes has called BUYING Amazon Businesses “The Latest E-Commerce Gold Mine”. And if you stay till the end of this letter I’m going to outline how you could hypothetically spend $13k a month FOREVER and never run out of money. So read on.Heyday is one of DOZENS of companies that are approaching Unicorn status ($1 Billion Dollar Valuation or Greater) simply by PURCHASING Amazon FBA companies that already exist. Naturally, this allows for massive opportunities downstream, to the people who actually OWN the Amazon FBA Businesses.Now, I know, as the #1 educator of Amazon FBA business owners in the World, I’m a little biased. I’ve seen with my own eyes the benefits of owning one of these “Gold Mines” when everyone is mining for gold.I’ve seen exits, I’ve seen ridiculous offers get turned down because of bidding wars, I’ve seen it all. So, with this letter, I’d like to share something that I’m not sure many people have access to.This is taken directly from one of those “Gold Mining” companies (I’m not going to name them because I’m not sure if I should be sharing these haha).This is basically what these giant companies, with massive amounts of funding, are LOOKING FOR when they are searching for Amazon Companies to buy. Important things to remember….They have raised BILLIONS of dollars under the premise that they will buy Amazon companies. Thus, they can’t buy other things with it. Thus, that naturally creates more competition for Amazon companies and drives their prices up. All of my edits are in BOLD below (to explain what is happening).—————Amazon Seller CriteriaThe Company expects that the following Criteria shall evolve, expand and change. Consequently, the Company may amend the Criteria applied by Finder by amending in writing the Criteria set forth in this Amazon Seller Criteria. Initially, the Company criteria shall be:· Earnings: Earnings or EBITDA of $0.25MM - $25.0MM on a TTM basisThis means you can sell your business even if you only have profits of $250k per year. That may seem like a lot, but to have a seamless exit like this, that is one of the lowest numbers possible.o Annual revenues of $1.0MM - $100MM if earnings metrics are not available.1M in revenue is not ridiculous, even with less than 10 products on the market. We’ve coached students who are doing nearly 500k/yr on ONE product.· Review Moat: CriticalThis just means that you have the most reviews for your category, something that naturally happens as you scale and dominate your chosen Niche.· Amazon Revenues: 80%+ of the company revenues from Amazon;Isn’t this awesome? Remember when everyone talked about “Diversifying?” in this case, diversifying HURTS you.· Market Place Criteria: Flexible, but primarily US preferred.Well that’s convenient, because it’s the easiest marketplace to sell on. · Product Mix: We will look at companies that sell most products, however, we do not buy companies that sell products with the following criteria:o Fashion risk (including handbags & dresses - but not baby pajamas, which we would buy);o Beauty Product Companies, etc.;o Shoes (too many SKUs);o Food / Grocery; ando Diet Pills.All of our students have been cautioned against selling any of the above since day 1. · Preferences (but not requirements):o US revenues represent 65% + of all revenue – higher the bettero The lower the number of SKUs the betterWOW, less products is BETTER, it’s like they are trying to make this EASY!———Pretty cool huh?Before I let you go, I want to make this a lot cooler for you.I’m not sure all of you understand exactly what an EXIT means….Let’s take a hypothetical LOWEST POSSIBLE example.Your company generates $250k in profit per year.You do this for a couple years.Save half of it, invest 1/4 of it. End up with about 400k in the bank if you do it right.Then, you decide to sell your company. At that point, the competition in this “Gold Mine” space has reached a fever pitch.Today, in 2021, companies like Heyday are paying 3-5x earnings (profit).By 2023, I expect that number to jump to 4-8x earnings.Let’s say you get 6x.250k times 6x = YOU GET A CHECK FOR $1.5 MILLION DOLLARS.You’ve put in 2-3 years of work. You’ve already quit your day job.You have 400k+ in the bank.And now you just added $1.5 Million to that. You decide to retire. Resources Marca Studio Collective Action for Puerto Rico News Roundup Court greenlights AT&T/Time Warner merger setting the stage for more consolidation Federal DC Circuit Judge Richard Leon ruled that the Department of Justice failed to prove that AT&T’s proposed acquisition of Time Warner violates federal antitrust laws, giving the greenlight for the $52 billion merger, which the companies closed on the same day. Comcast then made a $65 billion move to outbid Disney for 21st Century Fox, and Sprint and T-Mobile have now proposed a merger. The FCC opened a docket to review the Sprint/TMobile merger on Friday. Theranos Founder Elizabeth Holmes Indicted Federal prosecutors have indicted Elizabeth Holmes, the once-promising founder of Theranos—a faulty blood testing technology company once valued at $10 billion. The company’s former president Ramesh “Sunny” Balwani, was also indicted. They’re charged with 9 counts of wire fraud and two counts of conspiracy to commit wire fraud. They’re accused of defrauding investors of $100 million. They’ve plead not guilty. The Securities and Exchange Commission has also accused Theranos’s founders of fraud. Trump calls for creation of a Space Force President Trump has ordered the Pentagon to create a new branch of the military—a “Space Force”—that will seek to achieve U.S. dominance in space. At a meeting of the National Space Council at the White House Trump said, “We are going to have the Air Force, and we are going to have the Space Force, separate but equal”. Senator Bill Nelson, a former astronaut, is against the proposal and tweeted that it is something that military leadership has told him they do not want. Google released its diversity report Google released its annual diversity report last week and it shows black employees make up just 2.5% of the company even though the U.S. Census Bureau says they comprise 13.3% of the population. Latinx employees make up 17.8% of the population, but just 3.6% of Google’s workforce. The company also released for the first time data on attrition rates which show that, at 27 points above the index, black employees are leaving the company at a higher rate than other groups. Latinx employees are leaving the company at 15 points above the index. Apple will remove backdoor for law enforcement Finally, Apple announced last week that it would be removing the iPhone port that lets law enforcement break into iPhones. There’s only one problem with this -- an official reportedly told Politico that this may create an opportunity for officers to exploit the exigent need exception—allowing them to access the phone without a warrant.

But, for KW Utah Region’s 2017 Rookie of the Year and KW Orem’s Duane Richins, he amazed everyone when he broke records and sold $18.1MM in volume during his first 12 months as an agent! So how did a newbie like Duane pull it off? Before venturing into real estate, Duane specialized in Cardiac Imaging, having a degree in Radiologic Sciences. He also taught at Stanford before becoming a door to door salesman for security systems. His work in sales afforded him to start buying investment properties and that’s when he started to discover his passion for real estate. His experience with the agents he encountered lead him to believe it could be done better. He thought that there's a lot of need for someone who's willing to go out and hustle and go the extra mile and saw it as a great opportunity for him to dive into real estate brokering. During his first month, he joined a prominent real estate team. During this time Duane tried to figure out what to do and got enough under contract from his efforts that he knew that if he wants to build the business the way he wanted to, he needed to leave and start his own team. Within a month and a half of being an agent he had capped from just simple hard work and committed to start learning the systems of a sustainable business. So how did Duane sell $18.1MM in volume? He said he didn’t have an intentional plan when he started. He didn't know what he was doing but knew that at the end of the day, he needs to find people who want to list their home and that he needed to be different. So he got to work committing to make working the hours needed to and making the contacts to find those who were ready to buy or sell a home. Using his competitive & fierce spirit paired with his sales & teaching experience, he closed 89 transactions that first year, that made up the $18.1MM in volume. In the first few months of becoming an agent Duane hired a MAPS Coach and with the guidance of his real estate coach, his team is now composed of a transaction coordinator, administrative assistant, and 9 agents. His goal for this year is to close 100 transactions himself and wants to grow his team to 25 agents and close $25MM in volume. They do script training every day, 4- 1- 1s weekly,

As they made clear with several FCPA enforcement actions in 2016, the SEC has placed a renewed interest in the accounting provisions of the FCPA, specifically the internal controls provisions. The BHP enforcement continued this trend, where there was no evidence that bribes were paid or offered in violation of the FCPA, the poor internal compliance controls at BHP led to a $25MM fine. Kara Brockmeyer, the former Chief, FCPA Unit; Division of Enforcement of the SEC, reiterated that the SEC was committed to protecting investors in US public companies and those which list other securities in the US, through enforcement of the accounting provisions, including internal controls provisions of the FCPA. It would seem that the reason is straightforward; a company with rigorous internal compliance controls is better able to prevent, detect and remedy any FCPA violations that may occur. What can you do around the FCPA’s requirements for internal controls and current SEC emphasis? I would suggest that you begin with an exercise where you map the internal controls your company has in place to the indicia of the Ten Hallmarks of an Effective Compliance Program, as set out in the FCPA Guidance. While most compliance practitioners are familiar with the Ten Hallmarks, you may not be as familiar with standards for internal controls. I would suggest that you begin with the COSO 2013 Internal Controls Framework as your starting point. As a lawyer or compliance practitioner you may not be familiar with all the internal controls that you have in place. This exercise would give you a good opportunity to meet with the heads of Internal Audit, Finance and Accounting (F&A), Treasury or any other function in your company that deals with financial controls. Talk with them about the financial controls you may already have in place. An easy example is employee expense reports. Every company I have ever worked at or even heard about requires expenses for reimbursement to be presented, in documented form on some type of expense reimbursement form. This is mandatory for IRS reporting; so all entities perform this action. See how many controls are in place. Is the employee who submits the expense reimbursement required to sign it? Does his/her immediate supervisor review, approve and sign it? Does any party in the employee’s direct reporting chain review, approve and sign? Do any personnel from accounts payable review and approve that expenses have the requisite receipts attached? Is there any other review in accounts payable? Is there any aggregate review of expense reports? Is there a monetary limit over which additional reviews and approvals occur? Now if an employee has submitted expenses for activities that occurred outside the US are there are any foreign government officials involved? Were those recipients of any such gift, travel or entertainment identified on the expense reimbursement form? Was the business purpose of the meal, gift or entertainment recorded? Can you aggregate the monies spent on any one foreign official or by a single employee in your expense reporting system? All of these are internal controls that can be mapped to the appropriate prong of the Ten Hallmarks or other indicia of your compliance program. You can take this exercise through each of the five objectives under the COSO 2013 Internal Controls Framework and its attendant 17 Principles. From this mapping you can then perform a gap analysis to determine where you might need to implement internal compliance controls into your anti-corruption compliance program. This can lead to remedial steps that you can take. For example, you can recommend procedures be written for all key compliance areas in which there are currently no procedures and your existing procedures can be updated to include compliance issues and clear definition how controls are to be evidenced. Through this you can move from having detect controls in place, to having prevent controls, whenever possible. As a Chief Compliance Officer (CCO) or compliance practitioner, this is an exercise that you can engage in at no cost. You simply investigate and note what internal controls you have in place and how they may be a part of your anti-corruption efforts going forward. Compliance is a straightforward exercise; this does not mean that it is easy, you do have to work at it so that you will simply not have a paper, “check the box”, program. But using the excuse that you have limited resources is simply an excuse and a rather poor one at that. While the clear lesson from the BHP enforcement action is that you are required to have effective internal controls in place, by engaging in this mapping exercise you can then figure out what you have and, more importantly, what internal compliance controls that you do not have and need to institute. Indeed Kara Brockmeyer, Chief, FCPA Unit; Division of Enforcement of the SEC, reiterated that the SEC was committed to protecting investors in US public companies and those which list other securities in the US, through enforcement of the accounting provisions, including internal controls provisions of the FCPA. It would seem that the reason is straightforward; a company with rigorous internal compliance controls is better able to prevent, detect and remedy any FCPA violations that may occur. What can you do around the FCPA’s requirements for internal controls and current SEC emphasis? I would suggest that you begin with an exercise where you map the internal controls your company has in place to the indicia of the Ten Hallmarks of an Effective Compliance Program, as set out in the FCPA Guidance. While most compliance practitioners are familiar with the Ten Hallmarks, you may not be as familiar with standards for internal controls. I would suggest that you begin with the COSO 2013 Framework as your starting point. As a lawyer or compliance practitioner you may not be familiar with all the internal controls that you have in place. This exercise would give you a good opportunity to meet with the heads of Internal Audit, Finance and Accounting (F&A), Treasury or any other function in your company that deals with financial controls. Talk with them about the financial controls you may already have in place. An easy example is employee expense reports. Every company I have ever worked at or even heard about requires expenses for reimbursement to be presented, in documented form on some type of expense reimbursement form. This is mandatory for IRS reporting; so all entities perform this action. See how many controls are in place. Is the employee who submits the expense reimbursement required to sign it? Does his/her immediate supervisor review, approve and sign it? Does any party in the employee’s direct reporting chain review, approve and sign? Does anyone from accounts payable review and approve, both for accuracy and to make sure that all referenced expenses are properly receipted? Is there any other review in accounts payable? Is there any aggregate review of expense reports? Is there a monetary limit over which additional reviews and approvals occur? Now if an employee has submitted expenses for activities that occurred outside the US are there are any foreign government officials involved? Were those employees identified on the expense reimbursement form? Was the business purpose of the meal, gift or other hospitality recorded? Can you aggregate the monies spent on any one foreign official or by a single employee in your expense reporting system? All of these are internal controls that can be mapped to the appropriate prong of the Ten Hallmarks or other indicia of your compliance program. You can take this exercise through each of the five objectives under the COSO 2013 Framework and its attendant 17 Principles. From this mapping you can then perform a gap analysis to determine where you might need to implement internal compliance controls into your anti-corruption compliance program. This can lead to remedial steps that you can take. For example you can recommend procedures be written for all key compliance areas in which there are currently no procedures and your existing procedures can be updated to include compliance issues and clear definition how controls are to be evidenced. Through this you can move from having detect controls in place, to having prevent controls, whenever possible. As a Chief Compliance Officer (CCO) or compliance practitioner, this is an exercise that you can engage in at no cost. You simply investigate and note what internal controls you have in place and how they may be a part of your anti-corruption efforts going forward. As I said last week, compliance is a straightforward exercise. This does not mean that it is easy; you do have to work at it so that you will simply not have a paper, “check the box”, program. But using the excuse that you have limited resources is simply an excuse and a rather poor one at that. While the clear lesson from the BHP enforcement action is that you are required to have effective internal controls in place, by engaging in this mapping exercise you can then figure out what you have and, more importantly, what internal compliance controls that you do not have and need to institute.
