Welcome to Supreme Court Opinions. In this episode, you'll hear the Court's opinion in Axon Enterprise, Inc. v Federal Trade Commission. In this case, the court considered this issue: Do federal courts have jurisdiction to hear constitutional challenges to the Federal Trade Commission's structure, procedure, and existence, or must such challenges be raised first in the administrative proceeding? The case was decided on April 14, 2023. The Supreme Court held that Federal courts have federal-question jurisdiction to hear constitutional challenges to the structure or existence of the SEC or FTC notwithstanding statutory review schemes set out in the Securities Exchange Act and Federal Trade Commission Act. Justice Elena Kagan authored the majority opinion holding that the Federal Trade Commission Act (in 21-86) and the Securities Exchange Act (in 21-1239) did not preclude district courts' ordinary subject-matter jurisdiction to hear challenges to those agencies' structure, procedure, or existence. The Court considered three factors, known as the Thunder Basin factors, to determine whether particular claims concerning agency action are “of the type Congress intended to be reviewed within the statutory structure,” and thus would preclude district court jurisdiction. The three factors are: (1) Could precluding district court jurisdiction “foreclose all meaningful judicial review” of the claim? (2) Is the claim “wholly collateral” to the statute's review provisions? (3) Is the claim “outside the agency's expertise”? The Court concluded that all three factors supported the conclusion that district courts retained subject-matter jurisdiction. First, preclusion of district court jurisdiction “could foreclose all meaningful judicial review” because Axon and Cochran will lose their rights not to undergo the complained-of agency proceedings if they cannot assert those rights until the proceedings are over. Second, the claims are “wholly collateral” to the statutes' review provisions because challenges to the Commissions' authority have nothing to do with either the enforcement-related matters the Commissions regularly adjudicate or those they would adjudicate in assessing the charges against Axon and Cochran. Finally, the claims are outside the agencies' expertise because neither specializes in constitutional issues like separation of powers. Justice Clarence Thomas authored a concurring opinion to express “grave doubts about the constitutional propriety of Congress vesting administrative agencies with primary authority to adjudicate core private rights with only deferential judicial review on the back end.” Justice Neil Gorsuch authored an opinion concurring in the judgment, arguing that he would reach the same conclusion as the majority by applying only 28 U.S.C. § 1331, which establishes federal-question jurisdiction of federal courts. On this day in legal history, December 1, 1955, Rosa Parks, a 42-year-old African American woman, sparked an inflection point in the American Civil Rights Movement. Working as a seamstress at the Montgomery Fair department store, Parks was returning home on a city bus during rush hour in Montgomery, Alabama. The buses had a segregated seating policy, reserving the front 10 seats for white passengers. Parks sat in the first row behind these reserved seats. As the bus became crowded, the driver, James Blake, ordered Parks and three other African American passengers to vacate their seats for white passengers. While the others complied, Parks refused, maintaining that she was not in a seat reserved for whites. Defying the driver's order, she was arrested for violating a city law enforcing racial segregation on public buses.This act of nonviolent resistance by Parks, who was already actively involved with the National Association for the Advancement of Colored People (NAACP) as a secretary to E.D. Nixon, the president of its Montgomery chapter, became a catalyst for change. Her arrest and the subsequent events highlighted the injustices of Jim Crow laws, prevalent across the South, which enforced discrimination and segregation against African Americans.Following her arrest, Parks was booked, fingerprinted, and briefly incarcerated. Charged with "refusing to obey orders of bus driver," she faced significant physical risk while in police custody, causing great concern for her family. Despite not being the first to be prosecuted for violating Montgomery's bus segregation laws, Parks' impeccable character and high esteem in her community made her case a rallying point. This led to the Montgomery Bus Boycott, a well-orchestrated, peaceful protest lasting 381 days. In a notable turn of events, the Federal Trade Commission (FTC) announced that it would abandon its in-house post-consummation challenge of the 2018 acquisition by Axon Enterprise, Inc. (“Axon”) of VieVu, LLC (“VieVu”). The FTC's decision follows a recent adverse ruling from the Supreme Court, which held that parties are entitled to assert constitutional challenges against the FTC before being required to participate in its administrative proceedings. In a statement announcing the decision, the FTC said it abandoned its administrative actions because of the “increasingly unlikely possibility of reaching a timely resolution of the antitrust merits that led to the filing of [the] complaint in the first place.” Following the Supreme Court's decision, the FTC is likely to confront more challenges when pursuing enforcement actions—including, in particular, merger challenges—through its in-house administrative proceedings.

In a highly anticipated decision, the Supreme Court held in Axon Enterprise, Inc. v. FTC (consolidated with Cochran v. SEC) that federal district courts have jurisdiction to resolve challenges to the structure and existence of federal agencies whose decisions are subject to review in a court of appeals. The decision confirms that regulated entities in enforcement proceedings before the FTC and SEC need not await a final agency decision to raise these fundamental challenges—and it raises a number of questions as well. Two recent US Supreme Court cases merged in a combined ruling, Axon Enterprise v. FTC and SEC v. Cochran allows the SEC and the FTC's in-house litigation defendants to sue the regulators and is expected to increase the number of constitutional challenges against two of the most powerful regulators, and other federal agencies with a similar structure. The change will allow enforcement targets to challenge the agencies' constitutional authority in federal district court without waiting for an in-house judge's decision, as was previously required. The first direct attack against SEC authority has already been lodged at the Supreme Court. The SEC and the FTC will have to more aggressively defend their use of administrative law judges and in-house courts against accusations that they violate due-process rights. The ruling will allow companies to shop for friendly district courts when they're hit by administrative proceedings, such as an FTC suit attempting to block a merger. The change may also force agencies to expend more resources as they litigate on multiple fronts and is of a piece with some of our earlier reporting wherein courts have used the “major questions doctrine” to resist deferring to agency statutory interpretation where the underlying matter is of major economic or political significance. In sum, we may be on the precipice of seeing a substantially weakened administrative state.Federal Agencies Face Constitutional Fights After High Court LossFood distributor Sysco is arguing that unionized workers cannot strike in solidarity with Sysco workers in the Midwest because they technically don't work for the same company. This follows a recent strike by Sysco workers in Indiana and Kentucky over wages and retirement benefits. Sysco workers belonging to Teamsters Local 117 in Washington state followed suit, but Sysco Seattle filed a complaint in US District Court, stating that its workers could not join the picket because its operation is a separate entity from Sysco Louisville and Sysco Indianapolis. The pending lawsuit raises the question of whether large, multi-pronged corporations are one employer or multiple employers under the law. While the strikes in Indianapolis and Louisville have already ended, the answer is not immediately clear, but will depend on the facts of the case. While federal law allows workers to strike against their employers, it doesn't extend to third parties, although the Labor-Management Relations Act also permits sympathy strikes, which are different from secondary strikes. The outcome in this case, should it be decided against workers, will significantly weaken labor and provide owners with a path forward to minimize the impact of strikes by creating separate regional entities. Sysco Picketing Lawsuit Hinges on Standard for Secondary StrikesThe start of Dominion Voting Systems' $1.6 billion defamation trial against Fox News has been delayed by a day, and sources say that Fox is pursuing settlement talks. The trial is over the network's coverage of the 2020 US presidential election. Dominion is accusing Fox of ruining its reputation by airing baseless claims that its machines secretly changed votes in favor of Democrat Joe Biden, who defeated then-President Trump, a Republican, in the 2020 presidential election. After petitioner acquired an essentially insolvent competitor, it found itself subjected to the review of the Federal Trade Commission (FTC), rather than the Department of Justice (DOJ). While the DOJ route promises early access to judicial review, the FTC track is an altogether different matter. Petitioner faced a series of unreasonable demands from the FTC, and the prospect of “litigating” before administrative law judges insulated by unconstitutional double- for-cause removal restrictions and subject to review by an unaccountable Commission. Rather than resign itself to the ongoing unconstitutional injuries inflicted by the FTC's process, petitioner filed suit in district court seeking to enjoin the unconstitutional FTC proceedings. That lawsuit focused on constitutional issues collateral to the underlying antitrust issues, but the district court nonetheless dismissed it for want of jurisdiction based on implications drawn from a statutory grant of jurisdiction to review the FTC's cease-and-desist orders. A divided Ninth Circuit affirmed, with the majority acknowledging that dismissal “makes little sense,” and the dissent contending that dismissal contradicted this Court's precedents. The questions presented are: 1. Whether Congress impliedly stripped federal district courts of jurisdiction over constitutional challenges to the Federal Trade Commission's structure, procedures, and existence by granting the courts of appeals jurisdiction to “affirm, enforce, modify, or set aside” the Commission's cease-and-desist orders. https://www.supremecourt.gov/search.aspx?filename=/docket/docketfiles/html/public/21-86.html 2. Our guest this week is Tom Smith, President of Wrap Technologies in Tempe, Arizona. A graduate from both the University of Arizona (B.S. in Ecology and Evolutionary Biology) and Northern Arizona University (Masters of Business Administration), Tom co-founded TASER International (now Axon Enterprise, Inc.) in 1993, and served as President of TASER until October 2006. He served as Chairman of the Board of Directors of TASER from October 2006 until he retired to pursue entrepreneurial activities in February 2012. Tom shares his thoughts on a variety of subjects, including making the transition from a science-based college degree to a career focused on sales, lessons learned in the hiring process, and how losing a bet in college led to an experience that still influences him today.

Rick Smith is on a mission to make the bullet obsolete. In 1993, after two friends were shot and killed in a road rage incident, he started TASER International with the goal to create non-lethal weapons that could one day outperform even lethal weapons. Today, the company is known as Axon Enterprise and also is the world leader in police body cameras, helping ensure police transparency and deterring excessive force. They are also run the largest data repository in the Microsoft cloud, with over 50 petabytes of police video data.
