She is a member of the United Way of Metropolitan Chicago board of directors, where she chairs the Stronger Neighborhoods committee and the Chicagoland Chamber of Commerce board. Additionally, she is a member of the University of Illinois Dean's Business Council for the Gies College of Business. Kristie is a member of the National Association of Corporate Directors (NACD), attaining Certified Board Director status. Kristie was a member of the Mesirow Financial board of directors for 6 years, participating in or leading numerous committees including strategy, audit, information technology, HR & compensation, and enterprise risk management. She is a part-time Associate Director in the Magelli Office of Experiential Learning at the University of Illinois Gies College of Business. He has a broad industry, sector and functional experience which includes government service in the military, the U.S. Senate, the Pentagon, the National Aeronautics and Space Administration (NASA), and The Aerospace Corporation. He is a national security, geopolitics, and public policy expert, and a lifetime member of the Council on Foreign Relations.  Michael serves on the Harvard Business School faculty and is president and chief executive officer of GRC Advisory Services, LLC, a private firm specializing in board governance, risk management, and compliance matters. He served as chief administrative officer and senior vice president, public policy and corporate affairs and previously, as chief strategy officer for Sodexo, Inc.  Previously, President George W. Bush appointed him as the 19th assistant secretary of the Air Force for Financial Management and Comptroller and the first Latino in that role, and concluded his tenure at the Pentagon as acting Secretary of the Air Force. This week, we revisit our interview with Gayle Packer, Board Chair, CEO, and President of Terracon. She joined Terracon (ENR#24)* in 2004. During her 17 years with the company, Gayle has served in multiple leadership roles, including attorney, co-general counsel, director of corporate services, and chief administrative officer. She has been instrumental in Terracon's growth, coordinating the acquisition of more than 50 companies and expanding the company to over 150 offices nationwide.  Gayle holds a Juris Doctorate from the University of Minnesota and a Master of Laws from the University of Arkansas. In addition, she also has earned bachelor's degrees in political science, international studies and agricultural economics, as well as a master's degree in agricultural economics and applied business management from The Ohio State University. Prior to joining Terracon, Gayle held roles in sales and public relations for the agricultural broadcasting network in Ohio and was as an attorney (specializing in the areas of corporate, tax and employee benefits) at regional and national law firms in their Kansas City offices.  In April 2021, Gayle was elected to the board of VHB, Inc., (ENR#56)* an employee-owned transportation and energy engineering firm, and she serves on VHB's audit committee. Gayle was recognized in the Kansas City Business Journal's Women Who Mean Business class of 2010 and Ingram's top Women Executives in 2020. She currently serves on local, regional and national non-profit boards of directors, including the Greater Kansas City Community Foundation (audit committee and investment committee), ACE Mentor Program, ACEC Research Institute (finance committee), Greater Kansas City Chamber of Commerce.  In addition, Gayle was recently elected to the executive committee of the Design Professionals Coalition. Vernon Steiner was appointed President and CEO of State Fund on June 9, 2014. Vern has 30 years of insurance industry experience, the majority in workers' compensation. As the President and CEO, he reports directly to the Board of Directors and is responsible for the day-to-day operations at State Fund. Vern began his career in 1990, as a Claims Examiner. Early in his career, Vern experienced the workers' compensation system from the point of view of a third party administrator, a self-insured/self-administered employer and a managed care organization. In 1995, Vern joined AIG as a Service Center Manager, and by 2003, when he left AIG, he was the Regional Vice President, Northwest. He worked for CNA from 2003 to 2007, starting as the Vice President, Field Operations and ultimately Vice President, Workers' Compensation. Prior to joining State Fund, Vern served as Senior Vice President, Claims at Zenith Insurance from 2007 to 2014. Vern was a member of the Workers' Compensation Research Institute's (WCRI) advisory board from 2009 to 2016, and he served as the California Workers' Compensation Institute's (CWCI) Board of Directors Chairman and as a member of the Fraud Assessment Commission from 2014 to 2016. He is currently on the CWCI board, the executive committee of the board, and has served on the WCIRB Governing Committee since 2014. Vern received his Bachelor of Arts in Philosophy from the University of California, Los Angeles. He also earned the Leadership Fellow designation from the National Association of Corporate Directors (NACD). Highlights from the Show The State Comp Fund was setup to provide Workers Compensation insurance to businesses in California that weren't able to find it elsewhere What they've really focused on over the past few years, they've realized they can't just be a market of last resort if they wanted to genuinely meet the needs of businesses that turn to them for coverage SCIF swelled to being the largest carrier in California, and the country overall due to market conditions Due to restrictions on hiring and investment in tools, they weren't able to scale their staff to meet the surge in business, and feel they were not serving the market acceptably, and that hurt their brand and the organization's morale For the past 8 years, they've been working to transform the culture and brand by accepting their past shortcomings and working to do better They started an effort around innovation that engaged the entire organization, training everyone on design thinking (which they called Experience by Design) and running  Challenges for employees to come up with new ideas to improve the company They also took a look at their 10 core values, like Honesty, that were good, but were hard to identify with or see how they really applied to the business; they come up with four new ones that came from the people and were more action-oriented, like Be Innovative They also embrace the ideas that don't move ahead for various reasons like prioritization calls that have to be made, and ensure people are still engaged even if their idea isn't taken up We discussed SCIF's innovation in their direct business, which was essentially the same process and approach as their broker business, but without an advisor to guide you through something very long, arduous and confusing for most business owners SCIF realized that the way people buy insurance will be disrupted and change, and they need to able to engage in that shift themselves Simplifying things a bit, SCIF doesn't actually underwrite since they're a Take All Comers market; instead they just need to develop a price, allowing them to cut out more questions than a carrier doing risk selection in addition to pricing might have to do When they built and launched their new direct, digital journey, they learned that people buy insurance around the clock, even on Thanksgiving and Christmas They've since found additional ways to simplify the process and automate things like post-bind data validation and re-underwriting so they make better calls about what risks need to be reworked, and then to do that more effectively One major lesson they learned from all of this is the need for the right person to own and champion an innovation project, who has the appetite to take risks and push the team to keep moving ahead even when it's tough, while also staying open to feedback and insights from all around them They also created Innovation Design Centers, a team that is dedicated to looking at what's out there through the lens of the problems and needs of the business, and it's tended to have more success on specific solutions for specific parts of the business than things that look across multiple functions of the business at once They also played with a metaverse-like solution to help with remote working and the way that can make casual collaboration tougher, but people didn't really take to it despite there really being a need Part of this is likely because it was yet another change on top of lots of others during the pandemic But it was still worth trying, learning from it, and making good decisions about what you keep doing and what you realize won't be a winner and need to move on from Vern things the future will vary by market segment, and most of their business is small business, which is generally more interested in self-service than perhaps larger accounts are, so you need to meet those on-demand needs digitally today This episode is brought to you by The Future of Insurance thought leadership series (future-of-insurance.com). I spent a lot of time going through SEC filings and recognized that, "Hey, there's an opportunity to potentially build the business around this data.     In '97, my wife and I moved out to California to help open up the DLJ Menlo Park office right in the heart of Silicon Valley, and when you're out here, especially in the late nineties, everybody wanted to start a company and so I said, "Hey, it's not going to get any easier for me. Let's go ahead and let's give it a shot."   It looks a lot easier from the outside, but kind of once you get in you'll realize, "Wow, it is hard." That's the reason 90-plus percent of businesses never make it beyond a couple of years.   I just happened to be at the right place at the right time with the executive compensation data that is essentially the foundation of our business.     Raza David, Joe and I have often talked on this podcast that the old excuse of "we can't find enough qualified" candidates is no longer really available, and I think what you're doing is the last mile step in bringing that to fruition!   David It's big data opportunity where there are, like I said, 1.2 million candidates. Having a lot of data is not the answer. The key is getting to the right data as quickly as possible, and so literally when somebody says, "I can't find candidates," I say, "Hey, do you have 10 seconds?"   You can get binders of information about women, but if you're not able to figure it out how you may be potentially connected to that individual, those binders and those lists are not that valuable because what  people are looking for is not only to show me candidates, but is there some level of connectivity to them?   Rate of increase in women directors of public companies The rate of change is pretty much at parity now, so its one-to-one so as new board seats are being refilled,  roughly a 50/50 balance, and we should reach parity by around 2030.   Big Ideas/Thoughts We mine the compensation that's disclosed in annual proxy filings. We also have our proprietary survey where we collect data compensation, that data that companies provide as part of a broader survey, and we've got close to a thousand companies that use our data for various benchmarking purposes.   You'll see us often cited in The New York Times, the Wall Street Journal, CNBC and others, where they're looking for pay statistics   We have over just across 1.2 million profiles in our dataset of anyone who's been an executive or board member of a public company, private company non-profits and others, and so we are excited about how that's become, also a  way to better serve our clients. Partnership with NASDAQ That's when we found out that this was happening, and what we feel really great about is that since NASDAQ was using our products and they had this big vision of what the big broader ESG vision and my guess, and I don't know this for sure, but behind the scenes over at NASDAQ, when they were putting this together saying, "Hey, if we're going to go out this and ask NASDAQ-listed companies to set a new standard, how do we help them?" And I think that's honestly maybe where Joan said, "Hey, we've been using Equilar. It's a great database. Let's work out some type of partnership with them."   So, yeah, we're honored to be part of that, to be working with them with all of their listed companies, and NASDAQ being technology is very focused on ESG. It blends in well with both what we're doing. They're able to offer to their companies, "Here's a resource. If you don't have the requisite diversity or you want more diversity, here's a place you can go to get it."   We talked about earlier was one of the things that really strikes me is that one of the great strengths is that you can enhance the database of virtually any other company, so they don't see you as a competitor to them. executive search, private equity well, of course they have their own database    any relationship-based business where relationships play a critical part of one's offering. we have our network center, and so that's where our clients are maintaining their pipeline of candidates. So ,every quarter, when a nom/gov committee meets, they can export that and they can be assured that everything has been updated     Without question, the tragic events that have happened, let me show you the dates. It was summer 2020 with George Floyd and the whole Black Lives Matter movement, and that was a wake-up call for corporate America and just recognizing, "Hey, have we done enough? What are the things that we could do differently?" the rate of change has probably doubled so that's a pretty substantial increase over a year.   A lot of boards really took that to heart and there's been a big push to bring. African-American and Black individuals into the boardroom, so that's tremendous progress there. I also would add to that, about four or five years ago, we launched the gender diversity index, and so we're looking at the rate of women on boards. When we looked at this, when we first calculated, I think it was like fall of '16, beginning of '17, I don't know if I'm getting the dates right, roughly 25% of the Russell 3000, so over 750 companies did not have any women on their board   Wow.   And it wasn't that long ago.   They shared it with me, I said, "This can't be right. We can't publish this. I've got to see the data," and so they shared the file with me, and I started going through them. I didn't go through all 750, but I went through about 20 to 30 of them, and I'm like, "Oh, my God, this is right. This is really the state of play.   this stunning statistic that over a million men joined the labor force last month that are taking a job or looking for one compared to only 39,000 women. What explains it then? How does that fit into the diversity push in general?   Yeah. To be able to fill those board seats, you're going to need to have a pipeline of women executives that are going to be quote unquote "board ready." And if you're not having as many women coming back into the workforce, that pipeline is just going to get thinner and thinner.

Michael T. Marquardt is an experienced CEO, corporate director, and business advisor with broad experience serving companies throughout Asia, Europe and the United States. Diversifying a board of directors is easier said than done, but Rebecca Thornton, head of Director Advisory Services at JPMorgan Chase & Co., has some great advice about creating a well-rounded board. She sits down with Women on the Move host Sam Saperstein to discuss how her team identifies diverse board candidates—and her advice for women aspiring to sever on a board. The art and science of matching candidates to board positions Rebecca describes how JPMorgan Chase & Co.'s Director Advisory Services was formed in 2016 by Jamie Dimon. It was a time when senior bankers at the firm were increasingly being contacted as sources for board searches. “And Jamie knew who he knew and the banker down the hall knew who she knew, but there was no real central clearing house for all the great talent our bankers knew to be board interested,” she explains. “And on the other side, we had clients coming to us saying, We need an audit chair. Do you know anybody with emerging markets experience? It'd be great if they were also diverse.” Rebecca's team now acts as that central clearinghouse with a mission of creating a more robust list of candidates. They now have a network of 4,000 people, and about 60 percent of their “actively looking network” are women or other underrepresented individuals. Creating the list is when art and science meet, according to Rebecca. “The science is where they match the criteria,” she says. “So you're looking for a qualified financial expert who can step into an audit chair role who has emerging markets experience [and the client would love it] if they've also had operations experience out of a consumer-facing business, and this has to be a female or underrepresented person.” Rebecca's team goes through their network and identifies people who meet the science. “The art is where the special sauce is because you have to make sure that beyond the paper that the person is going to fit,” she describes. “And that's where you really do need to understand a little bit of the culture of the organization.” Advice for aspiring board members Rebecca acknowledges that there's a catch-22 for people seeking their first board positions: boards want individuals with board experience, so how do you get the experience? Her advice: be really good at what you do, and make sure that people are aware of your skills. With about 70 percent of board vacancies filled through relationships, Rebecca maintains that building your brand and networking are key to getting your name out there as a potential board candidate. As a resource for aspiring board members, she recommends checking out the local chapter of the National Association of Corporate Directors (NACD). And while she believes that the time is right for women taking more and more prominent roles on boards—most firms are fully on board with wanting to recruit women and other diverse members—there are still practical roadblocks to achieving full parity. One of them is the simple fact that board vacancies can be infrequent. She says that age remains the predominant reason for board turnover, and members typically serve until 72 or 75 years of age. “I just think there are some practical reasons why it continues to sort of lag or take time or plateau, but the good news is that I don't think there'll ever be a board search done again where there's an entire slate of white men,” she adds. Rebecca and Sam also discuss the topic of quotas on boards. And while Rebecca says that in general she doesn't like quotas for quota's sake, she  does feel like we're in a place where the talent and depth is there, and quotas can help move institutions toward parity. “And if a company's doing it to satisfy a quota, I have a lot of confidence in my sisters that they show up, they do their work, and they're going to have impact,” she emphasizes. “So if that voice convinces everybody else in the room that, Hey, this wasn't so bad, she was actually pretty great. Then they get a second voice and a third voice and a fourth voice and parity at some point down the road . . . you have to start somewhere.”

The maturity of that decision-maker's ability to allow for discourse, but not take it as an example as a personal attack on them. A board director is not going to be comfortable going out and representing a program, that is not as impactful as it should be.  Three components create the depth of the board.  The vertical component creates your expertise Influence. The horizontal component is your planes of congruence that create your character and then your coverage and balance create the depth of the board. The maturity of that decision-maker's ability to allow for discourse, but not take it as an example as a personal attack on them. A board director is not going to be comfortable going out and representing a program, that is not as impactful as it should be.  Three components create the depth of the board.  The vertical component creates your expertise Influence. The horizontal component is your planes of congruence that create your character and then your coverage and balance create the depth of the board. Female Leader | From the Ground Up Peggy McHale is a serial entrepreneur, growth guru, and renown female leader in the consulting industry where she built her business, C2G Partners. Peggy is the co-author of Black and White Strike Gold: Practical Nuggets to Grow Your Business, and she serves on NJIT's Undergraduate Research and Innovation Board and The Women's Center for Entrepreneurship (WCEC) Board. She has a long list of accolades and accomplishments, but the recent sale of her business was one of the most significant milestones in her career. The emotional and logistical challenges of growing and selling a business are greater than most could imagine, but they provided Peggy with invaluable lessons that made her the leader she is today. She joined us to share some of them and explain what it took to achieve success as a woman in the marketing industry. Built to Sell Prior to becoming an entrepreneur, Peggy built a successful career as a female leader in corporate America. However, when 9/11 took place, the global economic impact forced Peggy and thousands of others into unemployment. Instead of looking for a new job, Peggy decided to pursue her dormant goal of starting a business, and she entered the consulting industry after discovering a widespread need for interim expertise. She and her partner built a business plan, tapped into their networks, and softened the market so they could hit the ground running when they launched C2G. Making Difficult Decisions One of the most challenging parts of being a female leader is making difficult decisions swiftly and effectively. Since her business plan incorporated an exit strategy from the beginning, it meant she had to constantly make difficult decisions to stay on course. The greatest cost for a consulting business is labor, so when the recession hit, Peggy had to cut people based on revenue generation alone. And when she sold, she had to deal with changes in loyalty and attitude after the new owners came into the picture.
