What happens when a company goes bankrupt? Why do investors buy their stocks that are headed to zero? In this episode, we explore how the Insolvency and Bankruptcy Code (IBC) has changed the game. Deepak explains the many nuances of current regulations and how they've evolved. We dive into examples such as Bhushan Steel, Sintex and Ruchi Soya - which we hope will give you clarity. Listen in and decide. Would you stay the hell away from such stocks, or start hunting for bargains? --- Understanding Bankruptcy Businesses are tough and the best ones survive. There are ample failure points for a business that can drive it to bankruptcy. One or a combination of factors such as economical, social, regulatory, political, geographical, etc can drive a business suddenly to the ground or induce a slow death. Such companies eventually stare at bankruptcy. We discuss - - What is bankruptcy? - Does everyone lose money when companies go bankrupt? - Who gets what when the company is sold for parts? --- Learnings from the Sintex saga Sintex Industries, the Ahmedabad-based company, that boasts of tanks covering the skyline of most cities of India, was dragged to bankruptcy courts after it defaulted on a meager payment of ~15.4 crores towards principal and interest on its NCDs. This was the final nail in the coffin for the firm that had mismanaged its finances for too long. We discuss - - What Sintex does as a business - How the company was re-structured (through demerger) - How its issues snowballed to lead the company into IBC Eventually, the IBC ( Insolvency and Bankruptcy Code) tribunal was able to keep the company running and also got a successful bidder to buy out the stressed company. That's good news for almost all of its stakeholders. Except for its shareholders who will lose all of their equity in the company. So they get nothing. Zero. --- So How does IBC work? Why do existing shareholders lose everything? The short answer: Because existing shareholders contribute nothing to the upcoming growth of the company, they get nothing. The company that these existing shareholders bought into eventually went bankrupt. So the story for existing shareholders ends here with a big zero in their hands. Sounds unfair but that's how it is. We discuss - - How does the IBC process work? - Every existing stakeholder (debtors, employees, vendors) gets some part of the new entity. The current shareholders should also get a piece no? - What actually happened to Sintex shares? - How did things use to happen before the IBC? There are a lot of examples discussed in this section that explain different aspects of the bankruptcy process and also highlight how each bankruptcy case is different. --- But, existing shares of Ruchi Soya went up "to the moon" while it was going through bankruptcy All bankruptcies are different and unique. Ruchi Soya was trending on social media recently because the company came back strongly from bankruptcy and its investor (Patanjali) seems to have made a killing on its investment. There's lots more to the whole revival story. Deepak explains - - How regulatory rules change impacted the Ruchi Soya bankruptcy process - The bidding by Adani and Patanjali - Interestingly, they kept 1% of the company listed. Why? - How does Patanjali make Ruchi Soya operating cash flow positive? - The positive impact of Covid - Why is a company that makes only 800 Crores has a market cap of 31000 crores? --- Does investing in distressed companies work? We all love investing at its theoretical best - buy extremely low and sell high. We also keep repeating Buffett's quotes like “Buy when there is blood on the street”. Distressed companies feel like a value buy all time but they are almost always value traps or falling knives or whatever. I know that so many parents were looking forward to February coming along and hopefully having this vaccine approved for kids under five, myself included. Unfortunately, that did not get approved this month. So in this conversation, we are looking at why this vaccine hasn't been approved, when we can expect it to be, where to find research-backed information to guide your decision, and more. Originally from Toronto, Canada, New York based pediatrician, Dr. Arunima Agarwal has a passion for helping and taking care of kids and their families from diverse backgrounds. Her interest in academics and auto-immune diseases started early in her residency training, which prompted her to pursue fellowship to further her knowledge,– from working at Children's Hospital of Los Angeles to Grenada, where she was part of the American Medical Students Association who traveled to isolated islands to provide routine screening for vision, diabetes and other chronic illnesses. She immediately saw a need for vaccine, nutrition and chronic illness education, which led to her to participate in televised educational content for NBC and ABC LA regarding the flu vaccine and the importance of limiting unhealthy sugars. Now that she has relocated back to the east coast she hopes to continue educating and taking care of at-risk youth in the Bronx school system. Dr. Agarwal also educates patients regarding COVID testing and recommendations as part of Same Day Health, a telemedicine platform created to help patients during this global pandemic. Marla holds a Bachelor's in Psychology and a Master Degree in International and Intercultural Studies. While she's hit refresh numerous times, one of her most "extreme" changes was saying goodbye to her career and social life in San Francisco to teach English as a Second Language in a small town in South Korea. In this episode Ken sits down with Rob Levine and they talk about using a global perspective to grow your law firm. For the past 15 years, Rob Levine, as founder and President of Rob Levine and Associates, has been a staple in the Southern New England Personal Injury business. Rob is committed to helping people, exemplifying leadership and building businesses. At sixteen, when most kids his age were simply out being kids, he became part of the Glen Rock Volunteer Ambulance Corps, holding a position of EMT (emergency medical technician). He was promoted within a year to Crew Chief. This was the beginning of his call to serve. The next phase of Rob's career took him to college for Administration of Justice and to the Rhode Island Army National Guard. There he served three years as a military police officer. After his national service and graduating from college, he took a step toward serving the community. He was hired as a police officer by the Central Falls Police Department. Seeing the many needs of the citizens of Central Falls during his first six months on the force, Rob decided it was time to do more. He began a writing project for a grant and secured sixteen thousand dollars for the department's first K-9 Drug Enforcement unit. Upon his appointment as the K-9 Officer, he went to California for formal training. In addition to his patrol duty, Rob and his dog were instrumental in fighting the ever-present drug problem in the city. His police work was not the only thing he was focused on, Rob also concentrated on his personal development. Rob began to attend law school, was learning how to fly helicopters, practicing in a Robison R-22, helicopter. After graduating from law school Rob retired from the police department and began to practice law continuing to help those in need. Rob also continued to feel the need to serve the community as a volunteer and became a Ski Patroller. Today I talk with Eduardo Martinez, Legislative Director for the California Labor Federation, who shares his insight - based on years of experience as a legislative staffer - on how to ensure your message is not only received but resonates. Eduardo most recently served as Chief of Staff to former Assemblymember and now Mayor of San Diego Todd Gloria. At the beginning of 2021, Mr. Martinez left the Legislature to take a position in the "Third House" - Sacramento vernacular for the community of lobbyists and advocates who descend on the Capitol each year to promote and influence legislation. Eduardo serves as Legislative Director for the California Labor Federation, an alliance of 1,200 affiliated unions from around the state, leading their efforts to pass laws that protect California's families and strengthen workers' rights. Over ten months of each year, 120 legislators and their staff consider thousands of bill ideas with the potential to impact hundreds of diverse issue areas. Since no one person can digest thousands of pages of information, staff are responsible for vetting proposals, meeting with stakeholders, understanding the politics, and making recommendations. You can't overstate the critical role of legislative staff. Don't Become a Dinosaur During the COVID-19 pandemic, the world changed. Suddenly business trips, school, offices, and many other in-person functions were canceled. Luckily, thanks to technology, many businesses didn't miss a beat. But that doesn't mean businesses didn't struggle. As functional medicine practitioners, we had to get creative with how we served our patients. That meant entering new territory for many of us and creating telehealth services for patients. While many doctors nationwide offered telehealth services before COVID, suddenly all patients were seen virtually. As we inch nearer to the pandemic's end, it's easy to think that the market will return to the old way, and many of us are looking forward to getting back into the office. But before we make that jump, take a moment to think about the benefits of telehealth for your patients. Virtual visits mean they can attend their appointments without the hassle of driving across town and taking time off work. And, as you know, time is money. Speaking of which, when patients are able to spend 15-30 minutes on a virtual call with you, instead of an hour or two to see you in person, you will be able to serve more patients every day. Additionally, you will be able to serve a wider range of clientele. After all, when your practice is virtual, you can help patients from all over your state, not just your local area. When the pandemic is over, don't think that just because you can have in-person appointments means face-to-face is best. Don't lose patients to a competitor simply because they continue their telehealth and you don't. Make Space for Your Patients Did you know that functional medicine is more than serving your patients? When you're a healer, it is your job to make sure your patient has what he or she needs to heal. However, you cannot heal someone when you still have wounds. That's why it's so important for you to practice self-care, self-love, self-respect, and more. Healing is more than understanding the root cause of an illness and healing it. It's also about making sure the mind is healthy. For doctors, it can be difficult to make space for your patient to recover if you're still feeling the pain of your own traumas, especially when providing telehealth services for patients, it can be challenging to create a warm and empathetic environment. But, if your mindset is clear and healthy, you can make yourself more available to your patients. This means that you will be able to serve your patients better and reach a wider population. As your mindset heals from your past traumas, you will notice that you start to let go of negativity, fear, and pain, opening yourself up to take on more than you ever thought possible.
