I hope you'll buy it." It's more like I have something of value; I'm looking for people who need it, have pain around it that I can solve, and have respect for what I bring. Prior to that role, Mr. Hinshaw was the head of Group Emerging Markets, which included all divisions of Novartis in 50 countries worldwide. Prior to his role as EVP, Mr. Hinshaw held a number of lead roles for Novartis, including Head of the Hematology Business Franchise, which achieved >20% overall growth each year under Mr. Hinshaw's leadership. He also was the Global Head of Infectious Disease and Transplantation and Immunology (IDTI) based out of Basel, Switzerland, with responsibility for all functions of the organization, including commercial, development, BD&L, and strategy for the Business Unit. Other Novartis positions held by Mr. Hinshaw included Global Head of Infectious Disease Marketing and IDTI Development and Business Development & Licensing; Business Franchise Head, Infectious Disease; and Head of Infectious Disease Marketing. Mr. Hinshaw started his career at Schering Plough, where over the course of 12 years, he held a series of roles of increasing responsibility in the sales and marketing functions in both primary care and specialty business units, including market research, new products and in-line brand management, and sales positions at the representative, district, regional, and national levels. He also led the U.S. Oncology Unit where he was responsible for sales, marketing and business development. Mr. Hinshaw holds a B.S. in Molecular Biology from the University of Wisconsin.

The spot that is now occupied by Earnestine and Hazel’s at 531 South Main St was once the exact opposite of what it was to become in the future. In the late 1800s, it was built as a church, complete with fancy doors and a steeple. The area that the corner building occupies was considered “South Memphis”. It was a residential area that remained so until the early 1900s, when the railroad was built. South Memphis opened two new train stations and 50 passenger cars would come through every day. At that point, the area became able to support businesses. Sadly, the church burned down some time in the early 1900s. I couldn’t find an exact date, but the assessor's office lists the current building’s date as 1918. That year, a new building was erected, the same one you see today, and it was purchased by Abe Plough and turned into one of his Pantaze Drugstores. Abe Plough is a name synonymous with Memphis. In 1908, he borrowed $125 from his father and started his own business, Plough Chemical Company. He pedaled his “antiseptic healing oil”, that he created in a room above his father’s shop, to the drug stores in and around Memphis. His patent medicine took off and within a couple of years he doubled his profits. Side note: patent medicines are basically ones that marketed as medicines, but have no proven effectiveness. They are protected by trademarks but their ingredients are generally not completely disclosed. You’ll often hear them referred to as “tonics” or “elixirs”. With his additional money, Plough found his way into the cosmetics and sunscreen business and eventually acquired St. Joseph’s Aspirin brand. Over the next 100 years, Plough Inc became a multi-million dollar company, partnering with Schering Company. Schering Plough and the Plough Foundation became a major philanthropic entity in Memphis. But let’s rewind. Plough opened Pantaze Drugstores in the 1930s. Apparently Pantaze were the Walgreens of its day. There were 7 Pantaze drug stores on Main St and in the downtown area. It was during his time owning Pantaze that Plough started to expand his brand and continued on to find his fame. Now in the building on S. Main, Plough only used the bottom floor of the building for his pharmacy/sundry store, so he rented the upstairs to two beauticians, Earnestine Mitchell and Hazel Jones. Side note: a sundry is basically a general store that sells miscellaneous items One of the products that Plough had made was a hair straightening product and it worked quite well. Not only did the ladies use it in their salon, it was also being used all over the eastern part of the country. With Plough’s success and new found fortune, he gave (or I've also heard sold for a very inexpensive price) the building to Earnestine and Hazel. This transaction occurred some time in the 1950s, from what I can tell. Having no interest in running a sundry, the ladies decided to turn the downstairs area into a jazz cafe. Earnestine’s husband, Andrew, who went by the name of Sunbeam, opened a venue nearby for musicians, called Club Paradise. This was not the first business venture of Sunbeam Mitchell though. Throughout his years as a promoter, Mitchell had opened several music venues, a restaurant, and even a hotel for African Americans, which were scarce in those times. Earnestine kept the books and ran the hotel. The Mitchells and Plough were not strangers to each other either. One of Sunbeam’s music venues (Club Handy) and the Mitchell hotel were on the second and third floors of the Pantaze Drugs, which again was owned by Plough, on Beale St. (Wet Willie’s currently occupies this building.) Club Paradise was the largest and most prestigious nightclub in Memphis. It could hold up to 3200 people. Numerous acts such as locals Bobby Blue Bland, BB King, Howlin Wolf, and Muddy Waters played there, as well as big named acts Ike & Tina Turner, Aretha Franklin, Ray Charles, Chuck Berry, Bo Diddly, & Sam Cook.

Hassan joined Pharmacia & Upjohn as Chief Executive Officer in 1997. Previously, Hassan was Executive Vice President of Wyeth, with responsibility for its pharmaceutical and medical products business. He was elected to Wyeth's Board of Directors in 1995. Earlier in his career, Hassan spent 17 years with Sandoz Pharmaceuticals (now Novartis) and headed its U.S. pharmaceuticals business. Hassan received a B.S. degree in chemical engineering from the Imperial College of Science and Technology at the University of London and an M.B.A. from Harvard Business School. Hassan has chaired significant pharmaceutical industry organizations including The Pharmaceutical Research and Manufacturers of America (PhRMA) and The International Federation of Pharmaceutical Manufacturers Associations (IFPMA). Fred's book, "Reinvent - A Leader's Playbook for Serial Success," was published in 2013 by Wiley and has been discussed in many global organizations including the World Bank. In 2014, a CNBC panel named Hassan to a list of those who have had the most profound impact on the world of business in the previous quarter century.

Brent Saunders has over 25 years of experience in various aspects of healthcare and has been in leadership roles at several prominent global pharmaceutical and healthcare companies. Until May 2020, when it was acquired by AbbVie Inc. in a transaction valued at approximately $63 billion, Mr. Saunders served as Chairman, President and Chief Executive Officer of Allergan plc. His role as President and Chief Executive Officer of Allergan began in July 2014 and his added role of Chairman began in October 2016. Mr. Saunders first role as an executive officer in the pharmaceuticals and healthcare sectors began in 2003, as a member of the executive management team at Schering-Plough Corporation, where he held several key roles, including President of the company’s Global Consumer Health Care division. While at Schering-Plough, Mr. Saunders led the integrations of the company’s $14 billion acquisition of Organon Biosciences N.V in 2007 as well as the merger between Schering-Plough and Merck & Co., Inc. in 2009. Ralph Kader joined the United Nations (UN) in 1980. Over the next two decades, he rose through the ranks alongside Secretary-General Kofi Annan. He has served in diplomatic missions around the world with six United Nations Secretary-Generals: S-G Kurt Waldheim, S-G Javier Perez De Cuellar, S-G Boutros Boutros-Ghali, S-G Kofi Annan, S-G Ban Ki-Moon, and S-G Antonio Guterres. His missions included Algeria, Iraq, Jordan, and Morocco, among others. As such, he has developed personal relationships with many officials in Muslim countries and the Arab world in both the military and political spheres. He is a personal friend to the current King of Bahrain -- Sheikh Hamad Bin Issa Al Khalifa – as well as other Arab leaders. While at the UN, Ralph was appointed as the special liaison to Algeria and Morocco on behalf of the UN Mission for Peace Keeping Operations to negotiate a peace settlement between the Moroccan and Western Saharan people. Presently, Ralph is working as a Special Advisor to the Arab States Governments regarding military peace-keeping issues. What should your compliance policy and procedures on charitable donations look like? What should you prohibit or even caution against? The starting point is the 2012 FCPA Guidance regarding charitable donations. The information on the red flags from the Opinion Releases and the best practices, as set out in the 2012 FCPA Guidance, have been available for some time. From the Schering-Plough and Lilly enforcement actions, your policy should consider the timing of charitable donations to see if they are at or near the time of the awarding of new or continued business. Finally, in managing the relationship, you now need to look at overall increases in sales to determine if they are tied to a pattern of charitable donations. By looking at the timing and quantum of charitable donations, internal audit may be able to ascertain that a spike in sales is tied to corrupt conduct. Three key takeaways: What are the basic inquiries to make around charitable donations? Use all of the communication tools the DOJ has provided; written guidance, enforcement actions and Opinion Releases to inform your charitable donation policy. “Document, Document, and Document” the basis of your charitable donations risk assessment.
When is a rose not a rose? When it is a charitable donation not made for philanthropic purposes and violates the FCPA. This was a feature of the Eli Lilly and Company (Lilly) FCPA enforcement action brought by the SEC in 2012, involving a bribery scheme utilized by Lilly in Poland. The scheme and FCPA violations mirrored an earlier FCPA enforcement action, also brought by the SEC as a civil matter, rather than by the DOJ as a criminal matter, against another U.S. entity Schering-Plough, for making charitable donations in Poland which violated the FCPA. One of the remarkable things about both of these enforcement actions, brought almost eight years apart, was that they involved improper payments to the same Polish charitable foundation to wrongfully influence the same Polish government official to purchase products from both of these companies. Three key takeaways: Every compliance practitioner should study both the Lilly and Schering-Plough enforcement actions. What is the purpose of the charitable entity you are making a donation to? “Document, Document, and Document” your due diligence around donors.
This week, I’m talking about 5 mistakes that smart investors don’t make in bear markets. Today, I’m talking about mistake #4 that smart investors don’t make - misunderstanding market cycles. Understanding the emotions that define market cycles is very important. Market emotions tell you when we’re near or at the top, and when we’re near or at the market bottom. The key is spotting those emotions and taking advantage of it. Market bottoms are defined by pessimism, followed by panic, followed by capitulation (or surrender). Market bottoms - all of them by the way - are marked by feelings of hopelessness and depression. It’s palpable. In March of 2009, 18 months into the stock market downturn of the Great Recession, the unemployment rate was still climbing, millions of Americans had already lost their homes, and the stock market had lost half of it’s value. Yet, on a random day in early March of 2009, the stock market hit bottom and started it’s slow and steady climb for an incredible 11 year run since that time. An article from CNNmoney.com on March 9th, 2009 reads: “Stocks tumbled Monday, with the Dow and S&P 500 ending at fresh 12-year lows, as Merck's $41 billion purchase of Schering-Plough failed to distract investors from worries about the economy….The S&P 500 (SPX) index lost nearly 7 points or 1%, to end at 676.53, its lowest point since Sept. 12, 1996….‘We're seeing more of the same," said John Buckingham, chief investment officer at Al Frank Asset Management. "With an absence of good news, the path of least resistance is down." In this one news article, you can feel the surrender, the hopelessness, the throwing up of the hands in just the simple observation of “well, it’s another down day... just more of the same.” That’s all the commentator had to add that was noteworthy - more of the same. Yet on this day - March 9th, 2009, the stock market hit bottom, and began one of the greatest and longest bull market runs in history. When you understand the emotions that define stock market bottoms, you can more clearly see them for what they really are - not more of the same, but an incredible buying opportunity.
