Aus dem Lebenslauf von Yvonne Apiyo Brändle-Amolo spricht der starke Wunsch, die Welt mitzugestalten. Die studierte Ökonomin kam vor mehr als 20 Jahren der Liebe wegen in die Schweiz. Gauthier est devenu croupier par amour, ou plutôt, pour suivre son amour.C'est au sortir d'un job de passage que ce passionné d'Art et de dessin, se retrouve sans emploi. Il décide alors de suivre son compagnon, croupier, dans une vie qu'il trouvait pleine de mystères.Il plonge alors dans un univers de luxe, d'argent et d'addictions où des sommes folles changent de mains chaque jour. Croisant tous les soirs de véritables personnages aux manies intrigantes, il avait l'impression de vivre une vie d'agent secret, au beau milieu d'une série télévisée. La crise sanitaire et la fermeture des salles de jeux, l'obligent à rester chez lui. Il décide alors, pour tromper l'ennui de se lancer dans une formation. L'informatique l'intéressait depuis longtemps. Noch schlauer von Apple: Nachdem Pepsi als Super Bowl Halbzeitsponsor abgesprungen ist wird ab nächstem Februar die Halbzeitperformance des größten Fernsehereignisses des Jahren von Apple Music präsentiert (https://www.nfl.com/_amp/nfl-introduces-the-apple-music-super-bowl-halftime-show?utm_source=substack&utm_medium=email) Zum einen passt das ja gut und das Paurakel sagt auch, dass das ein erstes Zeichen ist das Apple auch sehr interessiert sein wird, die NFL Fernsehrechte für das Sunday Ticket zu übernehmen. Il s'agit d'une rediffusion d'une vidéo Youtube de la chaîne Lex TV : https://www.youtube.com/watch?v=OP_6hQvqFzE Droit des sociétés – La convention de croupier emporte-t-elle transfert de propriété des titres qu'elle a pour objet ? – CA Paris, 28 janvier 2021, n° 20/01252 La convention de croupier est celle par laquelle un associé (le cavalier) s'associe une tierce personne (le croupier) relativement à la part qu'il a dans la société. En dépit de sa disparition législative, la pratique a toujours recours à cette figure contractuelle originale. Celle-ci demeure parfaitement licite, et la jurisprudence témoigne de l'intérêt que la pratique lui porte, intérêt résultant concrètement de son caractère parfaitement occulte, tout spécialement à l'égard de la société dont les titres forment l'objet de la convention. En l'espèce, deux personnes avaient conclu une convention de croupier portant sur 15 600 actions détenues par l'un d'entre eux dans une SA. Ce contrat prévoyait entre les parties une répartition des droits aux bénéfices ou boni de cession/liquidation qui pourraient résulter de ces 15 600 actions à proportion de 5 % pour l'actionnaire cavalier, et 95 % pour le tiers croupier. À la suite d'un différend sur la perception des dividendes de l'exercice 2014, le croupier sollicita l'attribution en pleine propriété de 95 % des 15 600 actions, et en cours d'instance il résilia unilatéralement la convention. Le tribunal judiciaire de Paris donna largement gain de cause au croupier. D'abord en constatant la licéité de la résiliation unilatérale, la convention étant à durée indéterminée. Ensuite en attribuant subséquemment au croupier la propriété de 14 820 actions. C'est notamment sur ce dernier point que l'arrêt d'appel est intéressant, en ce qu'il infirme le jugement de première instance, considérant que « la résiliation de [la] convention, qui ne prévoit qu'un partage des droits financiers attachés aux actions de la société, ne peut entraîner un transfert de propriété des actions concernées ». Cette question, et la réponse qui y est apportée, sont à notre connaissance inédites, ce qui en fait tout l'intérêt. On retiendra que la convention de croupier n'emporte pas par nature de transfert de propriété des droits sociaux qui en sont l'objet, mais que la convention pourrait prévoir un tel transfert au dénouement du contrat. C'est d'ailleurs pourquoi la cour d'appel se livre à une analyse serrée des termes de la convention. Si en effet, dans l'absolu, la nature juridique de la convention de croupier exclut que la croupe soit attribuée au croupier– sans quoi la convention de croupier perd son objet même – on peut concevoir qu'au terme de la convention de croupier, et ce notamment par voie de résiliation, le contrat prévoie une telle attribution. Tel n'était cependant pas le cas. S'il est une constante, c'est bien que la convention de croupier suppose, ce qui était bien le cas en l'espèce, le partage des bénéfices et des pertes attachés aux droits sociaux. Subséquemment, sa nature juridique est celle d'une société en participation occulte, et non d'une vente !

Bad Cop films that neither of us has seen is this week's theme. Japanese director Beat Takeshi's,  "Fireworks" (1997), was up first and both M&A thought it was excellent and unique in so many ways. A film with very little dialogue, Takeshi has stripped his movie of all excess so not a word or frame is wasted. Very French New Wave. On the other hand, "The Killer Inside Me" (2010) is a bad cop movie that is also really bad. The boys both thought Casey Affleck was miscast as the sociopathic deputy sheriff and the ending is as horrible as it gets. He has been a close associate to many visionary filmmakers including Robert Altman, Hal Ashby, Lindsay Anderson, Mike Hodges, Alan Rudolph, and Paul Thomas Anderson. He directed the documentaries: Luck, Trust & Ketchup: Robert Altman in Carver Country, which showed Altman's filmmaking technique for the first time, and Never Apologize, Malcolm McDowell's tour de force performance documentary about Lindsay Anderson, an official Cannes Film Festival selection. As an independent distributor in the UK, he released Barbet Schroeder's The Valley (Obscured by Clouds), which had over 400 playdates in England, a record at that time for a subtitled film, and Jack Hazan's A Bigger Splash, featuring David Hockney, which played for a year in London setting house records and establishing a day and date release pattern for an art film. Wearing his strategist hat, he rescued Mike Hodges' Croupier from video oblivion as it became the most successful and acclaimed independent film in the United States. Mike is perhaps best known for conceiving 'The Ultimate Trip'/Star Child campaign for 2001: A Space Odyssey and his subsequent work on A Clockwork Orange working directly for Stanley Kubrick. Mike tells us about how he got started in A.P.E., the Advertising, Publicity and Exploitation department at MGM in the mid-sixties; His first epiphany experience seeing 2001 just before its initial release; His first encounter with Stanley Kubrick in the projection booth on opening night in New York; Rumours that The Beatles wanted to write a song for 2001; Kubrick asking Mike himself to write the promo song, which he did [and you’ll hear that later as only the second time ever to be officially broadcast, the only other time being at midnight of the new millenium]….. and other tales of Hollywood during it’s second Golden Age. Herzlich Willkommen zur nächsten „leicht und bewegt“ Podcastfolge. Wir freuen uns, Dir heute Tomasz Pekala vorstellen zu dürfen. Tomasz ist in Polen geboren und zog im Alter von 6 Jahren nach Österreich. Nach seiner Schulausbildung konnte er seinen Traum verwirklichen und wurde mit 17 Jahren Fußballprofi. In dieser Zeit merkte er, was die zwei wichtigsten Komponenten im Sport sind – täglich an sich zu arbeiten und an sich zu glauben. Damals war ihm nicht bewusst, wie entscheidend die innere Stimme im Kopf ist (also unser mentaler Bereich). Mitte 20 endete sein Traum. Anschließend wurde er Croupier in einem Casino. Für ihn eine sehr spannende Zeit, da er Menschen in Extremsituationen kennenlernte und anfing sie zu beobachten und sich mit der Psychologie zu beschäftigen. Als seine Frau schwanger wurde, befasste sich Tomasz mit der Thematik Psychologie von Babys und Kindern. Heute unterstützt er Väter ihren Tag und ihr Leben so zu meistern, dass sie stolz auf sich selber sein können. Und genau um dieses Thema wird es heute auch gehen. Was ist das Geheimrezept für Männer, ein toller Vater und Ehemann zu sein, alles unter einem Hut zu bekommen und ein glückliches, zufriedenes Leben zu führen? This week's episode of "Hunkered In The Bunker" was the Easter/ Passover show(later dubbed "extravaganza" mid show by Bernsteinn himself). This show was chock-a-block full of holiday magic and wonder including but not limited to songs about Ol' Peter Cottontail, Soft Boiled Eggs, Matzo Ball Soup, Jerusalem(with Mountains of Olives...shout out to the Bunker Buds), Passover as well as some amazing tales of the history of Moses...from parting the Red Sea to his later work in Vegas as a Croupier. There is also the moment where Bernsteinn risks life and limb during the peanut flick challange by attempting to use matzo pieces instead of the usual regulation nuts and legumes*. Thus is his mania and it shows just how far he's willing to go to deliver an exciting show. At the same time we are treated to readings from Johnathan Swift and Martain Luther King Jr as well as songs from the likes of Bob Dylan, Bruce Springsteen, Warren Zevon, John Prine and Joe Glazer. Y tengo la boca llena de sangre, y sangre que sale de las grietas de mi cráneo y toda mi alma sabe a sangre, sangre fresca no sé si de cerdo o de hombre que soy, en toda mi alma acuchillada por mujeres y niños que se mueven ingenuos, torpes, en esta vida que ya sé. Me palpo el pecho de pronto, nervioso, y no siento un corazón. No hay, no existe en nadie esa cosa que llaman corazón sino quizá en el alcohol, en esa sangre que yo bebo y que es la sangre de Cristo, la única sangre en este mundo que no existe que es como el mal programado, o como fábrica de vida o un sastre que ha olvidado quién es y sigue viviendo, o quizá el reloj y las horas pasan. Me palpo, nervioso, los ojos y los pies y el dedo gordo de la mano lo meto en el ojo, y estoy sucio y mi vida oliendo. Y sueño que he vivido y que me llamo de algún modo y que este cuento es cierto, este absurdo que delatan mis ojos, este delirio en Veracruz, y que este país es cierto este lugar parecido al Infierno, que llaman España, he oído a los muertos que el Infierno es mejor que esto y se parece más. Y otras veces soy Abel que tiene un plan perfecto para rescatar la vida y restaurar a los hombres y también a veces lloro por no ser un esclavo negro en el sur, llorando entre las plantaciones! Es tan bella la ruina, tan profunda sé todos sus colores y es como una sinfonía la música del acabamiento, como música que tocan en el más allá, y ya no tengo sangre en las venas, sino alcohol, tengo sangre en los ojos de borracho y el alma invadida de sangre como de una vomitona, y vomito el alma por las mañanas, después de pasar toda la noche jurando frente a una muñeca de goma que existe Dios. Escribir en España no es llorar, es beber, es beber la rabia del que no se resigna a morir en las esquinas, es beber y mal decir, blasfemar contra España contra este país sin dioses pero con estatuas de dioses, es beber en la iglesia con música de órgano es caerse borracho en los recitales y manchas de vino tinto y sangre «Le livre des masques» de Rémy de Gourmont caerse húmedo babeante y tonto y derrumbarse como un árbol ante los farolillos de esta verbena cultural. Am Anfang war da ein Zeitungsbericht über einen ungewöhnlichen Versicherungsbetrug. Opfer war eine einfache Frau, Leonie Font. Zuerst wurde sie von einem Laster angefahren, dann vom Ehepaar Louis und Jacques Daud zu einem raffinierten Spiel mit der Versicherung verführt. Hier kommt der österreichische Hörspielautor Friedrich Bestenreiner ins Spiel, denn auch er ist ein Spieler. Seine Trümpfe: Ironie und böser Witz. Indem er sich schreibend der Akteure annimmt, ihnen eine Identität gibt, deckt er spielerisch menschliche Abgründe auf. Wie schon der Titel andeutet, sind auch Jacques Daud und seine Frau Louise Opfer ihres «Verkehrs». Irgendwoher muss die Motivation zum Betrug ja kommen. Spielsucht oder eine Geliebte sind kostspielige Vergnügen. Dass dann das Ende immer noch eine (böse) Überraschung bereithält, gehört ebenso zu den besonderen Attributen Friedrich Bestenreiners wie seine kantige Dramaturgie. Der Verfasser unzähliger Hörspiele zeigt uns holzschnittartige Zerrbilder einer längst auf den Hund gekommenen Gesellschaft. As Blake, Jenna and Cally look for the surgeon, who is hiding under the false name Kline, they discover he is being guarded by Travis who has sought the doctor for maintenance on his cybernetic arm. Through the assistance of a devious casino owner named Krantor, Servalan lurks behind the scenes plotting to eliminate Docholli. She lays a trap for him by capturing Travis and secretly placing a bomb in his cyber arm. Meanwhile, Avon and Vila sneak a miniaturised Orac, (reduced to ⅛th size by demonstrating controlled molecular implosion), to cheat in Krantor's Big Wheel casino and win large amounts of money. Vila is later tricked by Krantor to play "to the death" in a game of speed chess against an undefeated player known as The Klute.
